Lot:

First floor the air terminal 1 of “Manas” international airport (according to the floor plan

setfurther in the document) with a total area of 302,45 square meters.

Dates:

1. Investor provides the bid in accordance with the requirements of this document

not later than 18:00 Bishkek local time (UTC+6) August 15, 2013.

2. Investor completes the project and starts operation of foodservice outlets not later

than October 1, 2013.

3. Additional issues arise during the implementation of the project will be approved

by the amendment agreements.

Requirements for participants:

1. Completely responsible for attraction of investments. Indicate in its project

participation bidthe funding arrangements, which investor iswilling to provideon

the most favorable conditions.

2. Entirelyresponsible forprovision ofoperatingcapital for the projectactivities.

3. Investor has successful experience in implementing similar projects

Contents of Application:

1. The investment proposal containing the willingness to fulfill the requirements to the

participants;

2. The volume of investments and anticipated scale of work;

3. Resumeof the investment project (summary);

4. Conditions and the mechanism of cooperation with the JSC"MIA" withinthe project

implementation;

5. Financial and business model;

6. Information and presentation materials;

7. List of prospective contractors and equipment manufacturers.

8. Audited financial statements for the last 3 years of activity.

9. Funding arrangements, investor is willing to provideon the most favorable conditions.

10. The application must besubmitted in Kyrgyz and / or Russian and / or English languages

Mandatory conditions within the project / projects:

1. Investor offers conditions and mechanism of cooperation with JSC "MIA" on

implementation of the project / projects.

2. Designs the development concept, business plan and payment plan in favor of JSC

"MIA", as well as other necessary project documentation, which must be approved by the

JSC "MIA".

3. Develops the design project in accordance with a unified style and architectural ensemble

of the airport terminal, which must be approved by JSC "MIA".

4. Entirely attracts investments to the project.

5. Develops the project of reconstruction of communicationby own expenses, which must be

approved byJSC "MIA" and implementsreconstruction in order to ensure no impact on the

airport terminal operation.

6. Entirely responsible for provision of operating capital for the project activities.

7. Provides an irrevocable bank guarantee in the amount of investment in favor of "Manas”

International airport.

8. Provides a set of bidding documents, audited financial statements for the last 3 years of

activity.

9. Provides annually audited statement on the project for the JSC "MIA".

10. Operating repair and reconstruction is performed by the investoron investor’s own

expenses.

11. Integrates payment system with the payment system of JSC "MIA" for sales and costs

data exchange in online mode.

12. Investor entirely responsible for payment of taxes and other payments under the project.

13. Involvement of third parties in the implementation of projects to be agreed and approved

by JSC"MIA".

14. Payment of shares and rents (at least 1,100 soms per square meter per month) toJSC

"MIA" according to the lease agreement is made starting from the first month of the

foodservice outlet’s activity in the amount of % to gross revenues (to be defined by an

investor on a competitive basis, but not less than 20%) monthly not later than the 10th

day of the month following the reporting period.

15. Investor must prepare annually a detailed and comprehensive annual business plan,

present and get approval by the JSC "MIA". The business plan should include, but not be

limited by:

a. Long-term budget expenditure;

b. Procurement plans and procedures, including identification of supply sources and

to provide for the replacement of local supplies by the imported goods or services

in caseof insufficiency or unacceptability of local supply;

c. Selection and inspection of contractors and subcontractors for any and all

activities and operations;

d. The expected sales volumes and turnover;

e. Plans and policies for employment, including training, development and

promotion of staff;

f. Bonus and incentive programs;

g. Procedures for accounting and financial reporting, and their changes;

h. Expectedprofits.

16. The investor entirely responsible for operation and management of the project.

17. Investor will manage the full utilization of its resources in such a way so as to ensure that

the general standards of the airport / airports and the services provided and the services

that are installed and performed prices and rates will comply with the standards and laws

of the Kyrgyz Republic.

18. During the term of the agreement, investor assures JSC"MIA" that will not take part in

any manner or be interested, directly or indirectly, to any other company / firm /

organization / business or activity that directly competes or will compete with the project.

JSC “Manas” International airport:

1. Providesto investor the areain the terminal 1 of “Manas” international airport for rent.

2. Concludes Cooperation Agreement with the winner of the Competition, which will

manageall business processes of the project, additional provisions, adopted action plans,

etc.

3. The Bid Evaluation Committee may consider applications for specific parts of area.

Competition winning criteria:

1. The volume of proposed investment in monetary terms

2. The amount of allocations as % of total sales

3. Rate of rent

4. Amount of the bank guarantee

5. Creativity, originality and relevance of the project concept

6. Business reputation

7. Willingness to implement all the conditions of competition

8. Rentarea

10. Foodservice outlet’s Area

11. Amortization expenses for the benefit of JSC “Manas” International airport

12. An additional investment (bonus) proposal toJSC“Manas” international airport

JSC “MIA”provides for rent areas with numbers 2,3,4,5,6,7,8 which is shown in this scheme.

Below is presented developed project on reconstruction first floor of the terminal of “Manas” international airport.

Nowadays reconstruction work is almost done except that installation in-built furniture and special equipment. Communication lines are installed.

This project is not mandatory and might be changed according to Investor’s offer and project.
