CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This conditional deed of sale entered into this 20 th day of April 2011, in the City of Baguio, Province of Benguet, by and between:

Tyrone Diaz, married to Susan Diaz, both of legal age, Filipino, and resident of Sn. Benito Sur, Aringay, La Union, hereinafter referred to as VENDOR.

Allyson Fangkingan, Single, of legal age, Filipino, and resident of Sunnyside,Fairview, Baguio City hereinafter referred to as VENDEE.

WITNESSETH

That, the VENDOR do hereby sell, convey, and transfer in a manner absolute and irrevocable unto said VENDEE, his heirs and assigns, for and in consideration of THREE HUNDRED THOUSAND PESOS (P300,000.00) Philippine Currency, the property, including improvements therein, situated in Corner Quezon Hill, Subdivision Road, Baguio City, and more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO. 14851

A parcel of land (Lot 1-B-6) of the subdivision plan (LRA) PSD-371780, approved as a non-subdivision project, being a portion of Lot 1-B, (LRC) PSD-297695, LRC Rec. No. Free Patent, situated in the Corner Quezon Hill, Subdivision Road, City of Baguio, Province of Benguet, Island of Luzon. Bounded on the NW., and NE., points 3 to 5, by property of Jose Banting; on the NE., points 5 to 6, by property of Antonio Estrada; on the SE, points 6 to 1, by Lot 1-B-5; on the SW., points 1 to 2, by lot 1-B-9 (Alley); points 2 to 3, by lot 1-B-8; all of the subdivision plan.

Beginning at point marked “1” on plan, being N. 37 deg. 26’E., 1130.10 m. from BLIM No. 3, Baguio City;

Beginning containing an area of SEVEN HUNDRED (700sqm.) Square Meters, more or less x x x.

That the consideration will be paid in the following manner;

ONE HUNDRED FIFTY THOUSAND PESOS (P150,000.00) will be paid on the 20th of April 2011 and ONE HUNDRED FIFTY THOUSAND PESOS (P150,000.00) will be paid on the 7th of January 2012, representing full payment of the purchase price.

That, however, in the event the VENDOR fails to comply with his obligation, the purchase price which has been paid shall likewise earn legal interest in favor of the VENDEE.

That the VENDOR shall give the VENDEE absolute and complete control and possession of the subject property and allow the introduction of improvements thereon upon the receipt first payment.

Further, that in the event that the VENDOR should fail or deliberately refuse to comply with his obligation, the VENDEE shall be reimbursed of the amount of the purchase price paid, cost of improvements as well as beneficial interests and other damages that the VENDEE may suffer.

And Finally, VENDEE shall pay unpaid real estate taxes for 2011, capital gains tax, documentary stamp tax, cost registration.
