1 Conditions of Responding

1.1 Requirements in Brief

The Principal is seeking Expressions of Interest from suitably experienced and

qualified people and/or organisations that wish to present options for the lease and

development of Reserve 50101 (Monkey Mia) for aquaculture and associated tourism

activities that complement the natural and cultural values of the Shark Bay World

Heritage Area.

A full statement of the Requirements required appears in Part 2 Statement of

Requirements.

1.2 Definitions

Below is a summary of some of the important defined terms used in this Expression of Interest:

Attachments: The documents you attach as part of your Submission.

Deadline: The Deadline shown on the front cover of this Expression of Interest for lodgement of your Submission.

Expression of Interest or EOI: This document.

Principal: The Shire of Shark Bay.

Respondent: The person or persons, corporation or corporations who has or intends to submit a Submission in response to an Expression of Interest.

Requirement: The Goods or Services requested by the Principal.

Reserve: Reserve 50101, Edel Location 106, Monkey Mia, 6537 WA.

Selection Criteria: The Criteria used by the Principal in evaluating your Submission.

Specification:The Statement of Requirements for Goods or Services that the Principal’s Expression of Interest may request you to provide if selected as an acceptable Expression of Interest through the Expression of Interest process.

Submission: Completed Expression of Interest, response to Selection Criteria and Attachments.

Tenderlink: Means the web-based portal to be used for downloading EOI documents and raising queries in the online forum during the EOI Open Period. This medium operates through the website

EOI Open Period The time between advertising the EOI and the Deadline.

WALGA Provider Portal

Means the web-based portal to be used by Respondents to lodge EOI Submissions. This web portal is also used by the Evaluation Panel to access and evaluate Submissions. The link to this portal is nominated in Clause 1.7 of this EOI.

1.3 Expression of Interest Documents

This Expression of Interest is comprised of the following parts:

Part 1 – Conditions of Responding (read and keep this part);

Part 2 – Specification (read and keep this part); and

Part 3 – Respondent’s Submission (completed and lodged online).

Separate Documents:

a) Addenda and any other special correspondence issued to Respondent’s by the

Principal.

1.5 Request for Clarification

Respondents may submit a written request for clarification on any part of the EOI

documents prior to lodgement of their Submission. Written clarifications must be made

using the online forum on the tender details page of Tenderlink and may be the subject

of an addendum to this EOI.

No requests for information or clarification to the EOI documents will be accepted later

than four (4) days prior to the Deadline of this EOI.

1.6 Site Inspection

There is no site inspection organised, however Respondents are encouraged to make

themselves familiar with the Reserve area. For details on how to organise a site visit

please contact Paul Anderson on (08) 9948 1218.

1.7 Lodgement of Submissions and Delivery Method

The Submission must be lodged by the Deadline. The Deadline for this Expression of

Interest is Wednesday 12th July 2017 at 2pm WST.

The WALGA Provider Portal is the electronic method used to lodge your Submission.

Lodgement of Submissions must be made in the WALGA Provider Portal. Please note

the WALGA Provider Portal is a separate portal to Tenderlink. Details on how to

access the Portal are provided below. Respondents must:

a) carefully read all parts of this document;

b) ensure you understand the Requirements;

c) log into the WALGA Provider Portal using the following hyperlink:

Note: A registration process is required when accessing the WALGA Provider Portal for the

first time, a ‘forgot password’ function exists for existing registrations. This is a separate

registration process to Tenderlink.

d) select and Login to the relevant Request you wish to provide a Submission

for;

e) ensure that you have answered all the Selection Criteria within the WALGA

Provider Portal; and

f) lodge your Submission before the Deadline.

The Contact Person as nominated in Clause 1.4 can provide assistance in using the

WALGA Provider Portal.

Hard copies of Submissions, as well as Submissions submitted by email or facsimile

or any other means other than the WALGA Provider Portal will not be accepted.

1.8 WALGA Provider Portal Conditions of Use

In preparing a Submission using the WALGA Provider Portal, Respondents must

agree to the following Conditions:

a) In submitting a Submission electronically, Respondents represent that they

have taken reasonable steps to ensure that electronic Submission files are free

of viruses, worms or other disabling features which may affect the WALGA

Provider Portal and/or the Principal’s computing environment. Submissions

found to contain viruses, worms or other disabling features may be excluded

from the evaluation process.

b) Respondents should allow sufficient time for Submission lodgement, including

time that may be required for any problem analysis and resolution prior to the

Deadline.

c) Where electronic submission of a Submission has commenced prior to the

Deadline and is not completed successfully by the Deadline, the Submission

will not be accepted.

d) Submissions lodged through WALGA’s Provider Portal will be deemed to be

authorised by the Respondent.

e) The WALGA Provider Portal is designed to prevent lodgement of a Submission

after the Deadline.

f) Respondents acknowledge that although the Principal has implemented

security measures, the Principal does not warrant that unauthorised access to

information and data transmitted via the Internet will not occur.

g) Respondents acknowledge that:

• lodgement of their Submission on time and in accordance with these

Conditions of Responding is entirely their responsibility; and

• the Principal will not be liable for any loss, damage, costs or expenses

incurred by Respondents or any other person if, for any reason, a

Submission or any other material or communication relevant to this

Request is not received on time, is corrupted or altered or otherwise is not

received as sent, cannot be read or decrypted, or has its security or

integrity compromised.

1.9 Rejection of Submissions

A Submission will be rejected without consideration of its merits in the event that:

a) it is not submitted before the Deadline; or

b) it is not submitted at the place specified in the Expression of Interest; or

c) it may be rejected if it fails to comply with any other requirements of the

Expression of Interest.

1.10 Acceptance of Submissions

Unless otherwise stated in this EOI, Submissions may be for all or part of the

Requirements and may be accepted by the Principal either wholly or in part. The

Principal is not bound to accept and may reject any or all Submissions submitted. The

acceptance of a Submission does not oblige the Principal to proceed to issuing a

Public Tender.

1.11 Disclosure of Contract Information and Documents

Documents and other information relevant to the contract may be disclosed when

required by law under the Freedom of Information Act 1992 or under a Court Order.

1.12 Submission Validity Period

All Submissions will remain valid and open for acceptance for a minimum period of six

(6) months from the Deadline or for forty five (45) days from the Principal’s resolution

for determining the Submission, whichever is the later unless extended on mutual

agreement between the Principal and the Respondent in writing.

1.13 Respondents to Inform Themselves

Respondents shall be deemed to have:

a) examined the Expression of Interest and any other information available in

writing to Respondents for the purpose of submitting an EOI;

b) examined all further information relevant to the risks, contingencies and other

circumstances having an effect on their Submission which is obtainable by the

making of reasonable enquiries;

c) satisfied themselves as to the correctness and sufficiency of their Submissions

including submitted indicative prices which shall be deemed to cover the cost

of complying with all the conditions of responding and of all matters and things

necessary for the due and proper performance and completion of the work

described therein; and

d) satisfied themselves they have a full set of the EOI documents and all relevant

attachments.

1.14 Alterations

The Respondent shall not alter or add to the Expression of Interest documents unless

required by these General Conditions of Responding.

The Principal will issue an addendum to all registered Respondents where matters of

significance make it necessary to amend the issued Expression of Interest documents

before the Deadline.

1.15 Risk Assessment

The Principal may have access to and give consideration to:

a) any risk assessment undertaken by any credit rating agency;

b) any financial analytical assessment undertaken by any agency; and

c) any information produced by the Bank, financial institution, or accountant of a

Respondent;

so as to assess that Submission and may consider such materials as tools in the

Submission assessment process.

Respondents may be required to undertake to provide to the Principal (or its

nominated agent) upon request all such information as the Principal reasonably

requires to satisfy itself that Respondents are financially viable and have the financial

capability to provide the Services for which they are submitting and meet their

obligations under any proposed Contract. The Principal reserves the right to engage

(at its own cost) an independent financial assessor as a nominated agent to conduct

financial assessments under conditions of strict confidentiality. For this assessment to

be completed, a representative from the nominated agent may contact you concerning

the financial information that you are required to provide.

The financial assessment is specifically for use by the Principal for the purpose of

assessing Submissions and will be treated as strictly confidential.

1.16 Evaluation Process

This is an Expression of Interest (EOI).

The EOI is the first stage of a two stage process. Following the outcome of the EOI,

the Principal may proceed to the calling of a restricted Request for Tender (RFT) to

those determined as acceptable Respondents. The issuing of an EOI does not commit

the Principal to proceeding with an RFT.

Eligibility to participate in the RFT will be restricted to providers who comply with the

provisions of this EOI and who are accepted by the Principal to be placed on a pre-

qualified shortlist.

The submission of an EOI does not commit the Principal to include any organisation

on the shortlist in the event that the project proceeds.

Your Submission will be evaluated using information provided in your EOI and on your

response to the Selection Criteria.

The following Evaluation Methodology will be used in respect of this Expression of

Interest:

a) Submissions are checked for completeness and compliance. Submissions that

do not contain all information requested may be excluded from evaluation;

b) Submission are assessed against the Selection Criteria; and

c) The most suitable Respondents may be shortlisted and may also be required to

clarify the Submission and/or make a presentation. Referees may also be

contacted prior to the selection of the successful Respondent.

1.17 Selection Criteria

The Principal has adopted a best value for money approach to this EOI. This means

that, although price is considered, the Respondent containing the best price will not

necessarily be accepted, nor will the Submission ranked the highest in the qualitative

criteria.

A scoring system will be used as part of the assessment of the qualitative criteria set

out in Part 3. Unless otherwise stated, a response to one of these criteria which

provides all the information requested in the Expression of Interest will be assessed as

satisfactory and will, in the first instance, attract an average score.

The extent to which the Submission demonstrates greater or lesser satisfaction of

each of these criteria will result in a score greater or lesser than the average. The

aggregate score of each Submission will be used as one of the factors in the final

assessment of the qualitative criteria and in the overall assessment of value for

money.

1.18 Compliance Criteria

These criteria are detailed within Part 3 of this document and will not be point scored.

Each Submission will be assessed on a “Yes/No” basis as to whether the criterion is

satisfactorily met. An assessment of “No” against any criterion may eliminate the

Submission from consideration.

1.19 Qualitative Criteria

In determining the most advantageous Submission, the Evaluation Panel will score

each Respondent against the qualitative criteria as detailed within Part 3 of this

document. Each criterion will be weighted to indicate the relative degree of

importance that the Principal places on the technical aspects of the goods or services

being purchased.

Note: It is essential that Respondents address each qualitative criterion.

Information that you provide addressing each qualitative criterion will be point scored

by the Evaluation Panel.

Failure to provide the specified information may result in elimination from the

evaluation process or a low score.

A rating scale will be applied to scoring from Zero (meets no criteria, unacceptable

response) to ten (superior response that meets and exceeds criteria).

1.20 Pricing

Pricing is not within the scope of this Expression of Interest. Pricing will feature in any

resulting restricted RFT. Successful Respondents will be provided with an opportunity

to provide pricing if and when the restricted Request for Tender is issued.

1.21 Ownership of Submissions

All documents, materials, articles and information submitted by the Respondent as

part of or in support of a Submission shall become upon submission the absolute

property of the Principal PROVIDED that the Respondent shall be entitled to retain

copyright and other intellectual property rights therein, unless otherwise provided by

the Contract.

1.22 Canvassing of Officials

If a Respondent, whether personally or by agent, canvasses any of the Principal’s

Commissioners or Councillors (as the case may be) or Officers with a view to

influencing the acceptance of any Respondent, then regardless of such canvassing

having any influence on the acceptance of such Submission, the Principal may at its

discretion omit the Respondent from consideration.

1.23 Identity of the Respondent

The identity of the Respondent is fundamental to the Principal. The Respondent shall

be the person, persons, corporation or corporations named as the Respondent within

your Submission.

1.24 Costs of Submission

The Principal will not be liable for payment to the Respondent for any costs, losses or

expenses incurred by the Respondent or any other person, if for any reason, a

Submission or any other material or communication relevant to the EOI is not received

on time, is corrupted or altered or otherwise is not received as sent, cannot be read or

decrypted, the Submission is unsuccessful or has had its security or integrity

compromised.

1.25 Submission Opening

Respondents should note that WALGA utilises an electronic submission tool which

controls the opening, closing and locking of EOI Submissions.

The integrity of Submissions, Submission times and validity for evaluation is all

auditable through this tool. EOI submissions will be opened at WALGA, Level 1, 170

Railway Parade, West Leederville, WA 6007, as soon as practicable following the

advertised Deadline.

The names of the entities who submitted an EOI response by the due Deadline will be

recorded on the EOI Submission register and be witnessed and confirmed by the

Principal’s representatives.

1.26 In-house Submissions

The Principal does not intend to submit an In-house Submission.

2 Statement of Requirements

2.1 IntroductionThe Principal is inviting Submissions from interested parties for the lease and

development of Reserve 50101, Edel Location 106, Monkey Mia for aquaculture and

associated tourism activities. Respondents will need to incorporate activities that

reflect the cultural, environmental, geographical and historical values of the area.

Any development in this precinct would add to the current experience of visitors to the

region and should boost the economic diversity of the Principal. Respondents must

demonstrate that the lease of the Reserve will be of benefit to the wider community.

The successful Respondent will manage the facility in accordance with Shire of Shark

Bay’s tourist facilities regulations.

Although this document contains information about the EOI evaluation process, none

of the information shall give rise to any promise or contract, and no legal relationship

shall be created between the Principal and a Respondent at any stage prior to the

grant of a lease or licence.

2.2 Background InformationLocated near the town of Denham on the Peron Peninsula, this protected area is

housed within the Shark Bay World Heritage Area. Monkey Mia is famous for its

dolphin interaction experience, a rare encounter with wild animals that has become a

major tourism attraction.

The original Dolphin Information Centre was opened in the 1980s and sealed roads

were built in 1985, which dramatically increased the number of visitors to Monkey Mia.

In 1990, the waters surrounding Monkey Mia were officially declared a marine park

and in 2001, the Monkey Mia Visitors Centre was opened by the Western Australian

Government Department of Environment and Conservation.

Visitor numbers have fluctuated between 85,000 to 115,000 over the last decade. With

significant developments planned at the adjacent Monkey Mia resort visitor numbers to

the area should substantially increase.

2.3 Scope of Work

2.3.1 Site Location and Access Monkey Mia is located on the eastern coast of the Peron Peninsula, the Shark Bay

World Heritage Area. It is about 26 kilometres from the town of Denham and 19

kilometres from the local airport. The nearest town, Denham, is 300 kilometres south

of Carnarvon and 831 kilometres north of Perth by road. The driving time from Perth

is about 10 hours. There is a scheduled air service operating from Perth to Shark

Bay four times a week during peak tourist periods.

2.3.2 Site Development Envelope The area of interest is situated at Monkey Mia and comprises 7.7326 hectares.

A 1.5 hectare area from within the reserve will be set aside for use of the native title

claimant group in the area (the Malgana people), to be leased on reasonable terms.

If the land, so identified, is not utilized for the designated purpose by the Malgana

people within ten years of the date of this order (3 April 2014) requirement lapses

and has no further effect.

Area subject to EOI outlined in red.

2.3.3 Denham Facilities Denham is the main town of the Shark Bay area providing a limited range of services

and amenities for visitors and local residents and is located about 30 minutes from

the Monkey Mia site. With a permanent population of up to 1,000 people, it has

clean, safe swimming beaches, a boat ramp, restaurants, hotels, supermarkets,

medical facilities, vehicle repair services and food outlets. It may be possible that

some staff and supporting facilities can be accommodated in Denham and travel to

the site as required.

2.3.4 Water Supply The site has currently no access to town water supplies. Any new development

would need to provide its own water supply.

2.3.5 Power Supply The site has currently no power supply. Respondents are required to identify how

they would provide power and demonstrate their commitment to ensuring the supply

is environmentally sustainable.

2.3.6 Lease Conditions Reserve 50101, Edel Location 106 is vested in the Shire of Shark Bay by way of a

Management Order for the purpose of “Aquaculture and Associated Tourism

activities” with the power to lease for a period up to 21 years subject to Ministerial

consent.

The leasing of the Reserve to the preferred Respondent will be subject to Council

approval.

2.4 Specific Requirements of the Lease

The primary goal for management of the Reserve is to fulfil the demand for recreation

by members of the public consistent with the proper maintenance of the natural

environment and the protection of indigenous flora and fauna. This includes:

maintain natural values and visitor experiences;

protect the cultural values of the area;

minimise environmental impacts;

maintain and improve the quality of existing recreational opportunities;

ensure sustainable recreation by portraying a strong conservation education

message; and

preserve the land for Aboriginal culture and heritage.

2.4.1 Shark Bay World Heritage Values

Respondents should note that due to the site’s location within a World Heritage area,

approvals for any development will likely be subject to assessment under both the

Environmental Protection Act 1986 (WA) and the Environment Protection and

Biodiversity Conservation Act 1999 (Cth).

2.4.2 Environmental Protection Act 1986 (WA) (EP Act)

There is an expectation that any development proposed for the Shark Bay World

Heritage area will be carefully assessed in terms of its environmental impact and as

part of the approval process it may need to demonstrate that the values for which the

area has been listed as World Heritage are not compromised.

2.4.3 Environmental Protection and Biodiversity Act 1999 (CTH) (EPBC Act)

Respondents should be aware that the EPBC Act provides for the protection of the

environment, especially matters of national environmental significance.

3 Respondent’s Submission

3.1 Selection Criteria

The following sections contain the selection criteria that has been developed to

assess your Submission to determine the suitability to be listed as an Acceptable

Respondent. Where it is necessary to provide additional information, please ensure

that all documents are clearly marked with the relevant attachment title to assist the

evaluation panel with their assessment.

3.1.1 Compliance CriteriaThe Compliance Criteria are detailed below, they will not be point scored. Each

Submission will be assessed by the Principal on a Yes/No basis as to whether the

criterion is satisfactorily met. An assessment of “no” against any criterion may

eliminate the Submission from consideration.

The criteria contained below are for information purposes. Respondents must respond to these criteria within the WALGA Provider Portal.

a) Respondent Profile

i. Provide the Respondents Australian Business Number (ABN), Registered Entity Name, Trading Name and Registered Entity Address.

ii. Provide details of the Respondent’s person authorised to prepare your Submission to this Request including; full name, position title, postal address, phone number and email address.

iii. Provide a minimum of two referees, including the name, position, telephone, email address and type of service provided. Describe the nature of the relationship and relevance to this EOI.

b) Respondent’s Declaration

By indicating Comply I (The Respondent’s Authorised Person)/ We (The Respondent) agree that I am/We are bound by, and will comply with the Conditions of Responding contained in this Request.I/We agree that there will be no cost payable by the Principal towards the preparation or submission of this Request irrespective of its outcome.By submitting this Response, I the person named as the authorised person, confirm my understanding that by lodging a Tender, in accordance with Part 1 of this Request, I understand no physical signature is required on this Declaration; that by lodging this Tender I am automatically providing an electronic signature for this Declaration in accordance with the Electronic Transactions Act 1999 (Cth) and corresponding state and territory acts.

3.1.2 Qualitative Criteria

Before responding to the following qualitative criteria, Respondents must note the

following:

a) All information relevant to your answers to each criterion are to be contained

within your Submission;

b) Respondents are to assume that the evaluation panel has no previous

knowledge of your organisation, its activities or experience;

c) Respondents are to provide full details for any claims, statements or examples

used to address the qualitative criteria; and

d) Respondents are to address each issue outlined within a qualitative criterion.

It is essential that Tenderers address each qualitative criterion in the WALGA Provider Portal.

Information that you provide addressing each qualitative criterion will be point scored

by the Evaluation Panel. Failure to provide the specified information may result in

elimination from the tender evaluation process or a low score.

The information provided should provide confidence to the evaluation panel that the

respondents understand and have the capacity to meet the criteria to a standard that

will enable them to meet the restricted RFT criteria should the Principal elect to

proceed to this stage.

Qualitative Criteria Weighting

a) Sustainable Business Model

Respondents are to provide a document (Word or PDF file) and

label it ‘Sustainable Business Model’. The attachment should

describe the sustainable business model for this proposal that

will deliver environmental outcomes, social benefits and be

economically viable. The Respondent must, as a minimum

include the following:

i. Provide details of the proposed activities and theme of the proposed operation and how these meet the requirements of this Request as set out in Part 2 - Statement of Requirements;

ii. Provide an outline of the target markets for the proposed operation; and

iii. Provide a summary of the commercial viability of the proposal.

b) Relevant Experience

Respondents are to provide a document (Word or PDF file) and

label it ‘Relevant Experience’. The attachment should describe

the Respondent’s experience in completing projects of a similar

nature to the Requirements. The Respondent must, as a

minimum, include the following information:

i. Provide details of the Respondent’s business/corporate

structure;

ii. Provide details of the Respondent’s key personnel. Indicate

if the proposal is going to be operated by a management
