In The Name of Allah, Most Gracious, Most Merciful

CONSTITUTION AND BYLAWS

OF

ISLAMIC CENTER OF CHARLOTTE

ARTICLE I.NAME The name of the organization shall be ISLAMIC CENTER OF CHARLOTTE (ICC).

ARTICLE II.PURPOSE The purpose of the organization is to please ALLAH (SWT) by obeying His commands. It shall invite to

all that is good, enjoin what is right and forbid what is wrong according to Qur'an and Sunnah. Toward this

end the ICC shall;

a. Help Muslims to understand and practice Islam based on Qur'an and Sunnah.

b. Conduct religious, educational, social and other activities according to Islam.

c. Promote unity and joint action among Muslims.

d. Endeavor to make Islam known to non-Muslims.

e. Conduct the affairs of the Islamic Center(s).

ARTICLE III.BASIC LAW The following items constitute the BASIC LAW, which is unchangeable partially or completely.

SECTION 1. CRITERIA FOR THE ORGANIZATION MEMBERS

a. Their belief should be based on Quran and Sunnah according to the methodology of the people

of Sunnah and Jamma'h, i.e. Muslims who base their understanding exclusively on Quran and

Sunnah of the prophet Muhammad (SAW) and the Sunnah of four rightly guided Caliphs i.e.

Abu-Bakr, Omar, Othman and Ali (may Allah (SWT) be pleased with all of them).

b. They should be of good Islamic conduct.

c. The membership shall be immediately revoked if a member does not comply with the criteria

in 1.a and 1.b.

SECTION 2. CONFLICTING SHAR’I ISSUES Any conflicting Shar'i issue or matter pertaining to the ICC or its membership is not a subject to be voted

upon. It is to be referred exclusively to the Head Imam and/or the Shari’ Council for a verdict. If the Head

Imam and/or the Shari’ Council is absent, it is to be referred for a verdict to American Muslim Jurisprudence

Association (AMJA) Fiqh Council of North America or any number of Fiqh scholars who fit the criteria

mentioned in 1.a and 1.b. above. This number is to be agreed upon by the ICC BOD (see Article XI Section

3).

All decisions and recommendations of the organization should be within the framework of Quran and

Sunnah according to the methodology of the people of Sunnah and Jamma'h, i.e. practice based on the

Sunnah of Prophet Muhammad (may peace and blessing be upon him) and the Sunnah of the four rightly-

guided Caliphs, Abu Bakr, Omar, Uthman, Ali (may Allah be pleased with them).

SECTION 4. NORTH AMERICAN ISLAMIC TRUST North American Islamic Trust (NAIT) Inc. has the authority to interfere and enforce the Basic Law should

the controlling body of the ICC abandon the Basic Law. In addition, NAIT is to act as an arbitrating body

of last resort in the event of a major dispute left unresolved by all parties concerned in the greater Charlotte

area (may Allah (SWT) forbid) in issues pertaining to ICC.

ARTICLE IV:NATURE & AFFILIATION

SECTION 1. NATURE

The Islamic Center of Charlotte shall be a non-profit organization. No profit shall be made by any individual

connected with the organization except in consideration for services rendered.

SECTION 2. AFFILIATION(S)

The ICC may be affiliated with other organization(s), which has similar objectives.

SECTION 3. ESTATE

All buildings and estates under the ICC are to be in the name of the North American Islamic Trust as a

Waqf and have listed the Islamic Center of Charlotte as the owner of said property. All the assets of ICC

are to be transferred to NAIT in case the Islamic presence in this area comes to an end (may Allah (SWT)

forbid).

SECTION 4. RELIGIOUS PRACTICES

All religious practices of ICC should be within the framework of Quran and Sunnah according to the

methodology of the people of Sunnah and Jamma’h but all Muslims are welcome to participate in ICC

activities and use its services.

ARTICLE V:MEMBERSHIP

SECTION 1. ELIGIBILITY Any Muslim aged 18 years or more, whose belief is according to Qur'an and Sunnah as stated in the Basic

Law, who lives in the greater Charlotte area and endeavors to practice Islam as a total way of life is eligible

for membership after acceptance of the Constitution and Bylaws of ICC.

a) Any Muslim interested in membership shall submit an application. The application shall be

reviewed by the Membership and Election Committee. Approved applicant shall become a member

upon payment of membership dues.

b) Membership should be issued for the calendar year of application.

c) All donors with documented donations equivalent to their membership fees who meet membership

criteria shall be granted membership upon completion of their membership application.

d) Effective date of membership is the date donation is received or submission of application

whichever is later.

e) Membership in any one ICC entity is a membership in all ICC entities.

SECTION 3. APPEAL

An applicant whose membership application has been denied can request a hearing by the Administration

SECTION 4. SUSPENSION

The BOD may suspend or revoke a member or reinstate a former member according to such terms and

conditions deemed appropriate by it. Any member can resign from membership at any time.

SECTION 5. NON-VOTING MEMBERSHIP

Honorary Membership: Honorary Membership is offered in recognition of outstanding community services.

The BOD of ICC may bestow Honorary Membership to an individual in recognition of his/her services.

SECTION 6. HONORED MEMBERSHIP

Also honored members who donates 10K and above are part of the general assembly.

ARTICLE VI:ORGANIZATION

SECTION 1. GENERAL ASSEMBLY

It shall consist of all members who have filled out the membership application and been approved by

the E.C. of the respective location. It has the power to elect the Board of Directors, suggest plans of

action and resolutions, and remove an officer of the Board of Directors and/or Executive Committee,

sponsor and vote on amendments.

SECTION 2. BOARD OF DIRECTORS

The Board of Directors (BOD) shall be elected by the General Assembly. Nominees with the most

votes shall be assigned the responsibility of these positions. The BOD will elect a Director to be

responsible for the entirety of the ICC. The Head Imam is to hold a permanent position on the BOD,

but is not eligible to be the Director. ICC’s BOD is entrusted by its membership to be the governing

authority at the Islamic Center. The Imam enjoys a unique relationship to the governing body. The

main role of the Head Imam in the BOD is to provide guidance on all matters related to religious issues

for which he will have the highest authority.

SECTION 3. ADMINISTRATION

The position of Administrator is elected by the General Assembly Membership attending that location.

SECTION 4. ADVISTORY COUNCIL

The Advisory council shall be an appointed body. It shall appoint, oversee, guide and direct the work of the

BOD, locations Administration and ICC institutions and entities.

SECTION 5. SHARI’ COUNCIL

It shall be headed by the Head Imam of the ICC and will consist of learned brothers and scholars of

deen.

SECTION 6. ADVISORY, STANDING & ADHOC COMMITTEES These may be appointed by the BOD or Administration whenever deemed necessary. Each shall consist of

a minimum of three members and work within the bylaws and Standard Operating Procedures (SOP)

established for each committee.

ARTICLE VII:GENERAL ASSEMBLY

SECTION 1. COMPOSITION

It shall consist of all members.

SECTION 2. FUNCTIONS

a. To participate in IAR activities and function as a nucleus of Islamic education and conduct. b. To elect the Board of Directors and administration for each ICC location.

c. To adopt resolution(s) to promote the aims and purposes of the IICC. Such resolution(s) are to be

implemented by the Board of Directors. d. It may approve or disapprove Constitution and Bylaws amendment(s) after these have been duly

approved by the Board of Directors.

SECTION 3. MEETINGS

a. The General Assembly shall meet at least once every calendar year.

b. The meeting shall be called by the Chairman of the BOD and instruct the Administrator of

all the ICC locations to call for a general assembly meeting.

c. A special meeting shall be called within two months by the Chairman of the BOD when

formally requested by one third of the General Assembly members.

d. The meeting shall be presided by the chairman of the BOD.

e. The members shall be informed about the time and place of a meeting at least 60 days in

advance.

f. Quorum consists of 51% of membership attendance during the first meeting. There is no

percentage requirement for an adjourned meeting.

g. If a meeting does not have the required quorum, an adjourned meeting may be called by the

presiding officer without further notice or delay. h. In case of the general assembly did not meet the required guidelines of 51% then all

amendments must be in line with the sharia council and advisory council.

Members (see Article V, Sec. 1) are eligible to vote in a BOD election if by March 1 of election year they

are current in payment of their membership dues.

ARTICLE VIII:BOARD OF DIRECTORS

SECTION 1. COMPOSITION

a. The BOD shall consist of Seven (7) members, chosen as follows:

i. One administrator from each Center (see Art. VII, Sec. 4.d); and

ii. The remaining BOD shall be filled pursuant to the provisions set forth in

Article VI, Section 2, and at no time shall the number be less than five (5)

elected members.

iii. The BOD must always consist of a Chairman, Vice chairman, Treasurer and

Secretary.

b. The General Body shall elect the BOD for a period of four years. No member of the BOD shall

serve more than two (2) consecutive terms. However member who have been term-limited may

be eligible for election after sitting out one 4-year term at which time their term-limit cycle

will restart.

SECTION 2. QUALIFICATIONS FOR BOARD MEMBERS

1. Qualifications and criteria:

a. Any Muslim aged 27 or older.

b. With College education degree or a minimum of 3 years’ experience serving in an Islamic

Organization.

c. Board members must maintain a good Islamic character and have a good reputations in the

community

d. Have the ability to annually donate or rias funds amount to $10,000 for the organization.

e. No criminal back ground history.

f. Understand the Organization constitution\bylaws and complies with the organization code of

ethics.

g. Must be a member of the Islamic center of charlotte for a minimum of 2 years.

SECTION 3. FUNCTION

a. Approve bylaws and Standard Operating Procedures (SOP) of Administration and the

committees it appoints.i

b. Address issues referred to it by BOD members, committees, Administration, institutions and

entities.

c. Approve the annual budget for ICC locations.

d. Oversee the general activities of ICC, its institutions and entities.

e. Approve proposed Constitution and Bylaws amendment(s) before being presented to the

Board of Directors and the General Assembly.

f. Select Imam(s) for ICC and approve his compensation.

g. Select the number and names of Fiqh scholars whenever required.

h. Select a spokesperson from among the BOD to speak on behalf of ICC (all locations)

i. Establish qualification and scope of work for ICC Imam(s).

j. Enter into or modify and enforce Operating Agreements with LLC’s, institutions or entities

of ICC.

k. Remove a Board member with due reason by 75% majority vote of all members on Board.

l. Approve of any expenditure exceeding a specified amount based on approved budget outside

the approved budget.

m. Resolve conflict(s) related to the membership.

n. Resolve issues referred to it by an Executive Committee.

SECTION 4. PROCEDURES

1. The BOD shall elect its own Chairman, Vice-Chairman, Treasurer and Secretary.

2. The same member cannot hold the office for more than two consecutive terms.

3. A BOAD seat shall be considered vacant if the membership of a BOD member in ICC is

suspended or revoked or a member: i) formally resigns ii) fails to attend three consecutive

meetings of the BOD without being excused or iii) fails to attend at least 33% of the

meetings in a calendar year.

4. A list of runners-up for BOD membership shall be made at each election. In case of a

vacancy, the next runner-up shall become a BOD member for the remainder of the term.

5. The BOD shall meet at least quarterly (four times a year).

6. The meetings shall be called by the Chairman of the BOD.

7. A special meeting shall be called within four weeks by the Director of the BOD whenever

formally requested by one third of its members.

8. The members shall be notified about the time and place of a meeting at least three days in

advance.

9. The meeting shall be presided by the Director of the BOD.

10. The presence of two thirds of members in the first meeting and one half in an adjourned

meeting shall constitute a quorum.

11. Unless specifically required otherwise by the Constitution and Bylaws, the decisions in a

BOD meeting are to be made by a simple majority of members present and proxies.

12. Approval of at least 75% of total membership of the BOD is required to amend the

Constitution and Bylaws and to register a vote of no confidence against the Director or any

other Board member

13. The meeting shall be presided by the Chairman of the BOD.

14. If the Chairman is unable to call a meeting, the Vice-Chairman shall call and preside over a

meeting.

15. Appoint two liaisons to the Charlotte Islamic Academy Board.

16. Oversee the general activities of the Executive Committee and other committees.

SECTION 5. CHAIRMAN

The chairman shall be responsible for:

a. To call and conduct any and all meetings of the BOD and E.C. if present.

b. To implement decisions voted in by the BOD and General Assembly.

c. To be held accountable for all functions and activities of the ICC.

d. To make decisions, based on consultation of one or more other BOD members, if the time

does not permit to call a BOD meeting.

e. To assign an Administrator, Secretary and Treasurer of the E.C.

SECTION 6. VICE-CHAIRMAN

The Vice-Chairman shall be responsible for:

a. Assisting the Vice-Chairman

b. Assuming the responsibilities of the Vice-Chairman in his or her absence.

SECTION 7. TREASUERER

The treasurer shall be responsible for:

a. Review all budgets of each location prior to submittal to BOD.

b. Organize fundraising events that affect all locations of the ICC.

c. Co-sign any expenditure exceeding specified amount determined by BOD with the Finance

Coordinator of the location in question

SECTION 8. SECRETARY

The secretary shall be responsible for:

a. Prepare the agenda for all BOD meetings.

b. Keep minutes for all BOD meetings.

c. Present minutes of previous meetings for approval of the BOD.

d. Notify members of the BOD of all upcoming meetings.

e. Keep directory of total membership of General Assembly.

ARTICLE IX: ADMINISTRATION The Administrator shall be the chief operations officer and responsible for:

a. Directing and coordinating activities of all committees so as to achieve the aims and purposes of

the ICC.

b. Calling and presiding over the meetings the E.C.

c. Reporting on the status of the ICC at least annually.

d. Preparing an agenda of the ICC activities and presenting it to the BOD.

e. Representing his location as one of the BOD representatives of that location.

f. Appoint Assistant administrator, Secretary, and finance coordinator after BOD approved the

appointments.

SECTION 1. ASSITANT ADMINISTRATOR

The Assistant Administrator shall be responsible for:

a) Assisting the Administrator in directing and coordinating activities of all committees so as to

achieve the aims and purposes of the ICC.

b) Assuming the responsibilities of the Administrator in his absence.

c) Being a liaison between the ICC and external media under the guidelines approved by the BOD

and assure that any statement given by location is in conformance with the BOD designated

spokesperson.

SECTION 2. SECRETARY

The Secretary shall be responsible for:

a. Preparing the agenda for the E.C.

b. Keeping the minutes of E.C. and presenting the minutes of previous meeting(s) for approval.

c. Notifying the members about the time and place of a meeting.

d. Keeping their location registered under the ICC and the state and in compliance with state laws.

e. Keeping a directory of names, current phone numbers and addresses of all ICC members.

SECTION 3. FINANCE COORDINATOR

The Finance Coordinator shall be responsible for:

a. Maintaining the records of all financial transactions, systematically maintaining the account

books, checks, and receipts, writing disbursements and performing banking reconciliation.

b. Heading and assisting the Finance Committee in collecting and depositing all funds.

c. Preparing the annual budget of the location.

d. Preparing and presenting a quarterly report on finances to the E.C.

e. Being responsible for matters related to the Internal Revenue Service (IRS) and other tax

agencies.

f. Co-signing any expenditure exceeding specified amount per the budget and BOD with the

Treasurer of the BOD.

SECTION 4. EXECUTIVE COMMITTEE OF EACH LOCATION

Each Center will have an Executive Committee (E.C.) consisting of the Administrator,

Assistant Administrator, Secretary, Finance Coordinator and committee heads of all standing

committees. It shall implement the decisions of the BOD and coordinate the work of different

committees in the day-to-day functions of that location

ARTICLE X: ADVISTORY COUNCIL

SECTION 1. COMPOSITION

a. Advisory council consist of 7 members, In case the number drops below 7, a new appointment shall

be held to fill the vacancy for remainder.

b. There are no term limit for the members serving in the advisory council.

c. Current ICC BOD will have a permanent seat at the advisory council.

SECTION 2. QUALIFICATIONS FOR ADVISORY COUNCIL MEMBERS

a. Any Muslim senior of ICC community members. b. Must be part of the Charlotte and surrounding area for the past 10 years.

c. Knowledgeable of the Islamic organization challenges, vision and strategy.

d. Current ICC member.

e. An active ICC volunteer for at least three years

SECTION 3. FUNCTIONS

a. Address issues referred to it by BOD members, committees, Administration, institutions and

entities.

b. Oversee the general activities of ICC, its institutions and entities.

c. Review current administrative policies and procedures of current ICC locations and provide

recommendations as necessary.

d. Evaluate current ICC BOD member’s performance.

SECTION 4. PROCEDURES

a. The advisory council members are appointed by the followings ICC bodies:

1. Board of Directors

2. Shari’a Council

3. Advisory council members

b. The advisory council shall elect its own Chairman and Vice- Chairman.

c. A special meeting (non-emergency) shall be called within a week by the Chairman of the advisory council whenever formally requested by one third of its members.

d. The meetings shall be called by the Chairman of the advisory council.

e. The meeting shall be presided by the Chairman of the advisory council.

f. Shall meets a minimum of twice a year to evaluate the organization performance and suggest or

recommend any changes to the Board of directors.

g. The members shall be notified about the time and place of a meeting at least three days in advance

for a regular meeting.

h. The decisions of the advisory council are binding on all parties involved unless appealed to the

BOD.

SECTION 5. CHAIRMAN

The Chairman shall be responsible for:

a. Attending Advisory council meetings.

b. Approving the agenda of a meeting before circulation.

c. Evaluate current activities & performance in all ICC locations and report to the advisory council.

d. Ensure all current activities are consistent with the organization short term and long term vision

and goals.

e. Reporting on the status of the ICC at least annually to the Board of Directors.

SECTION 5. VICE-CHAIRMAN

The Vice-Chairperson shall be responsible for:

a. Assisting the Chairperson

b. Assuming the responsibilities of the Chairperson in his or her absence

SECTION 1. COMPOSITION

The Shari’ Council shall be headed by the Head Imam of the ICC in matters pertaining to the ICC. He

shall select scholars or knowledgeable Muslims in Quran and Sunnah to comprise the council, in

addition to imams of all locations of ICC.

SECTION 2. QUALIFICATIONS

Any Muslim who has graduated from a recognized University with a degree in any aspect of Islamic

Studies or has demonstrated a command of Shariah will be qualified for this position. The Imam and

shari’ council members should be known of their trustworthiness, character and experience in dealing

with community issues. See Appendix-1 for Imam Portfolio.

SECTION 3. FUNCTIONS The Shari’ Council shall:

a. Evaluate all matters of the ICC from a Shari’ standpoint to assure compliance with the Basic

Law.

b. Review amendments proposed to the BOD to assure compliance with the Basic Law.

c. Arbitrate conflict(s) referred to them by the BOD, Full time school and/or General Assembly.

d. Hold appeal hearings for membership revocation by BOD.

SECTION 4. IMAM

Imam referred to in Article III Sec. 2 shall be formally educated in Fiqh or recognized as Fiqh scholar

by Fiqh committee of ISNA. Otherwise, he does not have the powers of Imam. The Imam of the largest

center of ICC will be deemed Head Imam whose functions are:

a. To chair Shari’ Council in matters pertaining to ICC.

b. To approve any imam hired by a location under the ICC.

c. May remove and/or suspend any imam or teacher operating with the ICC structure based

on a confirmed violation of the basic law.

ARTICLE XII: STANDING & AD HOC COMMITTEES

SECTION 1. STANDING COMMITTEES

The ICC shall have the following standing committees:

a. MANAGEMENT COMMITTEE. It shall be responsible for day-to-day management and

maintenance of an Islamic Center (IC) premises, be it masjid or musala. It shall coordinate and

schedule different activities within respective Islamic Center premises. The head of this

committee is titled the property manager.

b. FINANCE COMMITTEE. It shall be responsible for financial affairs of the location, including

the preparation of the annual budget, headed by the Finance Coordinator.

c. DAR AL-ARKAM SUNDAY SCHOOL COMMITTEE. It shall be responsible for planning

and managing affairs related to the Dar Al-Arkam Islamic weekend school for the designated

location if area warrants the formation of a local weekend school.

d. PLANNING AND CONSTRUCTION COMMITTEE. It shall be responsible for planning and

managing location development and construction projects and other special purpose projects.

e. DAWAH COMMITTEE. It shall be responsible for dawah among Muslims as well as non-

Muslims.

f. SOCIAL AND WELFARE COMMITTEE. It shall co-ordinate social activities of ICC. It

shall arrange for collection and distribution of Zakat. It shall also be responsible for helping the

poor, the needy, and the disabled by organizing community resources and efforts.

g. WOMEN COMMITTEE. It shall coordinate group activities, which are of interest to Muslim

women.

h. EDUCATION COMMITTEE. It shall organize and coordinate all educational activities of the

ICC.

i. LIBRARY COMMITTEE. It shall organize and manage the library and bookstore of the ICC.

j. PUBLIC RELATIONS COMMITTEE. It shall be responsible for all public relations of the

ICC for proactive and reactive measures. Unless otherwise assigned by the Director of the BOD,

the Administrator shall act as the ICC spokesperson.

k. OTHER STANDING COMMITTEES may be appointed by the BOD whenever it deems

necessary.

l. CHARLOTTE MUSLIM CEMETERY – It shall be involved with ICC partners from ISGC

in managing the charlotte Muslims cemetery.

SECTION 2. AD HOC COMMITTEES

The BOD may appoint ad hoc committee(s) whenever it deems necessary. The BOD shall outline the

task and the duration.

SECTION 3. PROCEDURES

a. The E.C. and all other committees shall work within the guidelines and supervision of the BOD.

b. A person shall not serve as Committee Head of more than one standing committee at the same

time unless lack of membership attendance and participation warrants such assignment.

ARTICLE XIII: CHARLOTTE ISLAMIC ACADEMY, INC.

SECTION 1. A NORTH CAROLINA NON-PROFIT CORPORATION Charlotte Islamic Academy has been incorporated as a non-profit corporation with the North Carolina Secretary of State for the purpose of organizing and operating a full-time Islamic School(s) in Mecklenburg and other counties of the State of North Carolina, on the basic principles of Islam while complying with all applicable local, state, and federal laws and regulations regarding non-profit corporations and charitable and religious organizations. The Academy shall have all powers necessary to carry out its affairs, including without limitation all those powers conferred upon non-profit corporations pursuant to N.C.G.S. §55A-3-02(a).

SECTION 2. COMPOSITION OF THE BOARD OF EDUCATION

The Board of Education consists of seven members, chosen as indicated in The Academy By-Laws, and Article VIII, Section 3 above.

ARTICLE XIV FINANCES

SECTION 1. REVENUES The ICC shall be financed by membership pledges, income, donations and contributions. The E.C. may

accept any donation or contribution in any form and from any source as long as it is consistent with the

principles of Islam and purposes of the ICC.

All funds collected or donated for a specific cause or project shall be used only for that cause or project

unless specifically released by the donor(s).

SECTION 2. ACCOUNTS

All accounts shall be interest free. If approved by the BOD money may be utilized in investment(s), which

satisfy Islamic criteria.

SECTION 3. ACCOUNTING SYSTEM

The Accounting system shall be in compliance with the rules and regulations of the Internal Revenue

Service (IRS) and the guidelines of the State of North Carolina. The BOD shall approve any changes in

the Accounting system.

SECTION 4. FISCAL YEAR

Fiscal year shall be Jan. 01 to Dec. 31 of each calendar year.

SECTION 5. AUDIT The ICC accounts shall be audited once a year. The results of the audit shall be reported by the Treasurer

to the BOD by Jan 01 and made public after a review by the BOD.

ARTICLE XV: ELECTIONS and VOTING

SECTION 1. DATE OF ELECTIONS

The elections shall be held on the third Sunday of the month of December. The time and alternate date

(if absolutely necessary) shall be decided by the BOD.

SECTION 2. ELIGIBILITY TO VOTE

Refer to Art. VII, Sec. 4.

SECTION 3. ELECTION COMMITTEE

The BOD shall appoint an Election Committee by October 01 of the election year. The Director and

Administrator(s) shall not be members of the Election Committee.

SECTION 4. DUTIES OF ELECTION COMMITTEE

The Election Committee shall:

a. Prepare and post on the bulletin board of Islamic Center a list of members eligible to vote. The

list shall be posted by Oct 15 of the election year or one month prior to elections.

b. Determine number of BOD seats and representatives per location (see Article VIII, Section 1).

c. Make public a preliminary list of members eligible to be on the BOD by October 15 of the

election year or one month prior to election date. Individuals qualified to be BOD members

should contact the election committee to express their willingness to serve as BOD

members. Make public a final list of members eligible and willing to serve on the BOD by

December 01 of the election year.

d. Print all ballots with the name and membership number of all members to have ready for the

election by the date of nominee posting.

SECTION 5. ELECTION PROCEDURE

The Election Committee shall conduct elections as follows:

a. There shall be no nominee from the Election Committee to the BOD.

b. Members eligible to vote shall be provided a ballot containing names of all persons qualified and

willing to serve on the BOD and another list of qualified candidates for administrator. The final

list (see Article VIII, Sec. 3) shall be the ballot.

c. Members shall vote for candidates of their choice based on the list provided for them.

d. Candidates receiving the most votes shall become BOD representatives.

e. In case of a tie, the older person shall become the BOD representative.

f. A list of the elected BOD members shall be prepared. A list of no more than 5 runners-up shall

be prepared for filling any vacancies until the next elections.

g. Absentee ballots can be obtained after date of posting from election committee and have to be

turned in by the election date either in person or via an attending member (proxy). Only one

proxy per attending member.

h. During the elections, members are to be called out by name and handed their specific ballot.

SECTION 6. STAGGERED ELECTIONS Seats of the BOD, with the exception of the first year of implementation, shall be staggered. The

staggering shall be conducted as follows:

1. After the election of only the first BOD, through random selection, 51% of the BOD will be selected

to serve two years, as opposed to four years.

2. The seats selected to expire in two years will be up for election.

3. Every two years an election occurs for alternating halves of the BOD.

ARTICLE XVI: CONSTITUTION AND BYLAWS AMENDMENT(S)

SECTION 1.

The Basic Constitution shall not be amended.

SECTION 2.

Proposed amendment(s) shall be signed by at least ten members or 10% of the General Assembly,

whichever is greater, and submitted in writing to the Director or the Secretary of the BOD.

SECTION 3.

After receipt of proposed amendment(s), the Director shall call a meeting of the BOD within four

weeks to request the amendment be reviewed by the Shari’ Council and appoint an ad hoc committee(s)

to study the proposed amendment(s).

SECTION 4.

After the ad hoc committee(s) and Shari’ Council report their finding(s), the BOD shall discuss and

vote on the amendment. An affirmative vote by at least 75 % of the total BOD is required for approval

of any amendment(s).

SECTION 5.

All proposals for amendments and approved amendments shall be kept on file, in addition to previous versions

of the Constitution and Bylaws, by the Records Keeper of the BOD for referral if need be.

ARTICLE XVII:DISSOLUTION

If, as determined by the Shari’ Council, dissolution of ICC becomes inevitable, the BOD shall handle

the process of dissolution. It shall make arrangements to meet all liabilities and transfer remaining

assets to NAIT.

ARTICLE XVII: MISCELLANEOUS

SECTION 1. INTERPRETATION OF CONSTITUTION AND BYLAWS

a. In case of ambiguity or conflict between different sections of the Constitution and Bylaws, the

interpretation of the Shari’ Council shall prevail.

b. In case of conflict between the Constitution & Bylaws and the Articles of Incorporation the

former shall supersede.

SECTION 2. ADOPTION OF CONSTITUTION AND BYLAWS

The amendment(s) to the Constitution shall become effective upon the approval by the General

Assembly. The implementation procedure of the amendment(s) shall be decided by the BOD.
