Event Terms and Conditions 1. Definitions1.1. ‘Data#3’ refers to ‘Data#3 Limited’ as well as Data#3 contractors; 1.2. ‘Exhibitor,’ means the organisation requesting an exhibit at the Exhibition; 1.3. ‘Exhibit’ means a part of the Exhibition for which the Exhibitor is responsible, as contained within the Exhibitor’s booth; 1.4. ‘Purchase Order Number’ means your internal reference number which must be referenced on invoice payments; 1.5. ‘Address of Exhibitor’ – means the physical address/location of Exhibitor; 1.6. ‘Billing & Invoice Address’ – means the address where invoices should be sent to; 1.7. ‘Invoice Contact’ – accounts contact point for queries regarding payments. This can include a valid email address. 1.8 “Exhibition” means JuiceIT 2014.

2. Recitals2.1 These terms and conditions shall form a binding contract upon the earlier of: (a) an executed sponsorship form, accepted and signed by Data#3; or (b) when the Exhibitor first enters the first Exhibition facility to commence assembly and preparation of their Exhibit. 2.2 By having an Exhibit at the Exhibition, the Exhibitor is deemed to have accepted these Event Terms and Conditions. Each party acknowledges that the other party would not have agreed to provide the Exhibition or Exhibit unless the parties had entered into and agreed to these Event Terms and Conditions. 2.3 Data#3 reserves the right to render all interpretations and to establish further regulations as may be deemed necessary for the general success of the Exhibition. It is further agreed that the conditions, rules and regulations of the facility are though fully incorporated into these Event Terms and Conditions.

3. Use of Exhibits3.1 Data#3 reserves the right to decline, prohibit or remove an exhibit which in its reasonable opinion is out of keeping with the character of Exhibition, this reservation being all inclusive as to persons, things, printed matter, product, conduct, sound level, etc. Any distribution of advertising material and Exhibitor solicitation shall be restricted to the Exhibitor’s booth. Exhibitor’s Exhibit or product may not extend beyond the limits of the Exhibitor’s booth and part of any exhibit or product may not extend into any aisle. No Exhibitor shall so arrange their Exhibit so as to block or prejudice adjacent Exhibitors. 3.2 Exhibitors are expressly prohibited from assigning or sub-letting any part of their assigned space. 3.3 Any space not occupied by the time set for completion of installation of displays will be reassigned at the discretion of Data#3. 3.4 Exhibitor will keep exhibit open and staffed at all times during Exhibition hours. 3.5 Exhibitors are prohibited from causing unreasonable disturbance to other Exhibitors and guests, including but not limited to causing excessive noise, using smoke or fog machines, dry ice, confetti cannons, incense or any other activity that generates offensive smells. 3.5 Failure to comply with the rules and regulations of the owners or managers of the Exhibition facility (if any) will result in the alteration or removal of the booth at the Exhibitor’s expense. If the space is altered or removed because of a failure to comply with the rules and regulations of the Exhibition facility, any Sponsorship Fees for services and exhibit space are not refundable. 3.6 Exhibitors shall comply with all laws, codes and regulations of municipal or other authorities, having jurisdiction over Exhibition facility or the conducting of their Exhibit, together with the rules and regulations of the owners and/or operators of the facility in which the Exhibition is held, including but not limited health and safety codes and fire regulations.

Event Terms and Conditions continued… 4. Cancellation4.1 All requests for cancellations from Exhibitors must be in writing and addressed to: Vendor Management, Data#3 Limited, 67 High Street, Toowong QLD 4066. 4.2 Cancellations received: (a) on or before 13 January 2014 will not incur any cancellation fees; (b) between 14 January to 13 February 2014 will be entitled to a 50% refund of the sponsorship fees less any expenditure reasonably incurred by Data#3; (c) on or after 14 February 2014 will not receive a refund of any sponsorship fees unless Data#3 or Exhibitor is able to find a replacement exhibitor at the same level of sponsorship as the Exhibitor.

5. Termination5.1 If the Exhibitor fails to comply in any material respect with these Event Terms and Conditions, and the Exhibitor has failed to rectify the breach on notice from Data#3, then Data#3 shall have the right to license the Exhibitor’s exhibit space to another party. The Exhibitor will be liable to Data#3 for any deficiency, loss or damage suffered by Data#3, which loss or damage the Exhibitor agrees to pay Data#3 upon demand together with any reasonable expenses and costs incurred by Data#3, which could not be avoided or defrayed. The Exhibitor’s liability under this clause 5.1 shall not exceed the sponsorship fees payable by the Exhibitor under these Event Terms and Conditions. 5.2 Data#3 will not be liable under these Event Terms and Conditions or otherwise, as to the delivery of Exhibit space if non-delivery is due to any of the following causes: By reason of the facility being damaged or destroyed by fire, acts of God, public enemy, war or insurrections, strikes, the authority of the law, postponement or cancellation of the exposition, or for any cause beyond its control, or for the exhibition being closed due to the acts of the event facility owners or managers. In the event of Data#3 not being able to hold an Exhibition for any event under this clause 5.2, Data#3 shall reimburse the Exhibitor on a pro-rata basis on the amount paid in Sponsorship Fees, less any and all legitimate expenses incurred, such as but not limited to rent, advertising, Contractor’s costs and expenses, operation costs, etc.

6. Insurance, Indemnity and Liability6.1 The Exhibitor warrants that it has the Required Insurance for Public Liability and Workers Compensation as set out in the Sponsorship Pack. 6.2 Except to the extent of any negligent act or omission of Data#3, Data#3 assumes no liability for any loss, damage, cost, expense, sickness or injury to any property of the Exhibitor or to any of its officers, agents, employees or contractors, whether attributable to accident, fire, theft or any other cause whatsoever. 6.3 Neither party (including, but not limited to Data#3’s Contractors) shall: (a) have liability to the other for any special, consequential, exemplary, incidental, or indirect loss or damages (including, but not limited to, loss of profits, revenues, data and/or use), even if advised of the possibility thereof; and/or (b) bring any claim under this Agreement more than eighteen (18) months after the clause of action accrues. 6.4 Except to the extent of any negligent act or omission attributable to Data#3, the Exhibitor expressly agrees to indemnify and save and hold harmless Data#3, its management, officers, directors, agents, employees, and affiliated organisations or companies from any and all liability, demands, claims, costs, losses, damages, injury to persons (including sickness and death), property damage, and expenses (including, without limitation, interest, penalties and reasonable legal costs and expenses) arising from or related to Exhibitor’s use of the exhibit space or attendance at the Exhibition.

Available Services7.1 On behalf of the Exhibitors, Data#3’s Contractors are to provide the following: furniture, booth and floor decorations, signs, photographs, lighting (1 x 150 watt spotlight), one x four amp power point, television (optional depending on sponsorship level). For additional products or services, the Exhibitor is required to contract directly with Data#3’s contractors. 7.2 Data#3 assumes no responsibility or liability for any of the services performed or materials delivered by the Data#3 Contractors. 7.3 Arrangement for additional products and services and payments are to be made between Exhibitors and Data#3’s Contractors directly.

8. Protection of FacilitiesNothing shall be posted on, tacked, nailed, screwed, or otherwise attached to the columns, walls, floors, or other parts of the Exhibition facilities without permission from the owners and/or managers of the Exhibition facilities. Packing, unpacking and assembly of Exhibits shall be done only in designated areas and in conformity with directions of Data#3 or the manager of the Exhibition facilities (or their delegate).

9. General Provisions9.1. No waiver of rights under these Event Terms and Conditions by either party shall constitute a subsequent waiver of this or any other right under these Event Terms and Conditions. 9.2. The Exhibitor shall not assign or otherwise transfer its rights or obligations under these Event Terms and Conditions to any third party, without the prior written consent of Data#3. Data#3 shall have the right to assign all or part of its obligations under this Agreement with Exhibitor’s approval. These Terms and Conditions are binding on the Exhibitors successors and assigns. 9.3 In the event that any of the terms of these Event Terms and Conditions become or are declared to be illegal by any court of competent jurisdiction, such term(s) shall be null and void and shall be deemed deleted from the Event Terms and Conditions. All remaining terms of the Event Terms and Conditions shall remain in full force and effect. Notwithstanding the foregoing, if this paragraph becomes applicable and, as a result, the value of this Agreement is substantially impaired for either party, then the affected party may terminate this Agreement by providing written notice to the other party. 9.4 Neither party has the right or authority to, and shall not, assume or create any obligation of any nature whatsoever on behalf of the other party or bind the other party in any respect whatsoever. 9.5 These Event Terms and Conditions is the complete agreement between the parties hereto concerning the Exhibition and replaces any prior oral or written communications between the parties. There are no conditions, understandings, agreements, representations, or warranties, expressed or implied, which are not specified in these Event Terms and Conditions. These Event Terms and Conditions may only be modified by agreement of Data#3, in writing, and shall be signed by an authorised signatory of Data#3.
