HOW TO USE THIS CONTRACT

NOTE TO ALL CONTRACT USERS: THIS NOTE PERTAINS TO THE CONTRACT FOR MICROSOFT SOFTWARE INCLUDING THE MICROSOFT CLA 6.0 PROGRAMS THROUGH HEWLETT PACKARD.

The terms and conditions of the bid solicitation which apply to the award appear at the end of this document. We strongly advise all contract users to familiarize themselves with all terms and conditions before issuing a purchase order. Contract Users must read and agree to be bound by all the terms and conditions stated therein, and the following notice must appear on the face of each purchase order under this award:

"This purchase order is placed under New York State Comptroller's contract

number PT61408 the terms and conditions of which apply to the order and to all software licensed thereunder. The buyer has read and agrees to be bound by all terms and conditions stated therein."

New York State Agencies may purchase from this contract utilizing a standard New York State Purchase Order. Non-State Agencies should utilize whatever purchase document they currently use.

It is recommended that all ordering documents contain enrollees unique enrollment number found on their executed program agreement enrollment agreement.

Orders placed with HP under this contract are for Microsoft products only. Any order for hardware must be placed by separate ordering document, using the corresponding contract number, to the appropriate contractor.

CONTRACT PAYMENTS:

Payments cannot be processed by State facilities until the contract products have been delivered in satisfactory condition or services have been satisfactorily performed. Payment will be based on any invoice used in the supplier's normal course of business. However, such invoice must contain sufficient data including but not limited to contract number, description of product or service, quantity, unit and price per unit as well as federal identification number. State facilities are required to forward properly completed vouchers to the Office of the State Comptroller for audit and payment. All facilities are urged to process every completed voucher expeditiously giving particular attention to those involving cash discounts for prompt payment. If the contract terms indicate political subdivisions and others authorized by law are allowed to participate, those entities are required to make payments directly to the contractor. Prior to processing such payment, the contractor may be required to complete the ordering non-State agency's own voucher form. See "Contract Billings" in Appendix B-1, OGS General Specifications.

ELECTRONIC PAYMENTS:

PURCHASE ORDERS

Purchase orders are effective and binding upon the contractor when placed in the mail addressed to the contractor at the address shown on the Contractor information page.

PAYMENTS OF INTEREST

The payment of interest on certain payments due and owed by a State agency may be made in accordance with the criteria established by Chapter 153, Laws of 1984 (Article 11A of New York State Finance Law) and the Comptroller's Bulletin No. A-91.

The terms of Chapter 153 apply only to procurements by and the consequent payment obligations of State agencies. Neither expressly nor by any implication is the new statute applicable to non-State agency purchasers. Nor, of course, is the Office of General Services or the Office of the State Comptroller responsible for payments (see General Specification Clause 69) on any purchases made by a participating political subdivision or other authorized entity. See "INTEREST ON LATE PAYMENTS" in Appendix B-1, OGS General Specifications.

FINANCING

Under the State Finance Law many acquisitions of hardware and software may be financed through Certificates of Participation (COPS) or any other third party financing..

PUBLIC OFFICERS LAW

All contractors agreed to comply with the requirements of the New York State Public Officers Law, all other appropriate provisions of New York State Law and all resultant codes, rules and regulations from State laws establishing the standards for business and professional activities of State employees and governing the conduct of employees of firms, association and corporations in business with the State.

PROCUREMENT PROCEDURES

The following guidelines will assist State Agencies in procuring large purchases resulting from the use of

this contract. State Agencies should carefully consider all alternatives to determine which provides the best products and cost

Agencies are reminded that procurements resulting from this contract of all software purchases greater than $20,000 or hardware greater than $50,000 in value require prior approval from the NYS Office for Technology. Refer to OFT Technical Policy 96-2 and 96-2A, available at OFT's web site at http://www.oft.state.ny.us/policy/index.html

Agencies are required to have a procurement record for purchases for software above $50,000. This record should detail the procurement procedure used and why the product purchased has been determined to be the most cost-effective for current and future needs, and will be subject to a post audit by OSC.

In accordance with the Guidelines for use of the technology contracts, it is recommended that the agency aggregate its requirements and make as few purchases a year as possible. Each purchase of product should be acquired in accordance with the agency’s established policy.

No approval by the Office of General Services is required.

Although not under OGS purchasing authority, political subdivisions should exercise similar judgment when making large purchases from OGS PSG contracts.

These procedures may be modified in the future as needed to reflect changes in procurement law.

Q. What is the Microsoft Custom License Agreement (“CLA”)?

A. The CLA is an agreement through which all New York State agencies, local governments, political subdivisions, education institutions, and other “authorized users” (entities that are eligible to purchase from New York State agreements) may purchase Microsoft software at the best possible price and terms. The CLA combines terms from each of the various Microsoft licensing programs through which the State makes purchases.

Q. How is the CLA structured? A. The CLA consists of: 1. One section containing common legal and business terms and conditions (e.g. warranties, audit rights,

vendor indemnifications) that apply to all Microsoft licensing programs; and 2. Separate sections that define the business terms that distinguish the various “program agreements” under

which software is purchased:

• Microsoft Select Agreement program agreement (applies to both academic and non-academic entities);

• Microsoft Enterprise Agreement program agreement (applies only to non-academic entities; • Microsoft Campus Agreement program agreement (applies only to institutions of higher education);

and • Microsoft School Agreement program agreement (applies only to primary and secondary schools).

In addition, “Enrollment Forms” and “Subscription Order Forms” are used in order to sign authorized users up to purchase under the various program agreements, as described below.

Q. What are the differences between the various program agreements, and how does an authorized user decide which one(s) to enroll and purchase under? A. The program agreements differ as follows:

• Microsoft Select Agreement – used for “a la carte” purchases of licenses and/or Software Assurance by authorized users, with no minimum purchase commitment. There are two sets of pricing available under the Select Agreement program agreement:

o Academic – available only for authorized users that qualify as “Qualified Educational User” (see

Schedule A on page 30 of the CLA for a list of these qualifications). Qualified Education Users receive highly-discounted prices, as well as special terms and conditions pertaining to faculty home use and should enroll using the special “Academic Select Enrollment” available from the State’s reseller;

o Standard – available for authorized users that do not qualify as Qualified Educational Users.

Authorized users should enroll using the “Standard Select Enrollment” available from the State’s reseller.

• Microsoft Enterprise Agreement – used only by non-educational authorized users that wish to standardize on

one or more Microsoft products (“enterprise products”) across all their desktops and to receive specially-discounted prices on such purchases. In addition to enterprise products, other products (“additional products”) are available to purchase at prices equivalent to those of the Select Agreement. Purchases are made in three installments during the 3-year enrollment term. Authorized users should enroll using the “Enterprise Enrollment” available from the State’s reseller.

• Microsoft Campus Agreement – used only by colleges and other institutions of higher education. Unlike

Select and Enterprise Agreements, Campus Agreement provides non-perpetual (subscription) license rights to the most commonly purchased Microsoft products. Upon expiration, the college must either renew or cease using and remove the software from their computers. Colleges enroll annually, using “Subscription Order Forms” obtained from the State’s reseller. Requirement is that 100% of the college’s full-time equivalent (FTE) employee count be licensed. Full-time students may optionally be included, and students receive their own licenses upon graduation.

• Microsoft School Agreement – used only by primary and secondary schools. Unlike Select and Enterprise

Agreements, School Agreement provides non-perpetual (subscription) license rights to the most commonly purchased Microsoft products. Upon expiration, the school must either renew or cease using and remove the software from their computers. Schools enroll annually, using “Subscription Order Forms” obtained from the State’s reseller. Requirement is that 100% of the school’s computers be enrolled (with the exception of older machines incapable of running the software).

Q. What is the difference between a “perpetual license” (as provided by the Select and Enterprise Agreement program agreements) and a “subscription license” (as provided by the School and Campus Agreement program agreements)? A. A perpetual license is one that survives the term of the agreement under which it was purchased. At the end of the term of a Select or Enterprise Enrollment, all perpetual licenses purchased thereunder may continue to be used (subject to the license terms) forever, although unless the license is continuously enrolled in Software Assurance, the license may not be upgraded beyond the later of (i) the original version, or (ii) the latest version available on the last day such license was enrolled in Software Assurance. By contrast, a subscription license is temporary. Subscription licensing is sometime chosen over perpetual licensing because of the lower up-front costs. The subscription licenses sold via the Campus and School Agreements include the right to use the most current version of the software available during the coverage term. But after the coverage term expires, then it must either be renewed or the user must cease to run the software and remove all copies from the computes upon which they were installed.

By enrolling under one or more of the CLA’s program agreements, the authorized user becomes subject to those certain terms and conditions of the CLA which pertain to the chosen program agreement, as follows:

www.microsoft.com/education/license/terms.asp. Q. Explain the differences in term (length) and termination between the various program agreements. A. The CLA consists of 4 program agreements (Select, Enterprise, Campus, School). Because of differences in Microsoft’s licensing programs, each program agreement has different durations, renewal provisions, and termination provisions, as follows:

• Select Agreement (academic and standard). o Initial term is 36 months (3 years); o All enrollments signed during initial term expire at end of that term unless the State elects to

extend (see below). Software Assurance purchases made during the initial term all terminate at end of 36-month term.

o State may request to extend term by an additional 1, 2, or 3 years upon expiration. Microsoft has guaranteed extension (upon State’s request) for at least 2 years beyond initial term, meaning that the original terms and conditions are guaranteed for a minimum of 5 years.

o Additional extensions beyond 5 years may be requested, but Microsoft may deny such requests if the Select program has changed substantially at the time of request.

o Software Assurance purchased prior to an extension expires as of the day prior to the extension period, and may optionally be renewed for the extension period.

• Enterprise Agreement. o Initial term is 60 months (5 years). New enrollments may be signed through the last day of

the term of the program agreement. o All enrollments expire 36 full calendar months after the enrollment’s effective date (unless

special arrangements for a different term are agreed upon). This means that an enrollment signed the day before the expiration of the 5-year term of the program agreement will expire 36 months thereafter, even though the program agreement has expired.

o Each enrollment may optionally be renewed for a 1-year or 3-year term. Such renewal will be priced based on a special Software Assurance renewal price.

• Campus and School Agreements. o Initial term is 60 months (5 years). New Subscription Order Forms may be signed through

the last day of the term of the program agreement. o All Subscription Order Forms expire 1 year after their effective date (unless special

arrangements for a different term are agreed upon). This means that an enrollment signed the day before the expiration of the 5-year term of the program agreement will expire 12 months thereafter, even though the program agreement has expired.

o Subscription Order Forms are renewed by signing a new Subscription Order Form upon expiration.

o There is a “3-year commitment option” which an authorized user may elect on each Subscription Order Form. By checking this option, the authorized user commits to renewing their Subscription Order for two successive years after the original Subscription expires, and in return the user’s annual unit price is “locked” during that period of time.

Q. What are the differences in the Select Agreement program agreement between academic vs. standard enrollments? A. Qualified education users receive the following special terms:

• Special education pricing for all purchases; • Additional 10% discount for any product (“qualifying product”) for which an enrolling authorized user chooses

to purchase License & Software Assurance for all its computers. • Home use for Microsoft Office or Office Professional for employees licensed for such product on their at-work

computer. • Optional Student Enrollment allows school to purchase licenses for resale to students.

Q. What is “Software Assurance Membership,” and who qualifies for it? A. Software Assurance Membership (“SAM”) customers are those entities who commit to purchase Software Assurance with all License purchases in one or more Microsoft product categories (called “pools”). This includes:

• All authorized users enrolled under Enterprise Enrollments; and • All authorized users who select SAM on the Software Assurance Election Form, which is attached to the Select

Enrollment form. Information regarding SAM benefits may be found on the Web at the following address: http://www.microsoft.com/licensing/programs/sa/sam/ Q. What are Microsoft’s policies with regard to portable and home use under the CLA? A. The following applies:

• Portable Computers: Microsoft Office and other products in the Applications Pool may be copied at no charge on a portable (e.g. laptop) computer, provided that the portable computer is used exclusively by individual users who are the primary users of at-work computers licensed for the same products.

• Secondary use of Microsoft Exchange Client Access License: the primary user of an at-work computer that is

licensed to access an Exchange Server may also access Exchange Server from any remote device, provided that the remote use does not exceed 20% of the user’s total access time.

• User CALs. Certain Client Access Licenses(e.g. Microsoft Windows 2003 CAL) may be purchased in either a

per-seat or per-user varieties. A per-seat CAL only allows the single computer to which it applies to access the servers. A per-user CAL, however, allows one named user to access servers from any number of devices.

• Disabled users’ use of software on personal home computers (as defined by the Americans with Disabilities

Act) may run a no-cost copy, on their personal home computer, of any product for which their employer has purchased a license for their at-work computer, provided that such user is incapable of operating a portable computer. If the user is capable of operating a portable computer, then this does not apply.

• Non-disabled users’ use of software on personal home computers. The following applies:

o New Licenses (but not upgrade licenses) for Office and Office Professional purchased on or before

October 31, 2004 may be used by the primary licensed user on their home machine; o Microsoft sells Work At Home (WAH) licenses for certain products. A WAH license may only be

used by an individual who is the primary user of the corresponding product on their at-work computer.

Q. How much does a Work At Home (WAH) license cost, relative to the price of a new license for the corresponding product? A. Microsoft has agreed to limit the State’s price of WAH licenses to be at least 25% below the corresponding new license price. The actual price may be lower than this. Q. What products are available as “enterprise products” in the Enterprise Agreement program agreement? A. “Enterprise products” are those products for which the authorized user commits, in an Enterprise Enrollment, to license for 100% of qualified desktops. As of the effective date of the CLA, the following products are available as enterprise products:

• Microsoft Office (Standard or Professional editions) • Microsoft Windows Professional desktop operating system upgrades (requires purchase of Windows license

from the original equipment manufacturer); • Microsoft Exchange CAL; • Microsoft SharePoint Portal Server CAL; • Microsoft Systems Management Server CAL; • Microsoft SQL CAL; • Microsoft Windows Server CAL; • Microsoft Core CAL (consists of the following CALs: Exchange, SharePoint Portal Server, Systems

Management Server; and Windows Server) • Microsoft BackOffice CAL (consists of the following CALs: Exchange, SQL Server, Systems Management

Server; and Windows Server) {Note: Microsoft recommends purchasing SQL Server using “Per-Processor” licenses which do not require SQL CALs}.

The list of available enterprise products may change from time to time, and a prospective enrolled authorized user may request to include another product as an enterprise product for all of its desktops.

Q. Can a new enterprise product be added to an existing Enterprise Enrollment? A. No. Microsoft requires that each enterprise product be paid for over a minimum 3-year term. Therefore, an enterprise product cannot be added to an enrollment with less than it’s full 3-year term remaining. However, Microsoft will be willing to terminate an existing enterprise enrollment if the enrolled authorized user will agree to sign a new 3-year enrollment that includes both the originally-covered enterprise products and a new enterprise product. In this case, a special price will be determined for the new enrollment’s 3-year term, as follows:

• Originally-enrolled enterprise products, priced based on remaining payment obligation under the terminated enrollment (through the end of the original term) plus a prorated amount of Software Assurance for the remainder of the new 36-month term; and

• Newly-added enterprise products, priced based on the State’s normal Enterprise Agreement 3-year License and Software Assurance.

Q. What is Microsoft’s policy with regard to support for old versions of product? A. Free telephone support is not provided under the CLA. The State and Microsoft are party to a separate Premier Support Agreement to provide support for both new and certain older versions of products. Microsoft’s policy with regard to providing support for older versions of product can be found at: http://support.microsoft.com/lifecycle Q. What are the minimum enrollment sizes in the Select and Enterprise Agreement program agreements, and how do agencies which can’t meet the minimums purchase products? A. The normal minimum enrollment sizes are as follows:

• Select Enrollment – enrolled authorized user must commit to purchase a minimum of 750 points during term of enrollment

• Enterprise Enrollment – enrolled authorized user must have at least 250 qualified desktops in its enterprise.

The above minimums are established by Microsoft in order to offset the cost of producing and shipping free CD kits to enrolled authorized users. However, if an enrolled authorized user is willing to sign an amendment (available from the State’s reseller) on which the free CD kits are waived, then Microsoft will:

• Waive the enrolled authorized user’s 750 point minimum requirement on the Select enrollment (except for Academic Select Enrollments); and/or

• Reduce the minimum Enterprise Enrollment requirement to 100 qualified desktops. Agencies or other entities with fewer than 100 qualified desktops may combine with one or more other entities under one enrollment which meets the minimum.

Q. Do enrolled entities receive notice of pending expirations and renewal periods, and if so from whom and when? A. Answer depends on the program agreement, as follows:

• Select Agreement: The State (OGS), the reseller, and each enrolled authorized user will each receive 60 days prior written notice from Microsoft of pending expiration of the Select Program Agreement. The State must decide whether to request an extension of the Program Agreement. Upon the State’s extension, each enrollment will automatically be extended, although such extension will not require any additional purchases (e.g. renewals of previous Software Assurance). Following extension of the program agreement (and the enrollments), each enrolled authorized user will have a 90-day period in which optionally to renew any or all Software Assurance that expired as of he previous expiration date. The coverage period of such renewed Software Assurance will be back-dated to the day following the previous expiration.

• Enterprise Agreement: Each enrolled authorized user will receive 60 days prior written notice from Microsoft of pending expiration of its Enterprise Enrollment. Each enrolled authorized user will have 90 days following the original enrollment expiration date in which optionally to renew its enrollment at Software Assurance renewal pricing. The coverage period of such renewed Software Assurance will be back-dated to the day following the previous expiration.

• Campus and School Agreements: Each enrolled authorized user and the reseller will receive 60 days prior written notice of pending expiration. The enrolled authorized user will have 30 days following expiration in which to submit its optional renewal order and Subscription Order Form. If renewal is not ordered, the authorized user must cease running the software and remove any copies from its computers.

Q. May Software Assurance be ordered without the simultaneous purchase of a new license? A. Software Assurance may only be ordered:

• With the purchase of a new Select License (must be ordered using the specially “bundled” License & Software Assurance part number;

• To renew recently-expired Software Assurance, pursuant to the Software Assurance renewal rules and deadlines; or

• Within 90 days following the purchase of an OEM (original equipment manufacturer) license for certain products (e.g. Windows Professional desktop operating system, certain OEM server products, but not OEM Office or other products in the Applications Pool).

Q. What are the benefits of ordering Software Assurance with a license? A. Software Assurance provides the licensee the ability to upgrade an enrolled license for a product to the most current version of the product that is released during the term of coverage. Depending on the product and program agreement, this will save the authorized user money relative to purchasing new licenses every 3 to 5 years in order to upgrade. In addition, a license ordered with Software Assurance may be amortized over the number of years remaining in the term of the program agreement (as of the purchase date). For example, the purchase of License & Software Assurance in the 1st year of the 3-year term of the Select Agreement program agreement may be spread out over 3 payments. Please also see the section above on “Software Assurance Membership” for other benefits of choosing to enroll all licenses under Software Assurance.

Q. How is proof of license confirmed? A. Answer depends on the program agreement, as follows:

• Select and Enterprise Agreements: Licenses are confirmed online at the Microsoft Volume License Services (MVLS) website, a link and password to which will be provided to the State and to each enrolled authorized user upon enrollment. The MVLS license listing will indicate whether each license is permanent (fully-paid) or temporary (pending completion of installment payments). In addition to the MVLS listing, the enrolled authorized user is required to keep (i) a copy of its original purchase order to the reseller for the licenses; and (ii) record of any transfers (as permitted by the terms of the program agreement).

• Campus and School Agreement: All licenses are temporary, based on the terms of the applicable subscription order form. After Microsoft receives and process the Subscription Order Form, a confirmation letter will be mailed to the enrolling institution. This confirmation letter will be the authorized user’s proof of temporary license.

Q. How are license transferred? A. Answer depends on the program agreement, as follows:

• Select Agreement: licenses may only be transferred to other New York Authorized Users. Licenses must be fully-paid in order to be transferable. To transfer, obtain a transfer form from the State’s reseller or your Microsoft representative. Academic Select licenses may only be transferred to qualified education users. Certain restrictions apply to transfers (see Section 9 of Select Agreement program agreement)

• Enterprise Agreement: after completion of an enrollment’s 3-year term, licenses become perpetual and therefore are transferable pursuant to rules similar to those which apply to Select licenses (see Section 10 of Enterprise Agreement program agreement). However, during the term of an Enterprise Enrollment, licenses are not transferable except pursuant to a reorganization or privatization. In such event, please contact your Microsoft representative for assistance.

• Campus and School Agreements: licenses are temporary and may not be transferred. Q. What is “reference price,” as this term is used in the CLA? A. Microsoft does not sell directly to government customer, but rather sells exclusively through resellers. Microsoft therefore does not set the actual prices paid by customers. So in order to allow for “comparison shopping,” Microsoft establishes a “reference price” which is equivalent to a “manufacturer’s estimated retail price.” Such reference price is typically higher than the actual price the reseller will charge the customer. Please check with your reseller for actual pricing for all program agreements. Q. How is reference pricing set for the CLA? A. Answer depends on program agreement, as follows:

• Select Agreement: prices are subject to change from month to month. Microsoft provides reseller with 30 days notice of pending price changes, and reseller provides current prices to customer upon request.

• Enterprise Agreement: Microsoft establishes the State’s reference pricing for enterprise products based on the

applicable Select reference price, less a discount that has been established for the State based upon several factors such as (i) the number of desktops enrolled statewide in Enterprise Enrollments; and (ii) the product mix chosen on the enrollment. This discount is set forth in Section 12(d) of the Enterprise Agreement program agreement, and the prices for new and renewal enrollments are established at the beginning of the contract year in which each such enrollment is first executed. Depending upon several factors set forth in Section 12(d) of the program agreement, the reference price for the 3rd annual payment pursuant to an enterprise enrollment may be higher than the reference prices for the first 2 annual payments. Once the unit reference prices for the

three annual payments of an enrollment has been established, such reference prices will not increase, but the year-3 price may later be reduced, depending upon changes over time in the statewide enrolled desktop count. Note that certain enrolled authorized users may qualify for certain credits that will cause their enrollment’s reference price to differ from other authorized users in the state.

• Campus and School Agreements: Pricing subject to change from time to time. Please check with reseller for

current prices. Q. What is a “true up” order and when is it required? A. True up orders apply only to the Enterprise Agreement program agreement. Upon first enrolling, an authorized user must declare its total number of “qualified desktops,” and begin paying for that number of devices. If the number of qualified desktops increases during any enrollment year, then the authorized user must pay a “true up fee” for such added desktops. The reference prices for the true up fees due at each respective enrollment anniversary are established at the beginning of an enrollment, and will not change over the term of the enrollment. True up fees paid in one lump sum, are based upon a discounted license fee plus a prorated amount Software Assurance, the formulas for which are set forth in Section 12(d) of the program agreement. True up fees also apply to “additional products” previously ordered pursuant to an enterprise enrollment. Once an initial order for such an additional product has been placed, then subsequent true up orders may be placed on an annual basis for additional copies of such product. Your reseller will provide the applicable true up prices for additional products. Q. What are Microsoft’s audit rights in the CLA? A. Microsoft may engage an accountant from a nationally recognized accounting firm to verify compliance with Microsoft’s copyright and the terms of the CLA and program agreements. Microsoft will pay for the cost of such audit, unless 5% or more unlicensed use if found, in which case the authorized user will be responsible for audit costs. Please see Section 7 of the CLA Common Terms and Conditions for more detail. Q. How are Campus Agreement FTE counts figured into Enterprise Agreement pricing? A. Enterprise product pricing in the Enterprise Agreement is based on Select Level D pricing, less a discount based on the number of qualified desktops enrolled statewide in Enterprise Enrollments for each of three product families. In a special arrangement with the State, Microsoft has agreed, when determining such discounts, to supplement such desktop count with a portion (25%) of the FTE count in Campus Agreements for SUNY and CUNY. For example, if at the beginning of a contract year there are 100,000 qualified desktops enrolled in Enterprise Enrollments for the Office product family, but there are also 100,000 FTEs enrolled in Campus Agreements at SUNY or CUNY, then Microsoft will add 25% of the FTE count (in this case, 25,000) to the qualified desktop count (e.g. 100,000 + 25,000 = 125,000) when determining the State’s volume discount level under the Enterprise Agreement that year. Details are included in Section 12(d) of the Enterprise Agreement program agreement. Q. What are the terms of the State’s special Messaging upgrade offer? A. Through June 30, 2004, Section 12(f) of the Enterprise Agreement program agreement provides special Enterprise Agreement pricing terms for Exchange CAL and Windows CAL for authorized users that, coming into the enrollment, are fully licensed either for Microsoft Exchange or a competitive email product. Such authorized users qualify for special Software Assurance pricing without having first to purchase a new license. There is also an option to defer the first year’s payment into years 2 and 3. This offer represents a significant discount relative to both Microsoft’s Select and standard Enterprise Agreement pricing.
