    I received this today. I have had only a few minutes to look at it, but it looks like a re-work of the earlierdraft agreement with something about sharing time tagged on.

    Meg Miller said that she had originally intended for me and her to work on this document first, before itwent out to the clients. However, she must have shown it to GPB, because she says that they are divingin full tilt and are not leaving her time to talk to me privately first. Therefore, I thought I had better sendit to you right away, before I have had a chance to think through all the issues.

    I am a little disappointed in how long this is taking, but I can see that I am going to have to do more thanI thought and rely on GPB less. That is not intended as a criticism of Meg, but I would like to try tosimplify the basic terms, at least if I can.

    Meanwhile, I see one thing here that I don't quite understand, which is that GSU's programming is goingto be distributed on a sub-channel of GPB's TV stations. Do you intend that the student programmingon WRAS will be distributed statewide to be heard through the sound system of TV sets?

    GPB will be responsible for all program acquisition and rights fees from entitiessuch as National Public Radio (NPR), American Public Media (APM), Public Radiolnternational (PRl) and others for the right to broadcast the Programming onWRAS, including music rights fees.GPB will be responsible for fashioning a daily news/information scheduleintended to best serve audiences across the Atlanta market with non-commercial, educational programming.GSU will be responsible for producing or causing to be produced any and allcoverage of GSU football that will be carried on Station WRAS.As required by FCC rules, GSU, as licensee of Station WRAS, will retain ultimatecontrol of the Station.

    Station Expenses. After Year 1 of the Programming Agreement and to the extentpermitted by the FCC, GPB will reimburse GSU for the annual operating costs of theStation, including, but not limited to, utility costs, rents, maintenance and repair of thefacilities, and for the compensation of its employees assigned to the Station, up to a capof S100,000.00 per year.

    Station Operation. GSU will be responsible for keeping in good working order,consistent with industry standards, all equipment necessary for the professionalproduction, transmission and broadcast of programming on WRAS including but notlimited to control rooms, studios, transmitters, and towers, and will employ thenecessary staff, including main studio staff, to maintain the technicalfacilities. GPB will

    GPB will mention GSU every half hour during the days/times that GPB providesprogramming for the Station using language mutually agreeable to both GSU andGPB that meets FCC requirements.GPB will make available to GSU a minimum of one (1) ten-second {:10) publicservice announcement (PSA) per hour during the days and times that GPBprovides programming for the Station with the understanding that such PSA willbe an image spot for GSU or its entities and not seek to raise dollars, goods orservices from listeners and provided that such PSA complies with all applicableFCC rules and regulations as well as GSU and GPB policies.GPB will make available to GSU one (1)ten-second (:10) public serviceannouncement (PSA) per day in a prime location across all seventeen (17) GPBradio stations state-wide with the understanding that such PSA will be an imagespot for GSU or its entities and not seek to raise dollars, goods or services fromlisteners and provided that such PSA complies with all applicable FCC rules andregulations as well as GPB policies.GPB will make good-faith efforts, as funding and circumstances permit, to createnon-sports programming that distinguishes the Station in the market, providedthat GPB retains editorial control over program production. Such programmingshall be scheduled during the days and times that GPB provides programming forthe Station and shall include a weekday news and information, locally producedprogram slated to commence broadcast within the first year of the ProgrammingAgreement.GPB will make Nielsen audience viewing information and Arbitron audiencelistening information available to GSU to the extent it is legally allowed withinGPB's agreement with Nielsen and Arbitron.

    9. Term. The initialterm will be fifteen years. The Agreement will automatically renew atthe end of the initial term for a term of fifteen years, unless either party terminates thisAgreement.

    10. Termination of Programming Agreement. Termination rights will include customaryrights found in broadcast programming agreements. ln addition, either party mayterminate the Programming Agreement by providing a twelve-month (12) written noticeto the other party. lf this Programming Agreement is terminated by GSU for any reasonafter Year 1 of the Programming Agreement, GPB will pay the pro-rata expensereimbursement fee referenced above to GSU for only the first six-month periodfollowing the twelve-month termination notice. No reimbursement expense paymentswill be due GSU from GPB for the final six-month (6) period of the Agreement followingtermination notice. No other payments will be due GSU by GPB following termination ofthis Agreement.

    L1. Share Time Option. After Year L of the Programming Agreement, if mutually agreedbetween GSU and GPB, GPB will have the option to seek an FCC-approved shared timelicensing arrangement for the Station, pursuant to a Share Time Agreement in a formacceptable to the parties.

    Upon exercise of the Option, GPB and GSU will jointly file FCC applications for ashared time arrangement pursuant to Section 73.56L of the FCC rules. Unlessterminated earlier pursuant to its terms, the Programming Agreement willcontinue until the parties obtain FCC approval of the shared time arrangement.Termination of the Programming Agreement automatically results in atermination of the Option.Upon grant of FCC approval for the shared time arrangement, the programmingAgreement willterminate and the Share Time Agreement willtake effect.GPB will use GSU's transmission facilities for WRAS for its licensed share timeoperation. GSU will be responsible for the costs of upgrading such facilities to

    12. Termination of Share Time Agreement.

    GSU may terminate the Shared Time Agreement for cause if GPB breaches theShare Time Agreement. GSU may terminate the Shared Time Agreement, forconvenience, upon l2-months written notice, provided that GSU pays an earlytermination fee to GPB equal to 50% of the net underwriting sales amounts andnet on-air pledge amounts paid to GSU for the 1 year period prior to thetermination noticeGPB may terminate the Shared Time Agreement for cause if GSU breaches theShare Time Agreement.     I appreciate you sending along this draft. There is absolutqly no way we can have a start date of September 1. At onepoint we had discussed a timeframe of starting either in December or March, with March being the more realisticoption. I have a message from Bob Olive of GPB, so this may be the reason he is calling. l'll try to connect with him thisweek.

    l've only had a few minutes to skim the agreement, but have numerous questions/concerns. l'd like to be able to gothrough the agreement with you, but based on some other projects, won't be able to do so until the week of Aug. 19.

    As we've progressed with obtaining more information about the antenna and how it will be mounted on the tower, itwas clear that completing the project before our FCC permit expires in April was increasingly unlikely. ln several emailsand a phone call with Peter Tannenwald, he gave examples of how the FCC only grants extensions if there is some kindof act of God delaying construction. He strongly suggested that we prepare a new FCC application for the AmericanTower site and file it as soon as the lease is completed. I have been reviewing the lengthy lease from American Towerand am preparing a list explaining the technical and FCC portions so that your staff will have some context while makingchanges.

    All that said, it is possible that if we can get the lease done this month, the FCC grants our new Construction Permit (CP)within a few weeks, the antenna purchase is not delayed, the weather holds during construction, and we don't have anysurprises, we could be on the air sometime in May. However, the FCC shutdown is going to create a backlog of regularwork on top of a new filing window for Low Power FM stations, so it could easily take 3 months for the FCC to approve anew CP. We need to have a lease approved before filing the CP, so that's my current focus.

    As we've progressed with obtaining more information about the antenna and how it will be mounted on the tower, itwas clear that completing the project before our FCC permit expires in April was increasingly unlikely. ln several emailsand a phone call with Peter Tannenwald, he gave examples of how the FCC only grants extensions if there is some kindof act of God delaying construction. He strongly suggested that we prepare a new FCC application for the AmericanTower site and file it as soon as the lease is completed. I have been reviewing the lengthy lease from American Towerand am preparing a list explaining the technical and FCC portions so that your staff will have some context while makingchanges.

    All that said, it is possible that if we can get the lease done this month, the FCC grants our new Construction Permit (CP)within a few weeks, the antenna purchase is not delayed, the weather holds during construction, and we don't have anysurprises, we could be on the air sometime in May. However, the FCC shutdown is going to create a backlog of regularwork on top of a new filing window for Low Power FM stations, so it could easily take 3 months for the FCC to approve anew CP. We need to have a lease approved before filing the CP, so that's my current focus.

    l've included the transmitter information as best we know it, but it depends on our not receiving an objection to thelntent To Bid notice that Purchasing posted. The deadline for that is February 13. We may receive the transmitter asearly as late April, but even if we don't we still can carry their programming using our existing equipment until the newtransmitter arrives. The only thing we'd be missing is the extra HD channel, but it will take time to get the word out to allof our listeners about the existence of the HD channel and how they can access it. The existing potential audience for HDis small, but growing. lt will be the stream that will be the primary way for current listeners to hear the daytimeprogramming.

We are only considering a panel antenna to maximize our pattern, at 1,000 feet or as close to it aswe can obtain, so the signal will be the best that can be acquired with the co and adjacent channels that exist at thistime.     I dropped off a contract in purchasing on Friday from a company called lbiquity and l'm hoping it gets back to your officetoday. Ibiquity holds the copyright to HR Radio and we were led to believe that the HD Radio license and fee that eachradio station must pay would be included in the purchase of our new transmitters. That is not the case - we have to signa contract and pay a one-time fee of 59,000, with an annual fee of $1,000. The software in our new transmitter,delivered last week, has a key which can only be unlocked by lbiquity so we can't fully test the transmitter until thecontract is returned and the fee is paid.

    The lbiquity representative said that they easily accept changes to the governing law sections, as they deal with manystate governments. There are several references to paying certain fees if we use the sub channels for subscriptionservices, but I don't believe we would do that and we'd be under the same FCC rules against accepting money forprogramming. From a quick read, it appears noncommercial stations are free of any further fees as long as theybroadcast non subscription services.

    I am sure peter has experience with these agreements if we need more detail. l've attached the agreement in case youneed it.
