In 1935 Conyers Dill & Pearman pioneered the field of the offshore exempted company when they formed Elbon Limited in Bermuda by an Act of the Bermuda Parliment. Being wholly American owned would normally have prevented the company from being established - it was allowed with the provision that while it could do business from Bermuda, it could not do business in Bermuda.

This was most notably followed in 1936 by the formation of International Match Company Realization Limited, created to realise the tangled assets of a deceased Swedish magnate for his creditors and heirs. The entire process took 10 years to bring to a conclusion, and in doing so cemented the concept of Bermuda as an international business centre.

In 1956 Conyers Dill & Pearman convinced the British Government to sanction the development of financial services in Bermuda, allowing many of the shipping lines based in Britain to use Bermuda as a port of registry. The Bermuda shipping registry rapidly became one of the largest in the world.

In 1982, Conyers Dill & Pearman became the first offshore law firm to venture outside their own jurisdiction, opening an office in Guernsey; followed by the Hong Kong office in 1985. By 1996 the Firm was also practicing law in the British Virgin Islands and Cayman Islands, making it the pioneer of a select few with such multi-jurisdictional capabilities.

The London office opened in 1998, superceding the Guernsey operation. In 2001 the Firm opened the Singapore office and added Anguilla as another jurisdiction upon which it offers advice. 2006 saw the Firm add Dubai to its list of overseas offices. In 2008 the Moscow office opened along with another advice jurisdiction: Mauritius. The São Paulo office opened in 2009.

Practice

Structured finance and securitization transactions are a fast expanding facility used by businesses all over the world, providing the opportunity for innovative financing mechanisms of all kinds. Any asset - securities, mortgages, receivables, royalties, rentals, etc - that produces income can be securitized.

The typical structure involves the use of a company, often referred to as a “special purposes vehicle” or “SPV”, which takes title or ownership of the asset and then issues to investors its own securities, whether shares, bonds, debentures or other instruments. SPVs can also be used for repackaging transaction and the structuring of complex financings for large assets, such as aircraft, satellites, undersea cables and ships.

SPVs are generally required to have registered offices and maintain certain books, registers and corporate records in respect of their affairs. We provide a large number of clients with such services. We will appoint a person to act as secretary of the SPV who will liaise with other parties involved in the transaction, including the promoters, auditors, paying agents and other similar service providers.

Our international securitization practice offers round-the-clock service and direct access to the jurisdiction of the client’s choice. Anguilla is a British overseas territory in the Caribbean with a rational, growth-oriented tax system, based mainly on consumption taxes.

Anguilla is carefully establishing itself as a modern and well-regulated jurisdiction, with a common law legal system based on English law. A significant portion of Conyers Dill & Pearman’s operations are located in the British Virgin Islands (BVI), a small group of islands at the north-east end of the Leeward Islands in the Caribbean. The BVI is a British Overseas Territory which has successfully established a thriving international business industry. Nicholas Dill & James Pearman were good friends who promised to open up a practice together while studying law in England. After they were both called to the bar they fulfilled their vow in 1928. The question was, what to call the new firm? Eventually, a gentlemanly agreement was reached whereby the two friends flipped a King George V shilling to determine the order of names. Dill won the coin toss, and the order of names was kept when they merged with Sir Reginald Conyers in 1928.
