Page 18 of the RFP, Section III (INSTRUCTIONS TO BIDDERS), Paragraph N (EVAULATION CRITERIA/SELECTION COMMITTEE), Criteria I (Oral Presentation and Interview) shall be revised as follows:

I. Oral Presentation and Interview: Following the evaluation of written proposals the five bidders receiving the highest preliminary scores and at least 200 points will be invited to an oral presentation and interview. All bidders will be notified of the preliminary score in the most expeditious manner (by e-mail or fax). The oral presentation by each bidder shall not exceed sixty (60) minutes in length.  The oral interview will consist of standard questions asked of each of the bidders and specific questions regarding the specific proposal.  The proposals may then be re-evaluated and re-scored based on the oral presentation and interview. 15 Points

Audited financial statements for the past three (3) years. Bidders’ audited financial statements must be satisfactory, as deemed solely by County, to be considered for contract award.

Exhibit M, page 3, Paragraph I (Description Of Proposed Services) shall be revised as follows:

I. Description of the Proposed Services:

Bid response shall include a description of the terms and conditions of services to be provided during the contract term including response times. The description shall contain a basis of estimate for services including its scheduled start and completion dates, the number of Bidder’s and County personnel involved, and the number of hours scheduled for such personnel. The description shall identify spare or replacement parts that will be required in performing maintenance services, the anticipated location(s) of such spare parts, and how quickly such parts shall be available for repairs. Finally, the description must: (1) specify how the services in the bid response will meet or exceed the requirements of the County; (2) explain any special resources, procedures or approaches that make the services of Bidder particularly advantageous to the County; and (3) identify any limitations or restrictions of Bidder in providing the services that the County should be aware of in evaluating its Response to this RFP.

Exhibit M, page 3, paragraph J (Implementation Plan and Schedule) shall be revised as follows:

J. Implementation Plan and Schedule:

The bid response shall include an implementation plan and schedule. The plan for implementing the proposed services shall include a County Acceptance Test Plan (ATP). In addition, the plan shall include a detailed schedule indicating how Bidder will ensure adherence to the timetables set forth herein for the final services.

RESPONSES TO WRITTEN QUESTIONS

Q1) Page 7, Paragraph E (SPECIFIC REQUIREMENTS), Item 2.a. states:Provide three (3) trainings each year for partner agencies/organizations to promote healthy eating/physical activity promotion for their constituencies. Contractor will be take lead in planning, developing, and fully managing the operation of workshops and events.

Are the three required trainings meant to be three different trainings for the same audience or three of the same trainings for different audiences?

) The trainings are offered to a community partner listing of over 330 individuals who have attended the County’s workshops in the past, or have expressed interest in receiving information about our services. The same individuals may, or may not attend all three (3) trainings, but the County’s invitation list is the same targeted audience – our community partners (community based organizations, health clinics, social services, public health, school based programs, after-school programs, etc.).

Q2) How many partner agencies are expected to participate in the trainings? ) The County’s trainings historically have had an average of 60-80 attendees.

Q3) Page 7, Paragraph E (SPECIFIC REQUIREMENTS), Item 2.b. states:Assist in providing one Oakland Unified School District (OUSD) wide professional development summit on the promotion of nutrition and physical activity for elementary and/or middle school teachers.

How many teachers are expected to participate in the professional development summit?) As this is the first time the County will be holding a professional development summit

with the Oakland Unified School District (OUSD), we have no historical data on which to project participation.  According to OUSD staff, similar workshops attendance ranged from 100 to 150 teachers.

 Q4) Is there an existing contractor on this bid or is this a new initiative? If yes, can the County

provide a copy of their current proposal and related pricing?) Hill and Company Communications is the existing contractor.  It should be noted that

the services Hill and Company are currently providing, relate to Nutrition Services’ current scope of work and their contract with the California Department of Public Health, Network for a Healthy California that is terminating September 30, 2010.  October 1, 2010 is the beginning of a new 3-year contract and scope of work for Nutrition Services.  The scope and contract amount for this RFP differs from the current contract.

Q5) Is there a page limit or formatting requirements for the entire proposal? ) There is no page limit. Bidders are to submit one original plus seven (7) copies of their

proposal. The original proposal is to be clearly marked and must be either loose leaf or in a 3-ring binder, not bound. Bidders must also include an electronic copy that should be on a disk or a flash drive (in MS Word or Adobe PDF format) and enclosed with the sealed bid; the electronic copy should be a single file document.

Q6) Is the contractor expected to only create the materials, or to create the materials AND implement the school based initiatives?

) The Contractor will conduct research and recommend communications strategies.  In partnership with Nutrition Services (NS), contractor will create and produce materials.  Implementation is carried out by NS in partnership with school staff.  In years two and three, Contractor will evaluate effectiveness of strategies and make modifications accordingly.

Q7) May bidder qualifications be accomplished by either bidder subcontractor or partner? [Page 6, Paragraph D (VENDOR MINIMUM QUALIFICATIONS)]

) Qualifications may be accomplished by either bidder, subcontractor or partner. Substitution of subcontractor must be approved by County. If qualifications are held by subcontractor or partner, subcontractor or partner must be present at Vendor Interviews.

Q8) Will vendor proposal be deemed non-responsive if it fails to identify a SLEB partner in their proposal?

) Completeness of Response is a criterion of evaluation as stated in Paragraph K (EVALUATION CRITERIA/SELECTION COMMITTEE), Item A (Completeness of Response) on page 16 of the RFP, as follows:

Responses to this RFP must be complete. Responses that do not include the proposal content requirements identified within this RFP and subsequent Addenda and do not address each of the items listed below will be considered incomplete, be rated a Fail in the Evaluation Criteria and will receive no further consideration.

Exhibit M offers guidelines for submitting a complete bid response.  Failure to entirely comply with the RFP submittal requirements, including SLEB compliance, may result in the disqualification of a bidder’s proposal.

Q9) How is “bidder” defined? Does the company experience need to belong to the company, or the employees and principles of the company?

) The “bidder” is defined as the vendor providing response to this Request for Proposal. The experience would need to belong to the company who is submitting a proposal to the County.

Q10) Do any individual contractors or firms (aside from County staff) currently work on this program? If so, who are they and how would you describe their scope of work?

) Hill and Company Communications is the current contractor.  A copy of the current contract is available for public viewing at the offices of the General Services Agency, Purchasing Department. Q11) With regards to research and evaluation, would the contractor be solely responsible for conducting this work aas described on page 10 of the RFP, Paragraph H (DELIVERABLES/REPORTS), Items 2, 3, 4, 5 and 10? Would any County staff play a role in evaluation?

) The County views this to be a working partnership and intend County staff to participate in the research and evaluation, however the County expects the contractor to assume the lead role.

Q12) Does the County have baseline behavioral data on the target audiences? If so, would the County be able to share that? For example, within the school audience, do you have background on specific age groups/grades that you are targeting and do you have data on their current nutritional practice behaviors?

) The County recently released The Health of Alameda County Cities and Places August 2010 which contains some behavioral data related to diet, and physical activity which is available on the county website:

In addition, there is County level data on select diet and physical activity/exercise behaviors available through the California Health Interview Survey (CHIS) on their website at www.askchis.org.

Nutrition Services evaluates a small sampling of the school audience (4th or 5th grade) conducting pre and post surveys assessing, knowledge, behavior, and self-efficacy. These evaluations will be made available at the GSA-Purchasing office, 1401 Lakeside Drive, Suite 907, to review after October 4, 2010.

Fitness gram data, which is taken at grades 5, 7, and 9, is available on the district level from the California Department of Education.

Q13) Would printing costs, specifically those associated with collateral materials developed in partnership with ACNS staff as described at the top of page 8 of the RFP, be included in the budget?

) Printing costs are not included in this budget. The contractor should budget for development and production, and provide print ready templates.

Q14) At the end of years one, two and three, what would success look like? How would you describe the achievements you’d hope to see at the end of each of those years?

) At the end of year one, ACNS expects to see a detailed communications plan in place and various strategies piloted. In year two, ACNS expects the strategies to be evaluated and modified based on the evaluation results. This would be repeated in year three. Ideally, awareness of nutrition and chronic disease issues, name recognition for nutrition services and our initiatives, and ultimately behavior and environmental changes to improve the nutritional status of the most impacted population of Alameda County will have increased.

RESPONSES TO VERBAL QUESTIONS

Q15) On Exhibit M of the RFP, Item J (Implementation Plan and Schedule) states:The plan for implementing the proposed services shall include a County Acceptance Test Plan (ATP).

Can the County clarify the relevance of an ATP for this bid?) Please see revisions per page 3 of this addendum.

Q16) On Exhibit M of the RFP, Item I (Description of the Proposed Services) states:The description shall identify spare or replacement parts that will be required in performing maintenance services, the anticipated location(s) of such spare parts, and how quickly such parts shall be available for repairs.

Is this applicable?) See changes per page 3 of this addendum.

Q17) On page 5 of the RFP, Paragraph B (SCOPE) indicates conducting formative research as a wanted service. Does conducting formative research refer to the qualities of market research – exploratory, conclusive, and ongoing?

) The County is looking for research in terms of knowledge and behavior of our target audience and what resonates with them in terms of messaging, in terms of strategy, in terms of the best ways to reach individuals in specific environments, in terms of changing behaviors and working to change the environment.

Q18) Page 6 of the RFP, Paragraph E (SPECIFIC REQUIREMENTS), Item 1, first paragraph states:

Communications Plan Development and AdministrationWithin first six (6) months of contract the Contractor will develop a communications plan that details effective communication channels and strategies and consistent messages targeted at SNAP eligible residents to promote nutrition education and physical activity.

Within those six (6) months, is the County looking to develop a Gantt chart on time frames and specific tasks to be executed in those time frames?

) The County is not being prescriptive in the form of that plan, but a Gantt chart would be acceptable.

Q19) Page 7 of the RFP, Paragraph E (SPECIFIC REQUIREMENTS), Item 1, last paragraph states:

Upon approval of Plan, Contractor will work with ACNS staff to test and implement the communications strategies. Annually, contractor will evaluate effectiveness of Plan and strategies and make modifications accordingly in years two and three. All modifications will be approved by ACNS staff.

Can the County provide any specific goals desired (e.g., increase awareness by 10%)? Are there any qualitative, measurable goals desired by the County to evaluate the effectiveness of the Plan and make modifications accordingly?

) The County expects bidders to provide and suggest goals and measures as part of their bid response.

Q20) In regards to insurance coverage, Exhibit C indicates that subcontractors, partners, etc. need to carry the same insurance as the prime. Do the levels of insurance need to be the same for all parties involved?

) Yes, the insurance Exhibit C #5 states,   SUBCONTRACTORS:  Contractor shall include all subcontractors as an insured (covered party) under its policies or shall maintain separate certificates and endorsements for each subcontractor.  All coverages for subcontractors shall be subject to all of the requirements stated herein.

Q21) If a subcontractor(s) does not have the appropriate insurance coverage, does the prime’s insurance need to cover the subcontractor(s)?

) Yes, the insurance Exhibit C #5 states,   SUBCONTRACTORS:  Contractor shall include all subcontractors as an insured (covered party) under its policies or shall maintain separate certificates and endorsements for each subcontractor.  All coverages for subcontractors shall be subject to all of the requirements stated herein.

Q22) Regarding the SLEB requirements for this bid, the prime bidder has to be a certified SLEB, or else the prime bidder must subcontract 20% to a SLEB. Is that correct?

) Yes, that is correct.

Q23) If the prime bidder is not a certified SLEB and does not identify a SLEB subcontractor for the 20% in its bid response, will be the bid response be rejected as non-responsive?

) No, if the prime bidder is not a SLEB they must subcontract with a SLEB for 20% of the estimated contract value.

Q25) If a corporation and a non-profit submit a bid response as a joint venture, will the SLEB requirement be waived?

Q26) Regarding bid submittals, the County is requesting one original plus seven (7) copies. That is a relatively large and heavy quantity. How does the County want such bid responses to be sealed?

) As stated in the RFP, bidders are to submit one original plus seven (7) copies of their proposal. The original proposal is to be clearly marked and must be either loose leaf or in a 3-ring binder, not bound. Bidders must also include an electronic copy that should be on a disk or a flash drive (in MS Word or Adobe PDF format) and enclosed with the sealed bid; the electronic copy should be a single file document. The County prefers bid responses to be sealed in a box.

Q27) Is it possible to view the current contract online? Or is it possible to receive an electronic copy? Or does it have to be viewed in person?

Q28) Page 21 of the RFP, Paragraph R (PRICING), Items 10 and 11 reference living wages and prevailing wages. Can the County more specifically define the living and prevailing wage requirements? Does the County consider living wages and prevailing wages to be interchangeable terms? Can the County specifically define what those wages are?

) The County has no requirements for living wages. The County does not determine whether Prevailing Wages apply. It is up to the contractor to determine if the Prevailing Wages apply to their craft as a part of this contract and to meet the Prevailing Wages requirement if deemed applicable. General Prevailing Wage Determinations can be found at: http://www.dir.ca.gov/dlsr/DPreWageDetermination.htm

Q29) Page 24 of the RFP, Paragraph V (COUNTY PROVISIONS), Item 2.a. states:If Bidder is certified by the County as either a small and local or an emerging and local business, the County will provide a five percent (5%) bid preference, in addition to that set forth in paragraph 1., above, for a total bid preference of ten percent (10%). However, a bid preference cannot override a State law, which requires the granting of an award to the lowest responsible bidder.

The last sentence of the paragraph seems to be contradictory. Can the County clarify?) SLEB preferences are given as part of this bid. SLEB preferences are given except in

the case where a State Law does not allow for such preferences. However, with regards

to this bid, cost is only one component in the evaluation; so even if a bidder has the lowest cost, award will not be given based solely on cost criteria.

Q30) Is that County looking for cookie-cutter type proposals? Or is the County open to new and innovative ideas?

) The County is open to new and innovative ideas.

Q31) Who is the primary liaison from the Public Health Department that will be working with the contracted vendor? Will it be an individual or a team?

) That information will be provided after the contract is awarded.

Q32) It seems the first six (6) months of the contract will be, more or less, planning. Is that correct? Or will there be other things happening in that first six (6) months? Can the County provide any clarification on the levels of roll-out in the first six (6) months?

) As with any new project, there will be a learning curve, as well as time needed in the initial months to plan and develop timelines. The one area that we delineate six months of planning is the development of a communications plan. If it is completed before then, the better. In the initial months of the contract for the other 2 areas of the contract, Workshops/Trainings/Event Planning and School Based Social Marketing Efforts, the contractor’s work will include both planning and implementation of efforts.

Q33) Since there is an existing contracted vendor, will there be a timeline to transition any current/ongoing projects or initiatives to the next contracted vendor?

) The current contract expires on September 30, 2010. There are some initiatives that will be common to the existing contract and the new contract. The current contracted vendor will transition existing initiatives to the Public Health Department, and in turn, the Public Health Department will transition the initiatives to the new contracted vendor.

Q34) What kind of documentation does the County require to show proof of signing authorization on behalf of the bidder?

) A statement from a principal designating authorization to a specific individual will suffice.

Q35) Page 7 of the RFP, Paragraph E (SPECIFIC REQUIREMENTS), Item 3, states:School Based Social Marketing EffortsContractor will conduct research with teachers, parents, students and administrators. Based on the findings the Contractor shall recommend five communication strategies to promote healthy eating and physical activity in no less than 35 OUSD elementary and middle schools. In partnership with ACNS staff, contractor will develop and produce collateral materials for school based interventions including, but not limited to educational games, posters, classroom learning and curriculum integration, contests, cooking demonstrations, etc. In years two and three, Contractor will evaluate

effectiveness of strategies and make modifications accordingly in years two and three. All modifications will be approved by ACNS staff.

OUSD has a larger base than 35 schools. Is the County targeting a particular age group (e.g., elementary, high school, etc.)?

) The County is targeting schools that have 50% or greater free and reduced priced lunch rates. These are the schools we currently have partnerships with, and it includes elementary, middle schools as well as a couple of high schools. The predominance of the efforts is located in the elementary and middle schools.

Q36) Can the County give more detail about the social media efforts desired related to OUSD? Does the County have a particular vision in mind?

) The County would like bidders to give their creative ideas and suggestions. There are some ideas listed in the RFP, and bidders can expand on those as well. The County is mainly looking for communications strategies to promote healthy eating and physical activity with a special focus on fruit and vegetable consumption.

Q37) For the purposes of being a subcontractor, can a vendor be in the process of becoming a certified SLEB and still qualify for participation in this bid?

) Any prime vendor may respond to this RFP and would either need to be a certified SLEB or subcontract with a certified SLEB prior to contract award.

Q38) Does the County have evaluations of the current program? If so, can those evaluations be provided to bidders?

) The County has impact evaluations that are provided to the State that measure knowledge, behavior, and self efficacy. These will be made available for public viewing at the offices of the General Services Agency, Purchasing Department.

A39) This RFP is for services for a new scope of work and contract that Nutrition Services will begin October 1, 2010. This Scope of Work will be made available for public viewing at the offices of the General Services Agency, Purchasing Department. There are some interventions in our current work that will continue in the next contract. The current Scope of Work will also be available. Q42) The RFP mentions several agencies, including ACNS, SNAP-Ed, and CDPH. How do all these different agencies fit in with and relate to each other?

) Alameda County Nutrition Services (ANCS) is a local incentive awardee of a grant from the California Department of Public Health (CDPH) Network for a Healthy California. The source of this funding, which CDPH administers is the SNAP-Ed Program (formerly food stamps).

Q43) Will the awarded contractor invoice the County directly?) Yes.

Q44) According to the RFP, certified SLEBs are given a 10% preference. How is that 10% preference applied? Is it applied to just cost? Or is it applied to the overall evaluation points?

) SLEB preference points are applied to the total evaluation. For example, a perfect score for a prime bidder that is not a SLEB is 500 points. For a prime bidder that is

Q45) Does the prime bidder have to be a certified SLEB in order to receive the 10% bid preference points? Or can the prime subcontract to a certified SLEB and also get the 10% bid preference points?

) SLEB preference points only apply if the prime bidder is a certified SLEB.

Q46) Can a prime bidder that is neither a certified SLEB nor subcontracts to a certified SLEB still submit a bid response?

) Yes. However, all bidders are expected to satisfy the SLEB requirement by either being a certified SLEB themselves, or else by subcontracting at least 20% to a certified SLEB. Failure to meet the SLEB requirement maybe grounds for bid disqualification.

Q47) Do prime bidders that are not a certified SLEB have to name SLEB subcontractors at the time of bid submittal? Or can SLEB subcontractors be determined after award?

) SLEB subcontractors cannot be named after the award. In order to meet the small local emerging business (SLEB) requirements of this RFP, all bidders must include, in their bid response a completed and signed Exhibit F (found in the RFP). Exhibit F must be used to indicate that the prime bidder is a certified SLEB, or else name the SLEB subcontractor(s) to be used. If more than one SLEB subcontractor is needed to fulfill the twenty percent (20%), please include a separate Exhibit F for each SLEB subcontractor.

Q48) Can the County clarify the 20% SLEB subcontracting requirement?) Prime bidders that are not a certified SLEB are required to subcontract with a SLEB

for at least twenty percent (20%) of the total bid amount in order to be considered for contract award.

Q49) Is there any preference for a prime bidder that subcontracts more than 20% to a SLEB?) No.

Q50) Will a list of attendees from the bidders conferences be provided?) Yes. A list of attendees from both bidders’ conferences can be found in this addendum

just following the Q&A section.

Q51) If there is a prime contractor along with SLEB subcontractors, non-SLEB subcontractors, business partners, etc., how does everyone get funded?

) Per page 21 of the RFP, Paragraph R (PRICING), Item 6: The price(s) quoted shall be the total cost the County will pay for this project including taxes and all other charges.

The County will contract with one entity, the prime contractor, and all County payments under this contract will be made to that entity. Any payments to subcontractors are the responsibility of the prime contractor.

) The contract award should reflect the full cost for the bidder to provide the services to the County (e.g., administration costs, delivery costs, etc.). Please see above response to question 51.

Q53) What is printing budget for this project?) Print budget costs for the last two (2) years ranged from $50-65k.

Q54) Is there a paid media budget?) No.

Q55) The County said there is no paid media budget. If a bidder provided “the ideal” communication plan, could funds be offset from other media budgets (e.g., printing) to support paid media?

) That could be an option explored in that circumstance. All media buys need to comply with the United States Department of Agriculture (USDA) guidelines.

Q56) Is there a non-print communications plan currently in place (e.g., internet, broadcast, etc.)?) There is no formal non-print communications plan in place. One current web presence

is www.healthylivingforlife.org.

Q57) Does the County have any web usage statistics for www.healthlivingforlife.org? ) No. We are not currently tracking web usage.

Q58) Page 14 of the RFP, Paragraph L (SUBMITTAL OF BIDS), Item 10 states:County reserves the right to make use of any information or ideas contained in submitted bid responses. 

Is the idea that the County can take and use whatever it wants from any of the proposals at any time?

) Yes.

Q59) There might be some third-party programs, plans or communication strategies that could be applied to the County’s needs in this RFP. If a license fee is required for use, would that come out of the contracted vendor’s budget? Or will the County pay the license fee?

) The county can pay the license fee, provided it meets all USDA guidelines and approvals.

Q60) Are Spanish, Chinese and Vietnamese the only non-English languages involved as part of this bid?

) Spanish, Chinese and Vietnamese are the only three that are required in this contract for written materials.

COUNTY OF ALAMEDA, GENERAL SERVICES AGENCY-PURCHASING EXHIBIT A – BID ACKNOWLEDGEMENT

The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the above referenced RFP number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the bid response. Obligations assumed by such signature must be fulfilled.1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and

corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFP. No alterations or changes or any kind shall be permitted to Exhibit B, Bid Form. Responses that do not comply shall be subject to rejection in total.

2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid Acknowledgement and state the reason you are not bidding.

3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFP, the prices quoted herein do not include Sales, Use or other taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c) Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will furnish an exemption certificate.

4. Award: (a) Unless otherwise specified by the bidder or the RFP gives notice of an all-or-none award, the County may accept any item or group of items of any bid. (b) Bids are subject to acceptance at any time within thirty (30) days of opening, unless otherwise specified in the RFP. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance specified results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all respects according to the laws of the State of California.

5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order.

6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request (made when the sample is furnished), be returned at the bidder’s expense.

7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same, and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are in addition to any other rights and remedies provided by law or under the contract.

8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFP, or from date correct invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be made, for the purpose of earning the discount, on the date of mailing the County warrant check.

9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder.

10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any material or equipment that may be traded in on this order.
