REPORT OF THE CHAIRMAN OF THE BOARD OF DIRECTORS
Dear Shareholders,
The past business year was shaped by massive and
enduring changes that were not foreseeable in their
magnitude before the start of 2008. The necessary
restructuring measures were manifestly more cost inten-
sive than budgeted. For the fi rst time in our twelve-year
company history we must confront our shareholders
with a loss.
In the subsequent reports on the business areas, three
points will be examined in detail.
Splendid Core Business:
Our E-Business area, which today generates some two-
thirds of CREALOGIX Group revenue, achieved a record
operative result in the year under review of CHF 7.2 mil-
lion EBIT with a margin of 17 percent.
Restructuring of the Business Area ERP:
The CIRCON Group had to accept increasing losses due
to the negative development of its Fashion Business,
which comprises one quarter of ERP revenue and lay
below expectations. With the sale of the entire Fashion
Business in Switzerland and Germany on 25 July 2008,
the primary loss generator in the ERP segment could be
eliminated.
Streamlining the Organisation:
Four sites have been consolidated to a central location in
Zurich. The business area School Administration Software
with its product CLX.Evento (formerly Balzano Informa-
tik AG) has been fully integrated into CREALOGIX AG.
The sound parts of the former CIRCON business were
concentrated under CREALOGIX ERP in essential form.
Following successful completion of the restructuring
we are convinced that we are now considerably more
strongly positioned than we were one year ago.

Sales and Profi t Development
We were able to increase overall sales thanks to pleasing
growth in the area of E-Business. The CREALOGIX Group
closes business year 2007 / 2008 with consolidated
operating revenue of CHF 62.9 million (previous year:
CHF 61.8 million).
The consolidated result with a loss of CHF 2.6 million is
primarily due to the execution of restructuring measures
in the business area ERP, and attributable to a lesser
portion to the fi nancial market crisis in reference to our
fi nancial investments.
The equity ratio increased from 76 to 78 percent despite
considerable fi nancial charges. That the CREALOGIX Group
remains in good health at its core is demonstrated also
by the increase in free cash fl ow over the previous year
from CHF 7.4 million to CHF 7.6 million.
Market Development and Positioning
The IT market showed stability during the year under
review and did not react immediately to the fi nancial
market crisis, as was the case in 2001. Additional pro-
tection is offered by our substantially broader and deep-
er support with core business solutions among Swiss
banks.
Price pressure due to offerings from Far Eastern low-wage
countries continues, which we counter with increased
out-sourcing of standard developments to our Eastern
European near-shoring partner. CREALOGIX enjoys as
previously an exceptional reputation in the market and
with the exception of the Fashion Business expanded or
sustainably defended its market position in all areas.
Product Developments
In the past business year we also invested intensively in
our product portfolio, generating numerous innovations
– the guiding theme of this annual report.
In the area of e-business we launched an entire range of
new security products for e-banking, among them, for
example, an extension of the e-banking solution for the
Raiffeisenbanken with high-quality, mobile security func-
tions. Banks can now confi rm payments for e-banking
users via SMS. CREALOGIX is also among forerunners in
the environment of computer-based telephony appli-
cations (VOIP). The CREALOGIX Group was among the
fi rst hundred companies worldwide to introduce the
new Microsoft product “Unifi ed Communications”, and
now offers corresponding implementation services.
In ERP we successfully completed the revision of the
sector solution “Transport & Logistics” and have already
gained new customers. For our “Food & Beverage” solu-
tion we collaborated closely with Microsoft as one of
few select partners, and appropriately adapted our
software before the launch of the newest version of
Microsoft Dynamics AX 2009 within the scope of the
“Early Adoption” program. We will thus be there at the
launch of the new Microsoft product generation from
the very fi rst day.
Business Area E-Business
Sales in the Business Area E-Business amounted to
CHF 42.2 million and were increased by 18 percent over
the previous year (CHF 35.9 million). This represents a
two-thirds share of Group sales.
The 17 percent EBIT margin of CHF 7.2 million achieved
in the year under review a very pleasing record result.
Our Business Area E-Business shows outstanding deve-
lopment and achieved all planned growth targets. All
previously mentioned developments of new releases or
software products are already included in current calcu-
lations.
The backlog of orders in this Business Area is high and
the order situation is stable.
Business Area ERP (Enterprise Resource Planning)
The Business Area ERP achieved sales of CHF 21.6 mil-
lion, a decline of 19 percent against the previous year
(CHF 26.6 million). Revenue in this Business Area con-
tributes one-third of Group sales.
The period under review saw the permanent restructu r-
ing of the Business Area ERP.
The CIRCON Group had slipped increasingly into a posi-
tion of imbalance due to major projects in Germany and
Switzerland that were sold at that time at unrealistically
low fi xed prices, resulting in losses over a period of years.
The growing project provisions, various unpaid project
expenditures as well as continuously rising product de-
velopment costs for the sector solution Fashion became
evermore problematic.

With the sale of the entire Fashion business in Switzer-
land and Germany, CREALOGIX Group separated itself
from this legacy of the CIRCON Fashion Business, which
accounted for roughly one quarter of ERP sales. The re -
maining and sound parts of the ERP business with Micro-
soft Dynamics AX in Switzerland, Germany and Austria
operate today under the name CREALOGIX ERP AG.
Within the scope of the restructuring of the Business
Area ERP, the business of Balzano Informatik AG, with
its leading administration software CLX.Evento for uni-
versities of applied sciences and arts, was also fundamen-
tally rectifi ed.
In this context all product capitalisations were written
off, project rectifi cations carried out, and additional in-
vestment made in scope of operation and enhancement
of performance and quality.
The restructuring of the Business Area ERP resulted in
charges to the annual accounts which totalled more
than CHF 8 million.
Outlook
The CREALOGIX Group has a remarkable spectrum of
successful products and services at its disposal, now uni-
formly offered under the umbrella brand CREALOGIX.
In Switzerland we lead with our standard products
CLX.Banking, and with the offl ine-banking solution
directly recommended by most Swiss banks – known in
the market under product names CLX.PayMaker and
CLX.PayPen. We are furthermore the market leading
solution provider for e-learning and internet applica-
tions (web solutions) for major corporations.
The school administration software CLX.Evento is in daily
use at roughly two-thirds of Swiss universities of applied
sciences and arts. In the area of ERP sector solutions
based on Microsoft Dynamics AX we remain one of the
leading providers in Switzerland, Germany and Austria,
also after the sale of the Fashion Business.
CREALOGIX sees considerable chances in the timely pro-
vision of security solutions and products for e-banking.
In particular, the market potential of CLX.Stick, under
fi le for patent, is not yet quantifi able. This product has
been declared a technological milestone in security and
will enter the market in the course of the year.
REPORT OF THE CHAIRMAN OF THE BOARD OF DIRECTORS
CREALOGIX has undertaken further strategic steps in
the area of seminal software products; we have esta b-
lished a centre of competence for collaboration based
on Microsoft SharePoint, as well as another centre of
competence for open source software with JBoss.
Following the restructuring of the Business Area ERP
and thanks to our growth drivers in e-business, we look
to the future with confi dence and expect a return to the
profi t zone for the current business year. We also again
see growth potential in the coming years for the Busi-
ness Area ERP. For this reason we continue steadfastly
on our path to being a “Software Powerhouse”.
Acknowledgments
On behalf of the Board of Directors and Group Manage-
ment I wish to express great thanks to all our employees
for their loyalty and continuous commitment, particu-
larly in a year of far-reaching changes. We thank our
customers for cooperative collaboration and their trust
in our services. We also thank our shareholders, most
heartily for the trust they continue to bestow on us.

Following the restructuring of the Business Area ERP
and thanks to our growth drivers in e-business, we look
to the future with confi dence and expect a return to the
profi t zone for the current business year. We also again
see growth potential in the coming years for the Busi-
ness Area ERP. For this reason we continue steadfastly
on our path to being a “Software Powerhouse”.
Acknowledgments
On behalf of the Board of Directors and Group Manage-
ment I wish to express great thanks to all our employees
for their loyalty and continuous commitment, particu-
larly in a year of far-reaching changes. We thank our
customers for cooperative collaboration and their trust
in our services. We also thank our shareholders, most
heartily for the trust they continue to bestow on us.

Attractive new customers, ground-breaking projects; this
could be the headline for the last business year. All com-
petence centres have success stories to tell.
In the area “Mobile Solutions” CREALOGIX AG was not
only the fi rst company in Switzerland to realise real-time
notifi cation of purchase with Cornèrcard, but also im-
plemented a mobile security solution for online banking
for the Raiffeisenbanken. Business year 2007 / 2008 was
generally one of future-oriented banking projects. E-Learn-
ing projects could be realised for the Bank of Canton
Zurich as well as for Credit Suisse. CREALOGIX AG now
thereby belongs among “preferred suppliers” for three of
the four largest banks in Switzerland. In the area “E-Learn-
n ing Solutions”, Kuoni also became a customer.
It was also Kuoni who commissioned CREALOGIX AG
with the largest commercial Second Life appearance in
Switzerland. Under the name “INOUK”, the compe-
tence centre “Web Solutions” opened wide the doors to
new worlds in the truest sense of the word. With
projects for the LGT Group, Marionnaud, Clinique, and
Hilti, CREALOGIX AG once again put its expertise in de-
sign, usability and online marketing to proof. The Bronze
Award in the category “Online & Mobile Campaigns”
(Microsite for Hilti) from “Best of Swiss Web” headlines
this impressively.
In the category “Business Effi ciency” there was even a
Silver Award. And two recognitions at that, for Redesign
PostFinance and Website Klosterplatz Einsiedeln.
For the home service portal “bonacasaNET”, there was
bronze in the category “Technology Innovation”. This
award crowned the fi rst large Swisscom project in our
competence centre “Software Engineering”. With the
realisation of a CO2-Calculator commission for Swiss Re
and the fi rst Swiss application for iPhone ordered by the
Federal Department of Defence, Civil Protection and
Sport (VBS), the Engineering Team set other highlights.

Initial Situation
The Association of Automobile Services, asa, performs
services for the cantonal departments of motor vehicles
(including the Principality of Liechtenstein) as well as for
the federation and general public. Among other duties,
the association is responsible for distribution of docu-
ments generated in various commissions and working
groups. These are sent in the fi rst instance to the man-
age ment of the individual departments of motor vehicles.
As a next step the management must forward the docu-
ments to some 2500 staff, under observance of differing
levels of authorisation.
Objective
The automatisation of operating processes and a trans-
parent concept of roles (staff, management, directors)
should improve the distribution of documents and infor-
mation and unburden the management. The individual
commissions should be supported in the development
of documents through common, virtual work rooms.
Beyond this a revised corporate design should position
the asa and its services better vis-à-vis the departments
of motor vehicles.
Approach
CREALOGIX AG analysed the various stakeholders and
operating processes within asa and at the departments
of motor vehicles and generated a detailed specifi ca-
tion. Microsoft SharePoint 2007 came into play for the
PORTAL FOR EASE OF INFORMATION EXCHANGE ASA, ASSOCIATION OF AUTOMOBILE SERVICES
implementation of the “asa Portal”. This product meets
the needs of asa above all in the areas of collaboration
and enterprise content management. CREALOGIX AG
implemented the portal in German, Italian and French.
The solution for document distribution to the depart-
ments of motor vehicles emerged during the fi rst stage.
The focus of the second stage is on collaboration in the
commissions and working groups.
Result
asa can now store its documents centrally on a portal,
classify them using metadata and make them available
to the working groups and commissions as well as the
departments of motor vehicles. This new “fetch obliga-
tion” relieves asa as well as the management of the de-
partments of motor vehicles. The number of e-mails with
document attachments sank drastically. The admi ni stra-
tors of the individual departments of motor vehicles can
now oversee authorisations, roles and changes in address
independently. The working areas on the portal simplify
preparation and follow-up of meetings for commissions
and working groups. With the help of version functions
(check-in/check-out), mutual work on documents is
now possible directly on the “asaPortal”.
REFERENCE
Initial situation
The acceptance of open source software has increased
signifi cantly in recent years. Growing numbers of cus-
tomers opt for an open source solution, thereby saving
high licensing costs. Furthermore, they also obtain ac-
cess to a worldwide developer community. JBoss, a
business division of Red Hat, is the leading provider in
the area of open source middleware.
Objective
As the largest Swiss provider and “JBoss Preferred Certi-
fi ed Systems Integrator”, CREALOGIX sees its customers
through from A to Z. They benefi t in development and
operation of open source systems based on JBoss from
our eight-year experience and from the comprehensive
know-how of some thirty software engineers and certi-
fi ed JBoss specialists.
Approach
The Bank of Canton Zurich now employs the JBoss ap-
plication server for operation of Java EE applications.
CREALOGIX AG supported the development of the ope-
ra tional concept as well as its technical implementation.
For the Swiss Air Force management and information
system, CREALOGIX developed an application suite for
planning and deployment preparation of air force as-
signments based on BEA WebLogic. These applications
were migrated to JBoss in 2006. During the migration
OPEN SOURCE EXPERTISE JBOSS
phase CREALOGIX clarifi ed technical risks by means of
studies and prototypes, verifi ed interoperability, migra-
ted the applications and also allowed for commercial
aspects (apportionable licensing costs).
The mobile service that CREALOGIX realized for Cornèr-
card is a prime example of order-specifi c application de-
velopment. Based on JBoss AS, the service allows credit
card customers access to account balance and transac-
tion information via SMS or WAP / XHTML.
Result
Customers already using JBoss, or who are newly imple-
menting open source technology, benefi t from the
know-how of CREALOGIX’s JBoss Competence Centre
and from JBoss specialists around the world. This exper-
tise grants them cost effi cient and fl exible solutions as
well as permanent support.
CREALOGIX creates for its customers infrastructures
that are arbitrarily extendable and provides for maximal
accessibility and security. CREALOGIX is the right part-
ner for open source solutions with JBoss in Switzerland
– whether in the consolidation of existing systems or in
development of new applications with unique selling
points.

GROUP COMPANIES /// CREALOGIX E-BANKING SOLUTIONS AG
Banks are striving to serve their customers even better.
This leads to creative, new online functions and thereby
to streamlined processes in e-banking. CREALOGIX
E-Ban king Solutions AG has at its disposal the most
comprehensive platform available for these processes in
Switzer land. Thanks to interfaces to all established ban k-
ing systems and transaction platforms (Avaloq, Apsys,
BOSS, OTMS, Olympic and Alpha), a growing number
of Swiss retail and private banks employs CLX.E-Bank-
ing. CREALOGIX E-Banking Solutions AG realizes solu-
tions tailored for target groups based on this product.
Such solutions comprise modules for account and depot
information, complete domestic and foreign payment
transactions as well as online securities trading. Special
functions allow graphic interpretation for wealth or risk
analyses. Retail and private banks and also asset man -
a gers benefi t from this.

And fi nally, how do I bring the original

distribution channels will emerge under the CREALOGIX
umbrella. CREALOGIX E-Banking Solutions is well-
equipped for expansion of user interfaces. The CLX.Stick

enable new distribution channels.
The provider’s value added rises, as

A major project came to its successful conclusion this
year with the migration of the three banks of the cantons
St. Gallen, Lucerne and Thurgau to Avaloq as well as their
e-banking platforms to CLX.E-Banking. CREALOGIX
E-Banking Solutions AG not only put its expertise to
proof as the leading Swiss supplier of e-banking sys-
tems, but also strengthened its partnership with Ava-
loq, Switzerland’s premier provider of banking sys-
tems. CLX.E-Banking remains the most comprehensive
e-banking platform with standard interfaces to the ma-
jor bank and transaction systems – alongside Avaloq
also Apsys, BOSS, OTMS, Olympic or Alpha.
For the Raiffeisen Group, our long-standing partner in
e-banking, we also completed a new release this year.
The Raiffeisen Group is the fi rst Swiss bank to employ
mobile telephones for secure login and the additional
authorisation of e-banking payment transactions.
Alongside retail and private banks, asset managers are
now a target client group of CREALOGIX E-Banking So-
lutions AG. Their specifi c needs are now addressed as of
this year in the new product module “External Asset
Managers” in CLX.E-Banking.
The development of the unique CLX.Stick was a twofold
success. First, the collaboration with C-CHANNEL AG
demonstrated the strength of expertise-spanning pro-
jects within the CREALOGIX Group. Second, the paten-
ted solution will set a new milestone along the way to
secure e-banking. The CLX.Stick contains a proprietary
hardened browser, which thwarts hacker attacks on
e-banking. Thereby not only are payment transactions
protected against theft, but all private banking infor-
mation of the user against extraneous insight. The effec-
tiveness of the USB stick has been confi rmed by an in-
dependent institution.

Initial Situation
Until recently the Bank of Canton St. Gallen used the
e-banking solution of the Bank of Canton Zurich. Simul-
taneously with the conversion of the banking system to
Avaloq, this system should also be exchanged. Due to
cost reasons the Bank of Canton St. Gallen decided for
CLX.E-Banking as its new platform, the software from
CREALOGIX E-Banking Solutions AG.
Objective
All data should be migrated to the new platform and
customised extensions should be implemented. The ex is t -
ing graphic interface would be maintained so that users
could continue to work as accustomed. The two migra-
tions (Avaloq and CLX.E-Banking) must thereby be
closely aligned. The Avaloq Adapter as an interface
would have to be adapted to the requirements of the
Bank of Canton St. Gallen and undergo strong func tio n-
al expansion.
Approach
The project was a collaborative effort, with Avaloq as
supplier of the core banking system. CREALOGIX E-Bank-
ing Solutions AG extended its Avaloq Adapter with a
stock exchange interface and enabled an online update
of entries in CLX.E-Banking. These adaptations were ap-
proved and certifi ed by Avaloq.
NEW PLATFORM FOR E-BANKING BANK OF CANTON ST. GALLEN
An additional customised adjustment regarded transfer
of PDF documents via Xoma Output Management Solu-
tion. Furthermore, CLX.E-Banking was extended with
an interface to Microsoft Outlook for bidirectional per-
sonalised messaging.
For data migration CREALOGIX E-Banking Solutions AG
developed import procedures that could also be applied
in future projects. Export fi les from the previous system
were aligned with the help of conversion routines.
Result
With CLX.E-Banking the Bank of Canton St. Gallen has
obtained a new e-banking platform, adapted to its needs.
The platform is perfectly aligned with the new Avaloq
banking system. CREALOGIX E-Banking Solutions AG
was able not only to deliver and introduce the solution
on schedule, but expanded its proprietary development
for future challenges. The certifi ed Adapter from Avaloq
achieved a level of maturity suitable for application in
additional projects.

GROUP COMPANIES /// C-CHANNEL AG
C-CHANNEL AG can rightly assert that it is defi nitively
involved in the growing popularity of e-banking. With
its user-friendly soft and hardware, C-CHANNEL AG
continuously simplifi es payment via internet, making it
quicker – and above all more secure.
C-CHANNEL AG offers straight through processing (STP)
of data with its products like no other company. Soft-
ware – for example PayMaker for electronic payment
transactions – is optimally aligned with hardware – such
as the stylus scanner PayPen. Payment transactions are
literally completed in a turn of the wrist.
Alongside new online banking topics such as SEPA or
IBAN, the integration of interfaces for fi nancial institu-
tions also remains in future focus. Whether these be for
example migration projects of large fi nancial institutions
or adjustment of existing security solutions.
“Innovation at C-CHANNEL AG is more
than just a buzzword. From the start
of our company history we have antici-
pated new developments in payment
transactions. One need only think of
the unparalleled success story of
the document reader series GIROMAT,
which had its beginnings in 1990,
and reached its pinnacle in 2001 with
the fi rst complete solution for
reading payment orders with a 2D
barcode. We were also the fi rst to
employ homologised IBAN calculators
in applications.
Being fi rst does not go without saying.

C-CHANNEL AGSOLUTIONS WITH PARADIGM FUNCTION
Security in online banking is a topic for the entire sector.
C-CHANNEL AG is assuming a trailblazing role, pre-
senting solutions with paradigm function.
The new CLX.Stick, brought to market in collaboration
with CREALOGIX E-Banking Solutions AG, is an impres-
sive example: via USB stick the user contacts his or her
fi nancial institution through a secure, hardened browser
– protected from any Trojan attack. C-CHANNEL AG is
now equipping PayMaker for use of the CLX.Stick. In
future PayMaker will use the hardened browser inter-
face for communication with fi nancial institutions.
The CLX.Stick is a fi rst concrete result to emerge from
synergies with other Group companies – in this case
with CREALOGIX E-Banking Solutions AG.

means that the whole team has to rise
above itself. And sometimes also to

From this emerge such sector-defi ning
products as PayPen, bill+pay or the

scanner for simple and secure online
banking, customers read in their
payment orders within fractions of a
second. The launch of bill+pay was
also trendsetting. An invoice arrives
via e-mail and is paid within three
clicks. Innovation always occurs in the
service of the customer. We offer the
customers of our products PayMaker,
ClubMaker or BusinessMaker an
