    Dear Shareholders,

    The past business year was shaped by massive and

    enduring changes that were not foreseeable in their

    magnitude before the start of 2008. The necessary

    restructuring measures were manifestly more cost inten-

    sive than budgeted. For the fi rst time in our twelve-year

    company history we must confront our shareholders

    with a loss.

    In the subsequent reports on the business areas, three

    points will be examined in detail.

    Splendid Core Business:

    Our E-Business area, which today generates some two-

    thirds of CREALOGIX Group revenue, achieved a record

    operative result in the year under review of CHF 7.2 mil-

    lion EBIT with a margin of 17 percent.

    Restructuring of the Business Area ERP:

    The CIRCON Group had to accept increasing losses due

    to the negative development of its Fashion Business,

    which comprises one quarter of ERP revenue and lay

    below expectations. With the sale of the entire Fashion

    Business in Switzerland and Germany on 25 July 2008,

    the primary loss generator in the ERP segment could be

    eliminated.

    Streamlining the Organisation:

    Four sites have been consolidated to a central location in

    Zurich. The business area School Administration Software

    with its product CLX.Evento (formerly Balzano Informa-

    tik AG) has been fully integrated into CREALOGIX AG.

    The sound parts of the former CIRCON business were

    concentrated under CREALOGIX ERP in essential form.

    Following successful completion of the restructuring

    we are convinced that we are now considerably more

    strongly positioned than we were one year ago.

    Sales and Profi t Development

    We were able to increase overall sales thanks to pleasing

    growth in the area of E-Business. The CREALOGIX Group

    closes business year 2007 / 2008 with consolidated

    operating revenue of CHF 62.9 million (previous year:

    CHF 61.8 million).

    The consolidated result with a loss of CHF 2.6 million is

    primarily due to the execution of restructuring measures

    in the business area ERP, and attributable to a lesser

    portion to the fi nancial market crisis in reference to our

    fi nancial investments.

    The equity ratio increased from 76 to 78 percent despite

    considerable fi nancial charges. That the CREALOGIX Group

    remains in good health at its core is demonstrated also

    by the increase in free cash fl ow over the previous year

    from CHF 7.4 million to CHF 7.6 million.

    Market Development and Positioning

    The IT market showed stability during the year under

    review and did not react immediately to the fi nancial

    market crisis, as was the case in 2001. Additional pro-

    tection is offered by our substantially broader and deep-

    er support with core business solutions among Swiss

    banks.

    Price pressure due to offerings from Far Eastern low-wage

    countries continues, which we counter with increased

    out-sourcing of standard developments to our Eastern

    European near-shoring partner. CREALOGIX enjoys as

    previously an exceptional reputation in the market and

    with the exception of the Fashion Business expanded or

    sustainably defended its market position in all areas.

    Product Developments

    In the past business year we also invested intensively in

    our product portfolio, generating numerous innovations

    – the guiding theme of this annual report.

    In the area of e-business we launched an entire range of

    new security products for e-banking, among them, for

    example, an extension of the e-banking solution for the

    Raiffeisenbanken with high-quality, mobile security func-

    tions. Banks can now confi rm payments for e-banking

    users via SMS. CREALOGIX is also among forerunners in

    the environment of computer-based telephony appli-

    cations (VOIP). The CREALOGIX Group was among the

    fi rst hundred companies worldwide to introduce the

    new Microsoft product “Unifi ed Communications”, and

    now offers corresponding implementation services.

    In ERP we successfully completed the revision of the

    sector solution “Transport & Logistics” and have already

    gained new customers. For our “Food & Beverage” solu-

    tion we collaborated closely with Microsoft as one of

    few select partners, and appropriately adapted our

    software before the launch of the newest version of

    Microsoft Dynamics AX 2009 within the scope of the

    “Early Adoption” program. We will thus be there at the

    launch of the new Microsoft product generation from

    the very fi rst day.

    Business Area E-Business

    Sales in the Business Area E-Business amounted to

    CHF 42.2 million and were increased by 18 percent over

    the previous year (CHF 35.9 million). This represents a

    two-thirds share of Group sales.

    The 17 percent EBIT margin of CHF 7.2 million achieved

    in the year under review a very pleasing record result.

    Our Business Area E-Business shows outstanding deve-

    lopment and achieved all planned growth targets. All

    previously mentioned developments of new releases or

    software products are already included in current calcu-

    lations.

    The backlog of orders in this Business Area is high and

    the order situation is stable.

    Business Area ERP (Enterprise Resource Planning)

    The Business Area ERP achieved sales of CHF 21.6 mil-

    lion, a decline of 19 percent against the previous year

    (CHF 26.6 million). Revenue in this Business Area con-

    tributes one-third of Group sales.

    The period under review saw the permanent restructu r-

    ing of the Business Area ERP.

    The CIRCON Group had slipped increasingly into a posi-

    tion of imbalance due to major projects in Germany and

    Switzerland that were sold at that time at unrealistically

    low fi xed prices, resulting in losses over a period of years.

    The growing project provisions, various unpaid project

    expenditures as well as continuously rising product de-

    velopment costs for the sector solution Fashion became

    evermore problematic.

    charges to the annual accounts which totalled more

    than CHF 8 million.

    Outlook

    The CREALOGIX Group has a remarkable spectrum of

    successful products and services at its disposal, now uni-

    formly offered under the umbrella brand CREALOGIX.

    In Switzerland we lead with our standard products

    CLX.Banking, and with the offl ine-banking solution

    directly recommended by most Swiss banks – known in

    the market under product names CLX.PayMaker and

    CLX.PayPen. We are furthermore the market leading

    solution provider for e-learning and internet applica-

    tions (web solutions) for major corporations.

    The school administration software CLX.Evento is in daily

    use at roughly two-thirds of Swiss universities of applied

    sciences and arts. In the area of ERP sector solutions

    based on Microsoft Dynamics AX we remain one of the

    leading providers in Switzerland, Germany and Austria,

    also after the sale of the Fashion Business.

    CREALOGIX sees considerable chances in the timely pro-

    vision of security solutions and products for e-banking.

    In particular, the market potential of CLX.Stick, under

    fi le for patent, is not yet quantifi able. This product has

    been declared a technological milestone in security and

    will enter the market in the course of the year.

    REPORT OF THE CHAIRMAN OF THE BOARD OF DIRECTORS

    CREALOGIX has undertaken further strategic steps in

    the area of seminal software products; we have esta b-

    lished a centre of competence for collaboration based

    on Microsoft SharePoint, as well as another centre of

    competence for open source software with JBoss.

    Following the restructuring of the Business Area ERP

    and thanks to our growth drivers in e-business, we look

    to the future with confi dence and expect a return to the

    profi t zone for the current business year. We also again

    see growth potential in the coming years for the Busi-

    ness Area ERP. For this reason we continue steadfastly

    on our path to being a “Software Powerhouse”.

    CREALOGIX has undertaken further strategic steps in

    the area of seminal software products; we have esta b-

    lished a centre of competence for collaboration based

    on Microsoft SharePoint, as well as another centre of

    competence for open source software with JBoss.

    Following the restructuring of the Business Area ERP

    and thanks to our growth drivers in e-business, we look

    to the future with confi dence and expect a return to the

    profi t zone for the current business year. We also again

    see growth potential in the coming years for the Busi-

    ness Area ERP. For this reason we continue steadfastly

    on our path to being a “Software Powerhouse”.

    In the area “Mobile Solutions” CREALOGIX AG was not

    only the fi rst company in Switzerland to realise real-time

    notifi cation of purchase with Cornèrcard, but also im-

    plemented a mobile security solution for online banking

    for the Raiffeisenbanken. Business year 2007 / 2008 was

    generally one of future-oriented banking projects. E-Learn-

    ing projects could be realised for the Bank of Canton

    Zurich as well as for Credit Suisse. CREALOGIX AG now
