The Chennai Metro takes the planned urbanization agen-da a step forward with the opening of the 9-km long ex-tension. The new line will allow passengers to travel

Specialty Chemicals Company LANXESS is acceleratingits growth course and signed a binding agreement toacquire 100 per cent shares in Emerald Kalama Chemicalon February 14, 2021. The US-based company is a glo-bally leading manufacturer of specialty chemicals, espe-cially for the consumer segment, and is majority-ownedby affiliates of the US private equity firm American Se-curities LLC.

The enterprise value of Emerald Kalama Chemicalamounts to USD 1.075 billion. After deducting debt-likeitems, the purchase price is around USD 1.04 billion (EUR867 million*), which LANXESS will finance from existingliquidity. The transaction is expected to be completed inthe second half of 2021. It is still subject to approval bythe relevant authorities.

In 2020, Emerald Kalama Chemical achieved sales ofaround USD 425 million and EBITDA pre-exceptional ofapproximately USD 90 million. Within three years follow-ing the completion of the transaction, LANXESS expectsan additional annual EBITDA contribution of around USD30 million (EUR 25 million*) from synergy effects. Theacquisition will already be earnings per share accretivein the first fiscal year after its completion.

“We are gaining further momentum on our growth course.The businesses of Emerald Kalama Chemical are an idealfit for us. We will further strengthen our Consumer Pro-tection segment and open up new application areas withstrong margins, for example in the food industry andanimal health sector. ates around 45 per cent of its turnover in North America.“Emerald Kalama Chemical has a very efficient setup,bundling all its production activities at only three sites.That is why we expect to integrate the new business veryquickly,” said Zachert.

Targeted portfolio expansion in the ConsumerProtection segment

Emerald Kalama Chemical generates about 75 per cent ofits turnover with specialties in the consumer segment.These include preservatives for food, household andcosmetic applications, flavors and fragrances as well asproducts for animal nutrition. The remaining 25 per centof sales come from the specialty chemicals business forindustrial applications, including the plastics and adhe-sives industries.

With the acquisition, LANXESS is pursuing a targetedexpansion of its portfolio: The company has a strongposition in the global business with antimicrobial activeingredients and preservatives, including for consumerprotection products and animal hygiene. ABB Softstarters wash away issues caused by conven-tional startersWhile demand has grown every year, the aged water in-frastructure has been losing 20-25% of the total watersupply to leakage. For some pumping stations, the IPHD was having prob-lems of water hammering when stopping pumps and fre-quent blown fuses caused by current spike. To avoid suchissues, IPHD decided to install eight ABB PSTXSoftstarters for the Shimla project. IPHD had a sizeableinstallation of ABB Softstarters in other water supplysystems and had been satisfied with their performance,easy handling and ease of use.

Softstarters shrink service calls and pipeline damageThe IPHD now estimates that, with reduced mechanicalwear and 30 per cent fewer service calls, PSTXSoftstarters can cut pipeline damage by up to 50 percentduring starting and stopping operations, leading to over-all cost savings.

The Shimla installation project had a very ambitiouscompletion deadline, but ABB was able to meet thecustomer’s expectations, supplying the Softstarters ontime.
