9. The bidder will be disqualified if they have any record of poorperformance such as abandoning the contracts, not properly completingthe contract, inordinate delays in completion, litigation history, orfinancial failures etc.,

8. Earnest Money Deposit (EMD)

8. I Bid must accompanied by EMD.a.2 The EMD shall be in the form of Demand Draft from a nationalized

bank drawn in favour of TIIC Ltd., Chennai payable at Chennai.8.3 The EMD of the unsuccessful bidders will be refunded after

tabulating tenders, keeping only the earnest money deposit of thehrst three highest bidders viz., L7, L2, L3. The earnest moneydeposit of the remaining two bidders L2, L3, will be released aftersigning the lease agreement with the L1 successful bidder.

8.4 If the successful bidder withdraws its bid after its acceptance orfails to submit the required Security Deposit/Rental Advance and

or fails to fulfill any other contractual obligations, In that event,'l'llC u,ill have the right to arvard the lease to the next evaluatedbidder or call lor nelr, bids. Any extra expenditure on this accountshall be recoverable from the successful bidder.

8.6

In the case o[ successful bidder, the Earnest Monet, r.r,ill bereturned within 30 days after signing the lease agreement andsubmission of Demand Draft towards Security Deposit/RentalAdvance, which they will have to offer for the faithful execution ofthe agreement.The EMD may be forfeited:-a) If a Bidder withdraws its EOI during the period of bid validity

specilied by the Bidder on the EOI Document; orb) In case of the successful Bidder fails:

i) To sign the lease agreement as prescribed by TIICii) To furnish security deposit/rental advance.iii) If the bidder decreases quoted rates during the

negotiations or at any state.

9. Irroposed terms of lease or rental are enclosed.

10. Only the EOI proposal along with applicable EMD, submitted in separate

sealed cover will be opened on the date of opening.

submitted by non-qualified bidders will not opened and their EMD will berefunded. TIIC decision on the same will be final and binding on thebidders.

13. The qualified bidder who has quoted the highest monthly lease rent willbe considered for giving the office vacant land on lease/rental basis andTllC reserves right to negotiate with the highest qualified bidder only, forfinalizing the lease agreement.

14. The successful bidder (Lessee) shall sign a Lease Agreement in the formand manner prescribed by TIIC/Owner with the Owner (Lessor) beforehanding over the site for its use.

15. Thc lease period for 5 years and subsequently for further period asagreed by both the lessor ad lessee in mutual terms. The leaseagreement for 5 years shall be registered.

SCHEDULE IV

PROPOSED TER]VIS OF LEASE

1) Vacant Land as detailed in Schedule-lll at Madurai is available forrent/ lease.

3) Expression of Interest is invited from Government institutions/ Privateparties for taking vacant land on lease or rental basis at location detailed inSchedule-ll I.

4) Mor-rthly Lease Rent is exclusive of all applicable taxes. In case of change inthe rates of any taxes, duties, levies or if new taxes, duties or levies areinitiated by the Central/ State Government/ local bodies, includingenactment of any legislation by Union/ State, then the same will be to theaccount of Lessor and shall be reimbursed by the Lessee. Lessee shall beentitled to the benefit of any decrease in price on account of reduction in orremission of any duty or tax or levy. Change in judicial interpretationandf or any clariflcation or amendment made by the relevant authoritiesshall be construed to be a change in the rate of taxes, duties, levies and/orof new tax, duty or levy.

If the due amounts are not paid beyond due date for each month, Lessee

shall bear interest at the MCLR plus 1% interest p.a. from the next dayof the due date until receipt of full or all amounts owed by Lessee toLessor. Lessor u'ill have the right to take back the demised property inthe event of payment of default for more than 30 (thirty) days.

5) The rent shall be paid to the lessor on or before 5e of every month-

6) An annuai appreciation of 5% in the quoted monthly lease rent will be

applicable during the iease period.

7) Ownership: It is agreed that the ownership of the facility offered on lease willbe with the Lessor during the entire lease period. Lessee shall not

hypothecate, pledge, or create any encumbrance whatsoever on the propert-v

8) Lessee/Tenant shall obtain necessary NOC for operating the proposedbusiness in the leased premises from all authorities concerned.

ql The rental or lease period shall be extendable at the option of Lessor atmutually agreeable terms.

10) The vacant land will be offered for rental or lease in 'as-is-where-is'condition.

1 1) Thc lessee shall get prior approval for fencing of property / ternporary I re-locrrtablt: ,/ permancnt structures after getting approved building plan fromlhe <'oncerned authorities, if any by Lessee shall be permissible subject tothe expenses incurred by the Lessee. At the end of the lease period, anydevelopmental infro created by the iessee without approval of lessor thatshall be removed by the lessee at their expenses.

12) Thc succcssful bidder shail use the property only for the purpose for whichit has been leased/rented out and not for any other purpose. No unlawfulactivities like betting, gambling, etc., shall be allowed inside the property.

13) The Lessee shall obtain necessary connections for the utilities like EBconnection and water by incurring necessary expenditure and ali thecharges for pou'er and water consumed shall be paid by the Lessee.

14) 'lhc business proposed in the dExpression of Interest" shall not be changedu,ithout the prior approval ofTIIC/Lessor.

15) The Lessee shall obtain all the Certificates / Licenses if any required forconducting a specific business mentioned in the proposal for usage of theland submitted along with the "Expression of the lnterest"

16) The Lessee will not be entitled to transfer or part with the possession in anyway to anyone else without specific permission of the Lessor. TIIC/Lessorreserves the right to deny such permission.

17) During the period of lease, any damage in whichever form it made to the

propertJ,' in use of the adjoining property u'ill have to be made good by the

Lessee. The decision ofTllC/Lessor will be final in this regard'

19) Lessee shall sign a Lease Agreement with the Lessor before handing over thesite for its use.

20) Security Deposit/ Rental Advance:

On or before the date of signing of lease agreement, Lessee shall paidSecurity Deposit equivalent to 6 month rental amount in the form of aDemand Draft from a nationalized bank drawn in favour of TIIC Ltd.,Chennai payable at Chennai. The Securiqv Deposit Rentai Advanceslrould be r,alid until successful completior-r of the lease period and u'ill bercturned $.ithout interest n,ithin 45 days from the date of expiry of thelease period. In case of extension of lease period, the validity of thesecurity deposit shall be suitably extended.

21) Adiustment of Securiw Deposit/Rental Advance: If the lessee fails tocomply with the terms and conditions of the lease agreement, non-pa]'ment of Lease rent on due date or any other dues payable toTIIC/Lessor in stipulated time, the security deposit furnished will beadjusted.

22) All statutory rates, taxes, charges, claims as applicable on Lease rent,shall be borne by Lessee. The Water / Sewerage Charges/Taxes/ Cess asdemanded b1, the local authorities shall be borne by the Lessee

23) Registration charges and stamp duty as applicable will borne by thelessee.

24) Termination:

An1' ol' the lollowing events shall constitute an event of default by theLcssee entitling the Lessor to terminate this agreement :

Lessee's failure to comply with the statutory and regulatoryrequirements.

Lessee under this Agreement shall not be transferred, encumberedetc.Prior to issuance ol termination nctice, the lessor shall provide tothe lessee period of 30 days from date of notice of breach to rectifythe breach failing which the lessor shall issue a final terminationnotice with 90 days period. Lessee shall pay for lease rent and allservices provided during the notice period under this clause, if thebreach is rectified resulting in provision of the services.

25) In case of termination by Lessor on account of default by Lessee, the Lesseeshall be liable to pay all outstanding dues within a period of (3O) days fromthe clate of notice of termination.

post, the beginning and end of any of the above causes of delay,

failing which the l,essor shall not be liable to consider delays due

If any dispute arises in connection with the Lease/Rent Agreementbetween the successlul bidder and TIIC, the responsiblerepresentatives of the Perrties shall attempt, in lair dealing and ingood faith, to settle such dispute. Each Party can request ltom theother Party that on all sides a senior representative becomesinvolved in the negotiations. If the Parties are not able to reach anamicable settlement, each Party may initiate an arbitrationproceeding. Any dispute or difference or claim arising out of or inrelation to this transaction including construction, validitl'performance or breach thereof shall be referred to a Sole Arbitratorto be appointed by the Managing Director, TIIC Limited.Arbitration proceedings shall be conducted as per the provisions ofArbitration and Conciliation Act 1996 and any subsequentamendments thereof for time being in force.

The Lessee shall be in compliance with the Know Your Customer (KyC)norms as prescribed by the RBI from time to time and promptly upon therequest of the Lessor supply, or procure the supply of, suchdocumentation and other evidence as is reasonably requested by theLessor in order lor the Lessor or any prospective person to whom theLcssor's rights are proposed to be assigned or transferred to carry out;rncj }lt: satisfied it has complied u'ith all necessary know your customeror other similar checks under all applicable laws and regulationspursuant to the transactions contemplated in this Agreement.

o The venue of arbitration shall be the place from where the lease

rent/agreement is signed. The language of arbitration shall be

English and the award passed by the Arbitrator shall be final and

binding on the Parties.
