1. Instructions to Tenderers

Sealed offers will be received at the tender box located at the Ministry for Home Affairs and National Security (MHAS), 201, Strait Street, Valletta (Malta) up to 10:00am CEST on Friday 26 June 2015 for the printing of Asylum & Migration Glossary Booklet – European Migration Network (National Contact Point) as outlined in this document. The project is part-financed by the European Refugee Fund (ERF) Annual Programme 2014 (Co-financing rate: 75% EU Funds, 25% National Funds). This call for call for quotation is being published in terms of Regulation 20.1(d) of the Public Procurement Regulations.

In submitting a quotation, the tenderer accepts in full and in its entirety, the content of this call for quotation document, including subsequent Clarifications issued by the Contracting Authority, whatever his own corresponding conditions may be, which he hereby waives. Tenderers are expected to examine carefully and comply with all instructions, forms, contract provisions and specifications contained in this call for quotation document. No account can be taken of any reservation in the tender as regards the call for quotation document; any disagreement, contradiction, alteration or deviation shall lead to the offer not being considered any further.

Participation in tendering is open on equal terms to all natural and legal persons of the Member States of the European Union, the beneficiary country, any other country in accordance with Regulation 64 of the Public Procurement Regulations. Natural persons, companies or undertakings who fall under any of the conditions set out in Regulation 50 of the Public Procurement Regulations, 2010 (Legal Notice 296 of 2010) may be excluded from participation in and the award of contracts.

Quotations submitted by companies forming a joint venture/consortium must also fulfil the following requirements:

One partner must be appointed lead partner and that appointment confirmed by submission

of powers of attorney signed by legally empowered signatories representing all the

individual partners. The tender must include a preliminary agreement or letter of intent

stating that all partners assume joint and several liability for the execution of the contract,

that the lead partner is authorised to bind, and receive instructions for and on behalf of, all

partners, individually and collectively.

All partners in the joint venture/consortium are bound to remain in the joint

venture/consortium until the conclusion of the contracting procedure. The consortium/joint

venture winning this contract must include the same partners for the whole performance

period of the contract other than as may be permitted or required by law. A tenderer may submit multiple tender offers. A company may not tender for a given contract both individually and as a partner in a joint venture/consortium. A company may not tender for a given contract both individually/partner in a joint venture/consortium, and at the same time be nominated as a sub-contractor by any another tenderer, or joint venture/consortium. A company may act as a sub-contractor for any number of tenderers, and joint ventures/consortia, provided that it does not participate individually or as part of a joint venture/consortium, and that the nominations do not lead to a conflict of interest, collusion, or improper practice. Tenderers will bear all costs associated with the preparation and submission of the quotation. The Third Country Nationals Unit within MHAS (thereafter referred to as the “Contracting Authority”) will in no case be responsible or liable for such costs, whatever the conduct or outcome of the procedure. No Submission shall be considered unless:

a) it is received at the above mentioned address on or before the date and hour fixed above; b) it is made on the prescribed forms;

c) (i) in the case of a Registered Company, it is signed by a person or persons duly authorised to act on behalf of the Company; (ii) in all cases it is signed by the bidding party.

The successful bidder shall, where the conditions of the quotation specify, endeavour to sign the contract within one calendar week of being required to do so. The bidder whose offer is accepted shall incur a penalty equal to ten per cent of the estimated value of the contract should he fail to call either personally or by proxy to sign the contract for two consecutive times when requested to do so. Moreover, if the said bidder fails to furnish information and / or documents necessary for the drawing up of a contract by the date as set by the Contracting Authority, this shall be construed as unwillingness on the part of the bidder to sign the contract, and shall render the signatory of the bid personally responsible and liable to the penalty aforesaid. This notwithstanding, the said bidder shall remain responsible to carry out his obligations under the agreement and may be compelled to carry out such obligations under the conditions governing the contract and shall be subject to penalties specified in those conditions although a formal contract was not executed. Bidders shall not retract or withdraw their bids for the period specified in the relative Form of Tender. During this period, which shall commence from the date of expiration of the time fixed for the presentation of quotations, the quotations shall remain binding and shall be accepted at any time. Tenderers may submit questions in writing to the Contracting Authority via email [email protected] up to eight (8) calendar days before the deadline for submission of bids. The Contracting Authority must reply to all tenderers' questions, and amend the quotation document by publishing clarification notes, up to at least six (6) calendar days before the deadline for submission of tenders. The Contracting Authority may, at its own discretion, extend the deadline for submission of tenders to give tenderers sufficient time to take clarification notes into account when preparing their quotation. By submitting their offer, tenderers are accepting that this procedure is regulated by Maltese Law, and are deemed to know all relevant laws, acts and regulations of Malta that may in any way affect or govern the operations and activities covered by the tender and the resulting contract. The tendered price (delivery duty paid, inclusive of VAT) must cover the whole of the service as described in the tender document. The Contracting Authority reserves the right to accept or reject any tender and/or to cancel the whole tender procedure and reject all tenders. The Contracting Authority reserves the right to initiate a new invitation to tender. Cancellation may occur where:

(a) the tender procedure has been unsuccessful, namely where no qualitatively or financially worthwhile tender has been received or there has been no response at all;

(b) the economic or technical parameters of the project have been fundamentally altered; (c) exceptional circumstances or force majeure render normal performance of the project

impossible; (d) all technically compliant tenders exceed the financial resources available; (e) there have been irregularities in the procedure, in particular where these have

prevented fair competition. In no circumstances will the Contracting Authority be liable for damages, whatever their nature (in particular damages for loss of profits) or relationship to the cancellation of a tender, even if the Contracting Authority has been advised of the possibility of damages. The publication of a contract notice does not commit the Contracting Authority to implement the programme or project announced. This tender will be awarded to the cheapest offer fulfilling the administrative and technical criteria set out in this document.

2. Eligibility/Selection Requirements

Additionally, in order to be considered eligible for the award of the contract, tenderers must provide evidence that they meet or exceed certain minimum qualification criteria described hereunder: The tenderer must submit, together with the quotation, the following additional documentation:

A profile of the tendering party

Provide data concerning subcontractors and the percentage of works to be subcontracted as per Form marked Sub-contracting to be submitted online through the prescribed Tender Response Format and by using the Tender Preparation Tool provided. The maximum amount of sub-contracting must not exceed 50% of the total contract value. The main contractor must have the ability to carry out at least 50% of the contract works by his own means. (Form D).

3. General Conditions of Contract

The full set of General Conditions for Services Contracts - Version 1.06 (20 January 2015) can be viewed/downloaded from the following URL: www.etenders.gov.mt under ‘resources’. It is hereby construed that the tenderers have availed themselves of these general conditions, and have read and accepted in full and without reservation the conditions outlined therein, and are therefore waiving any standard terms and conditions which they may have. These general conditions will form an integral part of the contract that will be signed with the successful bidder.

4. Special Conditions of Contract

These conditions amplify and supplement, if necessary, the General Conditions

governing the contract. Unless the Special Conditions provide otherwise, those General Conditions remain fully applicable. The numbering of the Articles of the Special Conditions is not consecutive but follows the numbering of the Articles of the General Conditions. Other Special Conditions should be indicated afterwards.

Article 2: Notices and Written Communications 2.2 Communications between the Contracting Authority and the Service Provider shall be

exclusively in writing. Unless otherwise specified in the Special Conditions, communications shall be sent by post, e-mail or delivered by hand to the address designated by the Parties for this purpose. If the person sending a communication requires acknowledgement of receipt, he shall indicate this in his communication. Whenever there is a deadline for the receipt of a written communication, the sender should ask for an acknowledgement of receipt of his communication. In any event, the sender shall take all necessary measures to ensure receipt of his communication. During the contracting phase, communication with the Contracting Authority shall be made by e-mail on [email protected] .

Article 5: Supply of Information 5.1 As per General Conditions.

Article 13: Medical, Insurance and Security Arrangements 13.3 As per General Conditions.

Article 14: Intellectual and Industrial Property Rights 14.3 Further to the provisions of the General Conditions, all copyright in Documentary

Material resulting from the Contractors’ provision of the Services shall automatically vest in the Contracting Authority.

Article 15: Scope of the Services 15.1 The scope of the services is defined in Section 5 (Terms of Reference)

Article 16: Personnel and Equipment 16.3 Further to the provisions of the General Conditions, the personnel employed on this

contract shall comply with the parameters stipulated in Section 5 (Terms of Reference).

Article 17: Replacement of Personnel 17.1

In the event that either any of the personnel being assigned need to be replaced throughout the performance of this contract due to legitimate sickness and/or other extenuating circumstances, including also the non-performance of such individuals as decided upon by the Contracting Authority, the Service Provider is obliged to present a detailed profile of the individual to replace the original personnel for approval by the Contracting Authority. The Contracting Authority reserves the right to refuse the replacement/s proposed by the Contractor.

Article 18: Execution of the Contract 18.1 The Contract will commence from date of last signature of contract (that is signature

of the Contracting Authority).

18.2 This delivery period shall be within four weeks from notice of award.

Article 19: Delays in Execution 19.2 Further to what is stated in the General Conditions, if the Service Provider fails to

provide the contracted service, he will be liable to a penalty of EUR 75 per day up to a maximum of EUR 2,000 during the whole contract period. Moreover, the Contracting Authority reserves the right to terminate the contract (at any time) if it is not executed in accordance with contract conditions and obligations. In this case, the Contracting Authority reserves the right to engage another Service Provider and the original Service Provider will become liable to pay the difference in price between the contract price and the price charged by the newly appointed Service Provider to the Contracting Authority.

Article 20: Amendment of the Contract 20.5 Further to the provisions of the General Conditions, the right is also reserved to

extend the service to any other closed detention centre that the Contracting Authority may set up during the contracting period. The right is also reserved to halt/discontinue the provision of service in any/all closed detention centres if these are closed down during the contracting period, with the Contracting Authority not being liable for any damages/losses that may be sustained on the part of the Service Provider in both instances.

Article 24: Interim and Final Progress Reports 24.1 Without prejudice to the general conditions, the reporting requirements are as

specified in Section 4 (Terms of Reference).

Article 26: Payments and Interest on Late Payment 26.1 This is a global sum contract. Payments will be effected to the Service Provider upon presentation of a valid and

original invoice, subject to the provisions of Articles 28 to 33 of the General Conditions.

26.2

The maximum period in which payments are to be effected is 60 calendar days, failing which the provisions of the Late Payments Directive will come into effect after 30 days as per General Conditions.

26.3 In breach of this time limit, a Service Provider would become entitled to the payment of 2% above the Central intervention rate as established by the Governor of the Central Bank of Malta in terms of the powers granted to him in part IIA of the Central Bank of Malta Act in force on the first calendar day of the half year during which interest becomes due.

Article 39: Laws and Language of the Contract 39.1 The law of Malta shall govern all matters not covered by the contract. 39.2 The language of the contract and of all written communications between the Service

Provider and the Contracting Authority and/or the Project Manager shall be English.

Article 40: Confidentiality

40.1 The Service Provider and his staff are bound not to divulge any information obtained

in any way whether directly, indirectly, accidentally or otherwise during the performance of their duties.

Article 41: Conditions of Employment 41.1 The Service Provider shall fully understand and agree that if in the course of the

duration of the contract, is charged before a court of criminal and civil jurisdiction or Tribunal with an alleged breach of any of the provisions of the Employment and Industrial Relations Act, the Occupational Health and Safety Authority Act, the Employment and Training Services Act or any of the provisions of their subsidiary legislation, (hereinafter referred to as ‘”labour laws”).

(a) the contract may, at the sole discretion of the Central Government Authority

be suspended or terminated. No action for damages shall lie against the Central Government Authority and/or the Beneficiary with respect to any such suspension;

(b) where the contract has been suspended in accordance with (i) above, if the

judicial decision becomes res judicata and the Service Provider is found guilty of the charges brought against that person, (i) the contract shall be terminated with effect from the date of

suspension of the contract, or from the date of the judicial decision, as appropriate, and no action for damages shall lie against the Central Government Authority and/or the Beneficiary with respect to such termination;

(ii) the Central Government Authority may, at its sole discretion, after giving one month’s notice, either terminate any other contract which had already been awarded to the Service Provider exact a financial penalty equivalent to up to 20% of the total value of the contract or contracts;

(c) the person in whose favour the contract is awarded shall under all

circumstances be responsible to ensure that all persons engaged to do work or to render services in terms of the awarded contract are aware of the penalties provided in this clause, which penalties are also applicable to them.

Article 42: Breach of contract 42.1 Without prejudice to the Government’s right to dissolve ‘ipso jure’ the contract in

the case of infringement of any condition there under and apart from the deduction established for delay in delivery, any such infringement shall render the contractor, in each case, liable to a deduction by way of damages of 5 per cent of the value of the contract, unless the Government elects, with regard to each particular infringement, but not necessarily with regard to all infringements, to claim actual damages incurred.

Article 43: Dispute settlement by Litigation

43.1 Any dispute between the Parties that may arise during the performance of this

contract and that has not been possible to settle otherwise between the Parties shall be submitted to the arbitration of the Malta Arbitration Centre in accordance with the Arbitration Act (Chapter 387) of the Laws of Malta. This law is based on “Model Law” which is the Model Law on International Commercial Arbitration adopted on June 21, 1985 by the United Nations Commission on International Trade Law reproduced in the First Schedule of the Arbitration Act.

Article 44: Termination of Contract 44.1. Without prejudice, and without vitiating any other rights or remedies, including the

possibility of terminating the contract as outlined in the Terms of Reference (‘Contract Objectives and Expected Results’), the Ministry may terminate the contract should the contractor become liable to any one or more of the following conditions:

• If he/she neglects in carrying the required service, in whole or in part, without giving a

valid reason. • If he/she negligibly or intentionally suspends the provision of the professional service,

without giving a valid reason for such action. • If he/she neglects or refuses written legitimate notices without giving a valid reason

within a reasonable time such as not to obstruct the progress of works on site. • If it results that the commissioned architect is claiming excessive and unjustified hours

in relation to the output service without a valid justification. Termination shall be effected by the Contracting Authority with immediate effect by informing the contractor in writing.

Note: Where in this tender document a standard is quoted, it is to be understood that the Contracting Authority will accept equivalent standards. However, it will be the responsibility of the respective bidders to prove that the standards they quoted are equivalent to the standards requested by the Contracting Authority.

6. Glossary

Definitions Note: the present definitions are given here for convenience only, in the context of the tender procedure. The definitions set out in the contract as concluded are determining for the relations between the parties to the contract.

Administrative order: Any instruction or order issued by the Project Manager to the Contractor in writing regarding the execution of the contract. Breakdown of the overall price: A heading-by-heading list of the rates and costs making up the price for a lump-sum contract. Central Government Authority: means the Department of Contracts Contracting Authority: means the final beneficiary. Contractor Proprietary Software: means the software which is proprietary to the Contractor, including the software provided by the Contractor under this Contract and includes also the documentation relating to such software; Conflict of interest: Any event influencing the capacity of a candidate, tenderer or supplier to give an objective and impartial professional opinion, or preventing him, at any moment, from giving priority to the interests of the Central Government Authority and the Contracting Authority. Any consideration relating to possible contracts in the future or conflict with other commitments, past or present, of a candidate, tenderer or supplier, or any conflict with his own interests. These restrictions also apply to subcontractors and employees of the candidate, tenderer or supplier. Contract value: The total value of the contract to be paid by the Contracting Authority in terms of the agreed terms and conditions. Contractor: The successful tenderer, once all parties have signed the contract. Day: Calendar day. Equipment: Machinery, apparatus, components and any other articles intended for use in the works EMN: European Migration Network EU: European Union Evaluation Committee: a committee made up of an odd number of voting members (at least three) appointed by the Central Government Authority and possessing the technical, linguistic and administrative capacities necessary to give an informed opinion on tenders. Final acceptance certificate: Certificate(s) issued by the Engineer to the Contractor at the end of the defects notification period stating that the Contractor has completed his obligations to construct, complete, and maintain the works concerned. Final Beneficiary: The Department/Entity or other government body on whose behalf the Department of Contracts has issued this tender. Foreign currency: Any currency permissible under the applicable provisions and regulations other than the Euro, which has been indicated in the tender.

General conditions: The general contractual provisions setting out the administrative, financial, legal and technical clauses governing the execution of contracts. General damages: The sum not stated beforehand in the contract, which is awarded by a court or an arbitration tribunal, or agreed between the parties, as compensation payable to an injured party for a breach of the contract by the other party. In writing: This includes any hand-written, typed or printed communication, including fax transmissions and electronic mail (e-mail). Liquidated damages: The sum stated in the contract as compensation payable by the Contractor to the Contracting Authority for failure to complete the contract or part thereof within the periods under the contract, or as payable by either party to the other for any specific breach identified in the contract. Modification: An instruction given by the Engineer which modifies the works. National currency: The currency of the country of the Contracting Authority. NCP: National Contact Point Period: A period begins the day after the act or event chosen as its starting point. Where the last day of a period is not a working day, the period expires at the end of the next working day. Plant: appliances and other machinery, and, where applicable under the law and/or practice of the state of the Contracting Authority, the temporary structures on the site required to carry out the works but excluding equipment or other items required to form part of the permanent works. Project Manager : The legal or natural person responsible for monitoring the execution of the contract on behalf of the Contracting Authority, where the latter is not the Central Government Authority. Provisional sum: A sum included in the contract and so designated for the execution of works or the supply of goods, materials, plant or services, or for contingencies, which sum may be used in whole or in part, or not at all, as instructed by the Engineer. Site: The places provided by the Contracting Authority where the works are to be carried out and other places stated in the contract as forming part of the site. Special conditions: The special conditions laid down by the Contracting Authority as an integral part of the tender document, amplifying and supplementing the general conditions, clauses specific to the contract and the terms of reference (for a service contract) or technical specifications (for a supply or works contract). Tender document/s: The dossier compiled by the Contracting Authority and containing all the documents needed to prepare and submit a tender. Tender price: The sum stated by the tenderer in his tender for carrying out the contract. Works: Works of a permanent or temporary nature executed under the contract. Written communications: Certificates, notices, orders and instructions issued in writing under the contract.

With reference to this request for quotation by the Detention Service within the Ministry for Home Affairs and National Security (MHAS) and in terms of the conditions therein mentioned and those thereto, I/We:……………………………………………………………… confirm that: 1. I/We have examined, and accept in full and in its entirety, the content of this tender document (including subsequent Clarifications Notes issued by the Contracting Authority). I/We hereby accept the contents thereto in their entirety, without reservation or restriction and, in submitting my/our offer, I/We subject myself to all the conditions involved and, in the eventuality my/our offer is accepted, bind myself/ourselves to the prevailing conditions of contract. Form C - Statement on Conditions of Employment

1. It is hereby declared that all employees engaged on this contract shall enjoy working conditions including wages, salaries, vacation and sick leave, maternity and parental leave as provided for in the relative Employment Legislation. Furthermore, we shall comply with Chapter 424 of the Laws of Malta (Occupational Health and Safety Authority Act) as well as any other national legislation, regulations, standards and/or codes of practice or any amendment thereto in effect during the execution of the contract.

2. It is hereby declared that no part of the services to be provided under this contract shall be sub-contracted to an economic operator who has in his employment employees, who are already in employment with the bidding entity and are carrying out, with the sub-contractor, the same or very similar duties as those in their contract of employment with the bidding entity.

3. The sub-contractor/s agree to all the conditions listed in this statement.

4. It is hereby declared that the service being provided under this contract will be carried out solely by the bidding entity employees, or bona fide self-employed individuals. No work will be carried out by persons designated as self-employed where their actual employment status in terms of the Employment Status National Standard Order LN 44/2012 is that of an employee.

5. It is hereby declared that all the employees of the bidding entity, whether providing services to the contracting authority or not, have a written contract of service and are registered with the competent authority of my country, which in the case of Malta is the Employment and Training Corporation. If this tender is awarded to us, we shall furnish a list of employees who will be providing the services. Copies of the written contracts of service of the employees will be available at any time for inspection.

6. It is hereby declared that the bidding entity’s employees shall be given a detailed payslip containing all relevant details including the amount paid, normal hours worked, overtime hours, hours worked on Sundays and Public Holidays, hours availed of as leave or sick leave, a breakdown of bonuses/allowances as well as deductions made (such as social security contributions and income tax).

7. It is hereby declared that all the wages/salaries of the bidding entity’s employees are paid only by direct payment in the employee’s bank account.

8. It is hereby declared that the relevant bank statements of wage/salaries’ deposit and copies of the detailed payslips will be made available as and when required by the Director of Industrial and Employment Relations.

9. It is hereby declared that if the bidding entity is found in breach of any of the above declarations it is accepted that this contract will be terminated and that we will have no right to be compensated for any damage we may have suffered or will suffer in the future in respect to this termination.

10. A list of the minimum hourly workers’ costs involving the provision of the employees’ services in this tender shall be submitted if so requested.
