1.“Advertisement order“ within the meaning of the following terms and conditions is the contract for the publication of one
or more advertisements by an advertiser or other advertiser in a prin-ted publication for the purpose of distribution.
2.In case of doubt, advertisements are to be called for publica-tion within one year of conclusion of the contract. The Publis-
her will issue an order confirmation for each advertising order. If the right to retrieve individual advertisements is granted within the fra-mework of a contract, the order shall be processed within one ye-ar of the publication of the first advertisement, provided that the first advertisement is retrieved and published within the period spe-cified in sentence 1.
3.In the case of contracts, the customer shall be entitled to call for further advertisements within the agreed period or the pe-
riod specified in section 2, even beyond the quantity of advertise-ments specified in the order.
4.If an order is not fulfilled due to circumstances beyond the control of the Publisher, the Client shall, without prejudice to
any further legal obligations, reimburse the Publisher for the diffe-rence between the discount granted and the discount correspon-ding to the actual acceptance. The reimbursement shall not apply if the non-fulfilment is due to force majeure within the publisher‘s sphere of risk.
5.Orders for advertisements and third-party supplements which are declared to be published exclusively in specific numbers,
specific editions or at specific places in the publication must be recei-ved by the publisher in good time so that the customer can be noti-fied before the advertising deadline if the order cannot be executed in this way. Classified advertisements shall be printed under the rele-vant heading without this requiring express agreement.
6.Advertisements which are not recognisable as advertisements due to their editorial design will be clearly identified as such
by the publisher with the word „advertisement“ or „advertorial“.
7.The Publisher reserves the right to reject advertising orders - in-cluding individual call-offs within the framework of a contract -
and insert orders on the grounds of content, origin or technical form in accordance with uniform, objectively justified principles of the Pu-blisher if their content violates laws or official regulations or if their publication is unreasonable for the Publisher. Orders for inserts shall not be binding on the Publisher until a sample of the insert has been submitted and approved. Inserts which, through their format or pre-sentation, give the reader the impression of being part of the news-paper or magazine or which contain third-party advertisements shall not be accepted. The rejection of an order will be communicated to the client without delay.
8.The client is responsible for the timely delivery of the adverti-sing motif and perfect print documents or inserts. The publisher
shall immediately request a replacement for recognisably unsuitable or damaged print documents. The publisher guarantees the usual print quality for the title in question within the scope of the possibi-lities offered by the print documents.
9.If the advertisement is printed illegibly, incorrectly or incom-pletely in whole or in part, the client shall be entitled to a re-
duction in payment or a faultless replacement advertisement, but only to the extent that the purpose of the advertisement has been impaired. If the Publisher allows a reasonable period of time set for this purpose to expire or if the replacement advertisement is again not faultless, the Client shall be entitled to a reduction in payment or cancellation of the order. Claims for damages arising from posi-tive breach of contract, culpa in contrahendo and tort are excluded - even in the case of orders placed by telephone; claims for dama-ges arising from impossibility of performance and default are limi-ted to compensation for foreseeable damage and to the fee payable for the advertisement or insert in question. This does not apply to in-tent or gross negligence on the part of the publisher, his legal repre-sentative or his vicarious agent. Any liability of the Publisher for da-mages due to the absence of warranted characteristics shall remain unaffected. In commercial business transactions, the Publisher is al-so not liable for gross negligence on the part of vicarious agents; in all other cases, liability for gross negligence on the part of merchan-ts is limited in scope to foreseeable damage up to the amount of the relevant advertising fee. Complaints must be made - except in the case of non-obvious Defects - within four weeks of receipt of invoice and receipt can be asserted.
10. Proofs will only be supplied upon explicit request. The custo-mer is responsible for the correctness of the returned proofs.
The Publisher shall take into account all error corrections that are communicated to it within the period set when the proof was sent.
11. If no special size specifications are given, the calculation is based on the actual print height customary for the type of
advertisement..
12.FIf the client does not pay in advance, the invoice will be sent immediately, but if possible 8 days after publication of
the advertisement - with a specimen copy. The invoice shall be paid within the period indicated in the price list as of receipt of the in-voice, unless a different payment period or advance payment has be-en agreed in individual cases. Any discounts for early payment shall be granted in accordance with the price list.
13.In the event of default in payment or deferment of payment, interest and collection costs shall be charged. In the event
of default in payment, the Publisher may postpone the further exe-cution of the current order until payment has been made and de-mand advance payment for the remaining advertisements. If there is justified doubt as to the solvency of the customer, the publisher is entitled to make the publication of further advertisements depen-dent on the advance payment of the amount and the settlement of outstanding invoice amounts, even during the term of an advertise-ment contract, irrespective of any originally agreed payment period.
14.Upon request, the publisher shall deliver a copy of the ad-vertisement with the invoice. Depending on the type and
scope of the advertising order, cutouts of the advertisement, pages or complete numbers will be supplied. If a voucher can no longer be procured, it shall be replaced by a legally binding confirmation from the Publisher that the advertisement has been published and distributed.
15.The customer shall bear the costs for the production of or-dered print documents as well as for substantial changes to
originally agreed designs requested by the customer or for which the customer is responsible.
16.In the case of a reduction in circulation, no entitlement to a price reduction can be derived from a contract for seve-
ral advertisements if the total average of the insertion year begin-ning with the first advertisement, which is shown in the price list or on the average circulation stated in another way or - if a circula-tion is not stated - the average circulation sold (in the case of tra-de journals, the average circulation actually distributed) in the pre-vious calendar year is undershot. In addition, price reduction claims are excluded for contracts if the Publisher has informed the Client of the decline in circulation in good time so that it can could withdraw from the contract before the advertisement appeared.
17.In the case of numerical advertisements, the Publisher shall exercise the diligence of a prudent businessman for the sa-
fekeeping and timely forwarding of offers. Registered letters and ex-press letters in response to numbered advertisements shall only be forwarded by normal mail. Receipts in response to numbered adver-tisements shall be kept for four weeks. Letters which are not colle-cted within this period will be destroyed. The publisher shall return valuable documents without being obliged to do so. The publisher reserves the right, in the interest of and for the protection of the cli-ent, to open incoming offers for the elimination of misuse of the numbering service for verification purposes. For forwarding business praises The Publisher is not obliged to make any offers or mediati-on offers.
18.Printing material will only be used on special request to the client. The obligation to store the data ends three months
after the order has expired.
19.The place of performance shall be the registered office of the Publisher. In business transactions with merchants, le-
gal entities under public law or special funds under public law, the place of jurisdiction for legal actions shall be the registered office of the Publisher. Insofar as claims of the Publisher are not asserted in the dunning procedure, the place of jurisdiction for non-traders shall be determined by their place of residence. If the domicile or habitu-al residence of the customer is unknown, even in the case of non-traders, at the time the action is filed, or if the customer has his do-micile after conclusion of the contract. If the publisher moves its registered office or usual place of residence outside the scope of ap-plication of the law, the place of jurisdiction shall be the registered office of the publisher.
