AOW Members have their own profile page, are able to connect with advertisers and like-minded members through our online social network. Additionally members have 24/7 online concierge access to purchase discounted products and services from Advertisers for up to 80% off retail and participate in AOW’s Luxury Sweepstakes. According to a study conducted by Neilson Media On average, 38% of the targeted audience remembers seeing vehicle advertising. Research shows that 28% of the target audience will talk about advertisement to others. More than 95% of Americans are reached by media targeting vehicle drivers and passengers. One customized vehicle can generate between 30,000-100,000 viewers daily and 91% of the general public accept custom vehicle advertising. Most view it as novel, unobtrusive, and extremely memorable.

Something to think about…There are approximately 86,000 seconds in a day, when multiplied by 30 days theirs approximately 2.5 Million seconds in a month, when you divide 2.5 Million seconds in a month by our average 10-second ad spot, each vehicle in our fleet has an inventory of 250,000 advertising spots available for sale each month. This means each vehicle in our fleet has the potential to earn a minimum of up to $250,000 or more monthly in digital vehicle ad revenue. We plan to open 100 U.S. Markets over the next 12 months and deploy a fleet of at least 16 vehicles in each market. How does it Work?

Brand Promoters are Independent Contractors who choose their own schedules based on available advertising campaigns. Brand Promoter responsibilities include: driving assigned routes; performing other tasks as assigned; and attending a variety of events to promote cutting edge products and services.

Pre-Qualifications: Applicants who meet the following basic qualifications pre-qualify to become a Brand Promoter:

• Must be at least 21 years of age with a valid driver’s license • Must have a clean driving record with no more than two (2) moving violations

Vehicle Requirements: Entry Level Brand Promoters and above must have access to vehicles as set forth by each advertiser’s unique campaign requirements to work their shifts. We provide Brand Promoter’s access to fractional vehicle ownership plans with full coverage auto insurance to fulfill their work shifts to meet their assigned advertiser’s campaign demands.

There are five (5) ranks in the Brand Promoter program each rank offers lucrative compensation and benefits. The ranks include Substitute Brand Promoter, Entry Level Brand Promoter, Premium Brand Promoter (P.B.P.), Luxury Brand Promoter (L.B.P.) and Exotic Brand Promoter (E.B.P.). Brand Promoters capitalize on several

Base Compensation: Substitute, Entry Level, Premium, Luxury and Exotic Brand Promoters are eligible to receive weekly compensation every Saturday based on their rank and advertising revenue generated by their assigned vehicle:

Substitute Brand Promoters: Earn up to Ten ($10.00) Dollars per hour driving various types of promotional vehicles on a 24/7 on-call sub-contractor basis. Substitute Brand Promoters are required to set up a Free Substitute Brand

Promoter Access Plan at no charge to access vehicles during their scheduled shifts.

Entry Level Brand Promoters: Earn up to Five Hundred ($500.00) Dollars per week driving an entry-level customized promotional vehicle up to five (5), four (4) hour shifts per week on a 24/7 on-call basis. Entry Level Brand Promoters and above may elect to be absentee and sub-contract their driving duties out to Substitute Brand Promoters through the AOW Managed Fractional Ownership Program. Entry Level Brand Promoters are required to purchase an Entry Level Ownership Plan to access entry level vehicles during their scheduled shifts and share in up to two percent (2%) of the advertising profits generated by the entry level vehicle. Vehicles in the entry level class include Altima, Fiat Pop, Elantra’s and Standard Beetle. The cost of the Entry Level Ownership Plan calls for an initial $200 refundable commitment deposit and a $240 monthly payment. Receive up to $2,000 cash back when you sign up

Premium Brand Promoters: Earn up to One Thousand Five Hundred ($1,500.00) Dollars per week driving a premium customized promotional vehicle two (2) shifts during the week and one (1) shift on alternating weekends. Premium Brand Promoters are required to purchase a Premium Ownership Plan to access premium vehicles during their scheduled shifts and share in up to two percent (2%) of the advertising profits generated by the premium vehicle. Vehicles in the premium class include Accord, Fender Beetle, Mustang and Jeep’s. The cost of the Premium Ownership Plan calls for an initial $600 refundable commitment deposit and a $720 monthly payment. Receive up

Luxury Brand Promoters: Earn up to Two Thousand ($2,000.00) Dollars per week driving a luxury customized promotional vehicle two (2) shifts during the week and one (1) shift on alternating weekends. Luxury Brand Promoters are required to purchase a Luxury Ownership Plan to access luxury vehicles during their scheduled shifts and share in up to two percent (2%) of the advertising profits generated by the luxury vehicle. Vehicles in the Luxury class include BMW, Mercedes and Panamera’s. The cost of the Luxury Ownership Plan calls for an initial $800 refundable commitment deposit and a $960 monthly payment. credit cards from lenders the prospective owner agrees to complete and return the attached credit card funding checklist to

[email protected]. When the prospective owner’s checklist is received by AOW, the prospective owner will be e-mailed

invoices to remit their $12,000.00 lifetime fractional ownership payment to AOW, utilizing their approved credit cards. The

above referenced monthly payment is based on a principal credit card balance of $12,000.00 USD, with a minimum payment of

2.0% payable toward the outstanding credit card balances each month. There are no set terms or pre-payment penalties to repay

the balance each month, as the credit cards(s) are revolving. Prospective Owner must submit a $200 refundable commitment

deposit to secure their position during the pre-launch period. When your fractional ownership is funded, your commitment deposit

BRAND PROMOTER AGREEMENT

THIS BRAND PROMOTER AGREEMENT (the “Agreement”) made and entered into on the ________ day of _____________, 2014, (the “Effective Date”) by and between ADZ ON WHEELZ, a Nevada Limited Liability Company with offices at 871 Coronado Center Drive, Suite 200, Henderson, NV 89052 (hereinafter referred to as “AOW”) and __________________________, located at ____________________________________ (hereinafter referred to as Brand Promoter.”)

WITNESSETH:

WHEREAS, AOW is in the business of, among other things, providing custom vehicle advertising services to businesses. AOW enables its advertisers to advertise on its fleet of custom automobiles in Lead Sponsor, Co-Sponsor or Digital Vehicle Ad configurations on a monthly fee or pay per play basis. AOW advertisers have unlimited access to place ads via the AOW Dashboard application to publish advertisements on AOW’s fleet of custom vehicles; and

WHEREAS, Brand Promoter desires to enter into an agreement with AOW providing for AOW to

receive the non-exclusive services of Brand Promoter as set forth herein; and WHEREAS, Brand Promoter has represented that it has the ability to competently and

professionally provide services as described herein; and

WHEREAS, AOW and Brand Promoter desire to enter into the Brand Promoter Agreement, including any schedules hereto, under which Brand Promoter provides certain services to AOW in connection with the AOW advertisers individual requirements; and

NOW, THEREFORE, in consideration of the promises and agreements set forth herein, the

parties, each intending to be legally bound hereby, do promise and agree as follows. SECTION I: PARTIES AND TERM OF CONTRACT

1.1. This Agreement is between AOW, on the one hand, and the undersigned Brand Promoter, on

the other hand, both of which are sometimes referred to as the “parties.”

1.2. This Agreement entered into by and between AOW and Brand Promoter agrees that the terms set forth in this agreement shall commence on above referenced Effective Date and remain in effect through [DATE] (“Term”). This Agreement shall self- renew annually on [DATE] unless terminated by either party, or modified by mutual agreement in writing by both parties to this Agreement.

SECTION II: SERVICES TO BE PERFORMED BY BRAND PROMOTER

2.0 Brand Promoters are subject to the terms and condition of this Agreement. AOW hereby engages the

Brand Promoter as an Independent Contractor to perform the services set forth herein, and the Brand Promoter hereby accepts such engagement.

2.1. Brand Promoter will provide services to AOW which are customarily provided by a DRIVER AND STREET TEAM PROMOTER subject to AOW’s direction (“Services”). Said Services will be provided to fulfill advertiser insertion orders in the Las Vegas market territory based on each advertiser’s unique requirements. The Services provided by Brand Promoter will be rendered promptly in a competent and professional manner. Brand Promoter’s Services shall include, but are not limited to: working independently to meet AOW Advertiser demands, communicate effectively with AOW team members orally and in writing, be available to drive routes, make pit stops and promote advertiser products and services during scheduled work hours.

2.2. Brand Promoter enters into this Agreement, and will remain throughout the Term, as an independent

contractor. Brand Promoter agrees that it is not and will not become an employee, partner, agent, or principal of AOW while this Agreement is in effect. Brand Promoter is not entitled to the rights or benefits afforded to AOW employees, including disability or unemployment insurance, medical insurance, sick leave, or any other employment benefit. Brand Promoter is responsible for paying all federal, state, local, and city taxes as well as providing, at Brand Promoter’s own expense, disability, unemployment, and other insurance, if any. Brand Promoter is also responsible for maintaining a valid driver’s license. No additional compensation shall be due for overtime or failure to provide rest periods.

2.3. Technical Requirements: Brand Promoters must have access to use customized vehicles with full

coverage auto insurance through a Custom Car Fractional Ownership Plan as specified by each of their assigned advertisers insertion order’s to fulfill their assigned advertisers insertion orders during their scheduled work hours at their own expense.

SECTION III: COMPENSATION

3.1. If Brand Promoter satisfactorily completes Services, and is not in material breach of the Agreement for

the Services rendered by Brand Promoter under this Agreement, AOW shall compensate Brand Promoter as provided herein.

3.2. As an Entry Level Brand Promoter or above with access to an Entry Level Custom Car Share Fractional

Ownership Plan, you will be eligible to receive base compensation and referral bonuses based on the schedules published in the Brand Promoter Rate Guide, generally described in Schedule A attached hereto (the “AOW Brand Promoter Rate Guide”). Entry Level Brand Promoter will also be eligible to receive the benefit of Brand Promoter Rank Advancement, generally described in Schedule A attached hereto (the “Brand Promoter Rank Advancement). The Brand Promoter Rate Guide, Brand Promoter Rank Advancement benefits and Brand Promoter Manual are fully incorporated herein by reference. Substitute Brand Promoters who are sub-contracted by an Entry Level Brand Promoter or above and have access

3.3. to the Free Brand Promoter Fractional Ownership Access Plan, become eligible to receive Substitute Brand Promoter base compensation during the Term of the Agreement according the terms described in Schedule A attached hereto.

3.4. Entry Level Brand Promoters and above who have access to a E n t r y , Premium, Luxury or Exotic Level Custom Car Share Fractional Ownership Plan become eligible to receive rank advancement and enhanced base compensation, benefits, corporate housing and utility expense reimbursement and student loan payment reimbursement during the Term of the Agreement according the terms described in Schedule A attached hereto.

SECTION IV: GENERAL PROVISIONS

4.1. Representations and Warranties: All representations and warranties in this Agreement survive any

termination or expiration of the Term.

(a) Brand Promoter: Brand Promoter represents and warrants as follows:

(1) Brand Promoter has full right, power and authority to enter into this Agreement and to

grant AOW all of the rights granted;

(2) To the best of Brand Promoter’s knowledge, the consent of no other person or entity is

necessary for Brand Promoter to enter into and fully perform this Agreement; and

(3) During the Term, Brand Promoter will not make any grant, assignment or agreement which will materially conflict or interfere with the Services granted to AOW under this Agreement.

(b) AOW: AOW represents and warrants as follows:

(1) AOW has the right to enter into this Agreement and to grant all of the rights granted; and

(2) The consent of no other person or entity is necessary for AOW to enter into this Agreement.

4.2. Suspension/Termination: Without waiving any of AOW’s other remedies, AOW may immediately

suspend or terminate this Agreement as to Brand Promoter’s Services and Compensation by written notice at any time pursuant to its policies and procedures. Brand Promoter may terminate this Agreement by giving AOW no less than fourteen (14) days written notice at the address listed below.

4.3. Effect of Termination: If this Agreement is terminated, the termination will have the following effects:

AOW’s obligation to pay any compensation to Brand Promoter that has not become

(a) payable at the time of termination will cease immediately;

(b) AOW will be relieved of any further obligations to Brand Promoter; and

(c) All warranties and indemnities made, and AOW’s rights granted under this Agreement will

continue in full force and effect in perpetuity.

4.4 Indemnification: Each party will indemnify, defend and hold harmless the other and its heirs, parent companies, members, affiliates, divisions, subsidiaries, successors, transferees, assignees, licensees—and the agents, associates, officers, directors and employees of each—from and against any and all damages, costs (including, without limitation, reasonable attorneys' fees and all expenses from the defense of the matter), liabilities, claims and causes of action in any way arising by reason of the breach of (i) any warranty or representation made hereunder by the indemnifying party; or (ii) any other provision in this Agreement.

4.5. Remedies: The sole right of Brand Promoter as to any alleged breach by AOW shall be the recovery of

money damages, and the rights granted by Brand Promoter under this Agreement will not terminate by reason of such alleged breach. AOW may choose not to use Brand Promoter’s Services by terminating all of AOW’s obligations under this Agreement pursuant to its policy and procedures. No failure or delay on the part of AOW to exercise any right, power or privilege under this Agreement will operate to waive any right, power or privilege.

4.6. Notices: All notices hereunder, must be in writing and delivered via registered mail, facsimile, hand delivery, or overnight courier to the address identified below, and addressed to the attention of:

4.7. Assignment/Benefits: AOW may assign this Agreement, including, without limitation, its obligations or rights--in whole or in part-- under this Agreement. Brand Promoter may submit a request in writing to AOW to assign their interest in the Agreement to a third party at any time. All assignment requests are subject to AOW’s review and final approval.

4.8. Confidentiality:

(a) Brand Promoter understands that without prior approval, in writing from AOW,

Brand Promoter may not create or disseminate audio or video recordings, develop material, or place advertisements of any kind in any medium regarding AOW’s products or services, for use in soliciting or attracting members. Brand Promoter understand that all proprietary rights in the names, logos, trademarks, service marks, business methods and copyrighted materials of AOW and/or its parent, subsidiaries and affiliated companies are expressly reserved to AOW and/or such companies. Brand Promoter agrees not to use, reproduce, modify, distribute or display such proprietary material in any manner except as permitted by AOW, or as otherwise pre-approved in writing by AOW. In addition, Brand Promoter is not authorized to enter into any agreements on behalf of AOW without express written consent.

(b) Brand Promoter agrees not to divulge, in whole or in part, the Business Secrets of AOW or any of

their parent, subsidiaries or affiliated companies to third persons, not shall the Brand Promoter use or reveal such business secrets for any purpose. The term “Business Secrets” as used in this Agreement includes, but is not limited to, equipment, processes and technologies employed to publish advertisement on vehicles, advertisers and all list associated therewith; the present and planned products, services, and pricing thereof of AOW; the present and future organization, and non-public financial information and data concerning AOW and/or its parent, subsidiaries or affiliate companies and their respective officers, directors, employees and shareholders.

4.9. Conflicts of Interest: Non-Hire Provision: The Brand Promoter represent that they are free to enter into

this Agreement and that this engagement does not violate the terms of any agreement between the Brand Promoter and any third party. Further, the Brand Promoter in rendering their services shall not use any invention, discovery, development, improvement, innovation or trade secret which they do not have a proprietary interest. During the term of the Agreement, the Brand Promoter shall devote as much their productive time, energy and abilities to the performance of their duties hereunder, as is necessary to perform the required duties in a timely and productive manner. The Brand Promoter is expressly free to perform services for other parties, while performing services for AOW. For a period of five (5) years following any termination, the Brand Promoter shall not, directly or indirectly, hire, solicit, or encourage anyone to leave the Company’s employment, any associate, employee, consultant, or contractor of AOW or hire any such employee, consultant, or contractor who has left AOW’s employment or contractual engagement within five (5) years of such employment or engagement.

4.10. Applicable Law: This Agreement has been delivered at and shall be deemed to have been made and entered into in Clark County, Nevada. Accordingly, the rights and liabilities of the parties shall be determined in accordance with the laws of the State of Nevada, without regard to its principles of conflicts of laws. The parties agree that the exclusive jurisdiction and venue for the resolution of any dispute arising from or relating to this Agreement shall lie in the Eighth Judicial District Court for the State of Nevada, sitting in Clark County Nevada, including the United States District Court for the District of Nevada. Each party irrevocably consents to the service of process in any such dispute if served in accordance with the notice provisions contained herein.

4.11. Severability: Nothing contained in this Agreement will require the commission of any act or payment of

any compensation which is contrary to any law. If any conflict exists between this Agreement and any such law, the law will prevail and the provision(s) affected will be curtailed, limited or eliminated to the extent but only to the extent necessary to remove such conflict, and as so modified this Agreement will continue in full force and effect.

4.12. Miscellaneous: To the maximum extent permitted by applicable law, in no event shall AOW, its

respective affiliates, officers, directors, employees, agents, members, successors and assigns be liable

for any special, incidental, punitive or consequential damages of any kind or nature whatsoever, relating to this agreement or the transactions contemplated hereby, including without limitation, lost profits or lost goodwill and whether based on breach of any express or implied warranty, breach of contract, tort (including negligence) or strict liability, regardless of whether such party has been advised of the possibility of such damage or if such damage could have been reasonably foreseen.

4.13. Relationship of the Parties: This Agreement creates no agency relationship between the parties

hereto, and nothing herein contained shall be construed to place the parties in the relationship of partners or joint ventures, and neither party shall have any power to obligate or bind the other party in any manner whatsoever.

4.14. On-Going Cooperation: Each party to this Agreement agrees to execute and deliver all documents and

to perform all further acts and to take any and all further steps that may be requested by the other party and are reasonably necessary to carry out the provisions of this Agreement and the transactions contemplated hereby.

4.15. Definitions & Headings: All of the defined terms if defined in the singular or present tense, shall also

retain such general meaning if used in the plural or past tense, and if used in the plural or past tense, shall retain the general meaning if used in the singular or present tense. Section and Paragraph headings are used for convenience only and shall have no interpretive effect or impact whatsoever. Unless otherwise specified herein, the meaning attributed to a defined term in the provision where such term is defined shall be applicable in each instance in which such defined term is used throughout the Agreement.

4.16. Execution in Counterparts: This Agreement may be executed in two or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument. The parties may execute this Agreement and exchange counterparts of the signature pages by means of facsimile transmission, and the receipt of such executed counterparts by facsimile transmission will be binding on the parties. Following such exchange, the parties will promptly exchange original versions of such signature pages.

4.17. Force Majeure: If the performance of any part of this Agreement by either party is prevented, hindered,

delayed or otherwise made impracticable because of an Act of God, riot or civil commotion, act of public enemy, terrorism, order or act of any government or governmental instrumentality (whether federal, state, local or foreign) or similar cause beyond the control of either party, that party shall be excused from such performance to the extent that performance is prevented, hindered or delayed by such causes. Notwithstanding the foregoing, if a force majeure event exists for greater than thirty (30) days and prevents Brand Promoter from fulfilling its obligation hereunder, AOW shall have the right, but not the obligation, to terminate this Agreement.

4.18 Waiver: The failure or delay of either party at any time to exercise any right under any provision of this Agreement shall not limit or operate as a waiver thereof.

4.19. Integration: This Agreement together with all Schedules and Exhibits constitutes the entire understanding of the parties, and revokes and supersedes all prior agreements between the parties, including any option agreements which may have been entered into between the parties, and is intended as a final expression of their Agreement. It shall not be modified or amended except in writing signed by the parties hereto, and specifically referring to this Agreement. No oral agreements shall be binding until written and signed by an authorized officer of AOW. The signatures below indicate that Brand Promoter and AOW have carefully read, fully understood and agreed to all provisions of this Agreement. This Agreement shall take precedence over any other documents which may be in conflict with said Agreement.

Brand Promoter Rate Guide

Base Compensation: Entry Level, Premium, Luxury and Exotic Brand Promoters are eligible to receive

monthly base compensation paid on Saturday of each week based on their rank: Substitute Brand Promoters: Earn Ten Dollars ($10.00) per hour driving various types of promotional vehicles

on a 24/7 on-call sub-contractor basis. Entry Level Brand Promoters: Earn Five Hundred Dollars ($500.00) weekly driving an entry-level

customized promotional vehicle up to five (5), four (4) hour shifts per week on a 24/7 on-call basis. Premium Brand Promoters: Earn Fifteen Hundred Dollars ($1,500.00) weekly driving a premium

customized promotional vehicle two (2) shifts during the week and one (1) shift on alternating weekends. Luxury Brand Promoters: Earn Two Thousand Dollars ($2,000.00) weekly driving a luxury customized
