Reimbursement of Expenses as Professionals in the Ordinary Course to the Debtors and Debtors-
in-Possession for the Period From April 1, 2014 through April 30, 2014 (the “Application”). By
this Application, Ogletree Deakins seeks a monthly allowance with respect to the sums of

$7,024.00 (80% = $5,619.20) as compensation for the period April 1, 2014 through and
including April 30, 2014 (the “Compensation Period”). In support of this Application, Ogletree
Deakins respectfully represents as follows:
Background
1. On May 17, 2012 (the “Involuntary Petition Date”), involuntary
petitions were filed against Allied Systems Holdings, Inc. (“Allied Holdings”) and its
subsidiary, Allied Systems, Ltd. (L.P.) (“Allied Systems”) under chapter 11 of the Bankruptcy
Code in this Court. On June 10, 2012 (the “Voluntary Petition Date,” and together with the
Involuntary Petition Date, the “Petition Date,” as applicable to the particular Debtor), the
remaining Debtors filed voluntary petitions in this Court and, in connection therewith, Allied
Holdings and Allied Systems consented to the involuntary petitions filed against them.
Additional information regarding the Debtors’ business and the background relating to events
leading up to the above-captioned chapter 11 cases can be found in the Declaration of Scott D.
Macaulay in Support of First-Day Pleadings [Docket No. 80] which was filed on the Voluntary
Petition Date.
2. Ogletree Deakins was retained effective as of October 1, 2012, as special
labor and benefits counsel to the Debtors and Debtors in Possession, pursuant to this Court’s
Order, dated October 18, 2012 [Docket No. 537] (the “Retention Order”). The Retention Order
authorized Ogletree Deakins to be compensated on an hourly basis and to be reimbursed for
actual and necessary out-of-pocket expenses.
Compensation Paid and Its Source
3. All services for which compensation is requested by Ogletree Deakins
were performed for or on behalf of the Debtors.

4. Ogletree Deakins has received no payment and no promises for payment
from any source for services rendered or to be rendered in any capacity whatsoever in connection
with the matters covered by this Application. There is no agreement or understanding between
Ogletree Deakins and any other person other than the shareholders of Ogletree Deakins for the
sharing of compensation to be received for services rendered in these cases.
Fee Statements
5. The fee statements for the Compensation Period are attached hereto as
Exhibit A. These statements contain daily time logs describing the time spent by each attorney
and paraprofessional for this period. To the best of Ogletree Deakins’ knowledge, this
Application complies with sections 330 and 331 of the Bankruptcy Code, the Federal Rules of
Bankruptcy Procedure, the Guidelines adopted by the Office of the United States Trustee, Del.
Bankr. L.R. 2016-2, and the Administrative Order.
Actual and Necessary Expenses
6. A summary of actual and necessary expenses incurred by Ogletree
Deakins during the Compensation Period is included in the fee statements attached hereto as
Exhibit A. With respect to online legal research, Ogletree Deakins has fixed-price contracts
with LexisNexis and Westlaw. The discounts provided to clients vary based on our usage in a
given month.
7. Ogletree Deakins believes the foregoing rates are the market rates that the
majority of law firms charge clients for such services. In addition, Ogletree Deakins believes
that such charges are in accordance with the American Bar Association’s (“ABA”) guidelines, as
set forth in the ABA’s Statement of Principles, dated January 12, 1995, regarding billing for
disbursements and other charges.

Summary of Services Rendered
8. The shareholders, counsels, and associates of Ogletree Deakins who have
rendered professional services in these matters for this period are as follows: Andrew D.
Frederick, William A. Gray, Karen F. Shriver, James R. Silvers and Laura M. Summers. The
paraprofessional of Ogletree Deakins who has provided service to these attorneys in these
matters is Vicky Starek.
9. Ogletree Deakins, by and through the above-named persons, has
counseled and assisted Allied on various labor and benefits issues and has performed all
necessary professional services which are described and narrated in detail hereinafter.

10. The services rendered by Ogletree Deakins during the Compensation
Period can be grouped into the general categories/matters set forth below. These matters are
generally described below, with a more detailed identification of the actual services provided set
forth in the attached Exhibit A. The attorneys and paraprofessionals who rendered services

12. In accordance with the factors enumerated in section 330 of the
Bankruptcy Code, it is respectfully submitted that the amount requested by Ogletree Deakins is
fair and reasonable given (a) the complexity of these matters, (b) the time expended, (c) the
nature and extent of the services rendered, (d) the value of such services, and (e) the costs of
comparable services other than in a case under this title. Moreover, Ogletree Deakins has
reviewed the requirements of Del. Bankr. L.R. 2016-2 and believes that this Application
complies with that Rule.

WHEREFORE, Ogletree Deakins respectfully requests that the Court authorize
that for the period April 1, 2014 through April 30, 2014, an allowance be made to Ogletree

= $5,619.20) as compensation for necessary professional services rendered and that such sums be
authorized for payment and for such other and further relief as this Court may deem just and
proper.
