Diversity and Inclusion. Since Maslon's inception in 1956, the founders made respecting and fostering diversity,
inclusion, and community involvement an expected practice within the firm—principles which the firm has proudly carried
forward. One of our greatest strengths continues to be our people. Along with our commitment to providing exemplary
legal services, we believe strongly that a diverse and inclusive workplace is an essential part of serving both our clients

The firm has a Diversity and Inclusion Committee charged with leading and executing this key priority. Made up of both

profession, and in the community through leadership, active participation in, and support of a broad range of initiatives.
Maslon also proudly participates as members of the below impactful organizations created to advance diversity in the
profession:
Twin Cities Diversity in Practice: Maslon is a member of Twin Cities Diversity in Practice, a nonprofit
association comprised of the leading Twin-Cities legal employers with the vision to create a vibrant and inclusive
legal community and mission to strengthen the efforts of member organizations to attract, recruit, advance, and
retain attorneys of color.
Leadership Counsel on Legal Diversity (LCLD): Maslon is a member of the Leadership Counsel on Legal
Diversity, an organization of more than 300 corporate chief legal officers and law firm managing partners—the

Professional Development. Maslon participates in the Network of Trial Law Firms, a not-for-profit association of
independent trial law firms in the United States and Canada. The goal of the Network is to provide clients with high quality
trial and litigation representation while providing client and law firm counsel practicing in the area of litigation with state-of-
the-art continuing legal education programs. A number of activities help the Network to accomplish this goal, including
research concerning advances in legal representation and sponsorship of continuing education seminars for corporate
and outside counsel.

service to protect both individual rights and the collective rights of the disadvantaged. As attorneys, we believe such work
is our moral and ethical responsibility and is fundamental to the integrity of the judicial system.
Our long-standing commitment to pro bono work includes participation in the Pro Bono Challenge, a pact formed by the
nation's largest law firms to significantly increase the amount of pro bono work being performed by their organizations. In
addition, Maslon is a participant in the Minnesota State Bar Association North Star Lawyers program, which recognizes
members who provide 50 hours or more of pro bono legal services per year to those who otherwise could not afford
representation.
Some of our recent pro bono accomplishments at Maslon include the following:

promote a seamless succession and, if needed, we will draw upon the extensive experience of our Maslon colleagues in
tax, executive benefits, employment and corporate law practices. We also often collaborate with other professionals, such
as valuation experts and compensation specialists, to further help you meet your objectives.
CHARITABLE GIVING & FOUNDATIONS
When considering their legacy, many of our clients make charitable giving a priority. By designing the right structure for
your philanthropic goals, Maslon Estate Planning attorneys can maximize the impact of your charitable giving while
minimizing your tax burden and concerns. We'll help you determine the most effective financial approach to accomplish
your giving goals and address governance issues with creative solutions that accommodate varied philanthropic values,
preferences and levels of involvement within your family.
Our experience includes the development of tax-exempt organizations and charitable trusts of all varieties—and obtaining

administration of your trust or tax-exempt organization—including handling state and federal tax returns, distributions,
officer and director issues, and other matters, so that you can feel confident about the ongoing effectiveness of your

ESTATE & GIFT TAX CONTROVERSIES
When estate and gift-tax controversies arise—however complicated—Maslon's Estate Planning attorneys react with
dedication and tenacity to help clients successfully resolve their issues. We are widely known for our successful resolution
of sophisticated and complex transfer tax controversies and frequently represent both business and individual clients in
federal and state tax controversies, including estate and gift tax audits, appeals to the Internal Revenue Service Appellate
Division, and representation before the U.S. Tax Court and U.S. District Courts.
ESTATE PLANNING, WILLS & TRUSTS
Difficult decisions and complex issues often come into play when planning and implementing wills and strategic trusts.
Maslon's Estate Planning attorneys understand that and work to minimize your time, expense and emotional challenges.
You'll find us to be dedicated advisors, focused on understanding and achieving your goals. We counsel clients not only
on the impact of estate taxes, but also on other important factors such as previous marriages and children or beneficiaries
who need protection.
Smart and resourceful, our estate planning attorneys will work closely with you to identify strategies—from the most basic
will to the most complex trust arrangements—to take full advantage of opportunities that enhance your legacy and restrict
your tax consequences. Because business and work-related assets often affect estate planning, wills and trusts, we
consult our Employee Benefits and Executive Compensation attorneys when necessary, who may play an important role
in creating the customized vehicle that best meets all of your needs.
PRENUPTIAL & POSTNUPTIAL AGREEMENTS
Clients often choose to use prenuptial and postnuptial agreements to protect their interests and those of their families,
businesses and favorite charities. Maslon's Estate Planning attorneys are attuned to the nuances and deeply experienced

in drafting and negotiating such agreements. We strive to create an agreement that accurately reflects the intentions of
the parties—through full disclosure of assets and good-faith collaboration—and that provides for our clients and their
designees in the event of death, separation, or divorce.
PROBATE & TRUST ADMINISTRATION
Administering the probate estate of a loved one can be legally challenging and emotionally draining. Maslon's
experienced estate planning attorneys will work to help you avoid probate and trust issues, yet stand ready to deal with
them effectively on your behalf if they should arise. We help estate representatives carry out their responsibilities as
efficiently and expeditiously as possible, whether that involves quickly completing the probate estate administration or
helping to properly administer trust assets.
We excel at assembling and managing assets, establishing and maintaining accounting systems, tax planning, and tax-
return preparation, to maximize estate value while minimizing tax burdens. Also, when necessary, we put our extensive
experience to work to represent your interests before state and federal courts and administrative bodies, the IRS, and the
Minnesota Department of Revenue. We also advise trustees and trust beneficiaries across a full range of funding,
distribution, fiduciary and tax issues.
RETIREMENT BENEFIT PLANNING
Retirement benefits, including pension, 401(k), deferred compensation, IRAs and other plan benefits, play an increasingly
important role in the estates of many of Maslon's clients. They rely on the exceptional experience our dedicated Estate
Planning attorneys have achieved over years of helping clients deal with the complex and ever-changing retirement
benefits laws. We work closely with our clients to establish strategies designed to achieve their goals.
Skilled in drafting sophisticated beneficiary-designations critical to good retirement-benefit planning, our attorneys will help
you take advantage of techniques that constrain taxes on your pension, 401(k), deferred compensation, IRA or other
benefit. We have extensive experience in drafting trusts that can take advantage of sophisticated estate planning
techniques, while avoiding the unnecessary acceleration of income taxes that can result from the improper use of trusts
for retirement benefits.
TAX SAVINGS STRATEGIES
Individual and business clients alike rely on resourceful and responsive Maslon attorneys to effectively minimize the
impact of income taxes, gift taxes, estate taxes and generation-skipping transfer taxes for both themselves and their heirs.
Through the strategic use of cutting-edge and traditional income and asset-transfer devices, we work to help you take full
advantage of all applicable tax credits, deductions, exemptions and elections, so you can transfer your wealth with
maximum benefit for your business, your family, and your philanthropic beneficiaries.
We frequently counsel clients in establishing and perpetuating gifting programs, coordinating with existing business and
investment entities and, often, creating new ones. We also regularly create and work with our clients' limited liability
companies, closely-held corporations, limited and general partnerships, and limited liability partnerships to enhance asset
management while making the most of transfer-tax savings through gift-tax valuation-discount techniques.
TRUST & ESTATE LITIGATION
Trust and estate disputes can involve more than money—they often encompass emotional issues that can divide families
and interfere with a personal representative or trustee's ability to administer the trust or estate. That is why Maslon's noted
Trust and Estate Litigation attorneys, often working together seamlessly with Maslon's Estate Planning attorneys, strive to
find creative solutions that help avoid protracted litigation, contain costs, and preserve family relationships. When

proceedings turn adversarial, however, we work vigorously to protect and advance your interests, leveraging our
extensive experience in litigating and resolving trust and estate disputes.
Our knowledgeable Trust and Estate Litigation attorneys have a proven track record in the court room, at the negotiation
table, and in the appellate process. They work together to effectively represent trustees, personal representatives,
beneficiaries, and interested third parties in trust petition proceedings, Will contests, estate tax disputes, contested
probate matters, and other fiduciary litigation. Our attorneys are also skilled at using judicial and alternative-dispute-
resolution resources when assistance is needed to resolve trust and estate disputes. In all matters that Maslon's Trust and
Estate Litigation attorneys handle, we strive to craft an outcome that meets our client's personal, business, financial,
and/or tax-planning goals.

OVERVIEW
Michael's legal practice focuses on high-end estate and tax planning, estate and trust administration, charitable planning, and business succession planning. Michael helps his clients focus on what it is they really want to accomplish with their wealth. After assisting his clients in identifying their specific wealth planning goals, Michael works with them and their other professional advisors to develop and implement wealth transfer strategies that are consistent not only with their goals, but also with their cash flow needs and tolerance for risk.
It is this practical focus on the real-life impact of wealth transfer planning that distinguishes Michael's approach from that of the typical estate planning attorney. Beyond preparing legal documents, he also serves as his clients' wealth coach, personal CFO, professional pest, and skeptic-for-hire. Michael also provides his clients with access to his deep network of contacts, which often leads to solutions for many of life's little problems, even if they're completely unrelated to what you would normally think of as "estate planning."
Michael is a Fellow of The American College of Trust and Estate Counsel and has also been recognized as a Notable Practitioner in Minnesota for Private Wealth Law in the 2018-2019 editions of the Chambers High Net Worth (HNW) guide. He is a frequent speaker at continuing legal education seminars and has served as an adjunct professor at Mitchell Hamline School of Law in St. Paul. Michael serves as the chair of Maslon's Estate Planning Group and is also very active in the Minnesota State Bar Association, currently serving as Treasurer of the Probate and Trust Law Section Council and as a past chair of the Section's Legislation Committee.
Michael currently serves as chairman of the Board of Directors of Guild Incorporated, a St. Paul-based non-profit that works with individuals with severe mental illness. Before joining the board of Guild Incorporated, Michael was a founding member and past chair of the Board of Directors of the Twin Cities German Immersion School (TCGIS).

OVERVIEW
Susan Link practices in the areas of estate planning, probate, and trust administration. She works closely with families to plan the disposition of their assets, both during lifetime and at death, and to accomplish the optimal estate and gift tax planning for clients through wills, trusts, and other instruments. Susan routinely drafts estate plans that include estate tax and generation-skipping tax planning, in addition to drafting and implementing irrevocable trusts, charitable trusts, qualified personal residence trusts, minors' trusts, antenuptial agreements, and postnuptial agreements. She is regularly involved in the analysis and issues of lifetime gifting programs, estate tax planning, and generation-skipping issues.
Susan also works with families after the death of a family member to ensure that the client's wishes are achieved and that the plan they created is carried out. If appropriate, Susan also advises estate and trust beneficiaries during administration in order to maximize their own planning options relative to their share of a decedent's estate through the use of disclaimers and powers of appointment.
Susan served as the chair of Maslon's Estate Planning Group from 2007-2018, and she currently serves as the program director of Minnesota Wills for Heroes. The Wills for Heroes program, sponsored by the Minnesota State Bar Association, is designed to provide free legal services for the preparation of basic estate planning documents for Minnesota first responders. She is recognized as a Notable Practitioner in Minnesota for Private Wealth Law in Chambers High Net Worth (HNW) (2018-2019), a member of the American College of Trust and Estate Counsel, and has taught as an adjunct professor at the University of St. Thomas School of Law.
