Electronic Selection of Consultants (e-Sourcing) Terms and Condition of Use The following describes the terms on which the Inter-American Development Bank (IDB) offers you access to the e-Sourcing web site. This statement describes the terms and conditions applicable to your use of the site under the domain https://enet.iadb.org/BidderWeb (the "Site"). These Terms and Conditions of Use are in addition to the IDB general terms and conditions of its Terms and Conditions located at http://www.iadb.org/common/user_agreement.cfm?language=ENGLISH. In the event of any inconsistencies or contradictions between this document and the Terms and Conditions then the Terms and Conditions will govern. Use of the Site constitutes acceptance of these terms and conditions. General Policy The IDB is committed to protecting the privacy of its website visitors. The Bank does not collect any personal or business information unless you provide it to us voluntarily when conducting an online transaction on the Site. Information Collected If you choose to provide personal or business information to the IDB in order to conduct an on-line transaction, IDB will use it only for the purpose of conducting the specific on-line transaction that you requested. The information will also be used for the purpose of searching for Bidders. For each on-line transaction, IDB requires only the minimum amount of personal and business information required to process your transaction. IDB does not give, share, sell or transfer any personal information to a third party unless required to do so by law. If you do not want any personal or business information collected, please do not submit it to IDB; however, without this information IDB will be unable to process your on-line transaction. Review, update and correction of any personal or business information can be done directly in the Site. IDB operates high standard of system security and system maintenance. Nevertheless, IDB cannot accept any liability for disclosure of information submitted as a result of security breach or accidental disclosure during system operation. Accessing, Reviewing and Changing Your Personal and Business Information Your access within e-Sourcing will depend on the role you intend to undertake. The IDB will not make any changes on your behalf to your personal and business information. It is your responsibility to ensure that your personal and business information is current and correct. Security The Site has security measures in place to protect against the loss, misuse and alteration of information under the Bank's control. Guidelines for Submission The following information relates to the handling of the expressions of interest (EOI) and the Price and technical proposals submitted by Bidders: 1) Receipt, Marking and Mailing of Documents Unless otherwise agreed by the IDB, Bidders shall receive all documents through the Site. Bidders can submit EOI either through the Site and/or by mail/fax/email as requested by the Procurement Notices. Bidders shall submit Technical and Price Proposals electronically. Submission of Technical and Price Proposals through e-Sourcing to be electronic submission. Bidders can submit technical and price proposals either through the Site and/or by mail as directed by the Request for Proposals documentation. In the event of submission using both e-Sourcing and other forms of communication, it is the Bidders' responsibility to ensure that both versions, i.e. e- Sourcing and other forms of submission of its expression of interest or proposal are consistent with each other and shall declare this to be the case. In the event that there are any inconsistencies of whatsoever nature, the IDB in its sole discretion may disqualify the Bidders without further enquiry. 2) Bid Errors and Modifications Bidders are expected to review all information they input in the system to ensure its accuracy. Unless otherwise agreed by the IDB, any amendments or updates to the EOI, and/or proposals have to be made using the same method of submission used for the original submission. If Bidders' EOI and/or Price and technical proposals are submitted through e-Sourcing, Bidders can modify directly on e-Sourcing prior to the deadline of submissions. Only the latest version of each submission on e-Sourcing will be opened. If Bidders' EOI, price and technical proposals are submitted in hard copy and Bidders wish to modify their EOI or proposal, they shall submit a hard copy version marked as "Modified Expression of Interest or Proposal". In the event of such submission, the latter version received by the IDB shall prevail. Unless otherwise agreed by the IDB, no EOI or Proposals may be modified subsequent to the due date.

3) Withdrawals Bidders may withdraw expressions of interest and proposals through e-Sourcing, prior to the due date. If Bidders invited to submit proposals fail to submit by the submission deadline, the Bidders will be automatically withdrawn from the competition.

4) Signatures Bidders are not required to sign and/or submit a signature page when submitting the proposals through e-Sourcing. By pressing the submit button on the Request for Proposal page, Bidders certify that the information contained in the Site is the official proposal of record and no other document outside of the system can or will be used to edit, alter or modify the data contained in e-Sourcing.

5) The Responsibility Bidders are responsible for ensuring that their expressions of interest and technical and Price proposals are received by the IDB by the due date. The IDB does not accept any responsibility for system downtime, system failure or submission error and late receipt of expression of interest or proposals. Bidders must ensure that they provide sufficient time to upload documentation as the system will not permit submission after the given deadlines.
