Cemeteries will always face challenges. By supporting and engaging in NECA, we as a group of professionals can overcome these challenges and take on new, evolving issues with confidence and financial security.

Thirty years ago, the thought of cremation began to emerge and no one really knew the effect this would have on our industry. We do now. In response, cemeterians, in conjunction with their suppliers, have come up with various options of burial and memorialization. Our professional industry continues to change and that itself is a challenge. This year’s Annual Conference will take a look at what I see are two emerging challenges. Be sure to hear these presentations:

• Death Care, Media, and the 21st Century: how our cemeteries are seen through today’s technology. Presenter: Marc Yearsley of Ensure-A-Seal, http://ensureaseal.com/news

• Changing Conventional Burial Practices to Green Burials. Presenter: Suzanne Kelly, PhD, http://suzannemkelly.com/

We will also hear about this continual challenge in memorial preservation:

• The Proper Use and Type of Epoxy on our Monuments. Presenter: Jonathan Appell of Atlas Preservation https://atlaspreservation.com

Each of these challenges may not appear to be related but I believe there are relationships between these three topics which we have not yet considered. Please take a look at the speakers’ websites and begin to think about these issues are affecting your cemetery.

I look forward to seeing you at the 2018 conference in York, Maine; at the Laffond Seminar; or perhaps at your state meeting. Let’s all make education in our industry the norm for ourselves, our employees and our communities.

The fundamental purpose for which this Association exists is to in-spire continued effort toward the improvement of American cem-

eteries. To this end it seems essential that we declare the principles and ethics upon which rests the successful administration of our affairs. We believe that it is necessary in such a declaration that we here con-demn the practice of selling cemetery property for speculative or invest-ment purposes, or upon the promise of re-sale at a profit. That such a practice is detrimental to public interest is self-evident. It defies the fun-damental concept upon which the development of our industry has been predicated, and constitutes a threat to our advancement by abusing the privileges and prerogatives which we administer as a public trust.

We consider that fair dealing with the general public requires that we de-vote our attention to enlightenment of the people with whom we come in contact, and we charge ourselves with the responsibility of guiding and assisting individuals in their relations with us to the end that their interests be well served.

We believe in the fundamental precepts of fair competition, dedicating ourselves to the preservation of those standards which were indigenous to the founders of this Association, and which have been followed by us until an unwritten code of ethical conduct has become inherent on our method of operation.

We believe that the purposes for which this Association exists cannot be passive in nature, but that we are charged further with the responsibility of educating others to the high standards of conduct herein defined.

We offer this declaration as a basic code of ethical conduct to which we, as an Association and as individual members, subscribe—placing our faith and credit in the board basic principles here enunciated.

Article 1: NAME: The name of the corporation shall be NEW ENGLAND CEMETERY ASSOCIATION. Article 2: PURPoSE: The purpose for which this corporation is organized shall be the collection and dissemination of information of an educational nature pertaining to the operation, maintenance and improvement of NEW ENGLAND CEMETERIES, both active and historical. Article 3: MEMBERSHiP: The Association shall consist of the following classifications: Active, Honorary, Associate and Supplier member. No person shall be eligible for membership to the Association who is not a member of their state Association, where applicable, and who cannot subscribe to the Code of Ethics adopted by the NEW ENGLAND CEMETERY ASSOCIATION. Conduct in violation of said code on the part of any member shall be grounds for registration of a complaint to the BOARD OF DIRECTORS requesting expulsion. Membership in any of the Association classifications must be approved by the Board of Directors. Article 3A: ACTiVE MEMBER: Shall consist of members who are directly associated or employed, other than a contractual agreement, with a cemetery within the NEW ENGLAND STATES. Active members shall have the right to participate in meetings, hold office and vote on matters of the Association. Article 3B: HoNoRARY MEMBER: Shall consist of members whom the Association deems worthy of this distinction. Honorary members shall pay no dues. They may attend and participate in the functions and serve on any committee, to which they may be appointed. They shall not have the right to vote or hold office in the Association. Article 3C: ASSoCiATE MEMBERS: Shall consist of members who are directly associated or employed, other than a contractual agreement, with a cemetery outside of the NEW ENGLAND STATES, who are interested in the activities and well being of the NEW ENGLAND CEMETERY ASSOCIATION. The Associate member may attend and participate in all functions, and serve on any committee, to which they may be appointed. They shall not have the right to vote or hold office in the Association. Article 3D: SUPPLiER MEMBERS: Shall consist of members who are an individual, firm or corporation supplying any materials or services used by an Active or Associate member. Supplier members may attend and participate in all functions, and serve on any committee, to which they may be appointed. They shall not have the right to vote or hold office in the Association. Article 4: offiCERS AND DiRECToRS: The officers of the Association shall be: President; First Vice President; Second Vice President; Secretary; Treasurer; and these officers shall be members of the BOARD OF DIRECTORS. They shall be elected by ballot at the ANNUAL MEETING, to office at the adjournment thereof: the terms of office of their predecessors shall then expire. They shall have the usual duties indicated by their titles and any other duties imposed by the BOARD OF DIRECTORS. The Secretary shall act as clerk of the six (6) Directors. They shall be elected as follows: NO MORE THAN two (2) for a term of one year, two (2) for a term of two years, two (2) permanent positions for a term of three years. These two (2) permanent board member positions are not to advance to officer positions. Permanent board member positions are to be filled by past presidents and will be for a period of three (3) years each. In addition to the elected DIRECTORS, the immediate PAST PRESIDENT shall be a member of the BOARD OF DIRECTORS. At no time shall there be less than ten (10) members on the BOARD OF DIRECTORS and no more than twelve (12) members. Article 5: BoARD of DiRECToRS: The management of the affairs of the Association, including the power to deal with the properties in any manner shall be in the hands of the BOARD OF DIRECTORS. Vacancies in any office for any reason shall be filled by the BOARD OF DIRECTORS from the active membership for the balance of the unexpired term, except in the case of a vacancy in the BOARD OF DIRECTORS. The BOARD OF DIRECTORS may fill the vacancy for the balance of the year and a Director shall be elected at the next ANNUAL MEETING to fill the-unexpired term of any such Director. A quorum shall be comprised of seven (7) members of the BOARD OF DIRECTORS who shall be present for the valid transaction of business. An agenda shall be distributed in advance to each member of the BOARD OF DIRECTORS. Only items on the agenda may be dealt with at this time, motions arising at any meeting of the BOARD OF DIRECTORS will be decided by a majority of those present. Article 6: MEETiNGS: Each year there shall be an ANNUAL MEETING of the Association and any such other special meeting as desired may be called by the PRESIDENT with the approval of the BOARD OF DIRECTORS or on a vote of the Association. The exact time and place of the meeting shall be set by the BOARD OF DIRECTORS. The call of the meeting shall be mailed at least thirty (30) days before the time set therefore.

Article 1. ANNUAL DUES: The annual dues for the Association shall be set, from time to time, at the Annual Meeting by a majority vote of the members present, provided notice of any proposed change in the dues be stated on the call of the meeting. All dues shall be payable January first of each year. Any person joining the Association during the calendar year will be liable for the annual dues for that year and said dues are payable upon acceptance of the membership application.

Article 2. SPECiAL ASSESSMENTS: Special assessments of any amount determined by the Board of Directors to be necessary to cover the expense of any meeting may be made, the amount to be stated on the notice of the meeting and payable at such meeting.

Article 3. ARREARS: While any member is two years in arrears in his dues, he may be dropped from membership by a vote of the Board of Directors.

Article 4. CoMMiTTEES: Auditing, Legislative, Membership, Convention and Allied Industries Committees consisting of three members each, or such other members as may be fixed by the Board of Directors, shall be appointed by the President as soon as practical after the Annual Meeting. They shall perform the usual duties of such committees. Additional committees may be created by the Board of Directors, with such duties as it may assign.

Article 5. NoMiNATiNG CoMMiTTEE: The Nominating Committee shall consist of the five (5) most recent Past Presidents who are still active members, with the immediate Past President to be Chairman. The Committee shall be given notice by the President at least two months prior to the Annual Meeting and they shall make a written report before the Annual Meeting of their nominations for Officers and Directors. Other nominations for any office may be presented at the election signed by at least ten (10) active members.

Article 6. CERTifiCATioN CoMMiTTEE: The Certification Committee shall consist of the President, First Vice-President, Second Vice-President, Secretary, Treasurer and the most immediate Past President still active, with the President serving as chairman. The Committee shall meet at least two times each year to review and consider any pending applications for designation as a New England Certified Cemetery Professional. The presentation of certificates will be made at the Annual Meeting and Conference or at the Management Seminar, at the discretion of the recipient. The Committee may make changes to the Certification Program as may be required from time to time. The Board of Directors must approve all changes.

Article 7. SEMiNAR CoMMiTTEE: The Seminar Committee shall consist of a Chairman and Co-Chairman appointed for the following year by the First Vice-President, with the approval of the Board of Directors, at the conclusion of the current year’s seminar. They shall be responsible for any educational seminars produced or sponsored by the Association with the approval of the Board of Directors.

Article 8: BY-LAWS. These By-Laws may be amended by a two-thirds vote of those members present and voting at the Annual Meeting, provided notice of each proposed amendment be stated on the call of the meeting.

Article 9: PARLiAMENTARY AUTHoRiTY: The current edition of Robert’s Rules of Order shall be the final source of Authority in all questions of parliamentary procedures when such rules are not inconsistent with these By-Laws.
