David Lichtenstein is Chairman and CEO of Lightstone, which he founded in 1988. He is responsible for directing all aspects of the acquisition, financing and management of the company’s diverse portfolio. Mr. Lichtenstein was appointed by New York City Mayor Bill de Blasio to the NYC Economic Development Corporation’s Board of Directors. The NYCEDC is New York City’s primary economic development vehicle. Mr. Lichtenstein is a founder of the Friendship House, an organization that provides housing for families of sick children and adults in the Greater New York City area.

DAVID LICHTENSTEINCHAIRMAN & CEO

Mitchell C. Hochberg is President and COO of Lightstone. He has over 30 years of experience in real estate development and operations, including the residential, hospitality and commercial sectors. He founded and for 20 years served as the Chief Executive Officer of Spectrum Communities, a premier residential developer in the United States. Thereafter, he served as President of Ian Schrager Company, a developer of innovative luxury hotels and residential projects in the United States. Mr. Hochberg serves on the Board of Directors of Belmond Ltd. (NYSE: BEL; formerly Orient-Express Hotels Ltd.)

Mr. Hochberg received his law degree as a Harlan Fiske Stone Scholar from Columbia University School of Law. He is a Certified Public Accountant and graduated magna cum laude from New York University with a Bachelor of Science degree in accounting and finance.

MITCHELL C. HOCHBERGPRESIDENT

Jonathan Rabinow is Chief Investment Officer of Lightstone Investments. Prior to joining Lightstone, Mr. Rabinow served as Managing Director of Argent Ventures. Previously he was Head of Investments at RXR Realty, where he led a team who invested in over $5 billion of assets. He also served as Vice President of a Warburg Pincus real estate investment fund. He was the Treasurer of Sirius Satellite Radio where he managed the company’s capital markets activities including a recapitalization of the company with Blackstone and Apollo Global Management.

Mr. Rabinow holds a B.A. in Economics from the University of Pennsylvania and an M.B.A. from The Wharton School of the University of Pennsylvania.

JONATHAN RABINOWCHIEF INVESTMENT OFFICERLIGHTSTONE INVESTMENTS

Christopher Baxter is the Senior Vice President of Hospitality at Lightstone Group. He is responsible for all aspects of hospitality development from the initial due diligence to a successful hotel opening. Prior to joining Lightstone, Mr. Baxter was a Senior Vice President responsible for program and project management services for Faithful+Gould, a leading global project management consultancy. Mr. Baxter has worked with the majority of major hotel flags and a significant cross section of hospitality owners in the US. Most recently in New York, Mr. Baxter is responsible for the development of the former Metlife Clocktower at Madison Square Park to an Edition brand hotel, the lifestyle brand hotel conceived by Ian Schrager in partnership with Marriott.

Mr. Baxter is a graduate of the State University of New York, Buffalo, NY, receiving a Bachelors of Science in Architecture and a Bachelors of Art in Design.

D. Oliver Martineau is the Head of Asia - Capital Markets for Lightstone Investments. Prior to joining Lightstone, he was the Director of Projects for Minqiang Group, a leading developer in the US and China. Previously he was a founding partner of Au Group, a Beijing-based real estate and EB-5 consulting firm whose clients included three of the largest real estate brokerages in China. Overall, he has helped to facilitate the raising of over $300 million of EB-5 capital over the last 7 years. Mr. Martineau is based in Shanghai, China. He is fluent in English, French and Mandarin.

Mr. Martineau holds a Bachelor of Arts in Economics from Vanderbilt University.

Goldi Chawla is the Managing Director and Head of Asia Capital Markets for India and the Middle East. Prior to joining Lightstone, he worked with Deutsche Bank in India as Vice President in the Private Wealth Management Division where he managed the debt, equity and alternate investment mandates from large family offices. Previously, he was with HSBC performing similar functions. With over 18 years of experience, Mr. Chawla has in-depth knowledge of various asset classes in the financial sector. Mr. Chawla is based in Mumbai, India. He is fluent in English, Hindi, Punjabi and Gujarati. Mr. Chawla holds an M.B.A. degree from NIM, Ahmedabad and a Bachelors degree in Management from DAVV.

Subscription Guaranty David Lichtenstein, or an entity controlled by Mr. Lichtenstein, will sign a guaranty (the “Subscription Guaranty”), for the benefit of each Investor under which the Guarantor will agree that, if the Borrower has received an advance from the Investor’s Commitment, the Guarantor will directly repay the Investor’s full $500,000 Commitment directly to the account designated by the Investor within 30 business days of receipt of written notice from USCIS that (i) the Investor’s I-526 Petition has been denied by the USCIS, or (ii) in the event of certain legislative or regulatory changes, the Investor’s I-526 petition was withdrawn. See Transfers, Expulsion and Withdrawals; Denial of I-526 Petition; Changes to EB-5 Program below. Additional guaranties with respect to such Investor’s Commitment may be provided by the Guarantor; provided, however, that no guaranty of an Investor’s Commitment or return on investment will be, nor can be, offered or provided after an Investor has received approval of his or her Form I-485 or received an EB-5 immigrant visa, as applicable, nor will the Fund allow any Investor to withdraw if that Investor has received approval of his or her Form I-485 or received an EB-5 immigrant visa. See Side Letters below.

Completion Guaranty In connection with the Senior Loans, the Guarantor expects to sign a completion guaranty (“Completion Guaranty”) for the benefit of the Fund, as lender, under which the Guarantor will agree to guaranty the completion of the Project, and payment of certain project and construction costs (the “Guaranteed Obligations”) provided, however, that in no event shall the liability of Guarantor for the Guaranteed Obligations exceed (A) the outstanding principal balance of the Loan that is due on the Extended Maturity Date, less the sum of (B) any amounts available to the Fund following a realization upon the collateral secured by the Pledge (as defined below) and (C) any amounts paid to the Fund by Guarantor pursuant to the Subscription Guaranty. Guarantor will not be liable for any other amounts due, debts, liabilities, or payment obligations owed or that become due and owing by Borrower to the Fund in connection with the Loan. The rights of the Fund under the Completion Guaranty may not be exercised until the Fund has reasonably sought to exercise all rights and remedies available pursuant to the Loan Agreement for a period of eighteen (18) months from the Extended Maturity Date.
