Vicki Dallas is a Shareholder in the Firm’s Corporate Practice Group in Orange County. She specializes in

mergers and acquisitions, emerging growth company representation, corporate finance, venture capital,

licensing, distribution and marketing arrangements, and corporate tax. Ms. Dallas counsels clients on

matters involving structure and formation of business entities, capital raising and financing

arrangements (including debt and equity financings), mergers and acquisitions (both seller and buyer

side in wide variety of industries), strategic partnerships and joint ventures, and other growth and exit

strategies.

Ms. Dallas also represents a number of emerging growth companies in the apparel and life sciences

industries on a day­to­day basis in all aspects of their business law requirements. Ms. Dallas, who is AV

Preeminent rated by Martindale Hubbell, has been selected as one of "Orange County's Hottest Twenty­

Five People" by OC Metro in 2010. She was also recognized as a Southern California Super Lawyer in

2005 and 2006.

� Represented Source Two Spares, Inc. in a $10 million loan financing with Branch Banking and Trust

Company

� Represented Sensory Medical Inc. in a Series C Preferred Stock financing

� Representation of buyers and sellers in numerous acquisitions in various industry sectors, including

life sciences, apparel, manufacturing, distribution, technology, construction and automotive.

� Representation of issuers and venture capital funds in financing transactions, including Series A,

Series B, Series C and convertible debt financings.

� Representation of apparel companies on business, legal and financial matters, including capital

raising, private placements, acquisitions, distribution, licensing and marketing arrangements, and

counseling on the Consumer Product Safety Improvement Act (CPSIA).

� Representation of apparel, manufacturing, and technology companies in licensing transactions, both

domestic and international.
