1.3 AGREEMENT WITNESS AS FOLLOWS: The Company desires to employ Expatriate and the Expatriate desires to become employed by the Company. The Company and the Expatriate desire to enter into Employment Agreement, which shall govern the terms of the Expatriate’s employment WHEREAS: The Company and Employee desire to regularize their relationship and, in that context, the Company desires to continue to engage the Employee and the Employee desires to continue to serve the Company in accordance with the terms and conditions set forth in this Agreement.

1.4 NOW THEREFORE: In consideration of the mutual Agreements set forth below and other good and valuable consideration, the receipt of which is hereby acknowledged, the Company and the Expatriate hereby agree, as follows: 1.5 EMPLOYEE'S JOB POSITION: ………….. Employee is employed on a full-time basis and will devote substantially business time, attention and efforts to performance duties and responsibilities under this Agreement. Employee shall be prepared, to move from one functional area of the Company to another since it is our objective to develop Company with multiple skills based on individual strengths and comply with the directives of the Board of the Company.

Perform duties that may be assigned by the Board of Directors or the Chief Executive Officer of the Company to the Executive diligently and faithfully to the best of the Executive’s abilities and in the best interests of the Company and its affiliates; and use His/her best efforts to promote the interests of the Company and its affiliates. 1.6 EFFECTIVE START UP DATE OF EMPLOYMENT: Commencement date shall be …………. 1.7 WORK LOCATION: Paris, France.

1.8 BASE SALARY: You shall be paid a monthly gross salary of …….Annually (As such may be increased from time to time by decision of the Board, the Base Salary) is payable once on the first business day of each month in accordance with the Company's Standard Payroll Practices.

1.9 WORKING SCHEDULE: Normal Working Days Mondays through Fridays, Rest-Day off Saturday to Sunday. Working Hours time : 9.00am to 6.00pm break period between 12.00 noon to 3.00pm. (Over time wherever applicable and will be paid separately at the end of each month) 2.0 MOBILIZATION EXPENSES: Following the official procedures of Company 80% of the first 3 (three) month’s salary will be paid to you.

2.1 COMPENSATION/BENEFIT PACKAGES: Compensation and benefits programs are designed to be competitive within the labour markets and to meet the needs of employees living in our locations.

2.2 BONUS: Employee shall receive year-end annual bonus, to which he/she may be entitled under such Management Incentive Program as the Company may adopt with respect to each fiscal year of the Company, subject to the terms, plans, qualifications and conditions of any such plan. The full potential of the year-end annual bonus is a minimum of ….. of the Base Salary and shall be paid in accordance with the Company’s procedures for its year end Management Incentive Program (or similar plan). 2.3 VACATION: The employee shall be entitled to four weeks vacation at full pay, in accordance with the Company Policies. The employees vacations will be scheduled at such times as will least interfere with the business of the Company. 2.4 REIMBURSEMENTS OF EXPENSES: GENERAL. The Company shall reimburse the Employee for such expenses as may be reasonably incurred in furtherance of the Expatriate’s performance of duties hereunder, subject to and in accordance with the Company policies concerning reimbursement of such expenses and provided, in any event, that the Expatriate timely furnishes to the Company a complete and accurate accounting of all such, expenses.

2.5 MEDICAL: Employer shall provide the medical treatment whenever necessary for the Employee as per the Country Labour Law and every Employee will be covered under free medical insurance as per the Labour Law of the country. In a case of emergency, an expatriate will be flown to his home country or any other country suitable for the best medical attention. This decision can be influenced by findings of the Company's medical experts, unless the expatriate in question states otherwise. After three (3) months of service all expatriates will be entitled to a Health Service Insurance Plan (HSIP) for family. The Health Service Insurance Plan is designed to cover only three (3) members of the family. The Health Service Insurance Plan allowance can be paid to the expatriates at the rate of …..per family member per month, which can be transferred on monthly basis. 2.6 SICK PAY: Employee shall be entitled to thirty (30) days per year of fully paid sick leave, against a doctor's confirmation, which leave can be accumulated for a period of up to a maximum of two years; provided, however, that the Employee shall not be entitled to sick leave payment to the extent

already covered by any insurance component of any plan established by or for the benefit of the Employee pursuant.

2.7 SCHOLARSHIPS/EDUCATIONAL ASSISTANCE: Company shall provide scholarship awards/ educational assistance benefits for employees’ registered dependents (a spouse and maximum of 3 children, not more than 25 years of age in any school within our territories.

2.8 ADDITIONAL SERVICES: Recreational/Sports Facilities shall also be made available at the disposal of all expatriates with no expenses to be incurred. Laundry and Dry Cleaning Service will also be made available to all expatriates by the company’s laundry and dry cleaning unit.

2.9 TELECOMMUNICATION AND INTERNET FACILITIES: There are standard telecommunication

facilities and internet services at the disposal of all and mobile phones can be obtained. 2.10 JOB PROCEEDINGS/REQUIREMENTS: Upon acceptance of Employment, following documents must be provided for further proceedings.
