RESOLUTION NO. 13-

AUTHORIZATION TO EXTEND CONTRACTS FOR LANDSCAPE MAINTENANCESERVICES AT COUNTY FACILITIES

WHEREAS, bids were solicited and received for the Lawn Maintenance Services on April 12,2011 Resolution 11-85 for all government facilities in FY201 1 for a two year period; and

WHEREAS, the lowest responsive bidder as per specifications for the Lawn Maintenanceservices was John Waldschmidt & Associates Inc. ('Waldschmidt") at various county complexes, asspecified on Bid 06-011.The annual cost is Forty-Seven Thousand Four Hundred Two Dollars($47,402.00) per year, for a total contract cost of Ninety-Four Thousand Eight Hundred Four Dollars($94,804.00) over a two (2) year term; and

WHEREAS, The Waldschmidt bid was 40% lower than the next bid received, Waldschmidt hasprovided excellent service and has agreed to hold their 2011 prices for 2013 and 2014. Staffrecommends this services contract is extended; and

WHEREAS, adequate funds have been budgeted to cover the expenses incurred by utilizingWaldschmidt for the required labor services.

NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Chairman of theBoard is authorized to enter into a contract extension with John Waldschmidt & Associates Inc. toprovide landscape maintenance services at County facilities at a cost of Ninety-Four Thousand EightHundred Four Dollars ($94,804.00) over the next two (2) year period, expenditures to be paid from theFacilities Management budget.

ESRI ENTERPRISE LICENSE AGREEMENT

WHEREAS, the Kane County GIS-Technologies Department supports the Esri (Environmental System Research Institute, Inc.) desktop and server application software; and WHEREAS, the Kane County GIS-Technologies Department has budgeted to enter into an Enterprise License Agreement (ELA) for our ArcGIS Desktop and Server Products with Esri; and WHEREAS, the GIS-Technologies Department recommends entering into an ELA with Esri in order to consolidate the many current county offices annual Esri software maintenance; and has sufficient budget to fund said Enterprise License Agreement. SUMMARY: The resolution approves application to the Circuit Court for an order authorizing action to betaken to secure, secure and/ordemolish the unfinished residential structure located at 5N297 Bluff Drive in unincorporated St. Charles Township. Thesubject property is located along the west bank of the Fox River immediately south and adjacent to the Fox River Bluff WestForest Preserve.

ILCS 5/5-1211 authorizes the County of Kane, to apply to the circuit court for an order, to demolish, repair, or enclose orise the demolition, repair, or enclosure of dangerous and unsafe buildings or uncompleted and abandoned buildings.

12,500 SF unfinished residential structure was started in 2009. Construction ceased in 2010, leaving the structure,iming pool and site unsecured, dangerous and unsafe. The property was foreclosed on, but the mortgage companyquished the loan back to the owner, who is currently in custody. The cost of satisfying over $600,000 in constructionin addition to the costs to complete the construction is more than the market will absorb.

WHEREAS, 55 ILCS 5/5-1211 authorizes the County of Kane, to apply to the circuit court for anorder, to demolish, repair, or enclose or cause the demolition, repair, or enclosure of dangerous andunsafe buildings or uncompleted and abandoned buildings within the territory of the county, but outsideof the territory of any municipality, and to remove or cause the removal of garbage, debris, and otherhazardous, noxious, or unhealthy substances or materials from those buildings; and

WHEREAS, 55 ILCS 5/5-1121(a) requires that the County apply to the circuit court for an orderauthorizing such action after the County has provided at least 15 days' written notice by mail to theowner or owners of the building, including the lien holders of record, and such owner or owners havenot commenced proceedings to put the building in a safe condition or to demolish it; and

WHEREAS, 55 ILCS 5/5-1121 authorizes the County to recover the costs related to thedemolition, repair, enclosure, or removal incurred by the County, including court costs, attorney's fees,and other costs related to the enforcement of section 55 ILCS 5/5-1121; and

WHEREAS, certain funds have been applied for and may be available to pay the costsassociated with the demolition, repair or enclosure of dangerous and unsafe buildings within theCounty; and

WHEREAS, the Kane County Building Officer has determined that a building (the "UnsafeBuilding") is located at 5N297 Bluff Drive, Township of St. Charles, Kane County, Illinois, parcel number09-15-376-001 ("Property") is dangerous and/or unsafe; and

WHEREAS, the County desires to take action with respect to the Unsafe Building if the owner orowners do not commence proceedings to do so after 15 days written mailed notice.

NOW, THEREFORE, BE IT RESOLVED that 1) The Kane County Building Officer is herebyauthorized and directed to order a title search on the Property and to determine the owner or owners ofthe Unsafe Building, including the lien holders of record, and 2) The Kane County State's Attorney'sOffice is hereby authorized to file on behalf of the County an Application with the circuit court, inaccordance with 55 ILCS 5/5-1121, for an order authorizing action to be taken with respect to theUnsafe Building in the event the owners do not commence proceedings to put the building in a safecondition and to seek the recovery of the costs associated with the actions taken.

ADOPTING A KANE COUNTY OPERATIONAL SUSTAINABILITY PLAN

WHEREAS, on December 9, 2008 the Kane County Board passed Ordinance No. 08-367 whichcreated the Energy and Environmental Technology Committee and charges the Committee to, among otherthings, "...address environmental concerns and corrective actions for county owned property.. .[and] othergreen sustainable techniques and environmental technologies that apply to county board buildings andproperties"; and

WHEREAS, on September 8, 2009 the Kane County Board passed Resolution No. 09-321,approving an agreement with the Department of Energy for an Energy Efficiency and Conservation BlockGrant (EECBG) Program to accept the amount of Two Million Four Hundred Sixty Nine Thousand OneHundred Dollars ($2,469,100.00) as part of the American Recovery and Reinvestment Act of 2009; and

WHEREAS, part of Kane County's 2009 EECBO Energy Efficiency and Conservation Strategycalled for the update and development of Energy Efficiency Documents, including data collection insupport of a Kane County Operational Sustainability Plan; and

WHEREAS, data collection in support of a Kane County Operational Sustainability Plan wascomplete in 2012 and 25 staff members, representing 19 Kane County departments and offices, underthe direction of the Kane County Energy and Environment Committee, generated a plan to improveKane County's environmental, economic, and social sustainability through improvements to its facilitiesand operations; and

WHEREAS, the development of the Operational Sustainability Plan included participation andreview by Kane County departments and offices including comments received at outreach meetingsheld in March, 2012.

NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Kane CountyOperational Sustainability Plan is hereby adopted.

BE IT FURTHER RESOLVED that the Operational Sustainability Plan shall be implemented bystaff and annual progress reports shall be submitted to the Energy and Environment Committee.

SUMMARY: This resolution seeks to establish an Intergovernmental Agreement with the Village of west Dundee for electronics recyclingdrop-off services in a like-model to existing drop-offs in the cities of Batavia, Geneva, and St. Charles.

The City drop-off location will act as a collector, and the County's contracted Electronics Recycler will transport, receive,process, and responsibly manage all electronic equipment through the County's contract.

The County will receive revenue from the Recyclerfor pounds of equipment collected at the drop-off, paying 90% to theVillage and retaining 10% to cover administrative costs. The Intergovernmental Agreement has been worded to withstandchanges in the County's recycler/contractor and revenue fluctuations through time.

INTERGOVERNMENTAL AGREEMENT WITH VILLAGE OF WEST DUNDEEFOR ELECTRONICS RECYCLING SERVICES

WHEREAS, the Kane County Solid Waste Management Plan, adopted by the Kane County Board in1992, and most recently updated in 2009, recommends that the County develop programs to divert usedelectronic equipment from disposal in landfills; and

WHEREAS, beginning in January 2012, the Illinois Electronic Products Recycling and Reuse Act(Public Act 97-0287) bans the landfill disposal of 17 categories of used electronics collected; and

WHEREAS, starting in FY 2012 Kane County has a new agreement with a certified recyclingcontractor for electronics recycling which includes conducting used electronics recycling collections at KaneCounty's monthly collection event as well as any permanent collection locations; and:

WHEREAS, Kane County passed resolutions 11-114, 12-156, & 12-157 authorizingintergovernmental agreements for such electronics recycling drop-off services in the cities of Batavia,Geneva, & St. Charles; and

WHEREAS, due to said Public Act which creates a source of revenue for recycling electronics andKane County expects to incur a small amount of staff time to administer revenue distribution associated withthe Intergovernmental Agreement with the City, the revenue will be shared with 10% going to the Countyand 90% going to the City; and

WHEREAS, the maintenance of a drop-off location in the Village of West Dundee increasesconvenient opportunities for Kane County residents to recycle electronics, which is of benefit to the overallelectronics recycling program.

NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Chairman thereof isauthorized to execute the attached Intergovernmental Agreement with the Village of West Dundee forelectronic recycling services.

FY 2013 CONTRACT WITH WM CURBSIDE, LLC FOR HOUSEHOLDHAZARDOUS WASTE SERVICES

WHEREAS, the Kane County Solid Waste Management Plan, adopted by the Kane County Boardin 1992, and most recently updated in 2009, recommends that the County develop programs to diverthousehold hazardous wastes (HHW) from the landfills; and

WHEREAS, under RFP 41-012, the Kane County Purchasing Department has solicited andreceived proposals for Household Hazardous Waste disposal services for residents of Burlington,Dundee, Elgin, Hampshire, Rutland, and Plato Townships and to the Mill Creek SSA; and

WHEREAS, WM Curbside, LLC, submitted the only proposal as described in the procurementsummary issued by the Kane County Purchasing Department; and

WHEREAS, the County has a current contract with WM Curbside, LLC, per Resolution # 11-381, toprovide a service for proper handling of HHW to residents of Burlington, Dundee, Elgin, Hampshire,Rutland, and Plato Townships; and to residents of the Mill Creek SSA, and has provided excellentservice to residents of the City of Elgin since June 1999 and to other County residents in the abovelisted Townships since 2000 and to Mill Creek since 2012; and

WHEREAS, the 2013 budget for the Enterprise Surcharge Fund (650) includes Forty-five ThousandDollars ($45,000) funding for HHW programs; and

WHEREAS, municipalities in the service areas contribute a total amount of Twenty-four Thousand,Eight Hundred Dollars ($24,800) annually towards this program; and the program does not exceedThirty-six Thousand Dollars ($36,000) per year in costs; and

WHEREAS, the Department of Facilities, Development, and Environmental Resources, and thePurchasing Department, recommend awarding this contract to WM Curbside, LLC

NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Chairman is herebyauthorized to enter a three (3) year contract with an option for two (2) one-year renewals, with WMCurbside, LLC to continue to provide household hazardous waste services to residents of the saidnorthern six Townships, invoiced on a per use basis, in an amount not to exceed Thirty-six ThousandDollars ($36,000) annually. A copy of said contract shall be kept on file with the Kane County Auditor.

RESTATEMENT AND AMENDMENT OF ORDINANCE NO. 11-400 ESTABLISHING THE JUDICIAL AND PUBLIC SAFETY TECHNOLOGY COMMISSION

WHEREAS, Ordinance No. 11-400 Establishing the Judicial and Public Safety Technology

Commission was passed on December 13, 2011; and WHEREAS, the Kane County Board now desires to amend Ordinance No. 11-400 which is

stated in its entirety herein with the amendments designated. NOW, THEREFORE, BE IT ORDAINED by the Kane County Board that this Restatement and

Amendment of Ordinance No. 11-400 Establishing the Judicial and Public Safety Technology Commission be adopted as follows:

Section 1. The County of Kane (“County”) hereby establishes the Kane County Judicial and

Public Safety Technology Commission (“Commission”). The Commission is to function in all ways as a successor to the Judicial and Public Safety Technology Task Force previously established by the County.

Section 2. The Commission shall be composed of the following Members:

i. The County Board Chair ii. The County Board Public Safety Chair iii. The County Board Finance Chair iv. A Two County Board Members, appointed by the County Board Chair v. A Two Members from the Public at Large, appointed by the County Board Chair vi. The County State’s Attorney vii. The County Public Defender viii. The Chief Judge of the Sixteenth Judicial Circuit ix. A Judge presiding in the County, appointed by the Chief Judge x. The County Sheriff xi. The Circuit Clerk xii. A Member from the Kane County Bar Association, appointed jointly by the

County Board Chair and the Chief Judge. The Chair of the Commission shall be elected from among the Members by a majority vote. The term of Chairman shall commence on December 1st of any year a Chair is elected. The term of Chairmanship shall be for two years. Section 3. The Commission shall make decisions for the County regarding capital purchases in technology for the judiciary and public safety departments of the County. These departments shall include but are not limited to the Judiciary, the State’s Attorney’s Office, the Public Defender’s Office, the Sheriff’s Office, and the Circuit Clerk’s Office.

Section 4. The Commission shall, upon receipt of a report developed by the firm of URL Integration outlining proposed standards and budgets for the acquisition of new Case Management Systems (“CMSs”) for the Circuit Clerk, Judiciary, States Attorney and Public Defender for judicial and public safety departments of the County, propose a budget for the development and purchase of new CMSs. Thereafter, the Commission shall forward its proposed CMS budget to the County Board for approval. If the proposed budget is acceptable to the County Board, the County Board shall pass a resolution formally approving the budget for the CMSs, and establishing the method by which the budget shall be funded, the source of such funds, and the allocation of such funds between County departments (“CMS Process Resolution”). The budget so proposed and approved shall include both a proposed CMS budget, and a sub-budget for each department that shall seek to participate in CMS acquisition and integration.

Section 5. In addition to proposing budgets for the development and purchase of new

CMSs, any time the County wishes to expend funds to be used for capital technology, the Commission shall make recommendations to the County Board regarding that capital technology, and regarding the selection of consultants for capital technology purposes.

Section 6. Upon the County Board’s adoption of the CMS Process Resolution, any office

holder or department head, in consultation with the Chief Judge of the Sixteenth Judicial Circuit (“Chief Judge”), the Circuit Clerk, and the Kane County Information Technology Director (“IT Director”), shall be responsible for writing a Request for Proposals (“RFP”) for that department or office holder’s office, which RFP shall be consistent with the URL report and the budget approved by the County Board. Once completed, that CMS RFP shall be submitted to the Commission for review and approval. If a CMS RFP is approved by the Commission, the CMS RFP shall be formally issued by the County Purchasing Department to solicit responses. The CMS RFP shall be subject to all applicable County purchasing regulations and ordinances not in contradiction with the Settlement Agreement.

Section 7. Any responses to a department’s CMS RFP shall be submitted to the department

head or office holder, the Circuit Clerk, the Chief Judge, and the IT Director. Any responses to a CMS RFP shall also be submitted to any of the following not already given the responses, for informational purposes: the Kane County State’s Attorney, the Kane County Public Defender, the Kane County Court Services Director, the Kane County Sheriff, and to the chairperson of the Commission. The department head, the Circuit Clerk, the Chief Judge and the IT Director shall jointly make a recommendation to the Commission as to the respondent of the department’s CMS RFP which they believe should be selected as the approved vendor, within the confines of the approved budget (or any amendment thereto). In formulating a recommendation, these parties will also consult with any of the following parties not already among them, who will serve in an advisory role, with no decision making authority: the Kane County State’s Attorney, the Kane County Public Defender, the Kane County Court Services Director, and the Kane County Sheriff. At any time prior to the Commission’s approval of the recommended respondent, the department head may meet with any respondent to the department’s CMS RFP for purposes of discussing, detailing or negotiating any of the terms of any submitted response to the departments CMS RFP. At all stages from RFP development to selection of the CMS, the department head and Chief Judge will retain approval over the CMS and other systems applicable to the department’s office.

Section 8. The Commission shall review the recommendation of the department head, the

Circuit Clerk, the Chief Judge, and IT Director as to which respondent to the department’s CMS RFP

should be selected, and shall approve or reject the recommendation. The Commission shall not have the authority to recommend approval of an alternate respondent. If the Commission determines to approve of the RFP/respondent selected by the department head, Circuit Clerk, Chief Judge and IT Director, the Commission shall do so by formal motion, and shall forward that recommendation to the County Board. The County Board shall thereafter consider the recommendation and, if it determines that it is appropriate to do so, shall undertake such action as shall be necessary to approve of the selected RFP/respondent, to fund out of the aforementioned budget and to implement the department’s CMS project. If the County Board fails to approve the recommendation of the Commission, no CMS acquisition shall be undertaken as a component of this process.

Section 9. The Commission shall evaluate the CMS needs of each department on a case-by-

case basis. Should the County Board, by passage of an appropriate resolution, approve a budget for a change to the CMS of any County department, then for each such department, the process outlined above shall generally be followed.

This repeals and replaces Ordinance No. 11-400. Passed by the Kane County Board on February 13, 2013.

WHEREAS, current staffing level for support operations, due to employee terminations,resignations and job transfers has fallen below the level needed to provide for and sustain thenecessary level of required support for County departments and offices; and

WHEREAS, on September 9, 2008, the Kane County Board had deemed it necessary to adoptby Resolution a moratorium on the hiring of new County personnel and the replacement of existing orfuture personnel vacancies; and

WHEREAS, the Executive Director of the Human Resource Management Department hasrequested the Kane County Board to allow exception to the hiring moratorium as the continuance of ashortage of staff will have a negative operational impact on the Department's ability to efficiently andeffectively provide payroll and personnel support for County offices and departments.

NOW, THEREFORE, BE IT FURTHER RESOLVED by the Kane County Board that theDepartment of Human Resource Management be allowed to hire two replacements to fill the staffvacancies.

WHEREAS, the Kane County Board adopted Resolution 08-278, Implementation of County FinancialPolicies regarding Personnel Hiring and Replacement, and wherein said resolution specifically states:

"A moratorium on the hiring of new County personnel and the replacement of existing or futurepersonnel vacancies is hereby adopted effective upon passage of this Resolution. No new personnelshall be hired unless specifically approved by the County Board"; and

(ALTERNATE REVENUE SOURCE), SERIES 2001

WHEREAS, the County Board of the County of Kane, Illinois (the "County") by Ordinance No.01-282 adopted in 2001 (the "2001 Ordinance"), did provide for the issuance of $41,895,000 GeneralObligation Bonds (Alternate Revenue Source), Series 2001 (the "2001 Bonds"), and the levy of directannual tax sufficient to pay the debt service on the 2001 Bonds; and

WHEREAS, the County has refunded the debt service on the 2001 General Obligation Bonds(Alternate Revenue Source) with the 2004 General Obligation Refunding Bonds (MET AlternateRevenue Source) by Ordinance No. 04-96 adopted by the County Board of the County on March 9,2004; and

WHEREAS, it is necessary and in the best interests of the County that the taxes heretoforelevied for the year 2012 to pay the debt service on the 2001 Bonds be permanently abated.

NOW, THEREFORE, BE IT ORDAINED by the County Board of the County of Kane, Illinois, asfollows:

Section 1. Abatement of Tax. The taxes heretofore levied for the year 2012 in the 2001Ordinance permanently abated in their entirety.

Section 2. Filing of this Ordinance. Forthwith upon the adoption of this Ordinance, the CountyClerk of the County shall file a certified copy hereof in his office and it shall be the duty of said CountyClerk to permanently abate said taxes levied for all future years in accordance with provisions hereof.

Section 3. Effective Date. This Ordinance shall be in full force and effect upon its passage andapproval without publication or posting or any further act or requirement.

his grant is to provide diversion services to juveniles in Kane County and is the twelfth year of the grant. JUVENILE ACCOUNTABILITY BLOCK GRANT FY13 AUTHORIZATION

WHEREAS, Kane County Court Services, in collaboration with community partners, hassubmitted a renewal for a Juvenile Accountability Block Grant (JABG) in the amount of $26,673 to theIllinois Criminal Justice Information Authority to support two community-based prevention programs forthe grant period of 11/1/12 through 10131/13; and

WHEREAS, Kane County Court Services has been notified by the Illinois Criminal JusticeInformation Authority that the JABG renewal has been accepted and one hundred percent of thesefunds pass through Kane County and are disbursed to the Turning Point Station Adjustment Programand the City of Aurora Youth Court ; and

WHEREAS, these amounts need to be reflected in revenue and expense General Ledgeraccounts; and.

WHEREAS, receipt of said grant will require an amendment to the Juvenile Court ServicesFiscal Year 2013 budget.

NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that upon receipt of theJuvenile Accountability Block Grant, the Chairman thereof be, and herby is, authorized to accept theJuvenile Accountability Block Grant and enter into a contract with the Illinois Criminal JusticeInformation Authority to implement the JABG for the contract period of November 1, 2012 throughOctober 31, 2013. AGREEMENT

THIS AGREEMENT is made between the Kane County, Illinois (hereinafter referred to as theCounty) and the National Center for State Courts (hereinafter referred to as the Center) on the

day of ,2013.

RECITALS

WHEREAS, the National Center for State Courts is a nonprofit corporation headquartered at 300Newport Avenue, Williamsburg, Virginia; and

WHEREAS, County desires to engage the Center, as an independent contractor, to provide theservices specified herein and the Center desires to accept such engagement and to provide theservices on the terms contained herein;

NOW, THEREFORE. in consideration of the mutual promises and covenants herein contained,the parties hereto, intending to be legally bound, do hereby agree as follows:

Tern.. The work under this Agreement shall commence on or before January 15, 2013,and the project shall be completed on or before May 31, 2013, unless the time forcompletion is extended by the mutual agreement of the parties in writing as hereinafterprovided.

11. Scope of Work. The Center shalt perform, in a businesslike and professional manner,the services described in Attachment A except as hereafter amended by the mutualagreement of the parties hereto. Attachment A is incorporated by reference and made apart hereof.

IV. independent Contractor Relationship. The parties agree that the Center's status forconduct of tasks described herein shall be as an independent contractor. Nothingcontained in this Agreement shall be deemed or construed to create a partnership orjointventure, or to create a relationship of an employer- employee or principal- agent. Anyand all employees of the Center while engaged in the performance of any work or servicerequired by the Center under this Agreement shall be considered employees of the Centeronly and not of the County. Any and all claims that may arise under the Worker'sCompensation Act on behalf of said employees while so engaged in any of the work orservice to be rendered hereunder shall be the sole obligation and responsibility of theCenter.

V. Use of Consultants. The Center reserves the right to use outside consultants as deemednecessary by the Center. Such consultants shall have the prerequisite qualifications andexperience to perform the obligations and duties of the Center under this Agreement.

\l. Access to information and Facilities. The County, recognizing that convenient, andtimely access to relevant data, information, personnel, and facilities is necessary to theperformance of the obligations of the Center in the discharge of its duties under thisAgreement, shall assist, or otherwise aid the Center in the procurement of such data orinformation and/or access to such personnel and facilities as necessary for the Center toperform its duties under the terms and conditions of this Agreement.

VII. confidentiality of Data. The Center will ensure that any information, including but notlimited to child support, employment, public assistance, wage and tax informationobtained through this Agreement will remain confidential and be used only for thepurposes authorized under this Agreement. The Center is prohibited from entering intoany agreement to furnish, or from otherwise disclosing or sharing, any child support,employment, public assistance, or wage and tax information, (including information withall personal identifiers removed and including statistical tabulations or research results,which reveal information that call associated with an identifiable individual) to anythird party, including vendors or subcontractors, regardless of the purpose, without theprior written approval of the County unless otherwise authorized by statute or required bya court of competent jurisdiction.

VIII. Release of Information. All media releases, public announcements, or public disclosuresrelating to the work produced pursuant to this Agreement shall be coordinated with andapproved by County prior to any release.

IX copyrights. The Center retains all rights, title and interest in and to all data, reportmaterials, inventions, techniques, methodologies, reports, copyrights, artwork,illustrations, and other original materials. Where the performance of this Agreementresults in a book, report, or other copyrightable material, the Center is free to copyrightthe work but the County is granted a royalty-free, nonexclusive right and license toproduce, reproduce, publish, distribute or otherwise use, and to authorize others to use,the work for any governmental or public purpose.

X. Modification. No modifications, amendments or changes may be made to the terms andconditions of this Agreement (including, but not limited to scope of work, deliverables,timetable or terms of agreement, price, cost, or budgetary adjustments or otherinformation including names, addresses and telephone numbers of persons to contact forsubmission and approval of proposed clangcs), unless the same are in writing and signedby the parties hereto.

A. Changes in workThe Center shall make no change in services unless pursuant to a written request from(County) authorizing the Center to proceed with the change.

B. Notification by NCSC of work involving extra costIf the Center believes that any changes or instructions proposed by County involveextra work, extra cost, or an extension of time that was not contemplated by theparties, the Center shall so notify County in writing within live clays after suchdiscovery. The Center shall not proceed to execute such work until making thisnotification.

C. Extra work definedFor purposes of this contract, extra work shall mean work the performance of whichis found necessary for proper completion of the project, but which is not covered byany item in the bid schedule and the proposal and for which no means of payment,direct or indirect, has been provided in the contract, and for which specialremuneration, by all price adjustment or by other consideration, to henegotiated by the parties, shall be paid to the Center.

D. Itemized proposal requiredCounty shalt, before requesting the Center to proceed with desired changes, requestan itemized proposal from the Center covering the work involved in the change. Ifthe proposal is acceptable, the Center will prepare a change order setting forth thecontract modifications and cost impact for acceptance by County. The change ordershall be signed by both parties to the original contract. (See Attachment C for changeorder form.)

XI. Acceptance Procedure. The Center shall render the reports and deliverables described inAttachment A, under the terms and conditions thereof. The County shalt have a

maximum of twenty (20) working days from the delivery of required deliverables andfrom the delivery of the final draft of the completed project prepared hereunder withinwhich to respond in writing to such deliveries, lithe County believes the deliverables orthe completed project does not conform to the requirements of the Agreement. it shallnotify the Center in writing (hereof, within the above-mentioned twenty (20) days, andshall indicate with particularity in what manner the deliverables or the project fail toconform. In the absence of such notice of non-conformance, acceptance of the workproducts will be presumed.

Xii. Contingencies'. In the event that, due to any unforeseeable circumstances beyond thereasonable control oC and without the fault or negligence of the Center, including withoutlimitation, acts of God, war, national emergency, terrorism and/or responses thereto,government regulations, strikes and civil disorder, the Center fails to perform under thisAgreement, such failure shall not constitute a default in performance, and the Countyshall want the Center such extensions of time as may be necessary and possible tofacilitate contract completion.

XIII. Termination by the cos,,i. The County may terminate this Agreement at any time forfailure of the Center to comply with any material terms or conditions of this Agreementexcept as provided in Section XII. Termination shall be effective thirty (30) daysfollowing receipt of written notice which shall specifically identify such failures,provided however, that the Center shall have those thirty (30) days within which toremedy such deficiencies. In any event, the Center shall have the right to receive justand equitable compensation for any satisfactory work completed prior to the date of anysuch termination and the Center shall deliver all completed work products to County.

XIV. Termination by the center. The Center may terminate this Agreement at any time forfailure of the County to comply with any material terms or conditions of this Agreement.Termination shall be effective thirty (30) days following receipt of written notice whichshall specifically identify such failures, provided however, that the County shall havethose thirty (30) days within which to remedy such deficiencies. Upon any suchtermination the Center shall deliver all completed work products to County and theCenter shall have the right to receive just and equitable compensation for any satisfactorywork eonipletecl prior to the date of any such termination,

Xv. Covenant Against Contingent Fees. The Center certifies that it has not employed orretained any company or person other than bona fide employees working for the Centerto solicit or secure this Agreement and that it has not paid or agreed to pay any companyor person other than bona Me employees working solely for the Center any fee,commission, percentage, brokerage fees, gifts, or other consideration contingent upon orresulting from the award which serves as the basis for this Agreement. For breach orviolation of this warranty, the County shall have the right to annul this Agreementwithout liability, or, in its discretion, to deduct froni the Agreement price orconsideration, or otherwise recover the full amount of such lee, commission, percentage,brokerage fee, gift, or contingent. fee.

XVI. Governing Lau The laws of the state of Illinois shall govern the validity, construction.interpretation, and effect of this Agreement without giving effect to any conflictsprinciples that would require the application of the law of any other jurisdiction.

XVII. Entire Agreement. This Agreement, including any Attachments hereto, constitutes theentire agreement between the panics with respect to the subject matter hereof, There areno promises, terms, conditions, or obligations other than those contained in theAgreement. This Agreement supersedes all previous communications, representations, oragreements, either oral or written, that may have been made with respect to the subjectmatter hereof.

XVIII Waivers and Remedies. The failure of the parties to enforce, at anytime, the provisionsof this Agreement or to exercise any option which may be provided herein shall not beconstrued as a waiver of such provisions or to affect the validity of this Agreement or anypart thereof or the right of the parties to enforce thereafter each and every provision andto exercise any such option. No waiver of any breach of this Agreement shall be held tobe a waiver of any other or subsequent breach. All remedies available under thisAgreement shall be taken and construed as cumulative, that is, as being in addition toevery other remedy provided by operation of law. Anything contained herein to thecontrary notwithstanding, in no event shall the Center be liable hcreLlnder for any special,incidental or consequential damages.

XIX. Notices. The following designated panics, notwithstanding conflicting provisions foundin the Proposal incorporated herein, shall represent the panics to this Agreement fornotification and communication as may be required. All notices required by thisAgreement shall be in writing and shall be deemed to have been duly given whendelivered personally in hand, delivered by recognized overnight delivery services,delivered by telephonic facsimile with simultaneous regular mail, or mailed by certifiedor registered mail, return receipt requested, postage prepaid oil date posted to thedesignated parties listed below:

other information as may be reasonably requested by County and (b) give Countyreasonable opportunity to examine and verify the Center's hooks, records and accounts.The Center agrees to maintain records with respect to this Agreement until the expirationof three (3) years after final payment under this contract or until resolution of anyunresolved audit questions and County shall have reasonable access to and the right toexamine any directly pertinent books, documents, papers, and records involvingtransactions related to this contract, The Center agrees to maintain books, records,documents, under generally accepted accounting principles, sufficient to reflect properlyall costs of whatever nature claimed to have been incurred and anticipated to be incurredfor performance of this contract. It this contract is completely or partially terminated, therecords relating to the work terminated shall be preserved and made available for a periodof three (3) years from the date of any resulting final settlement.

XXI. insurance. The Center represents and warrants Ihat it is now maintaining withresponsible insurance carriers, (i) insurance upon its own plant and equipment against fireand other hazards to the extent that like properties are usually insured by others; (ii)adequate insurance against liability oil of damage to persons or property: and (iii)adequate professional liability coverage (errors and omissions insurance); (iv) adequatecomprehensive automobile liability insurance for owned, hired and non-owned vehiclesused in the performance of its work; (v) adequate insurance under all applicable worker'scompensation laws. The Center will furnish such certificates with respect to its insuranceas the County from time to time may reasonably require.

XXII. Nondiscrimination and Equal Employment Opportunit, During the performance ofthis Agreement. the Center agrees that it will not discriminate against any employee orapplicant for employment because of age, race, color, religion, sex, sexual orientation,physical or mental disability, or national origin. Further, the Center hereby certi lies thatit is an equal opportunity employer and shall comply with all state and federal lawsprohibiting discrimination.

XXIII. Licenses and Pennih. The Center shall maintain all licenses, permits, and certificationsrequired by federal, state, or local authority for carrying 0111 this Agreement.

XXIV.Compliance n'itl, Law. The Center shall comply with all applicable federal. state andlocal laws and regulations which may be imposed or levied upon the subject matter ofthis Agreement. regardless of whether those legal requirements are specificallyreferenced in this Agreement.

XXV. Prohibition Against Assignment. Notwithstanding any other provision of thisAgreement, the Center warrants that it shall not transfer, pledge, or otherwise assign thiscontract, or any interest therein, or any claim arising hereunder, to any party or parties,bank, trust company, or other financing institution.

XXVi. Setierabili'. All of the clauses of this Agreement are distinct and severable, and if anyclause shall he declared illegal, void, or unenforceable, it shall not affect the validity,lcgaliiy, or enforceability of any other clause or portion of this Agreement.

XXI, XXII, XXIII hereofshall remain in effect and shall survive the tennination, expiration or cancellation of thisAgreement whether by expiration of time, operation of law or otherwise.

SCOPE OF SERVICES

Project ApproachThe NCSC team will review business process and requirements documentation that the Clerk'sOffice has recently developed, as well as conduct interviews with stakeholders in order tounderstand their business processes and automation needs and wants. The NCSC team willinterview judges, court administrators, managers, and Clerk staff, including executives,managers, and line staff. Additionally, the NCSC team will interview Information Technologystaff and conduct limited interviews with representatives of other agencies with which thecourt and/or clerk interacts on a regular basis. These stakeholders include, but are not limitedto:

• Kane County State's Attorney's Office• Kane County Public Defender's Office• Aurora Police Department and other local law enforcement agencies• Kane County Sheriff's Office

The NCSC team will interview managers and staff of the Kane County Information TechnologyDepartment in order to understand the technology environment in which the new system mustoperate.

Using the results of the stakeholder interviews and our existing resources and knowledge regardingcourt CMS capabilities, preliminary (a.k.a., "strawman") requirements for the new system, as well aspotential business process changes the clerk may consider will be developed. The NCSC team willprovide this information for county review and schedule a series of meetings with stakeholders.

• Discuss, at the meetings, industry best practices and potential business process changes.• Review and refine the preliminary requirements.• Revise the requirements based on these meetings and facilitate discussion and decision-making

on issues or potential business process changes that have not been resolved.• Deliver the draft requirements for county review.• Finalize the requirements once stakeholder comments are received.

While identifying the requirements, the NCSC team will work with County Procurement to develop theREP. The NCSC team will use the RIPS developed for Court Services, the State's Attorney's Office andthe Public Defender's Office as the collective basis for the Court CMS REP, but will make modificationsas needed. The NCSC team will provide the draft RIP for County review and incorporate commentsreceived. Once the requirements are finalized, they will be included in the REP and the REP will beprovided for the County to publish.

COMPENSATION

The total fixed price for services and expenses pursuant to the Agreement shall be S45.000. TheCenter shall not be entitled to any additional amount unless mutually agreed upon in writing byboth parties.

The services rendered by the Center pursuant to this Agreement shall he payable as follows:

$45,000 to be paid upon completion of the project.

The fixed price for the project includes all consultants' time, (ravel and expenses, administrativesupport, and indirect costs. The rates used for this proposal by the NCSC are the FederalGovernment approved rates for the MOWS Contract. The indirect costs are based on approvedfederal rates used for all contracts. Travel is based on the NCSC travel policies which use thefederal travel policy as its guideline.

BILL PREPARATION AND COLLECTION SERVICES KANE COUNTY COLLECTOR

WHEREAS, it is the responsibility of the County Collector to ensure that property tax collections

are conducted in a secure and efficient manner; and WHEREAS, LRD Systems & Forms can provide bill preparation services and Chase Bank can provide lock box collection services both reimbursed through the use of compensating bank balances at no cost to the county; and WHEREAS, on March 8, 2011 the Kane County Board awarded a contract to the qualified bidders with respect to these services to LRD Systems & Forms and Chase Bank. WHEREAS, this agreement had a two-year term with the option to extend the agreement annually at one year intervals with approval of the Kane County Board. NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the County Collector is hereby authorized to extend the contract with Chase Bank and LRD Systems & Forms to provide the County Collector with bill preparation and lock box services for the term of one year.

AGREEMENT FOR COUNTY ENGINEER'S SALARY

WHEREAS, the County of Kane and the Illinois Department of Transportation (hereinafter"IDOT") desire to enter into an intergovernmental agreement to permit the utilization of SurfaceTransportation Program funds for the partial payment of the salary of the County Engineer; and

WHEREAS, pursuant to an intergovernmental agreement (a copy of which is on file with theKane County Clerk), the County desires to transfer Surface Transportation Program funds to IDOT inreturn for State funds to be used by the County to pay fifty percent (50%) of the County Engineersannual salary; and

WHEREAS, the County Board, by resolution, may request the approval of the IllinoisDepartment of Transportation to use Motor Fuel Tax funds to pay fifty percent (50%) of the CountyEngineer's annual salary.

NOW, THEREFORE, BE IT RESOLVED that the intergovernmental agreement with IDOT fortransfer of Surface Transportation Program funds be approved and executed by the County BoardChairman.

BE IT FURTHER RESOLVED that the Kane County Clerk be directed to forward a certified copyof this resolution along with two executed originals of the intergovernmental agreement to the IllinoisDepartment of Transportation at its district office.

SUMMARY: Housekeeping item that allows Kane County to continue to fulfill its contractual obligation. Resolution #10-313 appropriated$894,429 in reimbursements from Impact Fee Fund No. 552. However, impact fees from the subject development site arenow deposited in Impact fee Fund No. 558 in accordance with the current Impact Fee Ordinance. Therefore, it is necessaryto re-appropriate a portion of the refund balance ($743,423.91) to Impact Fee Fund No. 558. This change is required due to aunique situation where fees were collected under one Ordinance/Service Area structure initially and laterfees werecollected under a new Ordinance/Service Area due to the recording of the subdivision plat being held up for over a year.

he County Board approved an agreement with Wal-Mart that established appropriate credits and reimbursements fornprovements on Randall Road at Bowes Road in accordance with the Impact Fee Ordinance. Wal-Marts improvements at'is location cost nearly $11 Million of which $894,429 was related to the additional thru lanes on Randall Road which areystem Improvements as defined in the Comprehensive Road Improvement Plan. Constructing these improvements inDnjunction with development related improvements provides significant cost savings for the County in regards to futureitersection capacity improvements. In exchange for these additional System Improvements on Randall Road, the Countygreed to reimburse the Developer up to and not to exceed $894,429. The reimbursement is to be funded as impact feesre collected from development activities within the subdivision.

SUMMARY: On January 9, 2013, a bid opening was held at the Division of Transportation for the annual traffic sign material contract(Section 13-00000-01-GM). The 2013 sign materials bid specifications were advertised on the IDOT Bulletin of December 21,2012, with two (2) vendors submitting bids for Aluminum Blanks. The low bid amount is within budget.

The low bidder is:

Vulcan Inc. with the low bid amount $46,402.32

bid was based upon a possible purchase of 1,710 blanks in various sizes. Purchasing of sign materials is on an as neededs. The Division of Transportation is not required to expend the full appropriation and plans to only purchase thoseerials needed to maintain or upgrade traffic signs to appropriate standards.

WHEREAS, the Illinois Constitution of 1970, Article VII, Section 10 and 5 ILCS 220/1, et seq.

authorizes the County of Kane (County) and the State of Illinois (State) to cooperate in the performance oftheir respective duties and responsibilities by contract and other agreements; and

WHEREAS, the County and the State (through the Illinois Department of Transportation) desire tocooperate among themselves to accomplish the Construction for the improvement of the Stearns RoadBridge Corridor, Stage 3, Illinois Route 25 from Dunham Road to New Stearns Road (hereinafter referred toas the "Improvement"); and

AUTHORIZING ACQUISITION OF HIGHWAY RIGHT OF WAYBURLINGTON ROAD (COUNTY HIGHWAY NO. 2) OVER VIRGIL DITCH NO. 1

WHEREAS, the County of Kane is authorized by law, pursuant to Illinois Compiled Statutes, 605ILCS 5/5-801 et seq. (2010) to acquire by negotiated purchase or eminent domain proceedings, realproperty or interests thereinfor highway purposes; and

WHEREAS, the County of Kane has jurisdiction over Kane County Highway No. 2, also referredto as Burlington Road, within the boundaries of the County of Kane; and

WHEREAS, the County of Kane deems it necessary and appropriate to improve the BurlingtonRoad structure over Virgil Ditch No. 1; and

WHEREAS, Burlington Road and the planned improvements thereto, has been surveyed, laidout and projected over certain lands situated in Kane County, Illinois. It is deemed by the County ofKane that interests in certain parcels of land and, in particular the parcels described herein in Exhibit"A" (copy of which is on file with the County Clerk of Kane County and which is incorporated herein andmade a part hereof), which are located within the limits of Kane County should be acquired bynegotiated purchase and, negotiation failing, by eminent domain proceedings for highway purposes.

NOW, THEREFORE, BE IT RESOLVED by the Kane County Board:

1. That it is hereby determined by the County Board of Kane County that the real propertydescribed herein in Exhibit "A" be used, occupied and improved for highway purposes in amanner necessary and convenient for public use.

2. That it is further hereby determined it is necessary and proper that the County of Kaneacquire title to or other appropriate interest in and possession of these parcels because saidreal property is necessary and required by the County of Kane for highway purposes and, morespecifically, the improvement of Burlington Road.

3. That the Chairman of the Kane County Board or his duly authorized representative arehereby authorized, empowered and directed to negotiate for and on behalf of the County ofKane with any and all owners of the property described herein or with any other individualpossessing an interest therein for the purchase thereof upon such terms and conditions as shallbe approved by the Transportation Committee of the Kane County Board and/or the CountyBoard of Kane County.

Executive Committee Report

Updates from the Auditor’s Office

• Field work for the audit of the Coroner’s Office is complete, and draft of the internal audit/transition audit will be sent to the Coroner within the next several days. Once that has been reviewed we will issue an audit report to the Coroner and to the Judicial and Public Safety Committee. That committee is scheduled to meet on February 22nd, and it is my expectation that we will have the Audit Report issued prior to that meeting.

• We are still working on the internal Audit Plan for fiscal year 2013. Internal Control Questionnaires were sent to 27 different offices, departments and sub-departments in mid-December. To date we have received responses from about half of those requests. Once the ICQs are received we schedule Risk Assessment meetings with the various officers, department heads and staff. To date we have scheduled and/or conducted 10 of those meetings. Our goal remains to have all risk assessment meetings completed by the end of February.

• Compliance auditing remains an essential component of the Internal Audit Plan. However I hope to increase the operational audit component, with a goal to focus approximately 25% of our internal audit resources in that area. With that purpose in mind, John Harahan and I recently attended a one day seminar on Operational Auditing sponsored by the Institute of Internal Auditors.

• The Kane County: Access to Accountability project will put Kane County at the head of the class as a single, comprehensive, user-friendly resource for a wide range of financial information in a truly transparent format. This initiative will be a collaborative effort of the offices of the Auditor, and the Treasurer, as well as the Finance and Information Technologies Departments. I will be making periodic progress reports as this initiative goes from the drawing board to the internet.

For now, I am pleased to announce that the first stage of our ACCESS TO ACCOUNTABILITY development will be to publish online the Kane County checkbook. The first version of the online checkbook will allow users to access the county expenditures in three different ways. Easy to use drop down menus will list the available options. In each case, the user will first select the fiscal year to be searched. Then a user may choose from (1) payments by specific department, or (2) payments to a specific vendor, or (3) payments to multiple vendors within a specific budget category.

The user will also be able to “drill down” a little deeper. For example, the user could sort payments by department, and further by budget category. We will continue to refine the options available based upon both the direct input from the project collaborators and feedback we receive from other users.

• The January edition of the Audit Watch was sent by e-mail on January 26th. That distribution list includes the Chairman, all County Board members, elected officials, department heads and staff. The e-mail version is sent to anyone, including the general public, who contacts my office and provides us with an e-mail address. Altogether last month we had nearly 200 individuals who were e-mailed directly. Additionally, the January edition is currently available on the county website at http://countyofkane.org/Documents/Auditor/Audit%20Watch/Audit%20Watch%20January%202013.pdf I appreciate the encouraging feedback that has been received, and your suggestions for ways to make the Audit Watch a more useful resource are welcomed.

Accounts Payable Invoice Report

• For the month of January 31, 2013 a total of 1,554 invoices were processed with accounts payable claims paid in the amount of $4,457,292.51. The supporting detail for this report is posted online in the County Auditor reports. Click on January 2013 Accounts Payable Claims Paid to access the hyperlink to be connected to the website for accounts payable claims paid by vendor for that month.

• Please note this report is unaudited. It also does not represent the total claims paid by the county as some vendors are paid by wire transfer. In conjunction with the Access to Accountability project we will be developing more comprehensive reports to include total payments of all claims within a single document.
