Approval of receiving of funds from the Washington State Department Of Agriculture Grant for $50,000 to do site specific feasibility studies. These would include the potential building of a farmers market, the renovation of an existing building to a food processing and distribution center and the renovation of an existing building to a commercial kitchen space.

Snohomish County farmers, through various studies and working groups have identified the need for key infrastucture to increase as well as maintain the vialbility of agriculture in the region. A year-round farmers market would provide access to an incresed customer base which will in turn increase production and season extension while providing locally grown food to the community. A processing and distribution center will allow for off farm processing and group distribution. The commercial kitchen will allow for valued added production allowing year round income for producers as well as potential export products.

Snohomish County has identified the potential to site the three elements of the Food Hub at McCollum Park, a county owned facility. The feasibility will be site specific for each element to Mccollum park.

AUTHORIZING THE EXECUTIVE TO SIGN THE ACCEPTANCE OF A WASHINGTON STATE DEPARTMENT OF AGRICULTURE RURAL REHABILITATION GRANT, FOR

A GRANT FUNDED FEASIBILITY STUDY FOR A FOOD HUB

WHEREAS, Snohomish County farmers have identified the need for a Food Hub consisting of a processing and distribution center, a commercial kitchen and an indoor farmers market; and

WHEREAS, Snohomish County Parks desires to accept State Rural Rehabilitation grant funds, to provide funding for a site specific feasibility study and business plans herein and the Washington State Department of Agriculture desires to grant such grant funds to fund the services contained herein; and

WHEREAS, Snohomish County Parks desires to expend the grant funds to employ the services of a contractor, to conduct a feasibility study and business planning;

NOW, THEREFORE, ON MOTION, the Snohomish County Council hereby approves the grant and authorizes the Executive to sign and execute the agreement for acceptance of the aforementioned grant funds.

GRANT AGREEMENT BETWEEN

WASHINGTON STATE DEPARTMENT OF AGRICULTURE AND

SNOHOMISH COUNTY

This Agreement is made and entered into by and between the Washington State Department of Agriculture, hereinafter referred to as "WSDA," located at 1111 Washington St., SE, PO Box 42560, Olympia, WA 98504-2560, and the below named firm, hereinafter referred to as "Grantee .. :

1. PURPOSE

The purpose of this Agreement is to provide Rural Rehabilitation Grant funding to enable the Grantee to conduct the project entitled "Food !!uh Feasihilitr Study". The detailed Project Plan is attached as Attachment A.

2. TERMS AND CONDITIONS All 1ights and obligations of the parties to this Grant Agreement shall be subject to and governed by the following: the Ti'rms ancl Conditions contained in the text of this Grant Agreement; the Project Plan (Attachment A).

3. PERIOD OF PERFORMANCE Regardless of the date of signature and subject to its other provisions, the period of performance of this Agreement shall begin on February 1, 2017 and be completed by September 30, 2017, unless extended or terminated sooner as provided herein. All 1:,rrant funds provided under this Agreement must be disbursed no later than 45 days after the Agreement end date, unless authorized in writing by WSDA.

4. AGREEMENT MANAGEMENT All communications between the parties relating to this Agreement and any billings and payments will be directed to these persons. Either party may change administrators by notifying the other in writing, prior to their absence or departure.

All invoices must include the following: Reference WSDA Agreement No. K2107; Include applicable budget categories (e.g. Salaries, Benefits, Travel, Supplies. Equipment, Contractual, Other) and associated totals; Include applicable budget line items ( e.g. mileage, room rental, printing costs) and details sufficient for WSDA to confirm that the expense is allowable, budgeted, and accurately calculated (e.g. number of hours worked, number of miles traveled, number of travelers, county of lodging stay, etc.) Note: When completing an invoice, please refer to Attachment A· s budget narrative section of this Agreement, utilizing the same language in the budget narrative when billing for expenditures.

6. REPORTING REQUIREMENTS

Grantee is required to submit a final performance report at the end of the project. The final performance report must include the name of the organization and contact information; the purpose of the project and activities performed as well as the successes and lessons learned. Report should be sent to

7. AMENDMENTS This Agreement may be amended by mutual agreement of the parties. Such amendments shall not be binding unless they are in writing and approved by WSDA staff.

If it becomes necessary to modify the Budget, a request for the change must be submitted to WSDA in writing for prior approval. The request for a Budget change shall include a description of the change; and a justification for the change.

Kev Personnel Changes If a member of the key personnel will change or will be absent from the project, written notification must be submitted to WSDA, prior to their absence or departure. The notification shall contain the replacement's information. and in the case of a temporary absence, shall include a detailed description of how the project will effectively continue during their absence.

8. DELIVERY OF GRANT PRODUCTS Grantee shall deliver to WSDA, at no charge, copies of all reports, articles, books or other documents that arise as a result of a project funded in whole or in part by this Agreement.

9. PROCUREMENT Grantee shall follow the procurement policies of the State of Washington. All procurement transactions \Viii be conducted in a manner to provide, to the extent practical, open and free competition. Positive efforts shall be made to assure that small, minority-owned, and women-owned businesses are used when possible.

10. INSURANCE Grantee shall provide insurance coverage as set out in this section or as otherwise pre-approved in writing by WSDA. The intent of the required insurance is to protect the State should there be any claims, suits, actions, costs, damages or expenses arising from any negligent or intentional act or omission of Grantee, contractors, or agents of either, vvhile performing under the terms of this Ahrreement

Grantee shall provide insurance coverage which shall be maintained in full force and effect during the term of this Agreement, as follows:

Commercial General Liability Insurance Policy - Provide a Commercial General Liability Insurance Policy, including contractual liability, in adequate quantity to protect against legal liability arising out of Agreement activity but no less than $1,000,000 per occurrence.

Additionally, Grantee is responsible for ensuring that contractors provide adequate insurance coverage for the activities arising out of contracts.

Automobile Liability - In the event that services delivered pursuant to this Agreement involve the use of vehicles, either owned or not owned by Grantee, automobile liability insurance shall be required. The minimum limit for automobile liability is $1,000,000 per occurrence, using a Combined Single Limit for bodily injury and property damage.

The insurance required shall be issued by an insurance company/ies authorized to do business within the state of Washington, and shall name the state of Washington, its agents and employees, as additional insureds under the insurance policyiies.

All policies shall be primary to any other valid and collectable insurance. Grantee shall instruct the insurers to give WSDA thirty (30) days advance notice of any insurance cancellation.

Grantee shall submit to WSDA within thirty (30) days of the Agreement effective date, a certificate of insurance which outlines the coverage and limits defined in the Insurance section. Grantee shall submit renewal certificates as appropriate during the term of the Agreement.

11. COPYRIGHT PROVISIONS Unless otherwise provided, all Materials produced under this Agreement shall be considered "works for hire" as defined by the U.S. Copyright Act and shall be owned by the WSDA. The WSDA shall be considered the author of such Materials. In the event the Materials are not considered .. \vorks for hire .. under the U.S. Copyright laws, Grantee hereby irrevocably assigns all right, title, and interest in Materials, including all intellectual property rights, to the WSDA effective from the moment of creation of such Materials. Materials means all items in any format and includes, but is not limited to data, reports, documents, pamphlets, advertisements, books, magazines, surveys, studies, computer programs, films, tapes, and/or sound reproductions. Ownership includes the right to copyright, patent, register and the ability to transfer these rights.

For Materials that are delivered under the Agreement, but that incorporate pre-existing materials not produced under the A6,reement, Grantee hereby grants to WSDA a nonexclusive, royalty-free, irrevocable license (with rights to sublicense others) in such Materials to translate, reproduce, publish, distribute, prepare derivative works, publicly perform, and publicly display. The Grantee warrants and represents that Grantee has all rights and permissions, including intellectual property rights, moral rights and rights of publicity, necessary to 6i-rant such a license to the WSDA.

The Grantee shall exert all reasonable effort to advise the WSDA, at the time of delivery of Materials furnished under this A6rreement, of all known or potential invasions of privacy contained therein and of any portion of such document which was not produced in the performance of this Agreement. The WSDA shall receive prompt written notice of each notice or claim of infringement received by the Grantee with respect to any data delivered under this Agreement. The WSDA shall have the right to modify or remove any restrictive markings placed upon the data by the Grantee.

12. PROPRIETARY INFORMATION The Grantee acknowledges that the Agency is subject to chapter 42.56 RCW, the Public Records Act, and that this Agreement shall be a public record as defined in RCW 42.56. Any specific information submitted to the Agency and claimed by the Grantee to be confidential or proprietary, must be clearly identified as such by the Grantee. To the extent consistent with chapter 42.56 RCW, the Agency shall maintain the confidentiality of all such information marked confidential or proprietary. If a request is made to view or obtain copies of the Grantee's proprietary information and the Agency intends to release the information, the Agency will notify the Grantee of the request and notify the Grantee of the date that such records will be released to the requester. It will be the responsibility of the Grantee to obtain any necessary court order enjoining that disclosure. If the Cirantcc fails to obtain the court order enjoining disclosure, the Agency will release the requested information.

13. RECORDS, DOCUMENTS, AN_D REPORTS The Grantee shall maintain books, records, documents and other evidence relating to this Agreement and perfonnance of the services described herein, including but not limited to accounting procedures and practices that sufficiently and properly reflect all direct costs of any nature expended in the performance of this Agreement. At no additional cost, these records, including materials generated under the agreement, shall be subject at all reasonable times to inspection, review, or audit by personnel duly authorized by the Agency, the Office of the State Auditor, and federal officials so authorized by law, rule, regulation, or agreement. The Grantee shall be responsible for any audit exceptions or disallowed costs incurred by the Grantee or any of its Subcontractors.

The Grantee will retain all books, records, documents, and other materials relevant to this Agreement for six years following the date of final payment. If additional litigation, claim or audit is started before the expiration of the six ( 6) year period, the records shall be retained until all litigation, claims, or audit findings involving the records have been resolved.

14. INDEPENDENT_CAPACITY ANDELIGIBILITY The employees or agents of each party who are engaged in the performance of this Agreement shall continue to be employees or agents of that party and shall not be considered for any purpose to be employees or agents of the other party.

15. ASSIGNMENT The work to be provided under this Agreement, and any claim arising thereunder, is not assignable or delegable by either party in whole or in part, without the express prior written consent of the other party, which consent shall not be unreasonably withheld.

16. REGISTRATION WITH DEPARTMENT OF REVENUE The Grantee shall complete registration with the Washington State Department of Revenue and be responsible for payment of all taxes due on payments made under this agreement.

17. TAXES All payments accrued on account of payroll taxes, unemployment contributions, any other taxes, insurance or other expenses for the Grantee or its staff shall be the sole responsibility of the Grantee.

18. INDUSTRIAL INSURANCE COVERAGE The Grantee shall comply with the provisions of Title 51 RCW, Industrial Insurance. If the Grantee fails to provide industrial insurance coverage or fails to pay premiums or penalties on behalf of its employees as may be required by law, WSDA may collect from the Grantee the full amount payable to the Industrial Insurance accident fund. The WSDA may deduct the amount owed by the Grantee to the accident fund from the amount payable to the Grantee by the WSDA under this Agreement, and transmit the deducted amount to the Department of Labor and Industries, (L&l) Division of Insurance Services. This provision does not waive any of L&r s rights to collect from the Grantee.

19. TERMINATION FOR CONVENIENCE Either party may terminate this Agreement upon thirty (30) days prior written notification to the other party. If this Agreement is so terminated, the parties shall be liable only for performance rendered or costs incurred in accordance with the terms of the Agreement prior to the effective date of termination.

20. TERMINATION FOR CAUSE If fur any cause, either party does not fuifiil in a timely and proper manner its obligations under this Agreement, or if either party violates any of these terms and conditions, the aggrieved party will give the other party written notice of such failure or violation. The responsible party will be given the opportunity to correct the violation or failure within fifteen ( 15) working days of receipt of written notice. If the failure or violation is not corrected, this Agreement may be terminated immediately upon receipt of written notice of the agbrrieved party to the other.

21. TERMINATION FOR FUNDING REASONS In the event funding is withdrawn, reduced, or limited in any way after the effective date of this Agreement and prior to nonnal completion, WSDA may terminate this Agreement without advance notice subject to renegotiation under those new funding limitations and conditions.

22. CONFLICT OF INTEREST WSDA may, by written notice to Grantee, tenninate this Agreement if it is found after due notice and examination by the Director of the Department of Agriculture, and/or the designee authorized in writing to act on the Director's behalf that there is a violation of the State Ethics Law, Chapter 42.52 RCW; or any similar statute involving WSDA or the Grantee in the procurement of or performance under this Agreement.

In the event this Agreement is terminated as provided above, WSDA shall be entitled to pursue the same remedies against Grantee as in the event of a breach of the Agreement. The rights and remedies of WSDA provided for in this clause shall not be exclusive and are in addition to any other rights and remedies provided by law. The existence of facts upon which the Director of the Department of Agriculture, and/or the designee make any determination under this clause may be reviewed as provided in the ··Disputes" clause of this Agreement.

23. INDEMNIFICATION To the fullest extent permitted by law, Grantee shall indemnify, defend, and hold harmless State, agencies of State and all officials, agents and employees of State, from and against all claims for injuries or death arising out of or resulting from the performance of the Agreement. Grantee's obligation to indemnify, defend. and hold harmless includes any claim by Grantees· agents. employees. representatives. or any subcontractor or its employees. Grantee expressly agrees to indemnify, defend, and hold harmless the State for any claim arising out of or incident to Grantee· s or any subcontractor's performance or failure to perform the Agreement. Grantee· s obi igation to indemnify. defend. and hold harmless the State shall not be eliminated or reduced by any actual or alleged concurrent negligence of State or its agents, agencies, employees and officials. Grantee waives its immunity under Title 51 RCW to the extent it is required to indemnify, defend and hold harmless State and its agencies, officials, agents or employees.

24. DISPUTES In the event that a dispute arises under this Agreement, a Dispute Board shall determine it in the following manner: Each party to this Agreement shall appoint one member to the Dispute Board. The members so appointed shall jointly appoint an additional member to the Dispute Board. The Dispute Board shall review the facts, agreement terms and applicable statutes and rules and make a determination of the dispute. The parties agree that this dispute process shall precede any action in ajudicial or quasi­judicial t1ibunal.

25. In the event of litigation or other action brought to enforce Agreement terms, each party agrees to bear its O\\ n atlorney · s fees and costs.

26. A failure by either party to exercise its rights under this Ah,>reement shall not preclude that party from subsequent exercise of such rights and shaJJ not constitute a ,:vaivcr of any other rights under this Agreement unless stated to be such in writing signed by an authorized representative of the party and attached to the original Agreement.

27. If any provision of this Ah,>reement shall be held invalid, such invalidity shall not affect the other provisions of this Agreement. If the remainder of the Agreement conforms to the requirements of applicable law and the fundamental purpose of this Ah,>reement, the provisions of this Agreement are declared to be severable.

28. SURVIVAL The terms, conditions and warranties contained in this Agreement that by their sense and context are intended to survive the completion of performance, cancellation or termination of this Agreement shall so survive. Such provisions may include but are not limited to the following sections of this Agreement: Records Maintenance, Copyright Provisions, Indemnification, Disputes, and Governance.

29. GOVERNANCE This Agreement is entered into pursuant to and under the authority granted by the laws of the state or Washington. The provisions of this Agreement and its Attachments shall be construed to conform to those laws. In the event of a lawsuit involving this Agreement, venue shall be proper only in Thurston County, Washington.

30. ORDER OF PRECEDENCE In the event of an inconsistency in the terms of this Agreement, or between its terms and any applicable statue or rule, the inconsistency shall be resolved by giving precedence in the following order: Applicable State of Washington Statutes and Regulations; Terms and Conditions as contained in this basic Agreement; Attachment A - Project Plan

31. ALL WRITINGS CONTAINED IIEREIN This Agreement contains all the terms and conditions agreed upon by the parties. No other understandings, oral or otherwise, regarding the subject matter of this Agreement shall be deemed to exist or to bind any of the parties hereto.

Project Purpose

Snohomish County farms sold agricultural products worth more than S 139 million in the 2012 USDA Census of Agriculture. Niche markets have substantial growth potential in Snohomish County; for example, organic product sales totaled more than $849,000 in 2007 as compared with $8 million in King County and especially high value crops such as berries are a growing market. In addition, Snohomish County is second in the state for establishing new farming operations, with small farms (18 acres median size) most prevalent. In 2002, 81<% of local fanns were reported to be less than 50 acres, versus a 58<% state average. This highly diverse, smaller-scale, intense food production represents a change from the historically numerous dairy farms and large community processing operations that fonnerly dominated the local agriculture landscape.

Between 2000 and 2010, Snohomish was also the fastest growing county in the Puget Sound region and the Puget Sound Regional Council estimates the County's population will risi: from around 600,000 in 2010 to over 960.000 by 2030. More than one third of agricultural lands in active production are on parcels not designated as farmland, which puts them particularly at risk for conversion to rural residential development and urban growth. This conversion risk is intensifying with development pressure, which makes building popular and political support for agricultural protection policies so

crucial.

Equally crucial is support for ex1st111g producer needs, particularly with Food Hub infrastructure. In 2008, the Snohomish County Agriculture Economic Development Action Team Report identified the need for a Food Hub comprised of a:

1) Processing and distribution center for local agriculture products; 2) Commercial kitchen to create value added products; and 3) Year-round indoor farmer's market.

Food Hub need was substantiated by A Community Vision for Sustainable Agriculture in Snohomish County which reported these three elements as vital to the success of agriculture in the region and to the creation of economic opportunities. The Food Hub will also help address a disturbing societal disconnect that emerged through the Community Vision study. It was revealed that, despite agriculture representing an important part of the Snohomish County economy and identity, citizens who lack a direct relationship with agriculture do not connect local agriculture benefits with their personal lives. As a result, many residents have less appreciation for the value of and need for preserving farmland. The Food Hub pro.ject will address the three identified agricultural producer needs and increase community-producer connectivity.

Status & Next Steps Local farmers collaborated for several years to develop and refine the Food Hub concept. The preferred location identified is McColl um Park, located one half mile east of Interstate 5 on I 28th St SE. This 78-acre County park is in rapidly urbanizing south Snohomish County, 30 miles from downtown Seattle. Park proximity to urban centers and transportation corridors will maximize distribution center and commercial kitchen benefits by increasing producer access to metropolitan commercial markets. Year-round access to a farmer's market will facilitate relationship-building between local residents and local food producers; increasing local commitment to the preservation of farmland, rural culture and agriculture

economy.

In 2013, project initial design was completed, including processing facility and commercial kitchen renderings prepared by a USDA Food Hub architect. and a farmer's market comprehensive business plan. Feasibility work was placed on hold through the great recession, however, with the economy strengthening, proponents are once again eager to initiate this

WSDA Agreement No. K2107 feasibility phase of project development. Also, new federal Food Safety Modernization Act requirements coming online arc prompting Snohomish County to pursue regional Food Hub opportunities with neighboring King, Skagit and other counties to address common needs shared by north Puget Sound area farmers.

Rural Rehabilitation grant funds will be used to complete site feasibility work needed in order to begin procuring capital funds and construction permits. Feasibility information will be documented as a Food Hub Business Plan, intended to 1) inform public investment decision-making, and 2) recruit interested facility users. Feasibility work will include update of market information with current research and business model recommendations, analysis of new facility size, layout and infrastructure needs, and assessment of existing buildings and land to determine their utility for redevelopment. McColl um Park facilities being assessed include:

• Renovation of a 7,500 square foot auditorium as the distribution center,

• Renovation of a 4,552 square foot building as the commercial kitchen,

• Construction of a pole-style building as the indoor farmer's market. and Adequacy of parking and transit park­and-ridc facilities.

Expected Measurable Outcomes

The Food Hub Business Plan process will independently assess the feasibility of each Food Hub element (processing/distribution center, commercial kitchen, and indoor farmer's market), with the goals being to I) inform public investment decision-making, and 2) recruit interested facility users. This will be accomplished by answering key questions around site suitability, agriculture producer demand, and financial viability for each of the three proposed Food Hub businesses. The Business Plan will describe the recommended business and management structure, facilities available for Food Hub businesses and their individual tenants/users, market studies, promotional strategics, capital and operational budget projections, and funding strategy.

Targets for measuring progress toward these two goals include obtaining popular and political support for project implementation. Examples of popular support include receiving Food I lub Business Plan endorsement from the Snohomish County At,>ricultural Advisory Board, County Sustainable Lands Strategy, Snohomish County Growers Alliance, agriculture producers interested in leasing or otherwise utilizing facilities space, and Washington State University. Examples of political support include endorsement from the Snohomish County Parks Director, County Executive and County Council. Formalizing the support of these arc building from an existing base of project support from are farmers, farmers markets and restaurants. An indicator of feasibility phase success will be the receipt of letters of support and commitment for Food Hub Business Plan implementation from target support groups, particularly from local government and agricultural leaders.

Project Oversight Linda Neunzig is Snohomish County Agriculture Coordinator \vith the Snohomish County Executive's office. Linda will manage all aspects of this project. Linda has worked on agriculture viability at the County for more than ten years. As a local farmer herself, Linda is a highly respected representative of the agriculture community and in her County position, she provides a direct link for agriculture producers to access to County officials and many department services. Linda served as the lead for the Snohomish County Agriculture Sustainability Project; managing consultants documenting agriculture land use issues, identifying a6>Ticulturc economic and land use opportunities, and conducting public outreach.
