having seen it in the land registry plan number G - three five six six two zero – one thousand nine hundred ninety-six surveyed by the surveyor Melvin Salas Guevara, of which I keep a copy in my reference protocol. It is estimated that the correction for tax purposes is the sum of one hundred colones. SECOND: That for the sum of TWO HUNDRED FIFTY-FIVE THOUSAND DOLLARS, legal currency of the United States of America, which the representative of the Sellers states that he has received to his entire satisfaction, he sells the property described in point One previously to THE PURCHASER, free of any encumbrance, mortgages, notations, without occupants with tenancy at sufferance or of any other nature, and with the national, municipal, and property taxes current. The Purchaser expressly accepts the aforementioned sale, under the conditions set forth and requests the Registry to proceed to record this property in its name WITHOUT THE REGISTRY NOTING That in this act the sellers receive two hundred thousand five thousand five hundred dollars of the legal currency of the United States of America as penalties due to the late closing of the transaction, the rest of the price in received by Century Twenty One Marina Trading Post as commission as commission for the brokerage of the property. THIRD REGISTRY CONTINUES TO NOTE: WITHOUT THE REGISTY NOTING: THE SELLER continues stating that it guarantees to THE PURCHASER in relation to the property here transferred the following: (a) That the sale of the property includes any difference in the land coverage in excess of that which exists between the measurement reported that the Public Registry indicates and the actual measurement of the property, as well as all the structures and improvements existing on it, even if these have been made by third parties, all of which remains as a benefit to THE PURCHASER, and paid for within the price of the purchase-sale agreement. 9b) That the property does not have any restriction by the Ministry of Public Works and Transport, the National Institute of Housing and Urbanism, the Municipality or any other governmental entity, which limit this property in relation to the free and full exercise of the property rights by THE PURCHASER and that it is not totally or partially located in a green zone of a "playground" area of an urbanization project, not has any limitation for the construction of highways, road or public streets. (c) That it has no knowledge that the State has initiated expropriation activities, totally or partially that may affect the property, not does THE SELLER know, or foresee any activity in this sense. (d) That the proper is current in the payment of territory taxes, roads and municipal fees as well as current with any other tax, fee or levy that could affect it. (e) That it has an unrestricted right to sell and to transfer the respective property and has, in addition complete and unrestricted title for the property and consequently, its possession of domain and usufruct. That there are no third parties that dispute its property rights, possession, use, and fully enjoyment of the property and that it is free of encumbrances, notations, charges, claims, obligations, liabilities, suspensive or resolutory conditions, leases, rights of third parties of any nature, without occupants with tenancy at sufferance, or of any other nature with the exception of (i) an easement recorded in volume three hundred fifty-five, entry nineteen thousand six hundred twenty eight, consecutive zero one, sequence zero nine hundred one, subsequence zero zero six (ii) Reserves and restrictions recorded in volume three hundred twenty-five, entry one hundred ninety-six thousand twenty-eight, consecutive zero one, sequence zero nine hundred four, subsequence zero zero one. The PURCHASER continues to state that due to the period of validation having expired as recorded in volume four hundred twenty-five, entry eighteen thousand seven hundred eighty-one, consecutive zero one, sequence zero zero zero three, subsequence zero zero one it is proceeding with its cancellation. FOURTH: The appearing parties grant a special power of attorney in conformance with article one thousand two hundred fifty-six of the Civil Code to DAFNE LIZETTE BLANCO VARELA, of legal age, an attorney, married once, living in San José, Avenida Nueve, Calles Trece y Quince, bearer of identification number one - nine hundred eighty-three - one hundred seventy, for the purpose of making notes, marginal reasons, corrections and additional written documents to this present document without altering the basis of the business and which may be necessary for the purpose of its prompt recording in the Public Registry.
