PROMOTER AND ORGANISER: the company HANNOVER FAIRS SULAMÉRICA LTDA., with regis-tered office at Av. Sete de setembro, 5890 CEP:80240-001,Curitiba,registeredintheCNPJ/MFun-derNo. 03.033.874/0001-33, exempt from State Registration, responsible or the promotion and organization of the trade fair CeMAT SOUTH AMERICA 201, hereafter simply designated as the OR-GANISER; and the PARTICIPANT: the legal person named and duly qualified onthefrontofthisdo-cument,hereafter designated simply as the PARTICIPANT; Herebymutually agree to enter into this CONTRACT FOR PARTICIPATION IN AN EVENT, pursuant to the following clauses and conditions:

1. The EXHIBITOR/CLIENT agrees to use the leased area according to the amount paid for the lo-cation. The installments must be paid, by their respective due dates, through bank payment slips issued by Hannover Fairs Sulamérica Ltda., in Banco do Brasil and Banco Itaú, which will be sent by email to the EXHIBITOR/CLIENT upon the signing of this contract. The payment slips will be sent to the electronic address appearing in the box for Official Identification of the Exhibitor (Per-son responsible for receiving information about the Fair), and the person responsible will notify the ORGANIZER if there any problems receiving them.

1.1. In the event the aforementioned area is not ceded, the ORGANIZER has the right to hold the event in another venue, of its free and exclusive choice. However, the first party hereunder will notify the second party hereunder of this fact, and once notified, it will be considered as accepted by the EXHIBITOR/CLIENT, without any restrictions.

2. The payments will only be recognized if made according to the previous clause, i.e., by bank payment slip. Bank deposits will not be considered as payments unless expressly authorized in writing by the PROMOTOR.

3. Any delay in payment of the installments by the EXHIBITOR/CLIENT will result in a 2% fine, plus 1% interest per month on the amount of the installment(s) in arrears.

4. In the event a suit is filed to collect unpaid installments, the EXHIBITOR/CLIENT will be respon-sible for all the court costs and attorney’s fees, arising from nonpayment.

5. The EXHIBITOR/CLIENT may not transfer, wholly or in part, any right or responsibility under-taken with the PROMOTER, in relation to the event in question, or sublease or cede part or all of the contracted area.

6. The area will only be released to the exhibitor and its agents to assemble the stand if all the installment and fees payments are completely up to date.

7. The period of use of the space indicated on the back of this contract corresponds to the dura-tion of the event, which includes four days for assembly, four days for the event and one day for removal of the stand, products and equipment of the EXHIBITOR/CLIENT. Therefore, this period will start on May 12, 2017 and end on May 20, 2017, at which time the EXHIBITOR/CLIENT must deliver the space it was allocated, properly vacated, and in the same condition in which it was received, in order to return it in perfect order.

8. This contract will be terminated by operation of law, regardless of judicial or extra-judicial notification if, at any time in the duration of this agreement, there is a delay in two installment payments or incorrect payment of such installments, which will result in loss of the right to parti-cipate in the fair, without any right to reimbursement of amounts already paid.

9. If the EXHIBITOR/CLIENT cancels its participation at any time, it will be entitled to a scaled reimbursement of the amount of the contract according to the period of time remaining before the start of the event.

9.1. If the cancellation request is made 18 (eighteen) months prior to the start of the event, the EXHIBITOR/CLIENT will be entitled to reimbursement of 20% (twenty percent) of the amount of the contract.

9.2. If the cancellation request is made 12 (twelve) months prior to the start of the event, the EXHIBITOR/CLIENT will be entitled to reimbursement of 35% (thirty-five percent) of the amount of the contract.

9.3. If the cancellation request is made 6 (six) months prior to the start of the event, the EXHI-BITOR/CLIENT will be entitled to reimbursement of 50% (fifty percent) of the amount of the contract.

10. The EXHIBITOR/CLIENT may request a 30% reduction in the size of its allocated space or a change in the type of venue, to a smaller one, according to availability and if the request is made at least 60 (sixty) days in advance of the event, but it will assume responsibility, however, for operational costs corresponding to 10% (ten percent) of the total amount of this contract, and the difference in price, if any, will be refunded to the EXHIBITOR/CLIENT within 60 (sixty) days of the completion of the event.

11. In the event of noncompliance with the delivery deadline and conditions, the PROMOTER will proceed to vacate the space and restore it according to the aforementioned conditions, with the EXHIBITOR/CLIENT responsible for all costs incurred, including storage costs of the material that the latter may retrieve for a period of 15 days, as of the end of the event, after which time, the PROMOTER is free to dispose of them.

12. In addition to the provisions contained in this contract, the relationship between the parties is also governed by the EXHIBTOR’S MANUAL available on the website www.cemat-southamerica.com.br, and any circulars that may be drafted and sent to the email stated in this contract (Per-son responsible for receiving information about the Fair) which shall become part of this leasing contract and which the EXHIBITOR/CLIENT declares to fully understand, accepting and complying with it, without any reservations or exceptions, agreeing to comply with all the conditions and restrictions contained therein, as well as inform all those in its employ of these terms and requi-rements.

13. The EXHIBITOR/CLIENT declares to fully understand the rules and penalties regarding the ma-ximum sound volume permitted within the stands, as set forth in the Exhibitor’s Manual, as well as the other legal norms related to civil and criminal liability.

14. The EXHIBITOR/CLIENT declares to fully understand the rules and penalties regarding elec-tricity consumption during the fair, as set forth in the Exhibitor’s Manual. During the days of the fair, measurements will be taken of the volume of kVAs being consumed. If the total amount used exceeds the requested amount, the additional kVAs will be charged and must be paid immedia-tely. If not paid, the supply of energy to the stand will be cut off.

15. CeMAT SOUTH AMERICA will be held from May 16 to 19, 2017, at the Transamerica Expo Cen-ter, São Paulo/SP.

16. Hannover Fairs Sulamérica Ltda, together with Deutsche Messe AG, will be responsible for implementation of the project in Brazil.

17. CeMAT SOUTH AMERICA will encompass the following sectors//nomenclature:

• MANAGE & SERVICE

18. The PROMOTER reserves the right, at any time, upon prior explanatory notice, to redistribute, for the general good, the location of the stands, provided the dimensions and characteristics es-tablished in the contract are respected. The PROMOTER may also change the entrances and exits, accesses to the venue and perform other structural changes for the convenience of the event, to which the EXHIBITOR/CLIENT hereby agrees.

19. The EXHIBITOR/CLIENT is also responsible for all damages it or its representatives cause, through willful misconduct or negligence, to the event venue, the assets contained therein, or those belonging to third parties, whether participants of the event or not, assuming full liability for its partners and administrators.

20. The use of the area must be in accordance with the rules set forth in the Exhibitor’s Manual.

21. The EXHIBITOR/CLIENT is responsible for the tax and labor obligations of the personnel it di-rectly or indirectly hires to provide services in the now subleased space, as well as for incidents in the provision of services, under its responsibility

22. Failure to show up at the fair will not entitle the EXHIBITOR/CLIENT to any refund of the amou-nts paid and will also result in a 10% fine on the amount paid by the EXHIBITOR/CLIENT to acquire the stand. The non-occupied stand may be leased to another company, under conditions that are more convenient at the time.

23. According to the Child and Adolescent Statute (ECA), minors 14 years old and younger are not permitted to enter the event, even accompanied by a person responsible.

24. The parties stipulate to jurisdiction and venue in Curitiba/PR to settle any issues arising from this contract.

And having so agreed, the parties hereby sign two identical copies of this agreement, in the pre-sence of two witnesses.
