I left Bryant-Denny at the half. Embarrassing. But to be honest. I really don't care. I am sure thankful I am not personally responsible for paying that $6 million rights fee any more! Now that would be stress!

I need to talk to you about several things, including Frazier Lanier. I know you are working with them and they have approached me. But they want me to become a broker and actually do the sales. Not sure I have time or the knowledge.

I have secured 8 of the 10 $150,000 investors I need for Craftmaster. That has been some serious pressure bit I have the taxes paid and the debt drastically reduced. Just need more business. I sure would like to get it going well am then sell! It has been nothing but a headache for me.

Also want to talk politics. Maybe 8 can schedule some time with you are the world headquarters of BR&A in Ashland again soon.

We will miss you in NYC. When are you Gavin the knee replacement?

Riley's letter was hilarious.........that kid is going on 35 and doing so with a great deal of FLAIR.NO QUESTION who he gets that from. He may even be better than his Dad.

Lets get together in a couple of weeks and catch up........ things like 2014, the article today, agenda for next year, AEA's resurgence and alot of other issues ....... we just need to be sure everyone is singing of the same page with some semblance of harmony.

The ''next year'' or two will be critical to your future ......... and we all must always be cognizant of that fact with every decision we make ........however we all need to have good time and enjoy life as we do.

Thank you so much for helping me with the job issue and your concern for me. I really never thought I'd be in this situation. I understand that my quest to be an effective Speaker - a Speaker like you were a Governor - has been to the detriment to my personal and financial well-being. And I know I have to find a balance.

But I can't shake the belief that I am here in this position for a reason. Plus, I really do enjoy the challenge. It's just a bad financial decision and I know it. I'm conflicted from doing what I'm best at and what my talents are.

My worry is that for the first time in my life I don't feel in control and don't know exactly where I'm going. I've always been a planner with every detail mapped out, so I'm in some unchartered waters here and it's scary. I know I need to be spending more time and effort in figuring out how to make a living, but for some reason I can't pull myself away from the political job. Susan is worried and I understand why.

I have faith that God has a plan, I just wish He would go ahead and reveal it to me!

If you recommend Eric for the Caucus attorney, that's what we will do. I trust your opinion completely.

If you will build polling/focus groups into your strategic consulting plans for BR&A clients, that is something that could benefit me.

I still believe that you are a "strategic business consultant", not a lobbyist. You could hire a lobbyist for BR&A - a Riley Team person who will do it for virtually nothing - which will allow BR&A to hire Auburn Network, Inc. to handle your marketing needs. We could do media buying, polling, focus groups, design work, printing, anything you need.

Less focus on you and your clients.

Just my opinion.

The events in Huntsville could not have gone better. Everyone was very enthusiastic and appreciative. Several made a point to say that no Speaker had ever been to visit them before. On the way back to Auburn now.

My concern is that I spent all day yesterday in Decatur, today in Huntsville, will spend tomorrow in Montgomery and Thursday in Birmingham. That means I have not lifted a finger to do anything for my own company or working toward a new career.

To be honest, I feel frustrated and confused because I am about to be 50 years old in February and I feel lost. The company I built from scratch has now been sold twice and I am not a part of it. My current company is simply employing people because I am putting no effort into running or growing it.

And now I feel like I'm spending my time on political matters while watching myself collapse - and unable to do anything about it.

To be honest, I feel like I am failing my family by sacrificing the opportunity to make money in favor of a job that costs me money and a lot of grief. What's scary is that I enjoy it and I think I'm pretty good at it!

I don't know what I want to do, which is not a good thing for an almost 50-year-old an with a wife and two boys. I used to know exactly what I wanted and how I was going to get there.

Maybe I am having a mid-life crisis, but I am still battling depression and trying to keep everything running.

CONSULTING CONTRACTStrateqic Consultant

This agreement is made and entered effective as of the lst day of February,2012, betweenThe Southeast Alabama Gas District ("SEAGD") and Auburn Network, Inc. ("Network").

Background

A. SEAGD is a natural gas transportation and distribution company owned byfourteen (14) member towns located in Southeast Alabama (the "Member Towts"). SEAGD is

an Alabama public corporation, a gas district created pursuant to Section ll-50-390, et seq,

Alabama Code.

B. SEAGD is interested in economic development involving the use of natural gas inthe entire SEAGD service areas and growth in the Member Towns.

C Network employs Mike Hubbard ("Consultanf'), and has agreed to provide the

services of Consultant to SEAGD under the terms of this Consulting Contract. Consultant has

experience in a variety of business and prornotional efforts, making him qualified to assist SEAGDin the field of economic development and marketing,

D. SEAGD and Consultant have agreed to enter into this Agreement for the purpose ofConsultant promoting and marketing SEAGD and the economic development of the membertowns of SEAGD,

Agrcement

For and in consideration of the mutual covenants set forth herein, the parties agree as

follows:

1. Services

Through Consultant, Network shall provide economic development services toSEAGD, including identifuing and delivering economic development prospects for facilitiesutilizing natural gas, such facilities to be located within SEAGD's service area; working with state

and local economic development officials; upon identification of an economic developmentprospect, providing information to SEAGD and the Member Towns, but to not work to favor onetown over another as the development process continues; all under the direction and control of thePresident and CEO of SEAGD. Through Consultzurt, Network shall further support SEAGD'smarketing efforts, assisting in efforts to promote the use of natural gas within the SEAGD servicearea for residential, commercial and industrial applications. Subject to Section 3, below, thegeneral agreement of the parties is that Network shall nrake Consultant available for a sufficientamount of time as needed to promote the economic development and marketing efforts of

SEAGD; it being recognized that the nature of the services requires inegular hours and thatConsultant may devote many hours to a project during one period of time, and then devote fewhours in a subsequent period. By way of example, on recruiting trips, either within or without theState of Alabama, Consultant will devote more time to this project, without additional charge otherthan reimbursement of expenses as provided in Seetion 3 below.

2. Term

The term of this agreement shall begin on the effective date hereof and shallcontinue for two years, subject to termination by either party on ninety (90) days notice, with thefurther proviso that SEAGD may terminate immediately and pay Network the fees providcdhereunder for the next ninety (90) days.

3. Budget, Fees, Expenses and Faciliiies

Annually, the President and CEO of SEAGD shall rnake Network aware of thebudget for economic developrnent for the year, forecasting the nahrre of the work and expenses heexpects Consultant to devote to this contract for the upcoming year. Nefwork, throughConsultant, shall provide only those services approved from time to tirne by the Prcsident andCEO.

For the consulting services approved pursuant to the terms hereof, SEAGD shallpay Network Twelve Thousand dollars ($12,000) per month. SEAGD shall also reimburse theNetwork for such expenses approved by the President and CEO, upon presentment of a monthlyexpense report supported by receipts and statements. The invoices shall be submified on suchform as may be from time to time required by SEAGD.

SEAGD plzurs to open a Montgomery, Alabama office suitable for economicdevclopment and other activities. While most of Consultant's services provided hereunder willbe at other venues, SEACD shall make office space available to Consultant at such facility for hisoccasional usc. Network shall fumish Consultant his own automobile, cellphone and otheroutside-of-the-office support equipment, subject to reasonable reimbursement per the budget.

4. Rcports

Netrvork shall submit monthly written reports of his activities, in fonn andsubstance acceptable to SEAGD, on or about the 15rl' day of each month but not later than the thirdTuesday of each month in order that management of SEAGD can be prepared to discuss economicdevelopment matters with members of its Board of Directors at its monthly meeting.

5. Independcnt Contractor Status

The parties recognize and agree that Network is an independent contractor. Thereis no employee/employer relationship between Network and SEAGD. Network shall be

responsible for all personal insurance, payroll and withholding taxes, social security and like taxes

arising from Network's providing the services of Consultant hereunder.

6. Specialized Services - No Assignmcnt

It is recognized that the services to be provided hereunder are unique and

specializsd. 'Iherefore, Network may not assign this contract or subcontract any of the services to

be pcrformed hereunder

7. Compliancc with Larvs and Regulations

Consultant agrees to comply with all SEAGD policies, rules, and regulations,which may be in effect during the term of this Agreement, as well as all federal, state, and localstatutes, ordinances, and regulations. Consultant agrees to not use his legislative office or any

facilities or equipment provided to him in his role as an Alabama legislator in the performance ofhis work for SEAGD. Corrsultant further agrees, to the extent possible, to avoid conflicts ofinterest. If a conflict of interest arises, Consultant will (i) promptly inform SEACD of said

conflict, and (ii) should the conflict involve his role as an Alabama legislator, Consultarrt willrefrain from acting in a manner that would assist SEAGD.

8. Confidcntial Information

8.1 As used in this Agreement, "Confidential Information" slrall mean any and

all technology, know-how, financial, confidential or proprietary information and trade secrets

(including any and all embodiments thereof) of SEAGD, including but not limited to:

(a) SEAGD's rate structure, cost structute, pricing to customers not understandard tariffs, and all non-public financial inforntation;

(b) Any confidential or proprietary information relating to proposals to provide

service to its existing customers or prospective customers;

(c) The specifications of and any other information related to, any newproducts or services under development by SEAGD;

(d) The source of supply for SEAGD and supplier lists and agreemertts; and

(e) Any and all other confidential or proprietary information relating to the

operation of the SEAGD system, and its business, including without limitation concepts, designs,techniques, models, purclrasing, accourting, engineering, marketing, merchandisittg, selling,servicing, and general business methods, owned, developed or used by SEAGD in connection withits current or future business.

8.2. Network and Consultant shall maintain the confrdentiality of the

Confidentiallnformation and shall not, directly or indirectly, use, disclose, diwlge, communicateor otherwise utilize the Confidential Information except for purposes permitted hereunder, withoutthe prior express written consent of SEAGD.

8.3 These obligations shall survive the termination of this Agreement.

Network and Consultant shall deliver all data to SEAGD upon request and, in any event, upon the

completion or termination of all work hereunder, whichever first occurs, and shall be fullyresponsible for the care and protection of such data until such delivery.

9. Exclusivity

During the term of this Agreement, SEAOD shall be the only client seeking

econornic development prospects represented by Nefwork or Consultant. Witltout limiting the

generality of the foregoing, during the term hereof Consultant shall not accept assigrutrents fromany other firm providing utility services, any county, any municipality, or any regionaldevelopment agency; however, Consultant shall have the ability to work on otlu projects and

business activities rvhere Consultant has a personal business interest.

10. Miscellaneous

Last week The Independent reported that Speaker of the House Mike Hubbard of Auburn had turned his attention earlier this year to writing a book on the rise of the Republican Party in Alabama and his assent to Speaker of the State House of Repre- sentatives.The planned title of the book is “Storm in the State House” and will be published by New South Books of Montgomery. Hubbard has said the planned publication date is next

February or March.The speaker was quoted as saying that the book would document the Republican takeover of the State Legislature in the 2010 elec- tions that ended 136-years of Democrats in control of the lawmak- ing process in Alabama.The story also revealed that David Azbell, a contract employee of the House of Representatives, will assist Hubbard in writing and editing the book until the expected publication date is sometime in the first quarter of 2012.In March of this year the House began paying Azbell $8,000 per month for unspecified duties related to public relations. He had pre- viously been paid a total of $80,000 at $2,000 per month over the previous three years to assist the House Republican Caucus.HUBBARD IS ALSO PRESIDENT OF THE AUBURN NETWORK, which is owned by IMG College and was recently purchased from ISP Sports. State records and other reports I have seen show that since State Fiscal Year 2008, over $4 million in state funds have been spent on advertising with the Auburn Network or its parent compa- ny. This is the firm which has the contract to broadcast Auburn foot- ball games and other Auburn sports events...and, of course, sell advertising for those events.It is the observation of most Goat Hill regulars that Speaker Hub- bard has a virtual iron grip on the passage or failure of legislation before the House. Therefore is there any state agency with legisla- tion and budgets before the House who would not want to please the Speaker by patronizing his business? Just the prime seats alone would cost in the range of $40,000. The sky boxes would be in the hundreds of thousands. In a parking lot that is certainly not “prime” I pay $22 per game, so that perk, closer to Jordan-Hare Sta- dium, would probably be worth in the range of $4,000.Hubbard said at the time the tickets were given to companies that advertise on Auburn sports broadcasts and are not used for any political purpose. “That’s my job. Its part of the package we sell to advertisers, just the same as every other college network does,” Hubbard said at the time.Hubbard also reportedly received 225 tickets for every men’s baseball and basketball game and 150 tickets for each women’s bas- ketball game and gymnastics meet in addition to six seats on the charter jets to Auburn away games.There have been suggestions around the legislature that the Speaker has rewarded his friends and fellow legislators with some of these perks. Hi Minda,

It is so good to hear from you and so much more exciting to see you in Paris than in Alabama. I will see if I can squeeze out another invite to our “Tea at the Ritz”, which is being held at George V Hotel on Sunday, 16 June, at 4pm. They keep telling me we are full, but there is always room for one more very important person!!! The Ritz is undergoing renovation so we had to move for this year.
