GROWING AND MANAGING A BUSINESS

Client SituationWhen a large medical practice needed financing for

a buyback from its corporate parent, Northern Trust

worked closely with the practice’s advisor to develop a

creative solution. Several years after the buyback was

completed, the advisor contacted us again to help

establish a strategy that would enable the practice to

attract and retain key professionals.

Solution As with the buyback, Northern Trust collaborated with

the advisor to develop a solution that:

■■ Established a nonqualified deferred compensation

trust (DCT) without substantial capital outlay;

■■ Structured an interest-only loan to fund the deferred

compensation plan; and

■■ Leveraged the assets of the trust to help maximize

cash flow and minimize taxes.

The trust provided an important benefit for the practice’s

top professionals, and the advisor was able to market this

expertise to other physician practices.

ENHANCING VALUE FOR TRUST BENEFICIARIES

Client Situation As trustee, an advisor was charged with selling a

manufacturing business left in trust for the benefit of

family members. Unsure of the company’s value, how to

approach the sale and retain key managers from leaving

in the interim, the advisor turned to Northern Trust.

SolutionNamed as successor trustee, Northern Trust developed

an innovative, multi-faceted strategy and worked with

the advisor and the family to:

■■ Obtain a valuation that set a fair market value for

estate tax purposes;

■■ Negotiate retention agreements with key executives

that incentivized them to remain and meet

short-term obligations; and

■■ Determine that the trust would realize higher proceeds

if assets were separated (land and equipment) and

sold to different buyers.

This exit strategy generated $3 million in realized value

over the original valuation – and earned the gratitude of

the family and the advisor.

MAKING THE MOST OF NEWFOUND FAMILY WEALTH

Client SituationAfter a client sold his business for $250 million in

cash, his advisor introduced him to Northern Trust.

The client realized he needed expert investment advice

and oversight as well as reporting services. Although

the client was a successful businessman, this newfound

wealth and the complex planning issues it presented were

beyond his experience.

SolutionTogether with the client and his advisor, Northern Trust

developed a holistic strategy based on the client’s goals

to preserve assets for future generations and support

charities that were important to his family. The

strategy included:

■■ Trust services to provide for the client’s wife

and children;

■■ A family foundation to support the philanthropic

activities and generate long-term tax advantages;

■■ Investment management services, customized to the

specific goals and risk profile of each family member,

and tailored to also help meet the goals of the trust

and the family foundation; and

■■ Our web-based account management platform, to

provide convenient access to relevant information

for family members who lived far apart.

This approach enabled family members to share

their progress and collaborate on investment and

philanthropic decisions. Their overall portfolio

earned a return that enabled their growing foundation

to support charities with larger contributions than

originally planned.

DISCOVERING BETTER SOLUTIONS FOR PHIL ANTHROPIC PURSUITS

Client SituationA client was giving to so many charities, administration

became overwhelming. She knew little about their missions

since most were her late husband’s choices. While the

client wanted to honor his wishes, she had charitable

priorities of her own, including a local school where

she volunteered regularly. She also sought to develop a

philanthropic strategy that would involve her children

and serve to supplement one daughter’s modest salary.

SolutionOur philanthropic advisory services professional

recommended a strategy for the client that:

■■ Simplified the process and provided information

necessary for her to be more selective in her giving;

■■ Set up a private foundation to support her favorite

charities with greater control over the timing and

amount of the gifts and to provide a vehicle to

involve her children;

■■ Created an endowment at her husband’s alma mater;

■■ Established a charitable remainder trust that will

eventually support her causes, while it offers her

daughter supplemental income; and

■■ Started a scholarship fund for young writers at her

neighborhood school.

As a result of this strategy, the client’s giving gained focus

and impact and became a passion shared by her daughters,

who now sit on the foundation’s board.
