EXTERNAL PARTNER

An external Partner is a consultant, service provider, or 3rd party vendor hired to provide a defined service to Enbridge for a defined time. Our external partners are required to have:

A registered business number Goods and Services Tax number Workers Compensation Board Insurance

CONSULTING SERVICE AGREEMENT

Contracts are signed on a yearly basis valid January 1-December 31. When determining whose contract will be utilized; the decision will be made based on the size of the organization providing the work. If they are larger than Enbridge their contract will be utilized if they are smaller than Enbridge the Enbridge contract will be utilized.

The number of course offerings will be subject to Enbridge needs. All offerings will be determined and schedule at least 3 weeks prior to the offering date.

Enbridge will have a soft copy of any and all documents utilized within Enbridge courses. When applicable, materials will be customized and aligned to Enbridge standards and values.

If Enbridge needs to cancel or defer an offering notice of 10 business days will be provided. Any reasonable costs as outlined in the Contract Service Agreement already incurred by the external partner will be covered by Enbridge.

If the External Partner needs to cancel of defer an offering notice of 15 business days will be provided.

All external partners are required to review:

statement of business conduct

statement of work

information security

The External Partner will not directly or indirectly solicit any of the employees of Enbridge or its affiliates without prior written consent from the Enbridge. This includes e-mails, phone calls or direct solicitation in the classroom. This is provided in detail in the consulting services agreement.

INVOICING

All invoices need to be submitted to Organizational Effectiveness Enbridge University 7th floor 10201 Jasper Ave, Edmonton AB T5J 3N7. To expedite the process, invoices can be submitted via email to: [email protected]

Your Enbridge contact will provide you with the Enbridge company name to bill to for the work being charged. If the Enbridge company name is incorrect the payment cannot be processed.

To assist in the timely processing of your invoices, please ensure the following information is included on your invoice:

Please note:

If GST is being charged the GST amount must be shown below the subtotal of the invoice.

Please make note of any other applicable breakouts, such as Contractor’s Holdbacks, Non-resident Withholding Tax, and Deposits Received

If issuing a credit memo/invoice, please quote the original debit invoice number

Payment will take up to 45 days from the time you submit your invoice. Enbridge offers direct deposit and to expedite your payment we highly suggest you partake in this initiative. Please see the Electronic Payment Information and Authorization Form (Appendix B) to set up your direct depositing.

TRAVELING FOR ENBRIDGE

When traveling for an Enbridge offering, please provide your receipts as confirmation for your expense claim. Travel expenses need to be itemized separately on the invoice.

Enbridge pays the actual cost, including reasonable gratuity, of meals. As a general guideline, a

reasonable gratuity for good service in certain types of restaurants is 15%. Since breakfast,

lunch, and beverages are provided in the offering we will not cover any additional meal

expenses when catering has been provided.

When booking air travel, ground transportation and accommodation services, please notify the vendor that you are traveling for Enbridge as we receive preferred rates. For a list of our preferred Hotels please see Appendix E.

NON-PAID EXPENSES

Hotel cancellation charges – unless the cancellation was requested by Enbridge. Optional flight or medical insurance Damages to or loss of personal luggage, briefcases or vehicles, including subsequent

insurance premium increases Rental car GPS access charges Entertainment Purchase or lease cost of personal communication devices, including laptop computers Personal effects and personal purchases Airline club dues Fines

CATERING

The cost of catering is covered by the Enbridge University for all course participants and Presenters.

Enbridge will place orders for catering based on the course length. o A full day course is provided with breakfast, lunch and beverages o A half day course is provided with snacks and beverages. o Less than 4 hours will be provided with beverages only.

Enbridge has made a commitment to the environment by introducing an embargo on bottled water.

HARDWARE AND SOFTWARE CAPABILITIES

HARDWARE CAPABILITIES

Enbridge has several training facilities and each is equipped with a verity of hardware tools; Smart Boards, podiums, projector and screen, desktop computer, laptop capabilities, memory stick drive, DVD/CD drive, remote and microphones: podium, handheld and lavaliere. (See Appendix A for more details on using A/V equipment) Some spaces have Teleconference equipment available if required. Your Enbridge contact will help best pick a facility that will meet the offerings needs. Although the Enbridge training facilities are equipped with laptop capabilities it is strongly encouraged that you do not bring your laptop as there are different configurations which cause problems with video, PowerPoint, and music being played. If you are including videos in your presentation we ask that you embed them in your PowerPoint presentation.

SOFTWARE CAPABILITIES

The desktop computers in our training facilities are equipped to support the following files: All Office Documents (.xls, .xlsx, .doc, .docx, .ppt, .pptx, .pub) PDF Files (.pdf) All graphic files (.gif, .jpg, .tif, .jpeg) ZIP files (.zip) Webpages (.HTML)

To reduce the chance of technical errors, please ensure you have provided your presentation 5 business days prior to the offering via email to your Enbridge contact. We also recommend that you bring your presentation on a memory stick as an additional backup in case an issue arises.

COURSE MATERIALS & SUPPLIES

MATERIALS

If Enbridge is printing your materials: Please have all materials, reviewed, updated and returned to your Enbridge contact with clear and detailed printing requirements. The materials are to be submitted no later than 10 business days prior to the offering delivery date. If materials are not received 10 business days prior to the course offering we will be unable to provide this service for you. You will become responsible for printing your own materials at your own cost.

If you are supplying your materials: Please provide adequate time for delivery, our mailroom is open from 7:30am – 4:00pm Monday thru Friday. We recommend a minimum of 5 business days to ensure materials arrive on time.

SUPPLIES

Enbridge will provide a participant sign-in sheet, online course evaluation, tent cards, pens, felt markers, poster paper/ flip chart paper and swag items. If additional supplies are required you will be required to provide them for the offering.

LOCATION- EDMONTON

The Enbridge Tower is located at 10201 Jasper Avenue in Edmonton, Alberta.

The Learning Facilities within the Edmonton Enbridge Tower are referred to as the Learning Forum and Room 713 or 7A. A representative from Enbridge will meet all External Partners in the lobby no earlier than 45 minutes and later than 30 minutes prior to the course offering start time. When the External Partner arrives at the security desk they will need to sign in and register with security in order to receive their visitor’s pass.

The External Partner is encouraged to keep the room tidy. At the end of each offering the

Enbridge Host will ensure the meeting room is clean (i.e. all beverage containers removed from

the room, discard empty boxes, remove leftover food or extra materials etc.).

SECURITY REQUIREMENT

The doors to the Learning Forum and room 713/7A are monitored for safety. Ensure you do not prop open any doors unless you contact Brookfield Security (780 420 8130)) first. If you require the doors to remain open, advise security how long you are going to have the door propped open for and what floor and room you are calling from.

ENBRIDGE LEARNING FORUM SAFETY PROCEDURES

In the case of an emergency while at Enbridge:

Alert: A 20 pulse per minute beep through the public address system. Security will use the voice communication system to advise you further.

Evacuation: A 120 pulse per minute high pitched “beep” through the public address system. This is a general alarm that requires evacuation of the floor or building as advised by security.

1. Wait for instructions through our public address system. 2. Pick up you participant sign in sheet and proceed to the nearest stairwell.

Stairways are located in diagonally opposite corners and vacate down. 3. The Enbridge Host will meet you at the designated Muster Point. GlenAbbey

Park located on the east side of the build across the street from the Enbridge Tower.

Company Fire Wardens will be available to assist you. Elevators are not to be used when an alert has been sounded.

LOCATION – CALGARY

Enbridge is located at 425 – 1st Street SW in the East Tower of Fifth Avenue Place in Calgary, Alberta.

The Learning Forum is located on the 18th floor and is accessible using the North elevators. Please note the 18th floor is a secure floor which means that access cards are required to enter the Learning Forum and the washrooms. A representative from Enbridge will meet external facilitators on the 18th floor at a specific time agreed upon. If for some reason you have trouble finding and/or accessing the Learning Forum, please go to reception on the 30th floor and someone will be able to assist you. Main Reception is open from 8:00am-5:00pm.

As a courtesy to other users, each Host is responsible for ensuring the meeting room is clean

after his/her meeting (i.e. all beverages containers removed from the room, discard empty

boxes, remove leftover food or extra materials etc.).

Basic coffee supplies will be re-stocked through Mail Room services; however each Host is responsible for arranging ALL catering, plates, cutlery, dishware or anything additionally required for your sessions. Regular evening cleanup is provided through building maintenance/cleaning staff.

SECURITY REQUIREMENTS

I have read, understand and will comply with the statements above for the upcoming Enbridge

University year January 1, 2011 - December 31, 2011. I also understand that if I do not follow

the guidelines outlined above Enbridge cannot guarantee and is not responsible for the

unsuccessful delivery of learning and development courses. In the event I do not meet the

above requirements for any reason, this serves to provide the Corporation with my agreement

and permission for Enbridge to re-negotiate my contract.
