1. INTERPRET ATION

"Supply Period": as set out in the Schedule or asotherwise extended pursuant to Clause 4.1; and"Terms" these terms and conditioos and theattacJ:ted Exhibit A:

1.2 The Agreement contains the cntire agreemcntand \IIldertaking betwccn the parties relating to theLiccnsed Material and supersedes any prioragreement.

1.3 The terminationof this Agreementshall notpr~udice the rights and remedies of either partyagainst the other in r~t of any prior breaeh ofcovenant.terms.warrantyor condition.

1.4 The failure of Jlnyparty to enforce anyprovisionof this Agreementon any one ~asionshall not affect its right to enforce a.notherprovision or the Saule provision on anotheroccasioll.

1.5 Nothing contained in this Agrcenlent sballcollstituteor shall be construed as constitutingapartnership, joint venture, or contract ofemplo}TU(''I1tbetween the parties.

2. DELIVERYANDGRANTOF RIGHTS

2.1 £Itconsideration of the payments made by theLicensee, and subject to the Licensee observing itsobligations under this Agreement, the Licensorgrants to the Licensee the following tlOn-cxclusiverights ("the Rights") for the Supply Period:

(a) permit Authorized Users to a~ess via theNetwork at any time (subject to Clause 7) theLicensor's server, or as the ease may be any serviceprovided by an agent on its bcl1alf, for the purposeof accessing that part of the Licensed Material ithas subscribed to access (as indicated in AppendixA) for rc,.<;earcl1,teaching, and private studypurposes by means of workstations connected tothe Licensee's Network;(b) makc that pari of the Liccnsed Material anAuthorized User has subscribed to (as indicated inAppendix A) accessible din.'CUyor remotely via therespective campus Network to the respectiveAuthorised Users for theirl research. teacl1ing, andprivate study purposes in accordance with theLicensee's customary policies and practicesacceptable to the Licensor;(c) permit an Authorised User to print and/ordownload individual articles and other individualitCIlls trom searches of that part of the LicensedMaterial that the Licensee has subscribed to access

(as indicated in Appendix A) for research,teaching, and private study purposes by means ofworkstations connected to a campus Network;Cd) permit teaching staff accredited to theLicensee to reproduce individual articles trom thatpart of the Licensed Material that the AuthorizedUser has subscribed to a~css (as indicated inAppendix A) fordistribution to students accreditt.'d

to the Licensee for the purpose of including suchindividual articles in course study packs;(e) permit each Authorized User to reproducesingle copies of individual articlesftom that part ofthe Licensed Material that the Authorized User hassubscribed to access (as indicated in Appendix A)in hard copy print fonn for distribution withoutcharge in hard copy form (but not electronically) toindividual libraries of not for profit, noncommercial organisations in accordance with fairusage guidelines. No right or licence is herebygranted to any person provided with such a copy tocopy or otherwise deal with that individual article;and(1) create a hypertext link to any part of theLicensed Matcrialprovided that no person otherthan an Authoriscd User may use such hypertextlink

2.2 The Rights are personal to the Licensee anddo not extend to its subsidiary or parentorganisations, or to any other related or affiliatedorganisations other than tbe Authorized Users asprovided herein. The Licensee may Ilot assign,sub-license, transfer, charge or otberwise disposeof its rights under this Agreement without the priorwrinen consent of tile Licensor.

2.3 Title to, and ownership of, the LicensedMaterial (including any copies made by or onbehalf the Licensee including by the AuthoriscdUsers) is not transferred to the Licensec audrcntains vested in the Licensor, subject to theRights granted in Clause2.1 and Clause4.6. TheLicensee acknowledges that any rights notexpressly granted in this Ucence are reserved tothe Licensor.

2.4 The Licensee is responsible fur the provisionof and payment for the computer equipment andtelecommunication services necessary for access toand use of the Licensed Material The Licensorshall not issue credits or refunds against chargesincllfrL>d by the Licensee in relation to suchtelecommunication services or those incurredcontacting Customer Support. The Licenseeacc<.-ptsthat the Licensor has no control over suchtelecommunication services and that the Licensorshall have no liability to the Licensee for the actsor olllissions of providers of teIcconullunicationservices <>r for fuuits in or failures of their

apparatus or of the Licensee's computer equipment.

2.5 Licensor acknowledgesthat Licensee mayengage the services of third~partytrusted archives("Third Party Archive") to fulfill the requirCfllentsofthis provision. Theselectionand engagcntentofthe Third Party Archive shall be subject toLicensor's prior written consent and Licensec

agrees that it will not enter into any archiveagreement with a Third Party Archive withoutLicensor's express written consent Licensoragrees to cooperate with such archiving entitiesand/or initiativesas reasonablynecessaryto makethe Licensed Materials available for archivingpurposes.

3. USAGE RESTRICTIONS

Except as expressly pcnnitted in Clause 2.1. theLicensee warrants that it win not. nor will it licenseor permit others to, directly or indirectly, withouttIle Licensor's prior written consent:

(a) sell. distribute, license, rent or otherwiseexploit the Licensed Material, or any clenlent of it,for any commercial purpose;(b) make the Licensed Material, or any elementof it, available by any means to persons other thanAutIlOriSedUsers;(c) make the Licensed Material, or any clementof it, avail~lbleon, or by, electronic bulletin boards,news groups, Web sites, FTP or allYother means ofposting or transmitting material on the Internet, anon-line service or widc area network;(d) removc or obscure the Licensor's copyrightnotice ITomthe Licensed Material inciuding hard-copy priut-outs;(c) use the Lic.crtscd Material to create anyderivative work, product or service, or merge tI1CLict.'1lsed Material with any other product,database, or service;(1) alter, amend, modify, translate, or change theLicensed Material;(g) undertake any activity that may have adamaging effect on the Licensor's ability to acbievercvenue through selling and marketing theLicensed Material;(Ii) otherwise lIse tbe Licensed Material suppliedin accordance \vith this Agreement in a manner thatwould .infi:ingethe copyright or other proprietaryrights contained within it;(i) make the Licensed Material or any part of itavailable by rcntole aecess to any person other thanAuthorised Users; or(j) make mass, automated or systematicextractions ITom or hard copy storage of theLicensedMaterial.

4. TERM AND TERMINATION

4.1 This Agreemt'tlt shall begin On theCommenccntentDate and continue for the initialperiod of the Supply Period as defined in theSchedule.111eLicensor may agree to renew theSupply Period for additional om~..yearperiods,subject to payment of appropriate fees andaceeptancethercofby the Licensor. If the Supply

Period is not so renewed the Agreement shallcontinuein accordancewithClause4.6.

4.4 If terminationofthe SupplyPeriodoccurs asa result ofnoticebeing givenbythe LicenseeonderQausc 4.2, 4.5 or 10.2 or by the LicensorunderClause 4.3 or 10.2 the Licensor shall repay lheLicenseea pro-rateableproportionof the LicenceFee as represent,,"the paid for but unexpiredSupplyPeriodat the dateofterminauon.

4.5 Eitherparty mayterminatethe SupplyPeriodforthwitIl011notice in writing to the other if theother party is unable to pay its debts or ceases orthreatens to cease to earry 011business,goes intoadministration, receivership or administrativereceivership,{)fany event analogousto any of theforegoingoccurs in anyjurisdiction.

4.6 On termination (including uon-renewal) ofthe Supply Period, otherwise than as a result ofnotice being given by the Licensor under Clause4.2 or 4.5, Licensee shall have no rights of anykind to any Licensed Material printed or otllerwisemade available after the date oftenninarion but theLiccusee's non-exclusive liccuce of the Rightsshall, subject to, except as otherwise set fortb inthis Clause 4,6, all the terms and conditions in thisAgreement (including without limitation this sub-clanse 4.6, Clause 4.8 and the other provi$ions ofthis Clause 4), continue indefinitely in respect ofthe Licensed Material accessible as at the date oftermination of the Supply Period and listed in:

(a) Section A, B and D of tile Schedule SUBJECTALWAYS to the Licensee's continued compliancewith the terms of this Agreement and payment ofsuch reasonable annual access fee as Licensor maytrom time to tinte charge (or such alternativesupply arrangement terms and costs as the partiesmay agree); and

The Licensor shall, afterthe end of such limited period and provided that ithas the rights to do so, deliver the C Content in aphysical stomge media (the "Media") to theLicensee SUBJECT ALWAYS to the Liceusee'scompliance with tI1Cterms of any additionallicencctenus notified to the Licensee 011delivery of theMedia (the "Media Licence") 1Imtarc appropriatefor such physical media (for the avoidance ofdoubt, in respect of the use of the Media by UleLicensee the tcrms of the Media Licence shallprevail over the terms oflliis Agreement ifthere isa conflict or otherinconsisteney) and payment ofsuch reasonable supply fee as Licensoc may fromtinte to time charge to cover its handling costs (orsuch alternative supply arrangClllent terms andcosts as the parties may agree).

4.7 Without prejudice to any other rights theLicensor may have, the Licensor Ulay suspend theprovision of tbe Licensed Material to anyAuthorized User \villi immediate effect on writtennotice without liability if the Licensor belit'ves theLicensed Material is being used by slichAuthorized Us(.~sin a manner that contravenes the

provisions of this AgrCCOlcntor the Media Licenceor in the event of delay orfuilure to pay inaccordance with clallse 5.

4.8 The Licensor may terminate this Agreement(including the Post Supply Licence) at any timeupon written notice to the Licensee if the Licensoocommits a breach of any term of this Agreement orthe Media Licence. The termination will becoOleeffectivethirty days after receipt of written noticeunless, in the case of a remediable default, duringthe relevant period of thirty days the Licensee hasfClllediedthedeUtun.

4.9 On termination of tIle Supply Period as a resultof notice being given by the Licensor under Clause4.2 or 4.5 or on termination of the Post SupplyLicence as a result of notice being given by theLicensor undt)'I'Clause 4.8, ilie Licensee shall have

no further rights of any kind in tbe LicensedMaterial and the Licensee agrees to destroy and useits best endeavours to procure that all AuthorisedUsers destroy, all Licensed Material stored 011itsNetwork or in CD-Rom or other hard copy fonnbotb on paper and in any digital infonnationstorage media or other physical media storage,including, but not limited to, system servers, harddisk~ diskeues, and back up tapes.

4.10 When calculating the reasonable axUlualaccess fee payable by the Licensee purSUaxlttoclause 4.6 the Licensor shall be entitled to increasesuch fee on 00 a1Ulualbasis including but notlimited to reflect any increase in tbe number ofChargeable Users, ooy change in tbe business ofthe Licensee or ooy inerease in supply or othercosts incurred by the Lieeusor.

5. LICENCE FEE

5.1 The Licensee agrees to pay to the Licensorthe Liccncc Fcc and a.nyother paymenls under thisAgreement within 30daysof tbe date of invoice.

5.2 An amounts payable by the Licensee underthis Agreemcnt shall be exclusive of any sales, use..value addedor similartaxcs.

6. NATURE AND JOUR.."IALS LICENCEFEE (NOT APPLICABLE TO NEWS)

6.1 Where the Licensed Material includesNature andlor Journals elenlents the Licence Fccis calculated on thc basis ofChargcable Users. TheLicensee warrants that Licensee's ChargeableUsers during lite 12 months prior to theCommencement Date did not exceed the number ofChargeable Users for the Licensee as stated in l11eSchedule in respect of Nature andlor .Journals.

6.2 The Licence Fee is assessed Oll the numberof Chargeable Users during thc 12 month periodprior to the Conmlcucemcut Dale for the initial 12month period oFthe Supply Period a1lrlfor each 12month period prior to a1ly subsequent 12 monthextcusions agreed to by the Licensor. 7. LICENSEE'S UNDERTAKINGS

7.1 The Licensee shall take all reasonable stepsto ensure that tbe Licensed Material is used only inaccorda1lce",.jth the terms and conditions of thisAgrcenlent and shall infoffil AuthorisLxlUsers ofthe pcnnitted use restrictions and other provisionsset out in this Agreement.

7.2 'l1le Licensee shall put into placc reasonableprocedures to monitor the compI1a1lccwith thetcmlS and conditions of this Agreement by theAuthorised Users,

7.3 TIIC Licensee wiU notify the Licensorimmediately of infringements that comc to theLicensee's notice and the Licensee agrees to co..operate with the Licensor as appropriate to stopfurther abuse should it occur.

7.4 Subject to Qause 4.9, nothing in thisAgreemalt shall make the Licl'l)see liabJebbrcuch of tbe restrictions set out in the terms andconditiotls of this AgrCCUlcutby any AuthorislxIUser as long as the Licensee complied\-vith theterms of Clauses 6, 7.1. 7.2 and 7.3 a1ld did notcause, intentionally assist in or alCourage suchbreach nor allowed it to colltinue ufter havingreceived notice of such breach whether from theLicensor or otherwise. However, in tiH~evelll ofcontitluing abuse the Licensor shan be entitled totcrminatcthis Agreement.

7.5 The Licensor shall be entitled to monitor theuse of the Licensed Material through the LicensorsSCfVl'T5, or as the cuse may be any service providedby an agent on its behalf, SO as to monitorcompliance with this Agreement In suchmonitoring, the privacy of individual users shallnot be infringed.

8. W ARRANTlES, UNDERT AKlNGSAND INDEMNJTIES
