The proposed Construction/Renovation works shall be executed through- .a
contractor, on *tto. award for execution of works will be given on turnkey basis. This
will include Site survey also jointly.
The Consultant shall make quality surveillance of all activities from Engineering,
survey, erection, construction up to final testing and commissioning during execution of
the works. The Consultant wili also ensure quality of MateriallEquipment used in the
work. If the quality of Material/Equipment is suspected to be inferior, it will be reported
to the all conceming officers lilie Project director (DDUGJY & IPDS), CEO

l.l Construction Supervision :-
To supervise and Monitor that the construction works are in accordance with the approveddrawings, technical specifications, environmental Management Plan and other stipulations ofconhact Documents. The Construction methods proposed are in compliance with the stipulationparticularly, in relation to the construction equipments and other resource deployment.
Supervise the Conhact in all matters concerning safety and care of the work includingenvironmental aspects and labour welfare keeping in view the relevant Acts.
Inspect the Works on substantial Completion before taking over and indicate to the C.E.O.OF WORK PROJECT, MPPKWCL INDOR-E/ Project Director (DDUGJY & IPDS) anyimportant work to be caried out by the Contractor during the Defect Liability period.
The consultant's Resident Engineer and Field Engineers shall assist the Field Engineers ofMPPKWCL Indore, responsible for verifoing turn key constnrction contractor's bills in makingfield measurement of all items of works and of quantities of materials incorporated in the workand maintaining up to date books containing such computations or other information concerningthe use of construction materials, properly segregated in to sections of construction. Theconsulatant Resident Engineer and Field Enginners shall verifu thE pole schedules of thecompleted works and record certification therof.

These measurements shall be made on the works of each District, block and Town in the-Sive1
percentage and should cover all-important items/components of work. Consultant willbe fully responsible for all measurements checked by his staff. percentage checking ofmeasurements prescribed for Team Leader is for other than those checked by RE. But this doesnot prohibit Team Leader from checking the measurement of the part checked by RE howeverthis shall be in addition to the prescribed percentage
f. To perform repeat tests or check measurements, if directed by the C.E.O./project Director.These repeat tests or measurements may be conducted in the presence of C.p.O.lprojectDirector or their representatives as may be directed.
1.2 Following field checks are in the scope of the consultant:-
a' Detailed inspection & Supervision of 50 Yo of total Villages in the scope of the executingcontractor/contractors on random sampling basis for which, I00% verification of Bpiconnections, 100% Distribution Transformer Substations, 100% LT Lines and 100% ofthe 1lKV lines attributed to the village (emanating from cut-point/grid substation) as wellas the 11 KV line laid within the village, verification of enirgisaiion of village & BpLbeneficiaries, installation of service connections in public plac-es, hours of sup-pty in thevillage, time taken by DISCOM to raise first energy-Uitt itr favor of beneficiaries are to beinspected in 50o/o villages of the project.
Stages and Scope of Inspection.1- lst Stage- Inspection shall be carried out as per FQP on the start of work in
villages.(i) All districts and all turnkey contractors shall be covered.(ii) Electrified as well as un-electrified villages will be covered.(iii) Inspection shall begin and end when the physical progress in the
project is completedir-l0% and 30 yo of villag.s r"sp."tirrely. Five(5) nos. of villages in a project are to be thoroughly inspected at thevery beginning when the same is completed in the project. Thesevillages after rectification of defects will become moial qualityvillage. The findings of inspection of these five villages ,t at uLused as training resource and necessary improv"..ni in euality

c. Detailed inspection & supervision of atleast 50% Qtycontractor on random sampling basis including 11
mentioned in PARA 1.2(a) of this award.
d. Quality Assurance shall be undertaken in the following areas of the project impiementation:-
i. Quality of material/equipment being supplied.
ii. Quality of works in the field-Workmanship of Contractor.
e. Proper records shall be maintained at field office of PIA, PMA and turn-kel Contrastor tbr all the
checks and tgsts made by the PIA and PMA.
f. Wherever works carried out are found unsatisfactory by PMA, compliance s'ith r*pect torectification shall be submitted by turn-key contractor to PMA and PIA and the same ma) be re-
inspected by PMA and PIA, if required. Recurrent adverse reports about qualiq' of rvorlis in anr'project will entail withholding of release of funds.
g. The turn-key contractor shall make necessary arrangements at site for checkin,e of earth-resistance, conductor size, route-length etc. and provide it to PMA, if required.
CONSULTANTS TEAM INPUTS:The consultant will engage the minimum staff as detailed in Table-l.The qualification,experience and task assignment of the staff will be as per Annexure-2 of tenderdocument.The team given in Technical Proposal will have to be employed on thework.The implementation of the Work Project is organized in terms of multi ConstructionPackage.

2.1 Taxes and DutiesThe consultants and the personnel shall pay the taxes, duties, fees, levies and other impositions
levied under the existing, amended or enacted laws during life of the agreement and the Client
shall perform such duties in regard to the deduction of such tax as may be la*firlly imposed.
price is inclusive of all taxes and duties (except service tax & education cess on such service tax)
levy-able in relation to this contract. The applicable Service Tax (along-with Education Cess on
suci service tax) shall be claimed over and above the contract price by the consultant and paid by
him to the appropriate govemment timely and in proper maruler as may be prescribed by law.
Further, the consultant is required to produce documents regarding payment of Service Tax time
to time. If he fails to produce such document, his subsequent bills may be withheld for payment.
3. PAYMENTth. puyilillf tttE fees to the consultant in consideration of the services rendered by him shall
be made in following manner:-
(i) Fixed Part of the Fees: 25 % (Twenty five percent) of the fee quoted by consultant shall

etc.
(iii) Variable part of the Fees: 65 % (Sixty five percent) of the fee quoted by consultant shall
be variable portion of total fees of the consultant, and shall be payable on prorata basis as per the
work progr.rr, u, calculated in following manner. The work/part of the work shall only be treated
as complJted only when the Consultant's personnel have submitted all reports relating to the said
work as per scope of the services and as mentioned in TOR.

(iv) Remaining 10% shall be released after 03 months of completion of works and acceptance
of closure proposal of turnkey contractor by the REC/PFC and release of final insttalment
of grant to the utilitY.
(v) Normally the payment of fees as above would be made within 30 calendar days and 45
calendar duys for fixed part of fee and variable part of fee respeciively from the date ofsubmission of bills. The amount as per the statutory requirement and/or as provided in the
contract award shall be deducted from the bill of consultant. The M.P.P.K.V.V. Co. Ltd,
lndore shall not be liable for any interest on account of any delay in payment.

(vi) The cost of works for which consultancy to be provided has been estimated to be Rs
629.12 crore (approx) at present, on the basis of which, fixed part of the fees has been
arrived. During execution of project, actual cost of works supervised may be more or lesser
not undergo any revision.
4. CURRENCY OF PAYMENT
Except as may be otherwise agreed between the Client and the Consultants allpayments under this award shall be made in Rupees only. The payments shall be made by
Cheques or RTGS.

The billing and payment in respect of services shall be made as follows:
As soon as practicable and not later than the fifteen (15) days after the end of each
calendar month, during the period of services, the consultant shall submit to Clientin duplicate itemized statements.
The Client shall cause the payment of the consultants periodically as given above
within thirty (30) days after the receipt by the Client of bills with supporting
documents. Only such portion of a monthly statement/bill that is not satisfactorilysupported may be withheld from payment. Should any discrepancy be found to exist
between actual payment and cost authorized to be incuned by the consultants, the
Client may add or subtract the difference from any subsequent payments.
The final payment under this clause shall be made only after fulfillment of clause
No.3.(iii) (Variable Part of the Fees). The services shall be deemed completed and
finally accepted by the Client and the Closure report shall be deemed approved bythe Client as satisfactory, ninety (90) calendar days after receipt of the closure report
by the Client unless the Client, within such ninety (90) days period, gives writtennotice to the consultants specifying in detail deficiencies in the services, the Closurereport. The consultants shall thereupon promptly make any necessary corrections,and upon completion of such corrections, the foregoing process shall be repeated.
Any amount which the Client has paid or caused to be paid in accordance with thisclause in excess of the amounts actually payable in accordance with the provisionsof this agreement shall be reimbursed by the consultants to the Client within thirty(30) days after receipt by the consultants of notice thereof. Any such claim by theClient for payment must be made within six (6) calendar months after receipt by the
Client of a final report and a final statement approved by the Client in accordance
with the above.
All payments under this agreement shall be made through account payee cheque orRTGS.
5. RECOVERY
Any sum falling due or any loss caused against this award shall be recoverable by the client fromthe consultant as if it were arrears of land revenue.

6. AGBEE,UENT
You will have to execute an agreement on Non Judicial stamp paper worth
Rs.1000/- with MPPKVVCL, Indore in the prescribed format given in Annexure-Ill within aperiod of 15 days from the issuance of this award. Execution of w'ork shall be governed by the
terms and conditions mentioned in the agreement, this award and the tender document against
which this award is olaced.
9. PERFORMANCESECURJTYThe amount of security deposit in the form of Bank Guarantee (in the format given in
Annexure-Il) shall be 10% of the estimated consultancy fee. The validity of the Bank
Guarantee(s) shall cover entire duration of consultancy period plus 3 months. The Bank
Guarantee(s) shall be released after satisfactory completion of the assignment.
10. PENALTIESa. Without prejudice to other provisions of this award, in case any delay occurs insatisfactory completion of the project for any reason(s) attributable to the consultant, the
consultant shall be liable to pay penalty @ 0.05% of the cost of such delayed portion of the
project (as may be decided by client), per calendar day of delay, subject to a maximwn of 2.5o/o
(two and half percent) of the contract sum. For the purpose oflhis clause, contract sum means the
Estimated Cost of Works to be supervised (as per contract awarded to contractor) X percentage
rate quoted by the consultants in their financial offer.
b. For delays in satisfactory completion of work beyond 3 (three) months, the amount ofperformance security in part or full as decided by MPPKWCL INDORE' is liable to be
forfeited.
c. ln the event any material or item of work is found to be substandard and unacceptable,
the Consultant shall intimate to C.E.O./Project Director for initiating actions so that such cases do
not recur. During the inspection of the Client or officers deputed by the Client/ ProjectDirectorA{odal Officer, if it is noticed that sub-standard work has been allowed (whetherpaid or not) by the consultant, l-112 (one and a half) times of the consultancy fee payable to
the consultant, for that particular work, will be recovered from him. However consultantswill not be discharged of his responsibilify to get the defects rectified by the contractor.
I1. TIME FRAME
The term of appointment of the PMA shall be for (24+3=27) months i.e. 24 months forcompletion of works under the scheme and 3 months for associated activities after completion ofworks. The Zero date for a particular project shall be the date of agreement after award with the
PMA, if not conveyed in project wise manner by the utility. In case of execution of works under
the project beyond 24 months, the services of PMA shall be suitably extended time to time on
same terms and conditions. The consultancy services for a particular project/ Packages shall be
discontinued as and when the work of that particular project/package will be physically
completed including submission of closure proposal

12. REPORTSAll reports and documents prepared by the Inspecting Agency shall be professionally precise andobjective. The report formats shall be finalized in Consultation with the Employer's officials. Thereport should be as per clause 9 of Terms of Reference of bid document.The progress report shallhave to be submitted fonnightly in the format prescribed by the PD(DDUGJY & tfos; anomodified as when required.
13. LIABILITY FOR ACCIDENTS AND DAMAGESUnder the contract, you shall be responsible for loss or damage to the plant/equipment/
lines/ works until the successful completion of commissioning as defined else where in the biddocument.
14. pEFENCE OF SUrEIf any action_in court is brought against the Employer or CEO or an officer or agent of the
Employer' for the failure, omission or_neglect on tlte part of the pMA to perform-any acts,matters, covenants or things under the Contract, or for damage or injury caused by the attegeOomission or negligence on the part of the PMA, his agents, representatives or his sub-consultint,or in connection with any claim based on lawful demands of sub-consultant, workmen, suppliersor employees, the PMA shall in all such cases indemnify and keep the Employer, and the-CgOand / or his representative, harmless from all losses, damages, expenses or decrees arising of suchaction.
15. FORCE MAJEURE(a) For the purposes of this agreement, "Force Majeure" means an event which is
beyond the reasonable control of a party, and which makes a party's performance of itsobligations hereunder impossible or so-impractical as reasonably to be considered impossible inthe circumstances, and includes, war, riot. Civil disorder, earthquake, fire, explosion, storm, floodor other adverse weather conditions, strikes, lockouts or other industrial action are within thepower of the pany invoking force majeure to prevent, confiscation or any other action byGovernment agencies.
(b) Force Majeure shall not include(D - Any event which is caused by the negligence or intentional action of a party orsuch party's sub-consultant or agent or employe.r, noi -(ii) Any event which a diligent party could reasonably have been expected to both (A)take into account at the time of the conclusion of this Agreement and (B) avoid or overcome inthe carrying out of its obligations hereunder.
(c) Force Majeure shall not include insufficiency of funds or failure to make any paymentrequired hereunder.
16, MODIFICATIONModifications of the terms and conditions of this agreement, including any modification of thescope of the services, may only be made by written agreement between the parties. pursuant toClause 7 '2 of general conditions of agreement given in tender document hereof, however, eachParty shall give due consideration to any proposuls for modification made by the other party.
