Dear Client Name:

In accordance with your request, Avid Engineers (Avid) is pleased to submit a Scope of Services and Proposed Fee to provide engineering design and construction administration services for the above referenced project.

Avid’s proposal is based on information received (Date). Avid understands the project to consist of an (Project Scope) building located in Location. Each floor will be approx. (SF total), (Additional Project Information.)

It is our understanding the project will proceed on a Design-Bid-Construct format. Avid will work as sub-consultant to (Client) and will provide Plumbing, HVAC and Electrical/Fire Alarm engineering services to support the proposed scope of work.

Scope of Services:

Design Phase:

Avid will provide construction documents to support the new MEP system(s) defined by the existing program for the building. At the completion of this milestone, the documents will be 100% complete and suitable for bidding and construction. Services provided under this phase will include:

Prepare Plumbing, HVAC and Electrical/Fire Alarm drawings and specifications, (specifications will be book format or on-drawing format suitable for the scope of work – format to be determined by (Client). The drawings will include floor plans, part plans, riser diagrams, equipment schedules, details and notes as required to depict the project scope.

Prepare building code related narrative documents, and design certification forms to support the permitting and construction process.

Provide three (3) sets of wet-stamp construction documents. Note, plotting defined as a reimbursable expense.

Deliverables:

Documents will be submitted to H. Allan for review and comment at an interim level of progress. Upon receipt, review comments will be addressed and incorporated into the final finished documents. For the purpose of this proposal, it is assumed deliverables will occur at the following stages:

75% Progress – Issued for Review and Coordination Final Construction Documents – Suitable for Bidding, Permitting and Construction.

observation of representative units.

Construction cost estimates will be provided by others.

Designs will not be submitted for LEED certification.

Avid will connect into existing utilities serving building. No coordination with utility companies shall be required.

Additional Service

The following are not included in basic services, but can be requested as an additional service:

Preparation of revisions to the contract documents after submission of the contract documents, caused by design changes initiated by others.

Expansion of the growth of the project. Review of possible Value Analysis / Value Engineering items, and preparation of associated revisions

to the documents. Attendance at weekly construction meetings. Project/ System commissioning. Assistance with preparation of as-built drawings. LEED Certification. BIM Modeling. Energy Analysis. Fire Protection Design

Standard Terms and Conditions

The above stated services will be performed in accordance with the attached Standard Terms and Conditions to Letter Agreement.

If additional services are required, Avid will submit an Additional Services Authorization Form. This form will describe the proposed scope and associated fee.

It is assumed “in-person” design review/coordination meetings are not required. Teleconference calls will be provided as required.

Construction Administration:

During the construction phase, Avid will:

Review shop drawings for each item submitted. Respond to contractor questions (RFI’s), prepare revision sketches where required. Conduct (1) site visit/walk-through for the project through substantial completion, and prepare/issue

an associated punch-list. Issue addenda where necessary – narrative and/or sketch format as determined by H. Allan where

required.

Additional Services Task Fee Amount

Attendance at Construction Meetings (project manager – 4 Hrs @ $150.00/Hr) $600.00 / Mtg.

The above stated fee will be invoiced monthly, based on a Lump-Sum, percent complete basis by task.

Reimbursable expenses, such as: travel, printing/plotting, and overnight/express mail will be invoiced at cost. The following value of $1,000.00 is an estimated not-to-exceed amount.

Assumptions / Clarifications:

(Client) will provide electronic backgrounds in AutoCAD .DWG file format, including reflected ceiling plans, and equipment/appliance layouts where applicable.

The contract will be Lump-Sum. Any change to the scope of work will result in a corresponding change to the contract amount as negotiated in good faith by all parties.

Upon commencement, the project will proceed in a continuous manner. Extended interruptions to the design process caused by (Client) or additional parties which result in intermittent or sporadic services will be cause for submission of an additional services request.

Supplemental framing to support mechanical and electrical systems where applicable will be designed by others.

An emergency generator is not required. Designated life-safety egress lighting will be accomplished via self-contained emergency battery units.

STANDARD TERMS AND CONDITIONS TO LETTER AGREEMENT

1. Avid provides services consistent with sound professional practices ordinarily exercised by those of the same profession.

2. Invoices for services and reimbursable expenses shall be submitted at Avid’s option, either upon completion of the services, or on a monthly basis. Invoices shall be payable within 30 days after the invoice date. The client agrees to pay all cost of collection including reasonable attorney’s fees. Additionally, Avid has the right to suspend services if unpaid within 30 days, and client agrees to waive all consequential damages and hold harmless Avid for any claims that arise due to said suspension of services.

3. Avid defines reimbursable expenses as automobile travel, lodging, meals associated with travel, postage and delivery charges, cellular telephone, and reproduction/plotting costs. Avid will invoice these costs as stated in the agreement. Charges for automobile travel will be in accordance with mileage rates established by the Internal Revenue Service.

4. The client recognizes that no retainage will be held from payment of Avid’s invoices.

5. The design professional may use the services of subconsultants when, in Avid’s sole opinion, it is appropriate and customary to do so. If the client chooses to employ other design professionals that are intended to work under the supervision of Avid, then Avid shall be held harmless from the performance of such separately employed design professionals.

6. The client recognizes that monies due may not be limited, reduced or held, in response to negligence in Avid’s performance.

7. All documents produced by Avid under this agreement shall remain the property of Avid and may not be used by this client for any other purpose without the written consent of the design professional. Client agrees to indemnify and hold harmless Avid from any claims that arise due to the reuse, or misuse of the work documents.

8. Prior to the initiation of legal proceedings, any claim or dispute between the client and Avid shall be submitted to non-binding mediation, subject to the parties agreeing to a mediator(s). The party seeking to initiate mediation shall submit their request to the other party in writing. The client and Avid agree that all claims shall be filed before the date of substantial completion of the project. Unless otherwise specified, this agreement shall be governed by the laws of the Commonwealth of Massachusetts.

9. Neither the professional activities of Avid, nor the presence of Avid or its employees and subconsultants at a construction site, shall relieve the general contractor and any other entity of their obligations, duties, and responsibilities including, but not limited to, construction means, methods, techniques, or procedures necessary for performing, superintending, or coordinating all portions of the work in accordance with the contract documents, and any health and safety precautions required by any regulatory agencies. Avid and its personnel have no authority to exercise any control over any construction contractor or other entity or their employees in connection with their work or any health or safety precautions. The client agrees that the general contractor is solely responsible for jobsite safety, and warrants that this intent shall be made evident in the client’s agreement with the general contractor. The client also agrees that the client, Avid, and Avid’s consultants shall be indemnified and shall be made additional insured under the general contractor’s general liability insurance policy.

10. The client recognizes that construction costs and contractor’s prices can only be estimated on the basis of a design professional’s experience, and are not guaranteed by Avid.

11. The client recognizes that climatic conditions, equipment operation and building use cannot be controlled by a design professional, and that energy estimates can only be estimated

on the basis of the design professional’s experience. Avid does not guarantee estimates of energy use.

12. A condition is hidden if it cannot be investigated by reasonable visual observation or records reviewed as customary in the performance of the services being rendered. If Avid has reason to believe that such a condition may exist, Avid shall notify the client who shall authorize and pay costs associated with the investigation of such a condition and, if necessary to correct said condition. If (1) the client fails to authorize such investigation or correction after due notification, or (2) Avid has no reason to believe that such a condition exist, the client is responsible for all risks associated with this condition, and the Avid shall not be responsible for the existing condition nor any resulting damages to persons or property. Unless specifically agreed upon prior to the commencement of service, Avid shall have no responsibility for the discovery, presence, handling, removal, disposal, or exposure of persons to hazardous materials of any form, including asbestos, asbestos products, PCB’s or other toxic substances.

13. The client has the responsibility to provide Avid with all existing, reliable and accurate information relating to the project in as timely manner as possible.

14. Avid and the client mutually agree, to the fullest extent permitted by law, to indemnify and hold each other harmless from any and all damage, liability or cost (including reasonable attorney’s fees and defense costs) to the extent caused by their own negligent acts, errors or omissions and those of anyone for whom they are legally liable, and arising from the project that is the subject of this agreement. Neither party is obligated to indemnify the other in any manner whatsoever for the other’s own negligence.

15. The client agrees to indemnify and hold harmless Avid from any claims, costs, liabilities or damages resulting from the existence of mold, except for those claims caused directly by the negligence of Avid.

16. This agreement may be terminated upon 10 days written notice by either party should the other fail to perform his obligations hereunder. In the event of termination, the client shall pay Avid for all services, rendered to the date of termination, all reimbursable expenses, and reasonable termination expenses.

17. This agreement comprises the final and complete agreement between the client and Avid. It supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the subject matter of this agreement. Execution of this agreement signifies that each party has read the document thoroughly, has had any question explained by independent counsel, and is satisfied. Amendments to this agreement shall not be binding unless made in writing and signed by both the client and Avid.

18. In recognition of the relative risks and benefits of the project to both the client and Avid, the client agrees, to the fullest extent permitted by law, to limit Avid and Avid’s employee’s total liability to the client, for any and all damages or claim expenses (including attorney’s fees) arising out of this agreement, from any and all causes, to the total amount of $50,000.00, or the amount of Avid’s fee (which ever is less).
