We want all our franchisees to succeed and for you to do so your business will require a lot of hardwork and commitment.

As the first step in this process we ask you to carefully consider the informationprovided in this brochure, which has been designed to help you make aninformed decision as to whether or not you want to progress further.

Please feel free to contact us by telephone or e-mail with any questions orsimply complete and return the questionnaire so we can continue onto the

next stage and arrange an initial meeting.

The significance of this venture is considerably high to both parties and thisis why we arrange to meet you so that we can discuss everything youneed to know about us and this excellent opportunity.

The First Class Learning Service

The UK market for after-school provision of academic support is large.Parents want to help their children succeed at school and areprepared to invest in their child’s future. Being a First Class LearningCentre Franchisee allows you to satisfy this demand using a

professional product and earning a professional income.

First Class Learning (FCL) is a network of after-school education centres run by independentCentre Managers (Franchisees) using Maths and English programmes designed and produced by

us and exclusive to FCL.

The Maths and English programmes have been created by a team of specialists with a wealth ofexperience in the educational sector, and all of our programmes meet the learning objectives of the

National Curriculum for England and Wales and the 5-14 Guidelines for Scotland.

This sets First Class Learning aside from international after-school programmes and provides you with astrong base to develop your business while reducing the threat from competitors.

Our First Class Learning Programmes are also endorsed by the Dyspraxia Foundation and professionaleducationalists, several of whom are members of our Advisory Board.

'My own education was one

of the factors that enabled me

to build a successful career in

business, so I appreciate the

importance of good Maths and

English skills. With the support

of the First Class Learning

team, I am now building up

my own great business.'

Welcome To FirstClass Learning

Thank you for enquiring about the First Class Learning Franchise

Our Belief

Well educated young people are our most precious asset. We strive to help our students receive the very besteducational service, with each student working at the right level for them in order to maximise their personalpotential. We are passionate about providing exemplary levels of service for our students and our customers testifyto these values.

If you have the skills and determination to fulfil this belief and incorporate it into your business, then a First ClassLearning franchise can be a rewarding venture for you and your family.

Are you ready for a new challenge?

Being a First Class Learning Centre franchisee can be very rewarding - both personally and financially. As afranchisee you will have the sole right to purchase and use the FCL materials within your agreed franchise area.

When you set up your business, you will be automatically listed on the FCL website as well as having theopportunity to create your own local webpage. Parents and schools looking for tuition services in your area willthen be directed to you. In addition you will be able to carry out local marketing and promotional campaigns, usingthe FCL logo, which will generate you further enquiries.

Our objective is to give you the system, training and on-going support that yourequire to run a successful FCL business whilst enabling you to have the freedom tobe your own boss in the secure knowledge that you are providing a worthwhileservice benefiting children.

We are aware there is no substitute for experience, and there will of course bechallenges. This is why we have developed our interactive internet forum so youwill be able to call on the support and expertise of the central support staff andall the other franchisees who are running the same business as you.

Running your own business

As the local FCL franchisee you will be responsible for carrying out thefollowing tasks:

EducationFirst and foremost you will be responsible for running your FCL Centre. This means: guiding your students through the FCL programmes toensure that they gain the maximum educational benefits; working

with local schools to provide study support as part of the extended school day.We provide all the training required to implement the maths and English programmes

successfully, both in your centre and local schools.

Managing your classYou will need to run your class at least one day per week for between one and three hours. Initially, this

could be in your own home, but as your numbers grow you will need to rent premises for the hours yourclass is open.

Advertising and promotionYou will need to constantly promote awareness within your community of the services which you provide. This willmean advertising in the local press, displaying posters, distribution of leaflets, etc.

AdministrationAny business requires a certain degree of administration. We will show you how to keep accurate records of yourstudents’ work and progress and you will also need to keep records of the finances of your business for taxpurposes etc.

‘Working with children is

rewarding in itself but with

First Class Learning I also enjoy

the opportunity to run a

business which gives me a good

income. What's more, the

flexible, efficient system means I

have plenty of free time. It was

the best decision I ever made!'

Franchising

The term 'franchising' has been used to describe many different forms of business relationships. The more popular useof the term has arisen from the development of what is called 'business format franchising’.

Business format franchising is the granting of a licence by one person (the franchisor) to another (the franchisee),which entitles the franchisee to trade under the trade mark / trade name of the franchisor and to make use of anentire business package, comprising all the elements necessary to enable a previously untrained person to establish thebusiness and to run it with continual assistance on a predetermined basis.

There are clear advantages to franchising:

• You don't have to come up with a new idea - someone else has had it and tested it, reducing the risk of failure for your business

• The use of a brand and intellectual property that has developed some recognition in line with the business activity

• Comprehensive training programmes in all business areas and skills• If aware that you are running a franchise, customers will also understand that you will be offering the

best possible value for money and service - although you run your 'own show', you are part of a much larger organisation

As mentioned previously, not everyone is cut out to be a franchisee - which is why our recruitment procedure willenable you to find out everything you need to know about the franchise before either of us make any commitment. This recruitment procedure includes time spent with a franchisee at an existing First Class Learning Centre.

The First Class Learning Franchise

The First Class Learning franchise operates around the drive and commitment of its franchisees to provide the first classservice our students have come to expect. However, you are not expected to do this alone. You will receive the trainingand support required to give these children the education they deserve whilst generating a significant financial return.

Am I suitable to become a First Class Learning Franchisee?

For the right person the FCL franchise offers a superb opportunity. Based upon our experiences with our existingfranchisees we believe that as a potential franchisee you should meet most or all of the following personal profile:

• Educated to degree level or equivalent qualification• Good Maths and English skills• High personal integrity • A clean Criminal Records Bureau Enhanced Disclosure• Desire to work with children • Able to generate good contacts and relationships within the local community – particularly with local schools • Good interpersonal and communication skills• Self motivated and determined to succeed• Well organised – particularly in the work environment• Enthusiastic, personable and of a friendly disposition• Committed to building a successful business • Reasonable level of financial awareness• Willing to follow the franchise ‘system’ set out by the Franchisor• A team player that the FCL management team feel comfortable working with• Recognises the individual benefits that the First Class Learning programmes offer

Not everyone is cut out to be a franchisee and you can be sure that if for any reason we believe that you are notsuitable for our particular business then we will tell you – politely of course! This is part of our personal commitment toyou and our ongoing commitment to the success of our franchisee network throughout the UK.

Do I get a defined territory?

Everyone gets a protected area that is defined. We know what size of area is required to make a viablebusiness for you, which therefore indicates the territory to be a very important factor in the success of yourbusiness. We will discuss your territory in depth at an appropriate stage once other important factors havebeen established.

Return On Investment

The initial costs for this investment can be found within the “Financial Information” insert located at the backof this brochure. Initial costs for this investment are low in comparison to many other businesses. However, this should not be the prime motivation for choosing our particular franchise as a lot of hard work andcommitment is needed to start any business in order to be successful and produce a lucrative return.

The Next Step

We are delighted you are considering a First Class Learning franchise: however, a brochure can provide only alimited amount of information.

If you think you have what it takes to carry forward our outstanding commitment and care foreducation and bring something special to our network of franchisees, then please contact us by

completing the confidential questionnaire.

Once we have received your completed questionnaire, we’ll contact you to discuss a face-to-face meeting in order to give you more detail about the FCL franchise. In the meantime if you

have any questions regarding this excellent opportunity please feel free to contact us.

We look forward to hearing from you soon.
