Message from the Chief Executive and Managing Directors

Welcome to this second issue of Tricorian, the Tricor Newsletter. We thank you for your warm response and feedback on our inaugural issue, and are proud to bring you more exciting news of the continuing rapid growth of the Tricor Group (Tricor).

Since our last issue, we have brought into the Tricor family new additions: operations as far away as those in the British Virgin Islands (BVI), and ones nearer home in Shenzhen, China and Bangkok. From one city with 150 staff in the year 2000, Tricor now spans 8 cities and employs over 750 staff.

We continue to grow our business through acquisitions, partnering and collaboration with our legacy firms (3 out of the “Big 4” international accounting firms), our majority shareholders, The Bank of East Asia Group (BEA) and New World Group, and other professional services firms. Our Singapore office has also recently set up a joint venture with the law firm of WONGPARTNERSHIP to provide corporate services.

We thrive on the multidisciplinary strength of our staff. In addition to our core practices of Business Services, Corporate Services and Investor Services, Tricor also offers Executive Resources, China Consultancy and BVI/ Offshore Jurisdictions Consultancy services. We have recently received enthusiastic responses from our clients to a new product, Tricor Corporate Briefings, which provides information and advisory services to directors and senior management of listed companies.

As the leading provider of the aforementioned professional services in Asia, Tricor’s clientele includes:

· about 60% of the listed companies in Hong Kong SAR and numerous listed entities in Asia;· over 30% of the Fortune 500 companies; and· tens of thousands of multinational companies and private entities/individuals.

To realise our joint-mission of being The Business Enablers and Employer of Choice, we continue to support our staff, through mentoring and training, to uphold our values of integrity, accountability and excellence of service. As always, we foster a harmonious working environment and encourage a balanced lifestyle among our colleagues. To accommodate our continuing growth and to facilitate full integration of our various business entities, we shall be moving to a single location in Hong Kong in the very near future. Lifeline Express Charity Concert

Lifeline Express ( ) is a charity organisation supported by the Ministry of Health, the Ministry of Railways and the Hong Kong and Macau Affairs Office in China. The goal is to set up a purpose-built eye-hospital train that travels to the poor and rural areas of the Mainland to provide service to cataract patients.

In August 2005, Lifeline Express and a well-known Hong Kong singing teacher, Lai Wai Lan, joined forces to offer a charity concert at the Hong Kong Convention & Exhibition Centre.

Betty Yeung, a Director and Joint Leader of our Corporate Services practice, a student of Ms Lai, was one of the performers at the concert which raised funds for Lifeline Express.

Tricor strongly believes that students are tomorrow’s leaders and gives support to various academic activities each year. An example is our sponsorship of the Joint-University Business Dinner 2005, for undergraduates in Business related studies in Hong Kong tertiary institutions. This was an opportunity for these students to communicate directly with successful people working in business.

We are proud to announce the relocation of our head office in Hong Kong in the very near future. Tricor’s head office will be operating from Three Pacific Place, at the hub of this vibrant city. Our new office occupies four floors of this modern, newly completed office development. The office building, with its latest design features and state-of-the-art technology, will facilitate the integration of our various business lines, systems and resources.

Each of our core business lines will operate from its own floor. The total floor area of some 60,000 sq ft. enables us not only to co-locate our two Hong Kong offices but also allows for future growth. With easy access to the central business district and via covered walkways to the mass transit system, our new headquarters is conveniently located for both our clients and staff.

Relocation of Share Registration Public Office

With effect from 3 January 2006, the Share Registration Public Office will be relocated to 26/F Tesbury Centre, opposite Three Pacific Place, our new Hong Kong office. The relocation enables full support from the nearby head office as well as providing easy access for shareholders.

In the first half of 2005, Tricor acquired the corporate secretarial practice of Ernst & Young Caribbean (EYC) in the BVI. This complements our existing practice in the BVI. The transfer brings no change to the way clients are looked after.  All permanent employees of EYC have accepted continuing employment with Tricor.  Patrick Nicholas, Managing Director, and Clair Burke, Manager, continue in their roles to serve our clients in the BVI.

Tricor has continued rapid development through acquisitions, partnering and organic growth. What follows is a chronological account of our development story since the last edition of Tricorian.

Acquisition of BVI Business

Joint Venture between Tricor Singapore Pte Ltd and WONGPARTNERSHIP, Singapore

In September, Tricor Singapore Pte Ltd entered into a joint venture agreement with WONGPARTNERSHIP, one of the leading law firms in Singapore. The new joint venture company, Tricor WP Corporate Services Pte Ltd provides a wide range of company secretarial services to its clients.

Acquisition of Thailand Business

In August 2005, Tricor together with three former partners of PricewaterhouseCoopers (PwC) Thailand, completed the acquisition of the executive recruitment, client accounting, and payroll outsourcing business units owned by PwC Thailand.

Munthana Thamlikitkul, former partner-in-charge of the acquired executive recruitment practice, joined Tricor as Director and Chief Executive Officer of Tricor Outsourcing (Thailand) Limited & Tricor Executive Recruitment (Thailand) Ltd. Two other former partners-in-charge of the acquired business units, Smarn Ithijarukul and Somjin Pholpornprasert, joined Tricor as Executive Directors of Tricor Outsourcing (Thailand) Limited.

All staff of the acquired business units have been transferred to Tricor, to provide continuity of service to existing clients at the same guaranteed service standard.

The Tricor Thailand team comprises over 60 staff, operating from PwC’s former premises in Bangkok.

First Tricor Office in Southern China

In November 2005, Tricor opened its third Mainland office in Shenzhen, the thriving Special Economic Zone of southern China. This will enable us to take advantage of the rapid economic growth in this part of China and contribute to closer economic collaboration between Hong Kong and the Pan-Pearl River Delta region.

To date Tricor has three establishments in China (Beijing, Shanghai and now Shenzhen), catering for clients from different provinces and regions and to look after our global inward investment clients entering the China market.

In early March, the Director and Joint Leader of our Corporate Services practice, Natalia Seng, together with Peter Yuen, Head of Financial Institutions of BEA Hong Kong and Jones Ng, General Manager of BEA Beijing, set off for a 4-day tour in Malaysia, visiting Penang, Kuching, Kota Kinabalu and Kuala Lumpur. On this tour, the trio introduced the China consultancy services of Tricor and BEA to clients of RHB Bank, the third largest local bank in Malaysia and a strategic partner of the BEA Group.

Since the launching of our new service, Tricor Corporate Briefings (TCB), in April, we have received numerous enquiries from clients.

A recent TCB full-day workshop conducted was held for the board and management of APT Satellite Holdings Limited (stock code 1045) in August. Three of our experienced executives Susan Lo, a Director, YT Soon, a Senior Manager and Winnie Yuen, a

Manager of our Corporate Services practice, conducted the briefing, primarily in Putonghua. The workshop covered a wide spectrum of issues, such as roles and responsibilities of directors/senior management under Appendix 14 (Code on Corporate Governance Practices), Chapter 13 (Continuing Obligations), Chapter 14 (Notifiable Transactions) and Chapter 14A (Connected Transactions) of the Listing Rules of the Hong Kong Stock Exchange. The feedback from this and other TCBs has been most positive.

In May, Alan Lim, Senior Manager of Tricor Singapore, spoke at a seminar organised by International Enterprise Singapore (IES), formerly known as the Singapore Trade Development Board. The seminar theme was "Partnering in the Singapore Market". Alan presented a paper on the Singapore business and regulatory framework, to more than 30 participants comprising members of foreign trade associations and trade commissioners based in Singapore.

Rotary Club Luncheon Talk

Natalia Seng was the guest speaker at a Rotary Club luncheon held on 31 May at Ritz Carlton Hotel, Hong Kong. The topic was "Latest developments in Corporate Governance issues applicable to Hong Kong".

Forum on Women and Economic Development 2005

In August, over 500 participants attended the Forum on Women and Economic Development 2005, in Nan Sha, China. The Forum was co-organised by The Ladies' Committee of the Chinese General Chamber of Commerce (CGCC) in Hong Kong SAR, with a number of leading women’s associations in industry and business in China.

This forum was set up to commemorate the 105th anniversary of the CGCC and the 10th anniversary of the Fourth World Women Forum in Beijing. Participants explored the role and contribution of women to economic development, and discussed collaboration issues.

Natalia Seng was one of the guest speakers to present her expert views on corporate governance, as the issue has become increasingly of interest to companies in China. All presentations at this forum are conducted in Mandarin.

In August, IES in Singapore again invited Tricor Singapore’s Alan Lim to give a presentation at their seminar on "Uncovering your Business Potential in Singapore". Participants included over 50 officers of representative offices operating in Singapore. In the seminar, Alan shared with participants practical and compliance issues arising from the upgrading of representative office status to that of a legal entity in Singapore.

Another event in September was the Offshore 2005 Conference & Seminar organised by Asia Offshore Association at New World Renaissance Hotel, Hong Kong. Tricor was a gold sponsor of this conference and this is the second year we sponsored the event.

Susan Lo, a Director and YT Soon, a Senior Manager of our Corporate Services practice, gave a joint presentation on Companies Ordinance updates in Hong Kong.

During this event, Tricor’s information booth in the exhibition area attracted much attention from delegates, enquiring mostly about procedures of setting up companies in Hong Kong.

Asia Offshore Association Annual Conference

In September, Cynthia Wong, a Director of our Corporate Services practice, was guest speaker at an exchange programme workshop organised by Invest Hong Kong (InvestHK) and the School of Professional and Continuing Education, University of Hong Kong. The exchange programme gave an opportunity for accountants in Tianjin, Mainland China to understand more about the tax system and general procedures of setting up a company in Hong Kong. Over 40 accountants from the Mainland attended the workshop at InvestHK’s offices.

Tricors Directors' Additional Appointments as Company Secretary of Listed Groups

Three of our Corporate Services directors have been appointed as named company secretary in the three recent and forthcoming Initial Public Offerings:

Patsy Cheng and Natalia Seng have been appointed as named company secretary of Samson Holding Limited (0531) listed on 17 November 2005 and Parkson Retail Group Ltd (3368) listed on 30 November 2005 respectively. Susan Lo has been appointed as joint company secretary of Dongfeng Motor Group Company Limited (0489), an H-share company listed on 5 December 2005. This brings the total number of similar appointments of Tricor directors to 11, further cementing Tricor’s position as the leader in this high profile area.

Sir David Cup 2005

On 20 November 2005, our senior executives Julian Chow, Managing Director, Ho Lon Gee, Managing Director of our Singapore office, Allan Tong, Investor Services Director and Chris Campion, Senior Manager of our Business Services practice represented Tricor at the annual “Sir David Cup 2005” golf day organised by BEA at the Palm Island Resort and Golf Club in Singapore.

Tricor was again one of the key sponsors for the annual conference of The Hong Kong Confederation of Insurance Brokers, in late September. The main theme this year was “Clients’ Interests – the First and Foremost Consideration”. Guest speakers, all renowned professionals in their fields, included Richard Yuen, JP, Commissioner of Insurance HKSAR; Pamela Chan, Chief Executive of Consumer Council; Noel Pettersen, Chief Executive Officer of National Insurance Brokers Association of Australia; etc.

The Annual Tricor Seminar was held on 14 October 2005 at the Conrad Hotel in Hong Kong. The theme of the Seminar was “Corporate Governance and Regulatory Updates”.

This year, we were honoured to have Joseph Pang, Executive Director & Deputy Chief Executive of BEA Group, delivering the opening address. Paul Moyes, a Corporate Services Director and Head of our Practice Development, Marketing & Communications group officiated at the Seminar.

Distinguished guest speakers included Professor CK Low, Associate Professor in Corporate Law of The Chinese University of Hong Kong, Mr Tim Lui, Tax Partner of PwC Hong Kong and Mr Yao Jun, Chief Legal Officer & Joint Company Secretary of Ping An Insurance (Group) Company of China, Ltd. Professor Low and Mr Lui presented perspectives on changes in corporate governance regulations and tax laws. Mr Yao, together with our Mrs Natalia Seng, a Director and Joint Leader of our Corporate Services practice, discussed corporate governance for H-share issuers.

Other Tricor experts discussed implications of recent regulatory changes. Susan Lo, a Director of our Corporate Services practice and Head of Training, started the Seminar off with a discussion on updates in the Hong Kong Listing Rules. Betty Yeung, a Director and Joint Leader of our Corporate Services practice, presented on Hong Kong Company Law reforms. Clair Burke, Manager of Tricor BVI, updated the audience on BVI Companies Law reforms. Our Chief Executive, Johnny Ng, closed the Seminar, thanking all speakers for their contributions and reiterating the importance of integrity, accountability and transparency in administering corporations.

Participation by clients and business partners in the Seminar reached a new high this year. Over 600 guests attended and the feedback was positive.

After the Seminar, we held a cocktail at the same venue. The cocktail began with a welcome speech by our Managing Director, Julian Chow, followed by a toast to Tricor and all our guests from Julian and all our practice leaders. Guests and staff alike shared a very pleasant Friday evening.

Tricor is committed to providing an optimal learning environment for our professionals, supporting them in developing their expertise and their careers. The following highlights some of our staff development activities in the second half of 2005.

Executive Seminar

Following on the success of last year’s seminar, we organised another Executive Seminar for Hong Kong executives on 4 July. During the seminar, senior management gave briefings on Tricor’s regional expansion, co-location of our two Hong Kong offices in Three Pacific Place in 2006, and future strategic directions. Practice leaders from our different business lines reported on their groups‘ latest performance and introduced future plans. Participants then formed into teams to generate ideas on how we can serve our clients better and grow our business.

CS Away Day

To realise our mission to be an Employer of Choice, in August we organised our first Corporate Services (CS) Away Day with the theme “A career with Tricor” for our non-executive professional staff in Hong Kong. Our intention was to provide a channel for staff to communicate with our senior management and to exchange ideas. About 100 staff took part.

Our younger generation were keen to voice their practical and creative ideas in the group sessions and the plenary presentations. Our senior management were impressed by all the constructive ideas. All appeared to have enjoyed this successful and fruitful event.

Tricor Thailand Team Building Workshop

Tricor Thailand conducted a 2-day Team Building Workshop on a trip in Thailand’s Nakon Nayok Province during 9-10 September. This was the first professional development activity for the team in Thailand after they joined the Tricor Group. The trip fostered relations between management and staff, and reinforced staff understanding of Tricor‘s vision and mission. Through workshop activities, the Thailand team enhanced their level of readiness to work together and to generate synergies to achieve outstanding results.

Enhancing Presentation Skills for Executives

Recognising the importance of business communication skills, we recently introduced a new professional development programme. As from September, we launched a course in Enhancing Presentation Skills for Hong Kong executives, starting out with a pilot programme for 12 executives.

Tricor Singapore: First Offsite Staff Meeting in Bangkok

Tricor Singapore held its first offsite staff meeting in Bangkok from 16 -18 September. It was a great opportunity for everyone to exchange views on important topics and in particular, for Mr Ho Lon Gee, our Chief Executive Officer in Singapore to share some of his strategic plans with the staff members, away from the office. The group also took time to tour the city as well as sample the delicious Thai cuisine and relaxing spas!

The programme is designed and run by our Senior Manager, Language Services, Hilary Mar. It covers 10 one-hour sessions, conducted weekly. The course aims to enhance individual presentation skills through systematic planning, preparation and delivery of a 3-minute and a 10-minute presentation, supported by group work and reflection-in-action. Participants applied themselves and made excellent presentations of varied styles, approaches, and levels of engagement with the audience.

Sports & Recreation Committee

To encourage our staff to develop a balanced lifestyle, the Sports & Recreation Committee (SRC) continues to organise different fun activities for all.

The Second Badminton and Bowling Competition SRC organised two sports competitions in July, to which staff responded enthusiastically.

A bowling competition was successfully held on 2 July at the Olympian City Super Fun Bowl. 82 staff, formed into 22 teams, competed for the championship. Julian Chow, our Managing Director, presented the prizes.

A badminton competition was held on 16 July. The games were organised as men’s singles, ladies’ singles and doubles. More than 50 staff took part. Shirley Tsang, Joint Leader of our Business Services practice presented prizes to winners.

Hong Kong Disneyland

In early September, staff took part in a lucky draw for complimentary tickets, a gift from Tricor’s management, to visit Hong Kong Disneyland. To qualify for part of the lucky draw, staff sent in written reasons for wanting to visit Disneyland. The responses were positive, creative and inspiring. Share with us the following:

Hiking Fun Day

Over 140 staff and their family members participated in the "Hiking Fun Day" in October. Away from the hustle and bustle of the city, participants revelled in some of our best countryside scenery at Tung Chung and Tai O on Lantau Island.

Led by experienced hikers, participants started off Tung Chung, passing by woodland, mountain streams and roadside monasteries. The Hong Kong Chek Lap Kok International Airport, seen in the distance, provided stunning contrast.

Staff and their family members spent about 5 hours to complete the hiking trail; then relaxed over a seafood lunch at a Chinese restaurant in Tai O.

Tricor BVI in Bicentennial Trafalgar Celebrations

Tricor BVI was one of the sponsors of the Bicentennial Trafalgar celebrations in the BVI in October hosted by the Royal BVI Yacht Club. The events were spread over three days in a series of celebrations, to commemorate the 200th anniversary of the Battle of Trafalgar - Britain's most famous naval victory. All guest were invited to dress in period costume for the events. Patrick Nicholas and Clair Burke of our BVI office were at the events. See Patrick in his Lieutenant's uniform and Clair as a Serving Wretch in the photo.

Tricor BVI in Financial Services Yacht Regatta

Tricor BVI entered the inaugural Financial Services yacht regatta with Managing Director Patrick Nicholas as the skipper. The BVI International Finance Centre (IFC) sponsored the event. Nine teams took part. Each team was made up of staff and family members of firms involved in the Financial Services Sector. Team Tricor got off to a very good start and had a first place in the first race and qualified for the Gold Fleet. After 11 races in the gold fleet Team Tricor finished in fifth place. The regatta was very exciting with most races being won or lost by mere boats lengths. With the success of the inaugural event, the IFC are committed to making it an annual event and hoping to bring in more teams next year.
