Our 2013 Summer Academy saw a profit of $14,186, and the 2013 Fall Academy saw a profit of $7,572. Professional Education - When you receive your online Summer Academy announcement, you will see that the Professional Education Committee has once again organized an exceptional slate of programs that will dazzle even the most seasoned clerk. You will learn to Invest in “YOU”, Create the Spark, lead amongst chaos, and through roundtable panels take part in “crucial conversations” about leadership, ethics, public records, civility, and marketing and branding. You will then join your fellow clerks for an enlightening session on the legalities of email and social media applications. To round it out, your final session is all about you and your personal safety – both at home and in the workplace. It is my sincere hope you will join us in “Lighting your Path to Success!” Membership - Membership is quickly increasing. 2014 is in full swing, our clocks have changed and the weather patterns are all over the place with 85 degrees one day and 40 degrees the next. No wonder we all suffer from colds and allergies.

Serving as your President has been a demanding yet gratifying position. I am pleased you gave me the support, confidence and opportunity to serve our members. The opportunities I have had to interact with each of you during the past year have been enlightening and enjoyable.

Now for the updates:

Upcoming Board Meeting - Board of Directors Meeting, Sunday, June 8, 2014 – 6:30 p.m. inSt. Augustine. All board meetings are open to our members and I encourage you to attend. Come see firsthandyour board in action and understand the intricate details of how the FACC Board works. Speaking of board meetings, we have made great strides and are excited to report we had a positive2012/2013 year. Time is our most valuable commodity and it certainly seems there is never enough of it to go around. For the last eight (8) weeks, I have been working solo in my office as my assistant is out on extended leave. So many times over the past weeks when I get home in the evening I sit back and think what in the world did I accomplish today. Some days I struggle to have a decent answer as I feel I have spun my wheels all day long with my task list growing and growing. For me, my release has been running. I run a lot, logging anywhere from two (2) to three (3) miles per day. I have found it to be quite rewarding to just put on my tennis shoes, fire up the tunes and take off. It gives me time to decompress from the day as well as it gives me a sense of accomplishment of at least finishing something for that day. I share this with you to stress the importance to find that one thing every day that makes you feel accomplished and focus on it. Make time for it. You will be so glad you did.

It was wonderful to have several FACC members proudly representing Florida at the IIMC Region III Meeting in Albany, Georgia in January. Please remember the FACC will host the IIMC Region III Meeting/Conference in Jacksonville, Florida in January of 2015. When you prepare your budgetary figures for travel and education next budget year, remember to include funds to attend this event. The Board is currently working on the budget for the event. Once we have solid figures we will provide this information to the membership.

During the April Budget and Board Meetings, the Board carefully reviewed each line item in full detail. The Board is so pleased that the end of the FY 2011/2012 year budget came out in the positive. Hooray! This is the first time in at least five (5) years that funds did not have to be taken from our reserves to balance the budget. I must provide credit where credit is due. The Board’s decision to increase registration fees in addition to the decision to hire fundraiser, Beth Rawlins has been instrumental in turning around the financial condition of our organization. The Board continues to work diligently to find an equitable balance with the budget so academies are no longer subsidized with reserve funds in addition to incorporating more social networking events like the Monday night event. Please be patient with us as this is a work in progress and we will get there.

For points of reference here are the budget figures from the April FACC Budget/Board Meeting:

FY 2011/2012 Budget planned for a loss of ($30,310.00) Actual end of year budget figure ($23,556.99) Loss

FY 2012/2013 Budget planned for a loss of ($35,353.00) Actual end of year budget figure $20,962.57 Profit

FY 2013/2014 Budget planned for a loss of ($12,508.00) Actuals are looking very positive. The end of FACCs fiscal year is July 31, 2014. The Board feels confident this will be another year that reserves will not be necessary to balance the budget.

For the June and October Academies, the Board has authorized the sale of day tickets to the conference. This suggestion came from the membership and we are excited about the opportunities it will open up for additional attendance.

Another item that continues to come up is the span of distance between the respective districts. President McWilliams has appointed a Task Force to address the possibility of realignment of the district boundaries to be able to better serve the membership.

It is that time again to appoint FACC Committee members for FY14/15. I have already corresponded with a number of members regarding Committee appointments and am grateful to have received such a great response thus far. If you have expressed interest and have not heard from me, please be patient as I’m working through my emails to ensure I don’t miss anyone. If you are interested in becoming involved as a Committee Member please email me at [email protected].

The Committees are as follow: Awards and Scholarships, By-Laws and Manual Revision, Fall Academy, IIMC Region III, Legislative, Membership, Mentoring, Nominating, PEC (Professional Education Committee) and Summer Academy.

In late February/early March, I traveled to Australia for a once in a lifetime vacation opportunity. It was quite an adventure to fly halfway across the world for approximately 27 hours one way. My favorite part of the trip was seeing the 12 Apostles along the Great Ocean Road Tour. It was breathtakingly beautiful! As an animal lover, I enjoyed petting a Koala, feeding a Wallaby and watching the Penguin Parade. Although this was a vacation, I was still wearing my City Clerk hat. I had the chance to visit Melbourne City Hall and introduced myself to staff members along with providing my business card. The Parliament House provided tours of which I enthusiastically took part in. I was amazed by the intricate details of the building architecture, the grandiose Legislature Chambers and of course the organization of their minute books. Overall, I had a wonderful time!

Recently, President McWilliams established a task force to research the possibility of offering Individual Day Tickets for Summer and Fall Academy. She appointed Barbara Solis, Executive Director; Pat Burke, PEC Chair and myself to the task force. A report was submitted and approved by the Board at the April meeting to offer Individual Day Tickets beginning with this year’s Summer Academy in St. Augustine. This will be a great opportunity to send additional staff members from your office that otherwise would be unable to attend the entire Conference/Academy.

In January, several Florida Clerks traveled to Albany, Georgia for the IIMC Region III Conference and Board Meeting. This was a great opportunity to network with Clerks from our region and attended classes beneficial to our profession. Audrey Sikes, 1st Vice President, and I attended the State Presidents round table discussion on behalf of President McWilliams. This provided insight as to the issues facing other state associations. FACC is seen as a leader and looked upon as an example to follow. I came away feeling grateful for being part of a strong state association and especially for the guidance of our Executive Director, Barbara Solis.

Florida will host the 2015 Region III Conference and Board Meeting at Hyatt Regency Jacksonville January 14 – 16, 2015. Be sure to budget to attend!

Next month is the IIMC Annual Conference in Milwaukee, Wisconsin and has registered to attend along with a number of other Florida Clerks. With quality speakers, excellent educational opportunities and networking events with our counterparts from other states and countries, I look forward to it every year.

The 2014 Summer Academy will be held in the beautiful St. Augustine at World Golf Village. The PEC has put together a top notch education session to include a pre conference Train the Trainer and Athenian Dialogue. I have already registered and hope to see you there!

I would like to congratulate my Deputy City Clerk Denise Noak for completing an Associate degree in Paralegal studies. She graduated Magna Cum Laude with a 3.93 cumulative GPA. She began taking online courses in January 2011 and finished in April 2014 while working full time.

Congratulations Denise! We are proud of you.

This will be my last article for City Desk as a member of the Executive Board. I have to say what a fulfilling experience I have had over these last five years. Your Board members are dedicated volunteers who only want the best for FACC. They are constantly working on your behalf. FACC has a bright future ahead, one that is financially stable and open to new ways of providing education and support for the membership.

I want to take a moment and encourage each of you to get involved with FACC. This is your association. Its future is as bright as you want to make it. If you’re not interested in serving on the Board, then make sure you sign up for a Committee. I don’t mean get your name on a list but actually get involved and participate in the work of that Committee. Each Committee is vital in carrying the association forward. You will find yourself surrounded by hard working and committed Clerks who love this association.

Thank you for allowing me the opportunity to serve this association. My years on the Board have been a rewarding and educational endeavor. It has made me a better City Clerk. I challenge each of you to step out and serve and watch yourself grow!

The Northeast District is pleased to congratulate Shirley Heath on her retirement from the Town of White Springs after 18 years of service.

Shirley was employed by the Town of White Springs since November 1995. During her tenure Shirley served as Interim Manager on two occasions. She became a member of the Florida Association of City Clerks in June 1996 and attended her first Training Academy in November of 1996. Shirley has served on the Mentoring Committee, Fall Academy Committee and the Summer Academy Committee. Over the years, anytime our district or the Association has needed

assistance, Shirley has always been there to help, often on her own time. Shirley’s dedication to her profession and to our organization is one that I truly admire. On behalf of the Florida Association of City Clerks and the Northeast District Clerks, we wish her the very best.

Congratulations to Tiffany Murphy, Deputy Town Clerk, Town of Hilliard for obtaining her CMC certification. I would like to encourage all Northeast District members to attend the CMC ceremony for Tiffany Murphy to be held in Hilliard on Thursday, May 1, 2014 at 7:00 PM at Hilliard City Hall. A reception honoring her will be held prior to the meeting at 6:30 PM.

Bill and I would also like to announce the birth of our daughter Ella Fayth Hightower. She arrived on March 31, 2014 weighing in at 7lbs 11oz.

We both would like to thank all of those who attended the Northeast District Meeting/Shower on my behalf.

Logic plays very little part in our job. We have to follow the State of Florida rules, which sound so simple at first. The Sunshine law, the Public Records law . . . sure, we can do that until a nuance is discovered and everyone looks to the Clerk to find out how to handle it.

How do we recognize those nuances? To quote the old cliché, the best defense is a good offense. Our offense is in education. There is no way to know how to handle each and every situation by using common sense and logic. Common sense and logic must be replaced by The Rules.

And how do we learn the ever-fluid rules? I’m happy to report that’s where FACC membership and education come in.

Our Google Forum is priceless. I’ve heard it said that the Google Forum alone is worth the price of membership!

FACC’s education is the top in the nation. We are the trend setters with IIMC approving our webinars for points. The Summer and Fall Academies offer such a great return on investment!

I will be sending the NW District an email which details how valuable FACC’s education is with the intent that you can take some of the verbiage from it and use it to your advantage in an email to your council, or during Budget Workshops, or when the stars line up and you know that now is the time to ask.

I encourage you to do whatever it takes to follow the path to CMC and then MMC. And if you’re already there, CONGRATULATIONS! Keep on the lookout for webinars that can help you continue to hone your skills.

I’ll bet you’ve heard this line: “I wouldn’t have your job for all the tea in China.” Respond with a smile because you have a secret they don’t know about: FACC is backing you up.Together, we got this!

I consider the writing of quarterly articles for the FACC City Desk a reflective process. I have served on several committees since becoming a member of FACC in May 2006. When I look back, it seems like FACC has always been a part of my professional life and without the friends and professional connections I have made through this organization, my career would be far less fulfilling. I believe there are many of us who feel the same way about FACC.

Many of my friends and acquaintances have kept a journal at one time or another. A journal can be about anything and is nothing more than a reflection of your own personal experiences and thoughts. I have kept a journal for many years, although inconsistently. I find it is so much fun to look back at past experiences and be reminded of the many good experiences I have been blessed with in my life. I have kept a food journal on and off for many years, as well. Anything can be written in a personal journal for future reflecting.

I wish when I first became a part of FACC, that I had started and kept a journal of my professional development. The vast amount of experience and knowledge I have gained through the FACC organization is overwhelming. How often do you refer to ‘Ideas to Action’ forms completed and sent back to you following educational institutes? I recently pulled mine out of a drawer to give me some ideas for this article. It is interesting to note, I have followed some of the items that I wrote on my ‘Ideas to Action’ forms. Sometimes it seems like a hassle to write this stuff down for submission at the end of an institute but it is so valuable down the road. If you asked

me at any conference whether or not I would ever refer to past educational materials, I might have said something like “probably not”, but that is not the case.

The educational sessions provided for us by our Professional Education Committee are a positive reflection of what the Clerk profession should be and how the Clerk’s office should operate in a work environment. Every City is different but the basic fundamental knowledge we gain from our educators is applicable to every municipal office to some degree.

On October 11, 2006, I participated in a session called “State of the Cities and Your League”. Never before that session, had our City had a State of the City document. I am proud to report now every year our Mayor prepares a State of the City document to share with residents, local clubs and organizations and the information is available on our City’s website. That is only one example of the value of our conferences and this organization. This document alone allows our Mayor to get into the community and interact with residents and that is so important in local government.

In June 2007, I participated in a session called “Don’t be a Stowaway When You Need to Get Your Point Across”. I have taken the information shared during that session and used it for self-awareness. If I am aware of my feelings and emotions and project a positive attitude throughout my City, the positive energy is contagious. This practice, along with being surrounded by positive people, has helped me grow and develop in my profession while gaining self-confidence and knowing I am a significant part of the positive environment in Mount Dora and I go the extra mile to help citizens every day. It is so rewarding for me when I help people; I hope I touch someone’s life in a positive way, big or small, every day.

I am not going to take the time to list something from every year I have attended a conference or institute but the intended takeaway for you is that our conferences and our organization are very worthwhile and such a benefit to our growth and development as professionals. I do enjoy going through all of the materials I have collected since first joining IIMC and becoming a participating member of FACC. Don’t forget about the lessons we have already learned from professional educators and even more importantly, from each other.

I feel as though every time I write an article I am pushing for participation in the organization. Maybe this is the case but it is important. We need people who love this organization and what it stands for to come forward and serve our membership. You aren’t just serving an organization; you are serving your fellow clerks in their professional development and the investment they are making in their future. You are leading new clerks into their profession by setting a positive, professional example for them to follow. I remember when I was a young clerk, new to the profession, all the clerks who were so kind and helpful to me. I can only hope that I am that same helpful and kind clerk to others entering this profession.

We are a leadership organization. We learn to be leaders in each and every opportunity we have to network with each

other and gain higher education in our profession. What an asset to our communities and to ourselves. The gift of personal and professional development is the best gift anyone can give themselves. Let’s continue to keep this organization vibrant and valuable by working together for the betterment of the organization while we work on ourselves. Life is short. Make the most of it!

First off, I would like to congratulate City Clerk Joshua Fruecht with the City of Haines City for his accomplishment in the redesign of Haines City’s website and receiving the high honor of being ranked as one of the top transparency websites in the nation. Great Job Josh!

The Haines City website, hainescity.com was rated as one of the Top Transparency Websites in 2013, based on a 10-point transparency checklist. The Haines City website received an A+ rating in December 2013, from the Lucy Burns Institute, a nonprofit and nonpartisan organization dedicated to government transparency. This rating honors the most transparent government websites in the nation.

I would also like to take a moment to congratulate Assistant Town Clerk Andrea Calvert with Town of St. Leo for being selected to receive IIMC’s 2014 Annual Conference Grant Award. This grant will cover Andrea’s registration fees for IIMC Milwaukee Conference this year.

Dorothy Johnson, City Clerk, City of Winter Haven, Retires

On Monday, December 9, 2013, First Vice-President Audrey Sikes in my absence graciously accepted the honor of presenting a retirement resolution to Dorothy Johnson with the City of Winter Haven. I am sorry I missed not being able to participate in this memorable moment in Dorothy’s life. I wish her well!

The Southwest District welcomed several new Clerks and Assistant Clerks over the past several months. Eva Hapeman is the new Clerk for the Town of Lake Placid; Penny Delaney is the new Arcadia City Clerk; Janet “Jamie” Anderson is now Clerk for the City of Bradenton Beach; and Gail Chatfield is the Executive Assistant in the Clerk’s office in the City of Bradenton. Welcome to you all…we’re happy to have you in the Southwest District!

While we welcome the new Clerks, we also said goodbye to two retired Clerks. Alice Baird, Anna Maria Island, retired after 28 years of service. A retirement luncheon was held in her honor on February 21 at The Pier 22 Restaurant in Bradenton. Alice plans to move to Ecuador to spend her retirement years—quite an adventure—good luck to you, Alice!

Cheryl Tietjen, former Avon Park City Clerk, also retired in February and has a new adventure of her own; she opened a pet sitting business “The Pet Spoiler”. Much success to you, Cheryl!

It looks as though the Town of Longboat Key has the “key” to getting their citizens to vote—they serve refreshments to early voters—what a fabulous idea. Rice Krispie treats, root beer floats, and a chocolate fountain with strawberries and marshmallows…it almost makes me want to change my voting location. According to Town Clerk Trish Granger, “The benefit that the Clerk’s office has received is the opportunity to interact and meet many of the voters for the first time and provide information on the role of their Town Clerk’s office and the assistance and information we can provide to them.” Leave it to a Clerk to come up with such out-of-the-box thinking!

At the request of our Board of Directors, the By-Laws and Manual Revisions Committee is pleased to present you with proposed amendments to our By-Laws. The complete underlined/strikethrough version of the proposed amendments can be found in this edition of City Desk, and are summarized as follows:

1. Article II – Objectives: Proposed amendment slightly modifies our objectives to mirror that of IIMC’s, and throughout the By-laws “City” Clerk is being proposed to be changed to “Municipal” Clerk;

2. Article III – Membership:

Section 1: Full Membership: Proposed amendment limits Full Membership to Florida;

Section 2: Associate Membership: Is proposed to include retirees that were previously designated as Full Member; cleans up language relating to an Associate member’s participation in educational programs; and removes the restriction of a full member automatically becoming an associate member until they re-assume the position of clerk to “that which qualifies them for full membership”;

Section 4: Corporate Membership: Primarily clarifies language that stipulates a corporate member cannot vote, hold office or obtain certification, but they may participate in educational programs.

3. Article V – Officers, Boards of Directors, Executive Board Qualifications, Terms and Filling Vacancies:

Section 1: Officers and Boards: Proposed amendments mirror IIMC’s Board of Directors Titles, thereby changing first vice president to president elect and second vice president to vice-president;

Section 2: Qualifications, Terms and Vacancies:

Qualifications: One of the district director’s eligibility requirements are proposed to be amended to provide clarity of the years to have served on a FACC committee to be two (2) distinctive (separate) years;

Vacancies: In subsections 2) and 3) proposes to replace “In the event that a vacancy occurs …” with “In the event of a vacancy…”

4. Article VI – Board of Directors – Nominations and Elections:

Elections: Proposed to slightly modify and clarify language regarding the receipt of ballots to include the Monday following the 30th day, should the 30th day fall on a Saturday or Sunday;

5. Article VII – Duties of Officers:Section 2: First Vice President [President Elect]: Proposes to remove the President Elect as an ex-officio member of the Goals Committee;

Section 3: Second Vice President [Vice-President]: Proposes to remove printing of the newsletter;

Cape Coral. The Committee has worked very hard this year and has served the organization well. Though we’ve worked very hard, I believe the members would say we’ve had a lot of fun and really enjoyed working together.

I would also like to extend a special thank you to President Lori McWilliams for believing in me and providing me the opportunity to serve as Chair this year. Her mentoring and guidance has been so appreciated. Also, to 2nd Vice-President Tracy Ackroyd for her continued support and expertise.

PEC has been hard at work making the final arrangements for the Summer Academy. You should have all received an e-mail with the announcement and registration forms by now. We have a great academy planned filled with informative sessions, great speakers and even a few surprises (make sure you bring your tennis shoes and clothing you can easily move in). Our Summer Academy will have two pre-academy sessions. First we will have the Athenian Dialog facilitated by Mike Abels and we will also offer a Train-The-Trainer Session facilitated by Trina Pulliam. In addition to the Summer Academy PEC has begun brainstorming for our October Academy. January 2015 will be FACC’s turn to host the Region III Conference in Jacksonville, Florida. PEC will be hard at work providing the educational program for that event.

At the Board of Directors meeting held April 3 & 4, 2014 the Board unanimously approved new Ideas-To-Action Forms and new Class Evaluation Forms. You will notice the new forms in your Summer Academy Welcome Packet.

PEC will meet on April 25, 2014 at the Town of Palm Shores, Town Hall. We have already received several class suggestions but are always looking for more ideas so please do not hesitate to send them to us for consideration.

I would like to thank all those that submitted scholarship applications for the 2014 Summer & Fall Academies, the IIMC Conference, and the MCCi Electronic Records Scholarship. What a great turnout of applications we received.

This year the Committee began utilizing the new Ranking Guidelines adopted this year by the FACC Board for award of the Scholarships. All scholarship award recommendations will be approved by the Board at their April meeting, along with the names of alternates in the event one of the recipients is unable to attend. All scholarship awards will officially be announced at the Summer Academy.

Begin thinking now on whom you will nominate for the 2015 Clerk of the Year and Robert N. Clark Memorial Award. A number of very deserving nominees were received for the 2014 Awards. The City Clerk of the Year applications have been sent to the Florida Institute of Governments for review by an independent selection panel and the Awards Committee is reviewing the Robert N. Clark submissions. The recipients of both awards will be announced and honored at the 2014 Summer Academy. What an honor it will be for both the recipient and for the person submitting the nomination.

I have truly enjoyed serving the FACC as Awards and Scholarship Committee Chair this past year. Having a hand in the scholarship selection process is a very rewarding experience. LegisLAtiVe

It is April 11, 2014 and we have 21 days left in the legislative session and yes, there have been a few things on our radar. Of importance, SB 1648/HB 1151, known as the “meeting notice” legislation. The Senate side of this Bill has passed, and it is now going through House committees. This legislation, in its current form, is creating a lot of discussion; notice I didn’t say favorable discussion. How can there be? This legislation has unfunded mandate written all over it. If passed without any amendments, this legislation will require training for any municipal employee whose job commensurate with public records, i.e. do they have access to the records. If cities cannot determine what employees should be trained, the Courts can do it for us. Additionally, it is not in the present text however, there is discussion to include in the Bill that public meeting notices be placed in all municipal facilities. I think we can agree that for the larger cities, this could be a problem. Yes, City Clerks can email or fax the Notice to the facilities and request that they be posted; however, if they are not posted who is responsible? Are we having fun yet? Obviously, there is more to this Bill and I can tell you that none of it, in my opinion is favorable to our cities.

Another piece of legislation that was on the legislative committee’s radar was that related to the Uniform Chart of Accounts. During the 2011 Florida legislative session, Section 215.89 Florida Statutes was created. In response to the legislation, the state CFO proposed a Uniform Chart of Accounts (UCOA) and reporting requirements. The Florida Government Finance Officers Association’s (FGFOA) Board of Directors approved a white paper that was developed by a task force composed of FGFOA members. For the municipal employees, including City Clerks, who have duties related to budget and finance, the proposed UCOA could be problematic.

Without expounding on the concerns, the following is an abbreviated list of reasons to be concerned:

(1) Double reporting of expenditures for counties; (2) Conflicts with current required monthly reporting requirements; (3) Quality of data provided to the public will be jeopardized without time for verification; (4) High costs of implementation; and (5) Implementation of the proposed UCOA and reporting requirements would be costly. I like FGFOA’s recommendation “The FGFOA recommends an alternative strategy that could accomplish the Legislature’s goal to ensure transparency and accountability while limiting the burden to governmental entities and preserving the autonomy of those entities. Julie Hennessey and I participated in the Florida League of Cities work group on this matter. During our time in working with this group, it was unknown as to any Bill being filed, or if there was a sponsor. Currently, a Bill has not been filed and again, there are no rumors of a sponsor. As we know, this can always change.

As always, the Florida League of Cities is working hard to oppose legislation that has fiscal negative impact on cities, as well as legislation that trespasses on our Home Rule.

The magic of mentoring is that it is natural with clerks, and the teacher often learns, and the student often teaches. As you know, FACC continues the tradition of honoring Clerks upon their retirement. We construct a resolution of accomplishments and fact filled information that is normally presented at the last City Council meeting. If you have never had the opportunity to be present at such a meeting, you have missed an event. Normally, it is filled with wonderful accolades and teary goodbyes. What better way to end a career than to be acknowledged for the work the retiring clerk has been involved in during his/her tenure?

As we move through our daily clerking life, we sometimes catch the drift of a conversation about another Clerk retiring. If you do, passing the information to the Resolutions Committee would be very helpful. It is through forwarding information of this kind that allows us to prepare the acknowledgement as stated above. Without that information being forwarded we would miss those retirement resolution opportunities. Please pass the information along to any member of the committee. In February 2013, the Board approved creating the “Florida Education Fund” (FEF) for the purpose of raising funds for FACC’s professional education programs and protecting training investments. FEF is used solely and exclusively for the purpose of providing highly sought after facilitators, such as Suze Orman (who was a homerun during the 2012 Summer Academy), and other highly sought after professional education professionals and programs that may far exceed our association budget. The FEF is funded through direct donations of Florida Clerks, supporting agencies, individuals, corporations, or bequeaths and endowments similar to the IIMC Education Foundation. The fund is a Revenue Fund and can only be used for FACC educational offerings – not the general budget. FACC By-Laws

By-Laws: Florida Association of City Clerks, Inc. Article I - Name. The name of this organization is the FLORIDA ASSOCIATION OF CITY CLERKS, INC. (FACC), and the term of existence shall be perpetual.

Article II - Objectives. The primary objective of the Florida Association of City Clerks is to promote continuing education and certification to its members.educate the City Clerks in the State of Florida. Additional Oobjectives include increasing the efficiency of CityMunicipal Clerk functions, increasing cooperation and assistance with citymunicipal administrators and gathering/disseminating information to improve procedures and the efficiency of the administration of municipal government. Any additional objectives shall be decided by the FACC Board of Directors. Article III - Membership.

Section 1: Full Membership.

Full members are Florida municipal* clerks, citymunicipal secretaries, recorders, legislative administrators and directors of corporate services, and/or an individual who serves a legislative government body (LGB) in an administrative capacity with management responsibilities and whose duties include four of the following: custody of the official seal and execution of official documents; elections; financial management; general management; human resources management; management of bylaws, articles of incorporation, ordinances or other legal instruments; meeting administration; or records management.

*All references shall be interpreted to include City/Town/Village.

Section 2: Associate Membership.

Associate members are individuals who were designated as Full Members prior to retirement; or individuals serving a legislative body in a capacity not previously defined. In other words, if someone serving a legislative bodythat does not qualify for full membership they would be able to join as an associate member. Associate members do not have the right to vote, hold office or obtain certification., but Associate members may they can take advantage ofparticipate in

educational programs and should they eventually assume the job of clerk or deputy, they could then apply for certification.

A full member who is in transition (between jobs) would automatically become an associate member until they re-assume the a position of clerkthat qualifies for full membership.

Section 3: Honorary Membership.

Persons recommended by the Board of Directors and voted upon by the membership may be elected to Honorary Membership. The guidelines for Honorary Membership are as follows: (1) no longer an active CityMunicipal Clerk and made a significant contribution to the Association; or (2) extenuating circumstances. All Past Presidents shall automatically become honorary members upon retirement.

Section 4: Corporate Membership.

Corporate members are those companies that find it advantageous to be affiliated with FACC. They would not have any voting rights nor could they hold office or be certifiedCorporate members do not have the right to vote, hold office or obtain certification. Corporate members may participate in educational programs and should they eventually assume the job of clerk or deputy, they could then apply for certification.

Section 5: Membership Application and Dues.

Any person (as described in Article III, Sections 1, 2 and 4) desiring to become a member of this Association shall make written application upon such forms as prescribed by the Board of Directors and shall pay the membership dues as outlined in the FACC Policies. The application and dues shall be filed with the Florida League of Cities (FLC).

Section 6: Restriction on Rights to Vote or Hold Office.

Only full members (as described in Article III, Section 1) in good standing have the right to vote, hold office, and serve on any association committee. Honorary and/or associate members may be appointed by the president as resource members.

Article IV - Meetings.

Section 1:

Annual Meetings: There shall be an annual business meeting.

Special Meetings: Special meetings may be called by a majority vote of the Board of Directors upon thirty (30) days’ written notice, or at the discretion of the president and one (1) Board member.

Article V – Officers, Board of Directors, Executive Board Qualifications, Terms and Filling Vacancies.

Section 1: Officers and Boards.

The officers of the association shall be the president, first vice president elect and second vice- president.

There shall be a Board of Directors comprised of the following: president, first vice president elect, second vice- president, immediate past president and six district directors (one member from each of the six (6) Geographic Districts). The six districts are Northwest, Northeast, Central West, Central East, Southwest, and Southeast.

There shall be an Executive Board comprised of the following: president as chairperson, the first president elect and second vice-presidents and the immediate past president.

The Executive Board may act in place and stead of the Board of Directors between Board meetings on all time-sensitive matters. Actions of the Executive Board shall be reported to the Board for ratification at the next Board meeting.

Section 2: Qualifications, Terms and Vacancies.

Qualifications: Each officer and director shall be employed by a municipal government as a full-time appointed or elected citymunicipal clerk or duly appointed deputy citymunicipal clerk, assistant clerk, clerk of the council or clerk/administrative assistant performing duties commensurate with the duties performed by a citymunicipal clerk. If an officer/director shall cease to possess qualifications during his/her term of office for more than ninety (90) days, he/she shall forfeit the office. All references shall be interpreted to include City/Town/Village.

To be eligible to hold office as president, first vice president elect, or second vice- president, one must: (a) be a member of FACC for three (3) consecutive years; (b) be a CMC (Certified Municipal Clerk); (c) have served at least two (2) years as a district director; (d) have attended at least two (2) State summer academies; and (e) be an active member in good standing.

No person shall be elected as president unless such person shall have has served as an officer or member of the Board of Directors for an aggregate of three (3) years prior to becoming president. The person serving as first vice president elect shall be deemed automatically elected to the office of president for one year following the annual business meeting held at the summer academy. The person serving as second vice- president shall be deemed automatically elected to the office of first vice president elect for one year following the annual business meeting.

To be eligible to hold office as a district director, one must: (a) be a member of FACC for three (3) consecutive years; (b) possess or be actively pursuing the CMC designation and provide proof of such pursuit; (c) have actively served on a FACC committee(s) for two (2) distinctive (separate) years; and (d) be an active member in good standing.

The above requirements may be waived by a majority vote of the Board of Directors for candidates who do not meet all of the requirements.

Term of Office: Terms are one year. The president, first vice president elect and second vice- president shall serve no more than one full term. There is no limit on the number of consecutive terms one may serve as a district director.

Vacancies:

1) In the event of a vacancy in the office of the president, the first vice president elect shall advance to the office of president to serve for the remainder of the term. Said person may remain in that office for an additional one-year term.

2) In the event that a vacancy occurs of a vacancy in the office of the first vice president elect, the second vice- president shall advance to the office of the first vice president elect to serve for the remainder of the term. Said person may remain in that office for an additional one-year term.

3) In the event that a vacancy occurs of a vacancy in the office of the second vice- president, the president shall make an appointment to fill the vacancy. Such appointment shall be confirmed by a majority of the Board of Directors. Such appointment shall remain until the next annual business meeting held at the summer academy, at which time there shall be an election for second vice- president in accordance with the terms of Article VI.

4) In the event that a vacancy occurs in the office of a director, the president shall make an appointment to fill the vacancy. Such appointment shall be confirmed by a majority of the Board of Directors. Such appointment shall remain until the next annual business meeting held at the summer academy, at which time there shall be an election in accordance with the terms of Article VI.

Article VI – Board of Directors – Nominations and Elections.

Nominating Procedures:

The president shall appoint a Nominating Committee, consisting of one member from each of the six (6) geographical districts and the immediate past president, who shall act as Chair. The Nominating Committee shall nominate all qualified candidates for each Board position, except for the positions of president and first vice president elect, which shall automatically be filled by the first vice president elect and second vice- president respectively, and submit its nominations to all members who are qualified to vote, per Article III, Section 56. Unopposed candidates are deemed to be automatically elected.

Following each summer academy, the President will provide the membership with the names of those individuals serving on the Nominating Committee and that nominations for election to the Board of Directors for the ensuing year will be accepted by the Chair of the Nominating

Committee no later than seventy (70) days prior to the annual business meeting held during the summer academy.

Official nomination forms shall be obtained from, and returned to, the Chair of the Nominating Committee. Members, who meet the qualifications provided in Article V may submit a nomination form on their own behalf, or they may be nominated by another active member of FACC.

Elections:

The Nominating Committee shall meet, review all nominations, and notify the FLC of the nominations for preparation of the ballots. Ballots must be e-mailed or sent by regular mail if necessary at least forty-five (45) days prior to the annual business meeting held during the summer academy, and returned to the FLC no later than thirty (30) days prior to said annual business meeting. If Should the 30th day falls on a Saturday or Sunday, ballots would will continue to be received on up to and including the following Monday. The FLC shall serve as the Canvassing Board for election results and shall abide by the Ballot of Tabulation Policy as set forth in the Florida Association of City Clerks Handbook. The FLC shall notify the Board of Directors and Nominating Committee Chair of the results of said elections. The election results will be brought before the membership at the annual business meeting held during the summer academy, for ratification.

In the event of a tie, a canvassing board member will draw lots by the toss of a coin.

The ballots shall be destroyed following the end of the following year’s summer academy.

Article VII - Duties of Officers.

Section 1: President.

The president shall (a) preside at all meetings; (b) appoint all committees; (c) call meetings of the Board of Directors; and (d) perform such other duties as may be required.

Section 2: First Vice President Elect.

The first vice president elect shall (a) perform the duties of the presidency during the president’s absence; (b) become president in the event of a vacancy in the office of president; (c) serve as an ex-officio member of the Goals Committee and Professional Education Committee (PEC); (d) approve minutes of all meetings, as prepared by the FLC after review by the Executive Board for submittal to the Board of Directors; (e) present the treasurer’s report, as prepared by the FLC to the Board of Directors and membership at the annual business meeting and respond to questions/concerns of members relative to said report; and (f) perform duties as may be assigned by the president.

The second vice- president shall (a) be responsible for overseeing the content of the newsletter, including collection and composing articles, and its printing and distribution, after review by the Executive Board:, (b) serve as an ex-officio member of the Membership Committee;, and (c) perform duties as may be assigned by the president.

Section 4: District Directors.

The dDistrict directors shall be composed of one representative from each of the six (6) geographical districts and shall serve as a liaison between FACC and the clerks in their respective districts.

Section 5: Immediate Past President.

The Immediate Past President shall vote on all matters considered by the FACC Board of Directors. The immediate past president shall serve as chair of the Nominating Committee.

Article VIII - Committees.

The Standing Committees of the Florida Association of City Clerks shall be decided upon by the Board of Directors and shall be formed and abolished as necessary to allow the Board to carry out the goals of the Association. Current committees and associated responsibilities can be found in the FACC Policies.

Article IX - Amendments.

Section 1:

These By-Laws may be amended, altered, or rescinded by a two-thirds (2/3) vote of those members present at the annual business meeting of the association. Proposed amendments shall be presented to the membership in writing at least 45 days before the Annual Business Meeting.

Section 2: Emergency Amendment Proceedings.

In the event that an emergency amendment is needed to update the By-Laws, prior to the annual meeting, said By-Laws can be updated amended by a two-thirds (2/3) vote of the membership, and said amendment will be presented by publication in the association newsletter and/or email. The president, or president’s designee, shall notify the membership, in writing, of the proposed amendment and request their proxy vote. (An emergency would constitute some action needed to effectuate a necessary and pertinent change prior to the annual meeting.)

Article X – Other Provisions.

Section 1: Fiscal Year.

The fiscal year of the organization shall begin on August 1, and end on July 31 of each year.

Section 2: Parliamentary Law.

Whenever in the affairs of the organization, parliamentary rules or procedure are involved, the current edition of Robert’s Rules of Order newly revised shall apply.The current edition of Robert’s Rules of Order Newly Revised shall apply whenever parliamentary rules or procedures shall be involved in carrying out the affairs of FACC.

Section 3: Dissolution.

In the event of the dissolution of the organizationFACC, the assets shall be dedicated or transferred only in accordance with the purposes of the organization.
