In early June, Harbinger continued with ongoing efforts to acquire Central Garden & Pet Company.Having cited underperformance, Harbinger believes there is a large opportunity to create shareholdervalue through strategic alternatives. Harbinger already owns 4.4% of Central Garden & Pet’s CommonStock. The transaction would value Central Garden & Pet Co. at $1 billion. Lassonde announced on July 3rd that it had entered agreement to acquire Apple & Eve, LLC from USJuice Partners, Clearlight Partners and Ares Capital for $150 million in cash. M&A activity in the food and beverage sector continued to carry momentum through the summer.HW&Co. anticipates an active marketplace for the remainder of the year as strategic and private equitybuyers look to take advantage of current market conditions and aggressively pursue well positioned food& beverage companies. Strategic buyers have aggressively pursued transactions, with Harbinger Groupannouncing bids for Central Garden & Pet Company’s overall business and Pet Segment. Also, FlagstoneFoods – a manufacturer of healthy private label snacks – has been acquired by Bay Valley Foods.Additionally, Tyson Foods beat competitors in acquiring Hillshire. Private equity buyers continued strongactivity with involvement in thirteen announced deals since June of this year. HW&Co. continues to seenew deal activity, reinforcing the M&A market’s momentum.

Pilgrim’s Pride and Tyson Foods Bid on Hillshire BrandsTyson Food’s and Pilgrim’s Pride continued to compete for ownership of Hillshire Brands, with TysonFoods announcing a new bid of $7.8 billion for the shares of Hillshire. This bid would offer shareholdersof Hillshire $63 per-share a 15% premium above Pilgrim’s Pride’s latest offer of $55 per-share. Pilgrim’sPride backed out of it’s proposal to acquire Hillshire on June 9th ending competition with Tyson.
