MARKET UPDATE
M&A activity in the food and beverage sector in 2014 was at or near recordlevels in terms of both total number of deals and aggregate deal value. In total,there were 305 deals announced in the North America with an aggregate dealvalue of $120.7 billion. Strategic buyers were particularly active, accounting forover 80% of announced deals in the sector. During the fourth quarter, M&Aactivity remained robust, with the announcement of 62 deals totaling over $17billion in aggregate deal value. There were several notable deals involvingstrategic acquirors, including Grupo Bimbo’s acquisition of Saputo Bakery andChef’s Warehouse acquisition of Del Monte Capitol Meat. HW&Co. anticipatesan active marketplace for 2015 as strategic and private equity buyers continueto pursue high quality assets in the food and beverage sector.

Dr Pepper Snapple and Keurig recently announced a partnership in which Dr Pepper Snapple will develop fountain
syrup-based products for Keurig’s at-home cold beverage system. Pursuant to the agreement, Keurig will serve as the
sole provider of Dr Pepper Snapple-branded single-serve, carbonated drink pods. Keurig’s cold beverage system is
currently in development with an expected rollout in fall 2015.

Data from CHD expert and Technomic shows that pizza remains a go-to item, with US pizza sales for the year endedSeptember 2014 amounting to $38.5 billion, a 3.1% increase over 2013. Independent locations grabbed a 41% share,with regional and national chains accounting for the other 59%. As with other restaurant verticals, key trends affectingthe pizza industry are the Affordable Care Act, local and healthier ingredient sourcing, and commodity volatility.

A recent survey conducted by Daymon Worldwide revealed interesting consumer behavior in the wake of collapsinggas prices. Approximately 35% of grocery shoppers plan to use extra money previously earmarked for fuel to expandprivate label purchases rather than shifting to branded purchases. Another 22% of respondents will explore privatelabel products for the first time. Further private label growth will come from “expansion into non-commoditizedcategories that are presently led by strong national brands, like carbonated soft drinks.”Access to the full article here.
