Broker/Carrier Agreement

This Broker/Carrier Agreement ("Agreement") is entered into this _______day of ____________,20__ by and between FWCC Logistic Services ("Broker") with its principal place of business at 1022 East Shawntel Smith Blvd, Muldrow, OK 74948 and ("Carrier") ___________________________ with its principal place of business at ___________________________________________________.

Recitals

WHEREAS, Broker is a duly licensed property broker (MC- 257677) authorized by its customers ("Shipper" or "Shippers") as their agent to arrange for transportation of shipments by entering this contract, tendering freight to carriers, and receiving and transmitting the payment of freight charges; and WHEREAS, Carrier is an asset-based for-hire carrier qualified, insured and authorized under MC- _____________ to transport shipments in interstate. Carrier will transport shipment using equipment operating under MC number stated above; and

WHEREAS, Broker desires to tender to Carrier and Carrier desires to transport shipments subject to the terms and conditions of this Agreement; NOW, THEREFORE, the Parties agree as follows:

1. Duration and Application. This Agreement is for the period of one year following execution and shall be automatically renewed for one year on each anniversary date, unless canceled in writing. Either party may cancel this Agreement on 30 days written notice. The terms of this Agreement and any mutually agreed upon signed written addendum shall govern all shipments tendered by Broker to Carrier.

2. Governing Rules and Publications. All shipments moving under this Agreement shall be subject to the terms and conditions of the Standard Truckload Bill of Lading ("STBOL"), incorporated by reference. Carrier's drivers will execute non-conforming bills of lading as receipt for goods only. Where rates are dependent upon mileage, the applicable mileage guide will be PC*Miler shortest distance. Other accessorial charges and shipper specific ground rules, if any, shall be set forth in Appendix B or by separate signed addendum incorporated herein by reference.

3. Compensation for Services. Carrier shall be compensated for the transportation services it provides

based upon mutually acceptable rates (Appendix A) and accessorial charges (Appendix B) or as otherwise confirmed in writing or by facsimile transmission properly signed and executed by representatives of each party.

4. Compliance with Law. With respect to transportation services provided herein, Carrier shall comply with all federal, state and local laws, including but not limited to, laws governing the safe operation of commercial vehicles, employment laws, etc. Carrier warrants that its equipment is maintained in good order, and is suitable for the transportation of the shipments tendered to it. As an independent contractor, Carrier agreed to defend and indemnify and hold harmless Broker and its customers from and against all fines or penalties and liabilities resulting from Carrier's failure to comply with such laws, rules, regulations and ordinances.

5. Insurance and Financial Responsibility. Carrier warrants that it maintains personal injury and property damage insurance ($1,000,000 minimum per occurrence) and cargo insurance as required by the Federal Motor Carrier Safety Administration (Forms BMC-91X and BMC-34 on file). In addition, Carrier

warrants that it maintains workman's compensation insurance as required by state law and all risk motor cargo insurance in the amount of not less than $100,000 per occurrence. Broker warrants that it maintains a broker's bond or bank trust agreement, is in compliance with federal regulations applicable to property brokers and will not attempt to pledge or encumber funds paid or payable to it to the extent such funds represent unpaid freight charges due to Carrier.

6. Payment of Freight Charges. Upon delivery of each shipment, Carrier shall submit its invoice together with a copy of the proof of delivery (to be certified upon request) to Broker as agent for its customer. Broker in turn will invoice its customer for the Carrier's freight charges and its brokered services. To the extent Broker has not advanced Carrier's freight charges to it, Broker will receive unpaid freight charges in trust and transmit payment to Carrier upon receipt. Broker guarantees payment to Carrier within 30 days of receipt of Carrier's invoice.

7. Cargo Liability and Claims. Carrier shall be liable for cargo loss and damage in accordance with federal law (49 U.S.C. §14706) with respect to all shipments. Cargo claims will be filed in accordance with 49 C.F.R. 370. Carrier's liability for cargo loss and damage shall be limited to the shipper's actual cost of articles lost, damaged, or destroyed.

8. Indemnifications. Except as set forth in paragraph 7, supra, each party shall indemnify and hold harmless the other from all liabilities and claims caused solely by their respective negligent acts and omissions.

9. Governing Law. This Agreement is made pursuant to 49 U.S.C. §14101Co). All duties and obligations of Carrier and Broker as specified in federal statutes shall apply unless expressly waived in writing. General principles of federal transportation law and jurisdiction and venue shall apply. Subject to the approval of Carrier's insurer, the parties agree the freight claims not paid within 120 days may be subject to binding arbitration initiated by Broker as agent for its customer or by its customer utilizing simplified procedures before the arbitration services of the Transportation Lawyers Association. 10. Notices. All notices required by this Agreement shall be served upon the following by United States Mail, postage prepaid:

Carrier agrees to recognize Broker as the exclusive agent for its customers with respect to traffic first tendered to Carrier by Broker for a period of one year following termination of this Agreement. Without Broker's consent, Carrier will not directly or indirectly back solicit Broker with respect to such traffic. As liquidated damages, Carrier agrees to pay Broker a 10% commission on all traffic handled in violation of this covenant for a period of one year following cancellation of this Agreement. To Whom It May Concern: As a requirement to do business with FWCC Logistic Services, all Service Providers must abide by the Worker’s Compensation (WC) laws as governed by the applicable state. To meet our requirements, FWCC Logistic Services will need evidence that your company has an active Worker’s Compensation policy. In the event that your company is not required to carry Worker’s Compensation, you are required to sign the Indemnify and Hold Harmless Statement below. Please forward a copy of your certificate of insurance evidencing your Worker’s Compensation coverage with FWCC Logistic Services listed as a certificate holder.
