    Dear Sirs,

    I/We, the Applicant(s) understand that M/s DLF Southern Homes Pvt. Ltd. (Company) is promoting aresidential project under the name & style of GARDEN CITY DLF OMR at Thazhambur Village,Chengelpet Taluk, comprising of multi- storeyed residential apartments.

    I/We request that I/we may be provisionally allotted a residential apartment particulars whereof arestipulated hereinafter (Said Apartment) and an exclusive right to use parking space (hereinafterreferred to as the Parking Spaces) in the GARDEN CITY DLF OMR (Said Complex) under your DownPayment / Installments Payment Plan.

    I/ We have read and understood the terms and conditions stated hereinafter and are agreeable to thesame.

    I/We enclose herewith a cheque/bank draft for Rs.

    SOUTHERN HOMES PVT LTD towards the booking amount (Earnest Money).

    In the event of the Company agreeing to provisionally allot an apartment, I/we agree to pay furtherinstallments of Total Price (hereinafter defined) and all other dues as stipulated in this Application and/or as may be intimated by the Company from time to time and in the manner set out in the Payment Plan

    which shall form part of an agreement (Apartment Buyer's Agreement) that will be executed by me/usand the Company on the Company's standard format.

    I / We have clearly understood that this Application does not constitute an agreement to sell and I/we do not become entitled to the provisional and/or final allotment of an apartment in the Said Complex,notwithstanding the fact that the Company may have issued a receipt in acknowledgement of the moneytendered with this Application. It is further understood that only upon me/us signing and executing theApartment Buyer's Agreement agreeing to abide by the terms and conditions laid down therein that the

    allotment shall become final and binding upon the Company. I/We are aware that the residential projecthas been approved by the Commissioner of Town and Country Planning (DTCP), Tamil Nadu. I/Wehaveinstructed the Company that if for any reason/s other than reasons attributable to me/ us, theCompanyis not in a position to finally allot an apartment within a period of one year from thedate of thisApplication, I/We shall have the option to take refund of the booking amount byserving a 30 daysdemand notice on the Company and the Company shall refund the booking amountdeposited with simpleinterest at the rate of 9% per annum calculated for the period for which suchamount has been lying with the Company.

    I/We agree to abide by the terms and conditions of this Application including those relating to paymentof Total Price and other deposits, charges, rates, Taxes (hereinafter defined), cesses, levies etc., andforfeiture of Earnest Money as laid down herein.

    Interest bearing maintenance security @ Rs. 50 per sq. ft of the super area shall be paid extra.

    Stamp duty, registration and incidental charges as well as expenses for execution of ApartmentBuyer's Agreement and Sale Deed etc. shall be charged extra at actual and shall be borne by theApplicant.

    The Total Price does not include any Taxes as defined in the terms and conditions of thisApplication.

    The Applicant/s shall pay, in addition to the Total Price, a sum equal to the proportionate shareof Taxes; the proport ionate share being calculated in the ratio of super area of the SaidApartment to the total super area of all the apartments in the Said Complex.

    The Company shall periodically intimate to the Applicant herein, on the basis ofcertificatesfrom a Chartered Engineer and/or a Chartered Accountant, the amount payable as stated in(iv) above and the Applicant shall make payment within 30 (thirty) days of such intimation.

    As and when demanded by the Company the applicant agrees to pay an amount of Rs.1, 00,000(Rupees one lakh only), within 30 days of such demand, towards charges forinstallation/connection of electricity/water/sewer services and other incidental charges.

    The Applicant(s) shall initially be required to take the membership of the club. The Applicant(s)shall pay the following amounts.

    The above mentioned amounts shall be paid as and when demanded by the Company. Theactual usage will be payable as per the usages and services availed by the Applicant(s) and theApplicant(s) shall be required to sign the necessary documents for membership of the club,which shall contain the detailed terms and conditions.

    After two years, the Applicant(s) shall have the option to renew the membership on payment ofsuch charges and on such terms and conditions as applicable at that time.

    The Total Price does not include the Maintenance Charges, Additional Preferential LocationCharges, property tax, municipal tax, wealth tax, fees or levies of all and any kind by whatevernamed called.

    The Total Price does not include any other charges that may be payable by the Applicant(s), ondemand by the Company, as per the Apartment Buyers Agreement.

    The terms and conditions given below are more comprehensively set out in the ApartmentBuyer's Agreement which upon execution shall supersede. The Applicant(s) shall sign all the

    pages of this Application in token of his/her acceptance of the same.

    1. Definitions and Interpretation:In this Application, the following words and expressions,when capitalized, shall have themeanings assigned herein. When not capitalized, such words and expressions shall be attributedtheir ordinary meaning. For all intents and purposes and for the purpose of the terms andconditions set out in this Application, singular includes plural and masculine includes femininegender.

    Apartment Buyer's Agreementshall have the same meaning as ascribed to such expressionin the Application.

    Applicant shall mean the applicant applying for allotment of the Said Apartment whoseparticulars are set out in this Application.

    Application shall mean this application form for provisional allotment for sale ofresidentialapartment in Garden City, DLF OMR alongwith the terms and conditions contained herein.

    Company shall have the same meaning as set out herein above in the Application.

    Common Land Area shall mean the land within the boundary of the Said Complex excludingthe land underneath the Foot Print of all apartment buildings in the Said Complex and excludingsuch lands occupied by the internal roads, club and its supporting facilities, shopping mall andcommercial center, play ground, areas occupied by facilities such as water and seweragetreatment plants, electrical landing station, sub-stations and structures housing power back upfacilities such as diesel generating sets, open space & reservation (OSR) area and any otherarea(s) as may be specified by the Company to be excluded and / or earmarked in the approved

    plans along with the amenities and facilities thereon.

    Earnest Money means the booking amount paid by the Applicant towards the provisionalallotment of the Said Apartment.

    " Foot Print of the Said Building" shall mean the precise land underneath the Said Building.

    Maintenance Agency means the Company or association of apartment allottees or such otheragency/ body/ company/ association of condominium to whom the Company may handover themaintenance and who shall be responsible for carrying out the maintenance of the SaidComplex/ Said Building.

    Payment Plan means the plan as per which the Applicant will pay the Total Price of the Said

    Apartment to the Company details of which will be contained in the Apartment Buyer'sAgreement.

    Said Apartment means the apartment applied for by the Applicant, details of which have beenset out in this Application and includes the exclusive right to use the parking space.

    Said Building means the building in the Said Complex in which the Said Apartment will belocated.

    Said Complex shall have the same meaning as set out in this Application.

    Taxes shall mean any tax payable by the Company by way of value added tax, state sales tax,central sales tax, works contract tax, service tax, educational cess or any other taxes, charges,levies by whatever name called, in connection with the construction of the Said Complex.

    Total Price means sale price of the Said Apartment as indicated in point (4) of this Applicationform and does not include other amounts, charges, security amount etc., payable as per the termsof the Apartment Buyer's Agreement, not limited to Taxes, increase in all types ofsecuritiesincluding interest bearing maintenance security; club charges (as per note (vii) of point 4 oftheApplication); deposit for installation and connection of electricity, water services and sewer in theSaid Complex (as per note (vi) of point 4 of the Application), maintenance charges; property taxes;additional preferential location charges; additional floor rise charges; increase in price due toincrease in super area of the Said Apartment; stamp duty, registration and any incidental chargesand any other charges payable as stated in this Application and more comprehensively stated in

    the Apartment Buyer's Agreement.Undivided Share of Land of the Said Apartment shall mean the proportionate area of the FootPrint of the Said Building (calculated in the ratio which the super area of the Said Apartment bearsto the total super area of all the apartments in the Said Building) and proportionate Common LandArea of the Said Complex (calculated in the ratio which the super area of the Said Apartment bearsto the total super area of all the apartments within the Said Complex) .

    The Applicant(s) has applied for provisional allotment of the Said Apartment with full knowledge ofall the laws/notifications and rules applicable to the group housing/multistoried buildingprojects in general and the Said Complex in particular and has also satisfied himself about thetitle/interest/rights of the Company in the land on which the Said Complex is being constructedand has understood all limitations and obligations of the Company in respect thereof. TheApplicant(s) agrees that there will not be any further investigations and/or objections by him inthis respect.

    The Applicant(s) agree(s) to abide by the terms and conditions of the Apartment Buyer'sAgreement and pay the Total Price and other charges, rates, taxes, cesses, deposits, levies etc.including development/infrastructure/approval charges, if any, whether levied, or leviable nowor in future or with retrospective effect, as the case may be from the date of this Application. Suchcharges shall be payable in proportion to the super area of the Said Apartment and its respectiveUndivided Share of Land within the boundary of the Said Complex. Further the Applicant(s)agrees that in the event of non-payment of such amount the Company shall have first lien on theSaid Apartment for the recovery of such amount notwithstanding the execution of sale deed ofthSaid Apartment in favour of the Applicant(s).

    It is made clear by the Company and agreed by the Applicant that all rights including theownership of club, commercial areas and facilities and amenities therein, shall vest solely with theCompany and the Company shall have the sole and absolute authority to deal in any manner with

    such land(s), facilities and amenities including but not limited to creation of further rights infavour of any other party by way of sale, transfer, lease, collaboration, joint venture, operation andmanagement or any other mode including transfer to government, semi government, any otherauthority, body, association, any person, institution, trust and / or any local body(ies) which theCompany may deem fit in its sole discretion.

    The Applicant(s) agrees that if due to any change in the lay out, building plans, the Said Apartmentbecomes preferentiallylocated or additionally preferentiallylocated or gets located in a floorhigher/above the floor specified in this Application, as the case may be, then the Applicant(s) shallbe liable and agrees to pay as and when demanded by the Company, preferential location charges,additional preferential location charges and/or floor rise charges and additional floor risecharges, as may be applicable. If due to such change the Said Apartment ceases to be inpreferential location, additional preferential location or gets located on a floor below the floorsspecified in this Application, then the Company shall refund only such amount of the preferential

    location charges and floor rise charges paid by the Applicant(s) and such refund shall be adjustedin the last installment payable by the Applicant(s) as per the payment plan opted by him. Nofurther consent of the Applicant(s) shall be required for this purpose.

    The Applicant(s) agrees that the Total Price mentioned in this Application is inclusive of the cost ofproviding the facility of power backup which will be provided as follows:

    but does not include the running cost and maintenance cost and the cost of electrical fittings,fixture, etc. in the Said Apartment which shall be installed by the Applicant(s) at his own cost.

    6. The Applicant(s) agrees that the parking spaces allotted to him shall be an integral part oftheSaid Apartment which cannot besold/dealtwith independent of the Said Apartment. TheApplicant(s) may apply for additional parking space which maybe allotted subject to availabilityand at the prevailing price. All clauses of this Application and the Apartment Buyer's Agreementpertaining to allotment, possession, cancellation etc. shall apply mutatis mutandis to theparking spaces so allotted, wherever applicable. The Applicant(s) agrees that all such reserved

    car parking spaces allotted to the occupants shall not form a part of common areas of the SaidBuilding/Said Complex for the purpose of the declaration which may be filed by the Companyunder Tamil Nadu Apartment Ownership Act, 1994.

    7. The Applicant(s) agrees that the Company shall be entitled to forfeit the Earnest Money alongwith the interest on delayed payments and brokerage paid, if any, etc in case of non- fulfillment ofthe terms and conditions herein contained and those of the Apartment Buyer's Agreement andalso in the event of failure by the Applicant(s) to sign and return to the Company the ApartmentBuyer's Agreement within thirty (30) days from the date of its dispatch by the Company.

    The Applicant(s) agrees that time shall be the essence in respect of payment on or before due date,of Total Price and other amounts payable by the Applicant(s) as per the Payment Plan accepted by the Applicant(s) or as demanded by the Company from time to time.

    9. The Applicant(s) has seen and accepted the plans and has applied for the provisional allotmentof the Said Apartment with the specific knowledge that the building plans, designs,specifications, measurements, dimensions, location of the Said Apartment and /or SaidBuilding, floor plans and all other terms and conditions are tentative and are liable to change,alteration, modification, revision, addition, deletion, substitution or recast at the solediscretion of the Company as it may deem fit and also subject to changes/modification by thecompetent authority. However, in case of any major alteration / modification resulting in +/-10% change in the super area of the Said Apartment or material change in the specifications ofthe Said Apartment any time prior to and/or upon the grant of occupation certificate by theCompany's Architect or by the competent authority, the Applicant will be duly informed in

    writing by the Company of such change and the difference in price of the Said Apartment to bepaid by him or refunded to him by the Company as the case may be. The Applicant agrees toinform the Company in writing his objections to the changes within thirty (30) days from the

    date of such notice failing which the Applicant shall be deemed to have given his full consent toall the alterations/modifications. If the Applicant objects to such change in writing, within thepermitted time and the Company decides to go ahead with changes, then the allotment shall bedeemed to be cancelled and the Company shall refund the entire money received from theApplicant with interest @ 9% per annum. The Applicant agrees that any increase or reductionin the super area of the Said Apartment shall be payable or refundable (without any interest) atthe rate per sq. mtr. as mentioned in this Application.

    10. The Applicant(s) agrees that in case the Company, is unable to deliver the Said Apartment and/orallot parking space to the Applicant for his occupation and use due to:

    any legislation, order or rule or regulation made or issued by the Govt. or any other Authority or;if any competent authority(ies) refuses, delays, withholds, denies the grant ofnecessary

    approvals for the Said Apartment / Said Building or;if any matters, issues relating to such approvals, permissions, notices, notifications by thecompetent authority (ies) become subject matter of any suit / writ before a competent courtor;due to force majeure conditions,then the Companymay cancel the allotment of the Said Apartment in which case theCompany, shall only be liable to refund the amounts received from the Applicant without anyinterest or compensation whatsoever.

    11. Subject to other terms of this Application and Apartment Buyer's Agreement including but notlimited to timely payment of the Total Price, stamp duty and other charges by the Applicant, theCompany shall endeavour to complete the construction of the Said Apartment within 21 monthsfrom the date of execution of the Apartment Buyer's Agreement by the Company. Thereafter theCompany shall offer the possession of the Said Apartment to the Applicant. Any delay by the

    Applicant in taking the possession would attract holding charges @ Rs.5/- per sq. ft. per month

    for any delay of full one month or any part thereof. Subject to the terms and conditions oftheApartment Buyer's Agreement, in case of any delay by the Company in completion of theconstruction of the Said Apartment, the Company shall pay compensation @ Rs. 5/- per sq. ft. ofthe super area of the Said Apartment per month or any part thereof to the Applicant(s).

    12. The Applicant(s) agrees to enter into a maintenance agreement with the Maintenance Agency forthe maintenance and upkeep of the Said Building/Said Complex and undertakes to pay themaintenance bills therefor. In order to secure due payment of the maintenance bills and othercharges raised by the Maintenance Agency, the Applicant(s) agrees to deposit, as per the

    Payment Plan and to always keep deposited with the Company or the Maintenance Agency, asInterest Bearing Maintenance Security (IBMS) at the rate of Rs. 50/- per sq. ft. of the super area ofthe Said Apartment, carrying a simple yearly interest as per the applicable rates on fixed deposits

    accepted by State Bank of India at the close of each financial year on 31 March.

    13. All stamp duties and registration charges and all other incidental and legal expenses forexecution and registration of Agreement and conveyance deed of the Said Apartment shall beborne and paid by the Applicant (s) as and when demanded by the Company. The sale deed oftheSaid Apartment in favour of the Applicant(s) shall be executed within sixty (60) days from the dateof Company intimating in writing the receipt of the certificate for use and occupation of the SaidBuilding/Said Apartment from the Companys Architect or from the Competent Authority afterreceipt of all amounts/charges due and the deposits payable by the Applicant(s) as per theApartment Buyers Agreement in respect of the Said Apartment and parking space(s) allotted tohim failing which the Company may in its sole discretion cancel the allotment and forfeit theEarnest Money, delayed payment interest, etc. and refund the balance of the amount paid by theApplicant(s) without any interest upon realisation of money from resale / re-allotment to any other party.

    14. The Applicant(s) agrees to comply with terms and conditions of the Application and theApartment Buyer's Agreement failing which he shall forfeit to the Company the entire amount ofEarnest Money, interest on delayed payment, etc. and the allotment / Apartment Buyer'sAgreement shall stand cancelled and the Applicant(s) shall be left with no lien, right, title, interestor any claim of whatsoever nature in the Said Apartment and the parking space(s) allotted and itis not incumbent on the part of the Company to send reminders/notices to the Applicant inrespect of the obligations of the Applicant as set out in this Application and/or ApartmentBuyer's Agreement. The Company shall thereafter be free to resell and/or deal with the SaidApartment in any manner whatsoever at its sole discretion. The amount(s), if any, paid over and

    above the Earnest Money, processing fee, interest on delayed payment etc. would be refunded tothe Applicant(s) by the Company only after realising such amounts to be refunded from resalebut without any interest or compensation of whatsoever nature. The Company shall at all timeshave the first lien and charge on the Said Apartment for all its dues payable by the Applicant(s) tothe Company.

    15. Without prejudice to the Company's aforesaid rights, the Company may at its sole discretionwaive the breach by the Applicant(s) in not making payments as per the Payment Plan on thecondition that the Applicant(s) shall pay to the Company interest which shall be charged for thefirst ninety (90) days from the due date @ 15% per annum and for all periods exceeding firstninety (90) days after the due date @ 18% per annum.

    16. It is specifically clarified by the Company that the Agreement to be entered/executed by the

    Applicant(s) with the Company shall not be assignable by the Applicant and the apartmentallottee has no right whatsoever to assign, transfer, nominate or convey the Said Apartmentin any manner within a period of 1 (one) year from the date of execution of the Agreement. However, after expiry of the said period of 1 (one) year, the Company may, at its sole d iscretion,and subject to applicable laws and notifications or any government directions as may be in force, permit the Applicant(s) to get the name of his/her nominee substituted in his/her place subject to such terms and conditions and charges as the Company may impose. The Applicant(s) shallbe solely responsible and liable for all legal, monetary or any other consequences that may arisefrom such nominations.

    The Applicant(s) agrees that the Company shall have the right to raise finance/loan from anyfinancial institution / bank by way of mortgage / charge / securitization of receivables of the SaidApartment subject to the Said Apartment being free of any encumbrances at the time of

    execution of sale deed. The Company / financial institution / bank shall always have the first lien

    / charge on the Said Apartment for all its dues and other sums payable by the Applicant or inrespect of the loan granted for the purpose of the construction.

    18. The Applicant(s) agrees that in case the Applicant(s) opts for a loan arrangement with anyfinancial institutions / banks, for the purchase of the Said Apartment, the conveyance of the SaidApartment in favour of the Applicant(s) shall be executed only upon the Company receiving "NoObjection Certificate" from such financial institutions/banks.

    19. The Applicant(s) shall pay to the Company from time to time and at all times, the amounts which

    the Applicant(s) is liable to pay as agreed and to observe and perform all the covenants and conditions of allotment and sale and to keep the Company and its agents and representatives,estate and effects, indemnified and harmless against the said payments and observance andperformance of the said covenants and conditions and also against any loss or damages that theCompany may suffer as a result of non-payment, non-observance or non-performance of the saidcovenants and conditions by the Applicant(s).

    The Applicant(s) agrees that in respect of all remittances, acquisition / transfer of the SaidApartment, any refund, transfer of security etc., shall be made in accordance with the provisionsof Foreign Exchange Management Act, 1999 or statutory enactments or amendments thereofand the rules and regulations of the Reserve Bank of India or any other applicable law and it shall be the sole responsibility of non-resident/foreign national of Indian origin /foreignnationals/foreign companies to abide by the same. The Company accepts no responsibility inthis regard.

    21. The Applicant(s) agrees to inform the Company in writing any change in the mailing addressmentioned in this Application failing which all demands, notices etc. by the Company shall bemailed to the address given in this Application and deemed to have been received by theApplicant(s). In case of joint applicants communication sent to the first named applicant in thisApplication shall be deemed to have been sent to all the Applicant(s).

    The Applicant(s) agrees that this proposal / Application is purely on tentative basis and theCompany may at its sole discretion decide not to allot any or all the apartments in the Said Complex to anybody or altogether decide to put at abeyance the project itself, for which the

    Applicant(s) shall not have a right to raise any dispute / claim any right/title/interest on theacceptance of this proposal and receipt of the initial token money being received by the Company

    with this proposal from the Applicant(s).

    The Applicant(s) agrees that the provisional and/or final allotment of the Said Apartment isentirely at the discretion of the Company.

    23.

    24. The Applicant(s) agrees that the Company shall have the right to transfer ownership of the SaidComplex in whole or in parts to any other entity such as any partnership firm, body corporate (s) whether incorporated or not, association or agency by way of sale / disposal / or any otherarrangement as may be decided by the Company in its sole discretion without any intimation,

    written or otherwise to the Applicant(s) and the Applicant(s) agrees that he shall not have a rightto raise any objection in this regard.

    25. All or any disputes arising out or touching upon or in relation to the terms of this Applicationincluding the interpretation and validity of the terms thereof and the respective rights andobligations of the Applicant(s) and the Company shall be settled amicably by mutual discussionfailing which the same shall be settled through arbitration as shall be governed by the Arbitrationand Conciliation Act, 1996 or any statutory amendments/modifications thereof for the timebeing in force. The arbitration proceedings shall be held at an appropriate location in Chennai by a sole arbitrator who shall be appointed by the Company for which the Applicant shall have noobjection, whatsoever and whose decision shall be final and binding upon the parties. The courtsat Chennai alone shall have the jurisdiction.

    Notes:

    1. The rebate for early payments shall be subject to change from time to time and is presently 12% perannum.

    2. One covered basement car park per apartment is mandatory and the second car park can be choseneither in stilt or open car park, optional to customer, subject to availability as decided by the company.

    The additional car park is subject to availability and does not form part of Total Price.

    3. The yearly simple interest payable on IBMS shall be determined by the company as per the applicablerates on one year Fixed deposits accepted by the State Bank of India at the close of each financial year on 31

    stMarch.

    4. Stamp duty & Registration charges shall be payable along with the last installment as applicable.

    5. The Company would pay compensation to its customer @ Rs.5 per sqft per month for any delay inhanding over the apartment beyond the committed period of 21 months from the date of executionof the Apartment Buyer Agreement. Similarly, the customer would be liable to pay holding charges

    @Rs.5 per sqft per month if he/she fails to take possession within 30 days from the date of theCompany offering the possession.An amount of Rs.1,00,000/- (Rupees One Lakh Only) shall be paid as and when demanded by thecompany towards installation/connection of electricity/ water/ sewer services and for other

    incidental charges.

    The applicant(s) shall initially be required to take the membership of the club. The Applicant(s) shallpay the following amounts.
