THIS ADDENDUM is effective this / f).fr day of (9 cJ-cJ6-e r , 20_Zi__, by and between the GREATER ORLANDO AVIATION AUTHORITY ("Authority"), and GEOTECH CONSULTANTS INTERNATIONAL, INC. dba GCI INC. ("Consultant') .

WITNESSETH:

WHEREAS, by Agreement dated April 25, 2017, Authority and Consultant entered into an agreement for Consultant to provide Continuing Program and Project Management Services {OAR Prime Entity) Services; and

WHEREAS, under the Agreement, Consultant agreed to perform such additional services for the Authority as are contained in any additional scope of work established by the Authority in any addendum to the Agreement and accepted in writing by the Consultant; and

WHEREAS, the Authority and the Consultant desire to enter into this Addendum to the Agreement to provide for additional services to be rendered by the Consultant under the terms of said Agreement.

NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained, the Authority and the Consultant do hereby agree as follows :

1 . Consultant shall peliorm additional services in accordance with the terms of the Agreement and the attached Exhibit "A." Consultant shall be paid for such additional services accord ing to the payment terms set forth in the Agreement.

2. Consultant shall be compensated for such additional services in the NOT TO EXCEED amount of TEN THOUSAND AND NO/100 DOLLARS ($10,000.00), broken down as follows:

3. A. Consultant hereby certifies that it is not on the Scrutinized Companies that Boycott Israel List and is not engaged in a boycott of Israel, as defined in Florida Statutes§ 287.135, as amended;

B. (applicable to agreements that may be $1,000,000 or more) - Consultant hereby certifies that it is: (1) not on the Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List as defined in Florida Statutes § 287.135; and (2) not engaged in business operations in Cuba or Syria, as defined in Florida Statutes§ 287.135, as amended.

4. Authority may terminate the Agreement for cause and without the opportunity to cure if the Consultant is found to have submitted a false certification or has been placed on the Scrutinized Companies that Boycott Israel List or is engaged in a boycott of Israel.

In the event the Agreement is for One Million Dollars ($1,000,000.00) or more, Authority may tenninate this Agreement for cause and without the opportunity to cure if the Consultant is found to have submitted a false certification or has been placed on the Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List or is engaged in business operations in Cuba or Syria.

5. Except as expressly modified in this Addendum, the Agreement dated April 25, 2017 and all prior addenda will remain in full force and effect.

This task will include the generation of independent cost estimates to support the planning and/or implementation of upcoming/future airport development related projects and other improvements. The proposed sub-consultant team, Montgomery Consulting Group, Inc. (MCG) will provide cost estimating support services. Proposal is based on the period from October 1, 2021 to September 30, 2022.

Dear Mr. Nguyen:

GCI Inc. is pleased to submit this proposal to provide on-call professional estimating services at the Orlando International Airport for the period between October 1, 2021 and September 30, 2022. These services will include cost estimating as directed by the Senior Director of Engineering and Construction or his staff. We have included Montgomery Consulting Group, Inc. (MCG) as a sub-consultant that will provide cost estimating support services.

The estimated man-hour requirements will be based on each assignment from the Aviation Authority and applicable unit rates for these support services as attached to this proposal. The total contract value is proposed as $10,000.00. This Not to Exceed (NTE) amount consists of $10,000.00 for Not to Exceed Fees and $0 .00 for Not to Exceed Expenses.

MWBE/LDB participation as proposed by GCI Inc. has been reviewed by the GOAA Office of Small Business Development. Their findings and recommendation are attached.

The services for this project will be performed in accordance with the provisions of GOAA's standard agreement for professional services and as indicated in the attached project schedule showing the proposed staffing levels for the duration of the project.

Pursuant to Section 287.0SS(S)(a), Florida Statutes, for any lump-sum or cost-plus-a-fixed fee

professional services contract over the threshold amount provided in Section 287.017, Florida Statutes

for CATEGORY FOUR, this certification shall be included with the submittal of the Proposal.

The Consultant hereby certifies, covenants, and warrants that wage rates and other factual unit costs

supporting the compensation for this project's agreement are accurate, complete, and current at the

time of contracting.

The Consultant further agrees that the original agreement price and any additions thereto shall be

adjusted to exclude any significant sums by which the Aviation Authority determines the agreement

price was increased due to inaccurate, incomplete, or noncurrent wage rates and other factual unit

costs. All such agreement adjustments shall be made within (1) year following the end of the contract.

For purposes of this certificate, the end of the agreement shall be deemed to be the date of final billing

or acceptance of the work by the Aviation Authority, whichever is later.

FOR ~y 202 2 ON-CALL ESTIMATING SERVICES , AT THE ORLANDO INTERNATIONAL AIRPORT . 26 . Mr . McGonagill presented the attached memorandum , dated August 24 , 2021 .

The Office of Small Business Development has reviewed the qualifications of the subject contract ' s MWBE/LDB/VBE specifications and determined that Geotech Consultants International , Inc . , dba GC I , Inc . proposes 100 % MWBE participation on this Addendum .

Chairman Ruohornaki stated that his department relies heavily on OAR staff extension support and that fees are funded with both project fund and O&M . He added that they have brought back individuals with institutional knowledge as CIP elements are resurrected .

Ms . Sharman asked if this whole group of staff extension agenda items with GCI , Inc . should go to the Aviation Authority Board for the sake of transparency. Chairman Ruohornaki answered that if that is done with these items , it will need to be done for all departments . Ms . Ryan , Legal Counsel , added that the process was reviewed with Mr . Gerber , Legal Counsel , and he stated that the current process on how items are presented to the Aviation Authority Board is acceptable , since this is within policy and budget approvals .

Ms . Sharman suggested including information in the Background section of the Board memorandums and noted that it has been done both ways in the past . Ms . McKeown stated that the practice has been done only on those items which are greater than the $250 , 000 . 00 threshold for Aviation Authority Board approval. All other i terns are approved at committee level .

Ms . Sharman requested that the Construction Committee consider including the additional information in the memorandums to show all previously-approved addenda/amendments taken at the committee level in relation to those items requiring Board approval, without having to do a presentation on them , for the purpose of remaining transparent . Chairman Ruohomaki answered that a lot of Aviation Authority departments have staff extensions and some are split between O&M and project funds . He added that they are prudent with the budget , and adding this information may get complicated to explain .

Ms . Sharman noted that they may be asked for Plan B by the rating agencies and the ability to show compliance may be needed. She added that she has no problem defending how staff extensions are funded . Ms. McKeown stated that there are existing reports that show the totality of what each firm has been awarded over the term of the firm ' s agreement , which can be provided to Mr . Brown if requested . Ms . Sharman concurred .

Agenda Item Nos . 26 , 27 , 28 , 29 , 30 , and 31 were considered in one motion .

Upon motion of Mr . Hunt , second by Mr. Pelletier , vote carried to approve an Addendum to the Continuing Program and Project Management Services (OAR Prime Entity) Agreement ✓ with Geotech Consultants International , Inc . dba GCI Inc . for FY 2022 On-call Estimating Services , for the total not-to-exceed fee amount of $10 , 000.00 , with funding from Operation and Maintenance Funds , subject to adoption of the FY 2022 Aviation Authority Budget by the Aviation Authority Board .
