Special Terms and Conditions for e-Auction Sale of Green Coffee Beans (STC)

1. E-Auction bids are invited from Firms / Companies / Industries / Individuals desirous for purchasing of Graded Green Coffee beans of 2015-16 season pooled from theScheduled Tribe coffee-growers of Paderu Agency of Visakhapatnam district andstored in the godowns at Coffee Curing Works of APFDCL Narsipatnam,Visakhapatnam District of Andhra Pradesh,India on “As is where is basis”Thedetails can be seen at the website;http://www.ncdexspot.com.The bids are invitedon the basis of competitive bidding through e-auction conducted by NCDEX eMarkets Limited, Mumbai.The details of Coffee Lots for which bids are invited byGirijan Cooperative Corporation Limited are detailed at Annexure-III.

2. The word SELLER/PRINCIPAL/GCC wherever appearing means the GirijanCooperative Corporation Limited, Visakhapatnam, Andhra Pradesh or itsauthorized representative.

3. The word NeML wherever appearing means the NCDEX e Markets Ltd., Mumbai,India hereinafter referred to as service provider for conducting e-auctions.

4. The word Bidder wherever appearing means Firm / Company / Individual, who isinterested in participating and purchasing the Coffee put up for sale in this e-auction.

5. The word Purchaser / Buyer / Successful Bidder, wherever appearing means Firmor Company or Individualwhose rate has been accepted by the SELLER and thesale confirmation order/acceptance letter has been issued in its favor.

6. The word e-Auction wherever appearing means electronic auction conducted byNeML.

7. The word LOT/LOTS /e-auctionlot wherever appearing means, e-Auction lotput upfor the purpose of sale.

8. The word EMD wherever appearing means Earnest Money Deposit, as aprerequisite to participate in the e-auction by registered bidder.

9. The sale will be governed by the Schedule, Special Terms and conditions (STC) andAnnexure displayed on the e-Auction floor at https://market.nspot.in, as well asthe General Terms & Conditions (GTC) and Buyer Specific Terms & Conditions(BSTC) already accepted by the Bidder at the time of Registration with NCDEX eMarkets Ltd.The Schedule &STC displayed under view forthcoming Auctions onNCDEX e Markets Ltd.E-Auction Website are tentative and subject to change atNCDEX e Markets Ltd./GCC sole discretion, at least one day before the start of e-Auction. Bidders should therefore download the Schedule and STC displayed onlyunder View Live Auctions for their record purpose if required. The BSTC and GTCcan be seen and downloaded from the circulars inNeMLWebsite(www.ncdexspot.com). Participating in the-Auction will be deemedto imply that the Bidder has made it thoroughly aware of and accepted theSchedule, STC, BSTC and GTC for the e-auctions. In case of any conflict betweenthe STC and BSTC, the STC shall prevail. NCDEX e Markets Ltd./ GCCshall have theright to issue addendum to the STC or BSTC to clarify, amend, modify, supplementor delete any of the conditions, clauses or items stated therein and the Addendumso issued shall form a part of the original STC or BSTC as the case may be.

10.E-Auction opening time, closing time, inspection schedule and other dates & timesmentioned in the e-auction catalogue(ANNEXURE-III) may be treated as (IST)Indian Standard Time only.

11. The Bidders who are interested to purchase Coffee beans through e-auctionshould get themselves registered with NCDEX e Markets Ltd. as registered bidderwell in advance before commencement of e-auctions. The bidders who have validregistration as Commodity Participant with NCDEX e Markets Ltd. can get marketaccess through written communication by requesting the Customer Service Group([email protected]) or contacting the relationship manager as available in thenewspaper notification or Helpline provided in ANNEXURE-II

13. INSPECTION OF LOT/DATE OF E-AUCTION: For inspection of materials, the interestedBidders may contact the designated officers on any working day.

14. SAMPLE OF THE COFFEE BEAN: Interest buyer can contact the Liaison Officer (GCC) stationed in the Coffee Curing Works, APFDC, Narsipatnam for buying samples ofthe lots put for sale at the fixed price per sample by GCC, it should also be noted thatneither GCC nor NeML take guarantees for true representation of the bulk by the samplesdrawn and the e-auction will be on “AS IS WHERE IS BASIS”

15. Seller/GCC reserves right to stop/postpone/cancel the e-auction at any stage without assigning any reason there for.

16. Seller/GCCreserves the right to accept or reject the highest rate offered in the e-auction without assigning any reasons there for.

17. Seller/GCC/NeMLreserves right to modify/alter/cancel/omit any of the Terms andConditions pertaining to the e-auctions as and when required. The Seller reserves theright to add/delete/change/modify any or all the general conditions mentioned in the e-

auction schedule irrespective of e-auction conditions mentioned in the notice inviting e-auction or in the e-auction schedule or the same shall be incorporated in a form of codicilas the case may be and the same will be binding on the Bidder/Buyer without anyrecourse.

18. The e-auction accepting authorityof GCC reserves the right either to reject any or all H-1bids(Highest bid for a particular lot) received in the e-auctions without assigning anyreason. In this regard the decision of the e-auction accepting authority of GCC shall befinal and binding on the bidder without any recourse. Further, when the bidder files itsbid, the acceptance or rejection of the bid by Seller, or methodology adopted by theSeller, in short listing the bid for the disposal of material / materials etc., on e-auctionplatform shall not become a cause of action or ground to initiate any legal action beforeany Court or Courts of Law for obtaining any order, Injunction, Direction etc., from anyCourt to stall the proceedings of Seller. In the event of any dispute arising out of thee-auctions such dispute would be subject to the jurisdiction of the civil courts atVisakhapatnam only.

19. E-auction by defaulter or minor or insolvent or blacklisted bidders: The Bid submittedby a bidder, who owes dues to the Girijan Cooperative Corporation or who is a minor orwho is declared as an insolvent or who has been convicted by a court of law for offencesinvolving moral turpitude, or who has been blacklisted, shall be treated as invalid andEMD deposited shall be forfeited to the Girijan Cooperative Corporation.

20. Coffee Lots Put up for Auction: The type and grade of Coffee put up for e-auction and the quantity or the number of lots to be sold shall be as directed by GCC.

21. Withdrawal of Lots: -GCC may at its discretion withdraw all or any lots from the e-auction at any time before the e-auction is concluded.

22. Registration Process: The entire interested bidder who wishes to buy Coffee Beans from GCC has to become a registered bidder with NeML for participating in the e-auction. An interested Coffee Bean bidder has to contact Customer Service Group or a business Manager, NeML for registration. The interested bidder has to submit the duly filled registration form(Annexure-I) along with the copies of the required documents such as PAN Card, VAT registration certificate,Income Tax Return for last year, along with the payment receipt of registration fee Rs.1000 plus applicable Service Tax/ through RTGS/NEFT/Cheque/ Demand Draft paidin any of the below account of NCDEX e Markets Ltd., Mumbai.

An affidavit duly signed and notarized on 100 Rupees non-judicial stamp paperauthenticated by the Notary Public regarding the following declaration:-

23. EMD: The Bidders who wish to bid in this e-auction should deposit an amount ofRs.15,000/- (Rupees Fifteen thousand only)as EMDthroughRTGS/NEFT/Cheque/Demand Draftmade in favor of NCDEX e Markets Ltd, Mumbaiin any of the aboveaccounts before the e-auction and entering the correct credentials in the clearing &Settlement system (https://cst.nspot.in)

The registered Bidder(S) must compulsorily intimate the details of payment madethrough entering the Correct Credentials in the Clearing & Settlement System(Www.Cst.Nspot.In) for getting the Bidding Rights in the e-auction. # In case the successful bidder fails to come forward and purchase the material as perthe terms mentioned in this e-auction, the Pre-Bid EMD amount of such bidder will beforfeited and the said amount shall be promptly remitted.

# The EMD does not carry any interest.

# The EMD of unsuccessful bidders can be refunded upon the withdrawal requestmade by the bidder in NeML clearing & Settlement system (https://cst.nspot.in)

# The bank charges/commission for transmission of amount either way, if any, shall beto the buyers account.

24. VALIDITY OF OFFERS:

(a) The bidders who have participated in the e-auction shall be bound by their offersand by these terms and conditions for a period 30 working days from the date of closing ofe-auction for confirmation.

(b) However, any period of stay granted by any competent Court shall not counttowards this period.

(c) No request for cancellation of submitted bids will be entertained.

(d) In case of breach of this condition, the EMD shall be forfeited. In addition to this,the bidders who failed to honor their offer shall bear the loss, if any suffered by GCC. Theloss unless made good within fifteen (15) days from the date of dispatch of notice ofdemand by registered post may be recovered from them as arrears of Land Revenue underany law for the time being in force. The bidders however shall not be entitled to any profitthat may accrue to the Seller on such subsequent disposal. The loss shall be calculated asper the following formula:

Where ‘L’ is the loss, OBA is Original Bid Amount and RBA is Re-Sale Bid Amount.

25. Reserve Price:GCC may, at its discretion fix a reserve price below which all or any particular lot of Coffee may not be sold.

26. Inspection of Samples:The Coffee put up for auction shall be open to view at CCW

Narsipatnam / CHO, Visakhapatnam before the commencement of the auction and this shall alone be the basis of the contract and not the description of the Coffee given in the Sale notice. The sale of coffee beans will be on “AS IS WHERE IS BASIS”.

The e-auction will be conducted lot wise. The range of bidding shall be in multiples of Rupees 5 (Five) per 50 Kgs unit and bids which do not conform to this condition will be rejected.

27. Rejection of Bids:(a) The Seller does not bind himself to accept the highest bid or any bid. He is not

bound to assign any reasons for his decision and his decision shall be final andconclusive.

(b)

When a buyer has tendered his bid for more than one lot and such bids areaccepted, then the tender of acceptance of bid in relation to each lot shall be anindependent contract, the breach of fulfillment of which shall be dealt withaccordingly.

(c) The date of sale for the purpose of these conditions shall be the date on which theacceptance /confirmation letter is issued by GCC.

28. RATE:-(i)The bidders shall quote/offer online only on NCDEX EMARKETS(https://market.nspot.in) site per 50 kg of Coffee beans, Ex-godowns at CCWNarsipatnam, which he desires to purchase the entire e-auction Lot, exclusive ofapplicable taxes & levies. Online bidding shall be done inRupees per 50 Kg. Applicablelevies and duties during the pendency of the contract will be charged extra as ruling onthe date of dispatch. Any increase/decrease in levies etc. or imposition of any new duties& taxes by Statutory Authorities would be on the account of successful bidders andpayable by the successful bidders.(ii)The list of e-auction Lotswith estimated quantity of Coffeebeans in Kgs is indicated inthe Annexure-III.

29.BIDDING PROCESS:

(i) The bid value shall be the basic price of the Coffee Beans,Ex godowns atCCW,Narsipatnam exclusive of all applicable Taxes, Levies, Duties etc., per50 kg unit inRupees.

(ii) Each e-auction Lot of Coffee is a separate Lot/Entity for bidding. Bidders have to bidseparately for each e-auction lot of Coffee.

(iii) E-Auction period for each lot will be of 5minutes duration as per schedule, subjectto extension of three times i.e. first extension by 2 minutes if any valid bid is receivedwithin last 3 minutesprior tothe closing time of 5 minutesduration as per theschedule; second extension by another 2 minutes, if any valid bid is received withinthe first extended time of 2 minutes and third extension by another 1 minute, if anyvalid bid is received within the second extended time of 2 minutes for that particularlot, thus giving enough opportunity to others to revise their bids on that e-auctionlot. However e-Auction schedule of other lots will not be affected by the extension oftime in any particular lot. If there are no valid bids prior to the closing time as perschedule / extensions, there will not be any subsequent extension of time for thatparticular lot. During the normal and extended period of e-auction, a bidder cansubmit incremental bids by minimum of Rupees 5 ( Five) per 50 kg for each e-auctionlot for as many times he wish within the e-auction duration.

(iv) Bidder may participate for e-auction for each e-auction lot subjected to his interest.

30.PROCESS OF ELECTRONIC AUCTION SYSTEM ON NCDEX e MARKETS LTD (NeML) PLATFORM: a) The registeredbidders with NeML User ID and password are eligible to participatein the

electronic bid system i.e. e-auction.

b) NeML in consultation with the GCC will schedule the auctions for each time andsuchdetails viz. e-auction calendar will be published on the website of GCC andwww.ncdexspot.com, onlybidders registered with NeML shall be allowed to participate.

c) The registered bidders shall not be intimated individually regarding the e-auctions,which are scheduled by the NCDEX e Markets Ltd. However the registeredbidders maycontactGCC office for obtaining details of scheduleof e-auctions. Theregistered bidders are advised to refer to the details of e-Auctionpublished on thewebsite of GCC rather than depending on other sources ofinformation in their owninterest.

d) The registered bidders needs to deposit 15000 /- EMD (EARNEST MONEY DEPOSIT)withtheNCDEX e Markets Ltd accounts to participate in the e auctions as given below.

f) The bidders shall be allowed by NeML to bid only if the requisite EMD amountisdeposited in the Common EMD Account of NeML.

g) Only the EMD of the highest bidder would be blocked by NeML. TheEMD of theunsuccessful Bidder(s), including those whose bid(s) are notaccepted due to non-fulfillment/not meeting the conditions attached to the bid(s),shall bereturned by NeMLon the withdrawal request made by the bidder through CS TrackerModule latest by oneday from the day of close of e-Auction.

h) The bidders shall place their bids online on NeML Platform https://market.nspot.inthe online trading system made available by NeML as per the terms and conditions of the-Auction.

i) The price quoted shall be per 50kg basis for the entire quantity of the lot and which is exclusive of all applicable taxes VAT/CST if any, payable and the evaluation, finalization of bids received shall be made on the basis of the highest price quoted by the bidders for the lot.

j) The incremental tick size shall be Rupees5 (Rupees five only)

k) During an auction session, a bidder may modify his bid upwards to a highervalue than the existing highest bid.

l) No cancellation of Bids shall be allowed during anauction session.

m) The highest valid bid received on the platform will be communicated to theGCC byNCDEX e Markets Ltd. The GCC after evaluation of bids willcommunicate regardingacceptance/rejection of the highest bid (if found not competitive). The highest valid bidonce approved by the GCCwill be declared as successful H-1 bidder and the same will be

communicated to the successful bidder.GCC reserves the right, without giving anyreason, to accept or to reject all or anybid including highest bid.

n) The final results of the e-Auction as approved by GCC are binding on allbidders. Anyrequests for cancellation of bids received either during the auction session orafter theconclusion of an auction session shall not be accepted.

o) Any bid placed using the bidders username and the password shall be deemed to be anunconditional binding of the bidder to whom such username and the password hasbeenallotted by NeML, inter-alia, for the purpose of the e-Auction and the bidder shall besolely and fully responsible for all the activities that occur under such usernameandpassword. The user is therefore advised to check the username and the passwordbeforethe e-Auction and is advised not to reveal it to anyone else so as to preventmisuse of thesame. It is further suggested that bidders are requested to change thepasswordfrequently to protect from misuse.

p) The Invitation of Bids, the terms and conditions of the e- Auction, Bid of theSuccessfulbidder, Letter /Email Confirmation/Acceptance issued by the seller GCC to the successfulbidder (here in after called the buyer)along with anyamendment issued shall constitutethe Contract between theSeller and Buyer.

q) All theregistered buyers who wish to participate on the e-auction shall comply with terms andconditions of e-auction.

r) Seller/NCDEX E MARKETSLtd. will not provide any computer terminal for bidders and it is the whole responsibility of the bidders to arrange themselves.

31.E-AUCTION RESULT/STATUS:

(i) All the bidders shall check online, e-auction orders immediately after closing of e-auction to ascertain the status of H-1 bidder. No Intimation Letter will be issued toany bidder by NeML in this regard.

(ii) It must be noted by the Highest Bidders that acceptance Letter/confirmationorders will be issued byGCCfor the purpose of makingpayments of sale amountswithin the stipulated time.

32.ISSUANCE OF SALE ORDER/ACCEPTANCE LETTER/CONFIRMATION ORDER:

a) The sale Confirmation order/Acceptance letter will be issued by the competent

authority of GCC.

b) It is to be noted that “No payment by any third party on behalf of the successfulbidder / bidders shall be accepted”. Further, the successful bidder cannot transfer theoffer awarded to him / her.

c) In case of deviation of any of the e-auction conditions, the offers shall be cancelledbesides forfeiting the deposit amounts and imposing penalty as decided by theauthorities of Seller.

d) In case any successful fails to fulfill this condition, the EMDpaid by him shall beforfeited by Seller and he shall have no right what so ever on the e-auction Lot ofCoffee or Lots of Coffee for which he was declared as the successful bidder and the e-auction Lot of Coffee or Lots of Coffee will be resold at his risk and the loss, if any, willbe recovered as arrears of land revenue. He will not be entitled to claim any excessamount that may be realized on such re-sales.

e) The date of sale shall be the date on which sale order/ acceptanceletter/confirmation order is given by the seller for the purpose of making payment,delivery and other charges.

33.CAUTION IN SUBMISSION OF BID:

The Bidder shall be solely responsible for all consequences arising out of the bidsubmitted by him (including any wrongful bidding by him) and nocomplaint/representation will be entertained by NeML /SELLER in this regard. HenceBidders must be careful to check (the Bid Amount/Number of ‘0’s/ No. of Digits/Unit ofMeasurement etc.) and rectify their bid (if required) before submitting their Bid into thelive e-auction floor by clicking the 'Confirm’ Button. 34.The Bidder(s) shall have no right to issue any addendum to these Special Terms andConditions or Buyer Specific Terms and Conditions or General Terms & Conditions toclarify, amend, supplement or delete any of the conditions, clauses or items statedtherein.

35.NeML/SELLER reserves the right to forfeit any amount / money lying with NeML / SELLERfrom the successful Bidder who defaults in making the due payments against the e-Auction, even though such amount / money may be lying with NeML / SELLER onaccount of the said successful Bidder against any other contract / transaction.

36.INTERNET CONNECTIVITY

In case if e-Auctions cannot be held on scheduled date due to Server problems,the e-Auctions shall be rescheduled and will be held on the same day or alternative day,the details of such date/s will be notified in the website of GCC & NeML. In case theauction is postponed to another date due to certain technical or other problems, GCCmay at its discretion re-fix the Reserve Price below which all or any particular lot ofcoffee may not be sold.

37.WITHDRAWAL OF OFFERS ETC.A bidder cannot withdraw his offer for any lot/lots after final submission of bids and shallbe bound by his offer for a period of 30 days from the date of E-auction and by the terms and conditions of the e-Auction notice including those contained herein.

38.Security Deposit:

The buyer whose offer is accepted shall have to pay the Security Deposit for an amountequal to 25% of the sale amount within (10) days of the sale excluding the date of sale,in the form of Demand Draft drawn on any Nationalized Bank in favour of “GirijanCooperative Corporation Limited” payable at Visakhapatnam or through RTGS/NEFTforas per condition No.32 (e) in the following account.

39.Balance Sale Amount

beans which is to be passed on to NCDEX E-Markets from GCC after the conclusion of thesale / delivery.

40.Consequences of Non-Payment

a) In the event of the buyer, failing to thebalance 75% payment within the timestipulated in condition No.39, an extension of further six (6) days may be allowedby the General Manager (RMD), GCC, Visakhapatnam at the request of the buyerin writing in which case the buyer shall pay interest @ 18% p.a. on the amount duefrom 22nd day up to and including the date of payment.

b) In the event of the buyer failing to make the payment within (27) days excludingthe date of sale, the VC&MD, GCC, Visakhapatnam on being satisfied that thedefault of the buyer is not willful and it is not due to speculative reasons, mayextend time for payment of balance sale amount for another six (6) days, bylevying a penal interest @ 18% p.a. on the balance sale amount. No furtherextension of time beyond this will be granted for what so ever may be the reason.

c)In the event of the buyer failing to make the payment within (33) days of issue ofsale acceptance / confirmation letter by GCC excluding the day of sale, includingthe consideration at the level of the Vice-Chairman & Managing Director, GCC,Visakhapatnam, the Security Deposit paid by the bidder shall be forfeited to GCC.Further GCC shall be entitled to sell the produce on or after the 33 rd day of issue ofsale acceptance / confirmation letter by GCC, excluding the date of sale notifyingthe buyer by pasting of a notice of re-sale on the Notice Board of the office of theVC&MD, GCC, Visakhapatnam and in such case the buyer shall be liable for any lossoccasioned by the re-sale but shall not be entitled to the profit if any. Such resalewill be conducted as far as possible on the same terms and conditions as areapplicable to the original sale.

d) It shall not be incumbent upon the GCC to disclose at the time of re-sale that theproduce in question is offered for sale under default.

41.Objection as to Quality :

(a)In the event of any dispute arising between the seller and the buyer in respect ofthe quality of Coffee Beansthe same shall be settled by an Arbitrator appointed byboth the parties whose decision shall be final and binding. There shall be no

arbitration whatsoever in respect of any other matter other than the one specified.

(b)No objection on the part of the buyer with regard to quality shall be entertainedunless notice in writing shall has been given to GCC within (27) days of issue saleacceptance/confirmation letter by GCC excluding the date of sale.

(c)Before lodging any objection regarding quality, one third of the value of the coffeein question with reference to the accepted offer shall have to be paid by the buyerwithin the due date. No interest shall be paid on this amount. Delivery shall betaken within one week from the date on which the Arbitrators pass their award. Theprice or such part of it as may remain unpaid shall be paid by the buyer before heclaims delivery of the coffee. If the case is decided against the buyer he shall pay (i)interest at 18% per annum from the due date till the date of payment and (ii)insurance and godown charges on coffee at the prescribed rates from the 28 th day(excluding the date of sale) till the date of taking delivery. The prescribed rates ofgodown rent chargeable are :

1.Till the last date for taking delivery

i.e., 27 days from the date of sale. No charges

2.From 28thday (excluding the date Of sale)

for the next 60 days Rs.6.00/Metric ton/Day

3. For the next 30 days Rs.7.50/Metric ton/Day

4. Thereafter Rs.10.00/Metric ton/Day

If the case is decided in favour of the buyer, and he is given an allowance on theprice, no interest and other charges will be levied provided he takes delivery of thecoffee within one week of the award.

(d)The buyer may, if required, apply for samples of the coffee purchased by him tothe VC&MD,GCC, Visakhapatnam and obtain orders thereon and take the samplesfrom the curing unit at Narispatnam either personally or through an authorizedagent after payment of the prescribed value. Samples will not be sent by post.Samples of coffee will not be available for issue to the buyers as aforesaid after threedays of the due date for making payment for the coffee declared to them.

(e)In no case shall objection regarding quality be entertained after removal of the

coffee from the godowns of the Coffee Curing Works, Narsipatnam.

42.Delivery of Coffee:

(a)The buyer shall make final payment through DD in favour of “Girijan CooperativeCorporation Limited, Visakhapatnam” or through RTGS/NEFT for the quantity soldalong with transaction of @0.25% plus service tax on the traded value of coffeebeans. The transaction fee shall be passed on to NCDEX E-Markets from GCC afterthe conclusion of the trade with the buyer.At the time of his taking delivery, thecoffee will be weighed and his account will be adjusted on the basis of the weight soascertained. If he fails to pay and apply for delivery before the expiry of the 27th day(from issue of saleacceptance/confirmation letter by GCC excluding the day of sale)Clauses 42 (b) (c) and (e) herein shall apply. If the buyer within the time stipulatedtherein, apply in writing that the coffee sold to him be first weighed, the same shallbe done and the coffee set apart ex-sale. The buyer shall pay immediately forweight, which have been established and take delivery. If he however fails to pay andtake delivery, the coffee will be moved and stacked at his risk and expenses,separately at the Coffee Curing Works godown. It will be re-weighed at buyers’expenses at the time of clearance to establish any gain or loss in weight and thebuyer shall be responsible for charges connected with any weighment. All expensesincurred viz., weighment, moving and stacking such pre-weighed coffee inside thegodown, etc, should be paid by the buyer.

(b)The buyer shall on payment of full sale value, remove the coffee sold to himwithin twenty seven days of issue sale acceptance/confirmation letter by GCCexcluding the date of sale.

(c)In the event of the buyer failing to do so, GCC may continue to store the coffee tillsuch time as they wish and arrange for its insurance after the twenty seventh day forthe full period of storage and GCC will not be responsible for any shortage,deterioration in the quality of the coffee. Insurance shall only be for customary risksas per GCC policy and the GCC shall not be responsible for any loss beyond thatcovered under such policies of insurance.

(d)In the event of the buyer failing to remove the coffee before the expiry of thetwenty seventh day as required by clauses 42 (a) above, and consequently GCC isobliged to retain the coffee, GCC shall weigh the coffee and set apart for the buyer

either in the Coffee Curing Works godowns or elsewhere according to theirconveniences, and the buyer be bound to pay while removing the coffee suchinsurance premium, if any, and godown rent and other charges as may be levied bythe GCC for the period from 28th day of sale till date of removal of coffee. Thegodown rent charges as specified in clause 41 © and insurance charges will be as perthe Insurance Policy under operation during the period of transaction for the Coffeesold

(e)If upon payment of the price within the time stipulated above GCC for any reason,finds it impracticable to deliver the coffee to the buyer simultaneously, he may do sowithin the next three days at the maximum, in such an event, no godown rent andinsurance premium shall be chargeable to the buyer for the said period of threedays.

(f)Not-withstanding anything contained in these conditions, the property of theCoffee sold shall not pass to the buyer until after he has paid the full sale value alongwith taxes and the coffee sold to him is weighed and set apart for delivery to him.

(g)(i) Within the state:

The Purchaser shall pay VAT (Value Added Tax) @ 5% on the sale amount in respectof sales within the State as per the provisions of APVAT Act, 2005 and Rules madethere under and as amended from time to time.

(ii) Outside the State

The buyer should produce a copy of the Registration Certificate issued under CST Act,attested by the Commercial Tax authorities for availing the concessional rate of taxagainst Form “C” sales at the time of first purchase in the coffee sales. Theconcessional rate of tax will be given to the purchasers only when there is specificmention of “Coffee Seed” in the CST Registration certificate issued by the Sales Taxauthorities, on production by buyers and verification of the same by GCC.

(h)The buyer shall produce Form “H”, Bill of Lading and Sale Contract Form withforeign buyers to avail sales tax concession as per rules for export sales, along withthe final payment. In case the buyer is not able to produce the documents to availsales tax concession on coffee meant for export along with final payment, he has toproduce a bond on stamp paper worth Rs.100/- duly notarized assuring GCC toproduce Form “H”, Bill of Lading and export sale contract form with foreign buyers

within (90) days, failing which to indemnify the GCC against all or any claim for thepayment of sales tax, surcharge, penalty, interest etc., on the value of coffeedelivered and also any loss, claim expenses, costs or damages GCC, may be exposedto or suffered.

43. Force Majeure:

GCC shall not be liable for the consequences of any delay in the matter of delivery ofcoffee (which is the subject matter) of sale, owing to causes of Force Majeure, suchas revolution, strike, riot, Civil Commotion, Terrorist /Extremist activities, restrictionon movement of coffee imposed by Government Excise, Municipal or other authorityor on account of destruction or damage caused to godown or the coffee by fire,floods, lightening, tempest, earthquake or abnormal weather conditions or othercauses beyond the control of GCC.

44.Destruction or Damages of coffee seed:

Notwithstanding anything contained in :

(i)(a) Price

(b) Insurance /Godown Charges

(c) Delivery

(d) Other Conditions, and

(ii.)The provisions of the sale of Goods Act in regard to passing of property, the GCCshall not, in the event of loss / damage caused to coffee godowns by fire, floods,strike, riot, civil commotion, terrorist / extremist activities or any other cause beyondthe control of the GCC, whether such destruction / damage occurred before or afterpayment of the price / appropriation of goods be liable to delivery of coffee inspecies, and the buyer shall be bound to accept in full satisfaction of all his claims somuch only of the amount realized by the GCC from the underwriters / Insurance /Company in respect of such coffee so destroyed / damaged amount being calculatedproportionately to the total quantity of coffee insured / underwritten and theamount realized in that behalf by the GCC.

45.Deterioration of Coffee between date of sale and date of delivery:

GCC shall not be liable for the consequences of any deterioration in the quality of thecoffee between the date of sale and the date of removal of the coffee due to climatic

conditions.

46.Penalties for Defaulters:

If the buyer contravenes any of the foregoing conditions or if he fails to fulfill hisobligations to GCC in the matter of sales effected by it, then it shall be competent forVice-Chairman & Managing Director, GCC, Visakhapatnam to forfeit to GCC thesecurity deposit lying to his credit whether in cash or otherwise and to withhold oradjust the same or any part of it towards satisfaction of the claims of the GCC againstthe buyer, in addition to taking further action of blacklisting the firm or enforcingother remedies such as enforcement of L.R.R. Act to which GCC is entitled.

47.Jurisdiction for suits and Proceedings

In respect of all matters arising out of pertaining to this auction whether by way of breach ofcontract or in any other matter the cause of action shall be deemed to have aroused only atVisakhapatnam wherein the principal office of GCC is situated, and in no other place. All suitsand proceedings pertaining to the aforesaid shall be instituted only in courts having territorialjurisdiction over Visakhapatnam and no other.

NeML shall not be responsible for any dispute arising between the buyer and seller relating toCoffee bean tender mentioned above or anything related thereto. NeML shall not be madeparty to any litigation, suit, petition, application, arbitration or appeal arising from the disputebetween buyer and seller. NeML is merely providing electronic trading platform for the purposeof facilitation of e-auctions and both the buyer and the seller agree and accept to indemnifyand keep NeML indemnified from all the claims, losses or expenses that NeML may incur/sufferas a result of any dispute between buyer and seller. 48. Payment of sale amount and delivery:- When the last date of payment of sale amount through Bank falls on Holiday, the immediate next working day of the Bank will be permitted for making payment without any penalty. Similarly, if the last date for taking delivery of coffee beans falls on holiday, it will be permitted to take delivery on the immediate next working day without any penalty/ground rent.

49. Working Hours for taking Delivery:- The delivery of coffee beans from Coffee Curing Works, Narsipatnam will be allowed from 08.00AM to 05.00 PM only on all working days.

50. Responsible for damage of the Property of GCC The purchaser should not cause any damage to the property of GCC Ltd. while transporting the coffee beans and for any damage/loss in any manner caused by the Purchaser or by their authorized representative or labourers, the Purchaser will be held responsible and necessary recovery will be made from the Purchaser.

Reference is invited to the notification regarding E-Auction sale of Green Coffee beans– 2015-16 season, Special Termsand Conditions for e-Auction Sale of Green Coffee Beans (STC)

The following amendment for the respective Clauses has been modified.

1. Clause No 9of the above STC“The sale will be governed by the Schedule, Special Terms and conditions (STC)and Annexure displayed on the e-Auction floor at https://market.nspot.in, as well as the General Terms &Conditions (GTC) and Buyer Specific Terms & Conditions (BSTC) already accepted by the Bidder at the time ofRegistration with NCDEX e Markets Ltd. The Schedule &STC displayed under view forthcoming Auctions onNCDEX e Markets Ltd. E-Auction Website are tentative and subject to change at NCDEX e Markets Ltd./GCCsole discretion, at least one day before the start of e-Auction. Bidders should therefore download theSchedule and STC displayed only under View Live Auctions for their record purpose if required. The BSTC andGTC can be seen and downloaded from the circulars in NeML Website (www.ncdexspot.com). Participating inthe-Auction will be deemed to imply that the Bidder has made it thoroughly aware of and accepted theSchedule, STC, BSTC and GTC for the e-auctions. In case of any conflict between the STC and BSTC, the STCshall prevail. NCDEX e Markets Ltd. / GCC shall have the right to issue addendum to the STC or BSTC to clarify,amend, modify, supplement or delete any of the conditions, clauses or items stated therein and theAddendum so issued shall form a part of the original STC or BSTC as the case may be. ”to be read as below
