Rating Rationale (Structured Obligation)

The ratings derive strength from HML’s experienced promoters, its global procurement network

with strong supplier relations, its large clientele and its wide distribution network. The ratings also

reflect HML’s scaling-up in size of operations, its consistent financial performance and

strengthening of the overseas business through its wholly-owned subsidiary- Hazel Middle East FZE.

The ratings, however, are constrained by low profitability margins on account of the nature of its

business, high dependence on working-capital borrowings, inherent risks associated with the

petrochemical and import business and corporate guarantees issued for a subsidiary and a group

entity.

The ability of HML to improve margins, realisation of benefits from subsidiaries and improvement

of its capital structure given the increase in scale of operations remain the key rating sensitivities.

Background: HML

Hazel Mercantile Limited (HML), the flagship company of Groupe Veritas, was promoted by Mr

Nitin Kumar Didwania in May, 1995. HML is a closely-held public limited company, engaged in the

sourcing and distribution of chemicals, metals, textiles, natural rubber, papers and paper products.

HML primarily trades in chemicals (contributing more than 85% of sales in FY11) and the volume

of trade was 359,371 Metric Tonnes (MT) of chemicals in FY11 as against 294,001 MT in FY10. Apart

from the trading activities, HML has wind energy generation capacity of 3.70 MW as on March 31,

2011.

During FY11, HML reported a total operating income of Rs.1,588.65 crore and a PAT of Rs.49.36

crore. As per unaudited 9MFY12 results, HML registered a total operating income of Rs.1,623.72

crore and reported a PAT of Rs.62.04 crore.

Rating Rationale (Standalone)

The standalone rating of HMML reflects the promoter’s experience in trading and distribution

business, benefits from the group’s established infrastructure and logistic support and HMML’s

reputed repeat customer base.

The ratings are constrained by HMML’s small-scale of metal trading business, average financial

profile characterized by low margins and moderately leveraged capital structure and inherent

commodity price volatility risk.

The ability of company to scale-up and stabilise metal trading business and continuing support

from the group entities remain key rating sensitivities.

Background: HMML

Hazel Metals & Minerals Pvt Ltd (HMML), promoted by Mr. Nitin Kumar Didwania in 2005, is

engaged in trading of commodities including chemicals, petrochemical products, metals, metals

scrap, minerals ore etc. HMML was promoted with a vision of group’s foray into the metal and

metal scrap business. However, HMML had been mainly trading in chemicals and petrochemicals

which contributed about 51% to sales in FY11 (refers to period from April 01 to March 31). About

37% of sales in FY11 were from metals, and other products contributed balance 12% of sales

(mainly textiles products).

During FY11 HMML registered total operating income of Rs.203.96 crore and a PAT of Rs.4.89

crore. As per unaudited 9MFY12 results, HMML registered a total operating income of Rs.184.12

crore and a PAT of Rs.2.52 crore.
