HERITAGE TREE AGREEMENT THIS AGREEMENT dated for reference the ___ day of ____________, 2018. BETWEEN: 1127695 B.C. LTD. (Inc. No. 1127695) 1860 Finlay Drive, Prince George, BC V2M 2S9 (hereinafter referred to as the “Owner”) OF THE FIRST PART AND: CITY OF PRINCE GEORGE, a Municipal Corporation, 1100 Patricia Boulevard, Prince George, British Columbia, V2L 3V9, (hereinafter referred to as the "City") OF THE SECOND PART WHEREAS: A. The Owner is the holder of title in fee simple to certain lands and premises situate, lying and being at 1616- 8 th Avenue, in the City of Prince George, in the Province of British Columbia, and more particularly known and described as: PID: 030-272-131 Parcel D (being a consolidation of Lots 13 and 14, See CA6324065) Block 180 District Lot 343 Cariboo District Plan 1268 (the "Property") B. The City is the owner of certain boulevard situated between the Property boundary and Vancouver Street as shown outlined on the Landscape Plan attached hereto as Schedule “A” (the “Boulevard”) which contains heritage Elm trees (the “Heritage Trees”). C. The Owner has requested a Development Permit for the Property and the City has agreed to grant such request, subject to the provisions hereof, and the relevant bylaws and statutes now or hereafter in effect.

HERITAGE TREE AGREEMENT

THIS AGREEMENT dated for reference the ___ day of ____________, 2018.

BETWEEN:

1127695 B.C. LTD. (Inc. No. 1127695) 1860 Finlay Drive, Prince George, BC V2M 2S9 (hereinafter referred to as the “Owner”)

OF THE FIRST PART AND: CITY OF PRINCE GEORGE, a Municipal Corporation,

1100 Patricia Boulevard, Prince George, British Columbia, V2L 3V9, (hereinafter referred to as the "City")

OF THE SECOND PART

WHEREAS:

A. The Owner is the holder of title in fee simple to certain lands and premises situate, lying and being at 1616- 8th Avenue, in the City of Prince George, in the Province of British Columbia, and more particularly known and described as:

NOW THEREFORE in consideration of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. The Owner agrees not to disturb or damage the Heritage Trees located within the Boulevard as a result of the proposed development of the Property.

2. In the event that any of the Heritage Trees within the Boulevard are disturbed or damaged during the course of the Owner’s development the Owner agrees, at the Owner’s expense, to replace any disturbed or damaged tree with the exact same species, size and in the same location as the damaged tree.

3. The Owner undertakes to comply with all City By-laws pertaining to the Boulevard.

IN WITNESS WHEREOF the parties hereto have hereunto set his hand and seal or caused its corporate seal to be affixed in the presence of its duly authorized officers on the day and year set out below.
