    F I R S T ED IT ION .

    The grounds of this Association are located onthe north side of Little Traverse Bay, county ofEmmet, State of Michigan, one mile east of LittleTraverse village, one mile by water and two byland from Harbor Point, and about five miles bywater and eight by land from Bay View and Pe-toskey.

    The Bay View, Little Traverse and Mackinacrailroad crosses the grounds of the Association; itis expected that the road will be in operation be-fore another season opens, and visitors will be en-abled to check their baggage direct to the resort ortransfer to boat at Petoskey, as they may choose.

    Small steamers ply around the bay and touchnearly every hour of the day during the season atthe pier, which will be extended to sufficient depthof water another season to enable the lake vesselsto receive and discharge passengers and freight.

    presented by the citizens of Little Traverse to thePresby terian 8ummer Resort Association ; theywere occupied and partially improved by th is Association, and were formally opened to the publicJuly 17th, 187 8, when the Hon. Schuyler Colfax delivered his celebrated lecture on "Abraham Linco n."

    The obj ect of th e Association was to improveand ma ke attractive its g rounds for the use of itsmAmbers an d guests who wished a pleasant, h ealthful and in expensive plaGe to spend th e summermonths. A ho tel was erected in 1878, which ha sfrom time to time been enlarged and improved soas to meet the wants of visitors. During th eseason of 1880 th e present manager, Mr. W. J .Clarke, was unable to furnish rooms to all applicants, so that a further enlargement is contem-plated that will about double its capacity, when itis hoped th ere will be sufficient accommodation foral l who apply. The r o u ~ 1 d have al ready beenadorned by th e ereGion of severa l tasty cottagesand many more will be built th e coming season.

    The water approach to th e grounds presents apicture of ra re beauty; th ey rise from the water ingent le terr aces, an d are covered with a luxurian tgrowth of young tr ees in great variety; prominent

    History. 5among th em are th e white bi rch, balsam, hemloek,pine, arbor vitre, aspen an d sugar maple. Fi nebrook trout have been ta ken from severa l of thest reams that empty into th e bay near the resort.

    Amid th is delightful scenery , breathing th eclear, br acing air, and drinking th e pu re, coldspring wa ter, rest has been found by many forwear ied body an d mind, strength for th e weak,healing for th e sick, and joy in God's handiwork.In th e frequ ent excursion s, and the rowing andfishi ng, exercise and am usement are always athand , while th e social privileges are al l that couldbe desired.

    At the annual meeting of the P. S. R. A ., heldon its g rounds August 5th, 1880, af ter transactingits regular business, a majority of its membersvoted to con vey its property, real an d personal, tothe We-que-ton-sing A ssociation, a joint stock company whi ch ha d that day been formed under thelaws of th e State of Michigan. Its charter mem-bers consisted for the most part of th e mem hers ofth e old Association. It takes its name from thatgiven by th e Indians to th e smaJl bay npon whichth e village of Little Tra ve rse is located. Th e newAssociation starts out with a capital stock of $5,000,with power to increase to $10 ,000. The stock

    The financial condition of the new Associationis quite flattering; its grounds, hotel and otherproperty are free from debt, and it has $3,500 toplace in its treasury whenever called for. It s ob-ject is to more fully carry out the plans of the oldAssociation. It is of a private character, its stockonly being sold to such persons as are approved byit s Board of Directors, an,d it can be transferredonly with their consent.

    I t will be twelve years next July, since the firstimprovement was commenced at We-que-ton-sing,an d eight years since the organization of this Association. Upon publishing this re-issue of the Articles of Association and a revision of its ByLaws, it is thought worthy of mention that sincethe first publication the name of the village ofLittle Traverse has been changed to HarborSprings; that the B. V., L. T. & M. railroad hasbeen in successful operation f o r - years; that ithas a park and depot building upon the Association grounds, and that during the resort seasontwelve trains pass daily between Petoskey an dHarbor Springs and stop at We-que-ton-sing.

    That a permanent pier, with stone cribs built ina substantial manner, has been constructed; thatboth pier and depot are within five minutes walkof the hotel.

    dious, containing upwards of forty rooms and is insuccessful operation, and over forty beautiful cottages are built upon these grounds. The hotel hasbeen twice enlarged and improved, and the dininghall, this spring of 1888, has been arranged so thattwo hundred guests can be seated at once.

    That a post-office- named We-que-ton-sing- hasheen established for the convenience of guests.

    Th e hotel for the past two years has been underthe management of Mr. J. R. La Force, and to thesatisfaction he has given his guests in the past,hundreds can testify. Th e directors are pleased toannounce that they have secured Mr. LaForce asmanager of the hotel for three years longer. Hewill need no commendation at our hands to thosewho have been guests. His efficient and attentivemanagement heretofore will be a guarantee for thefuture. We are assured that his cuisine will no tbe excelled by any hotel around the bay. We refe r al l persons to him for particulars as to roomsand board.

    We-que-ton-sing does not boast of being th ela rgest summ er resort, but it does aim to be th ebest- a safe and healthful place for families to reside during th e heated season: where society, andmoral standing and tone of its residents, will beunexceptionable.

    I t is also thought worthy of note, that of th ethousands of adults and children that have en joyed th e health-giving ai r and beautiful sGeneryand delightful boating, no t one has susta ined injury or accident either on water or land, notwithstanding th e many boats that may be seen sporting along th e shore loaded with children, almostevery day during the season.June 5, 1888.

    Know all men by these presents:-That th e undersigned, citizens of the United States, fifteen innumber, being desirous of associating ourselves together by virtue and in pursuance of chapter onehundred an d twenty-five of th e Compiled Laws ofth e State of Michigan of 1871, and the amendmentsthereto, do hereby an d in pursuance of said Act,make, sign and acknowledge the following Articlesof Agreement, viz:

    ARTICLE FrR sT. 'The name by which this corporation shall be known in law shall be ''WE-QUE-TONSING AssociATION."

    ARTICLE SEcoND. The purposes for which thiswrporation is founded are:

    I. The establishing an d maintaining on th enorthern shore of Little Traverse Bay, in th ecounty of Emmet and State of Michigan, a summerresort.

    II. To own by purchaEe or otherwise no t lessthan forty nor more than one hundred and sixtyacres of land for that purpose, an d sueh personalestate as shall be convenient an d neeessary.

    III. The improving, beautifying an d ornamenting of th e same by making parks an d pleasure

    Articles of Association. 11grounds, to be kept for ornament, recreation andamusement. The maintaining of a hotel and othersuitable buildings thereon for th e accommodationof its members and guests; the building of summercottages thereon by th e members an d others holdin g leases of lot or lots from th e Association, saidcottages to be owned by th e persons so ereetingthem.

    IV. That when said premises are so purchasedthey are to be kept an d used by its members as asummer resort and home where they and theirguests can come during the summer months forhealth, rest, recreation and amusement, an d atpleasure engage in boating, fishing, hunting, rowing, yauhting an d other sports, recreations andpastimes.

    ARTICLE THIRD. The capital stock of this Association shall be five thousand dollars, an d shall bedivided into two hundred shares of twenty-fivedollars each, with the right to inerease th e numberof shares to four hundred and th e capital stock toten thousand ($10,000) dollars.

    BY - LAWS .

    N0 . 1. The annual meeting of th e stockholdersof this Association shall be held on it s grounds onthe fourth Wednesday in July, at which time andplace there shall be elected from th e stockholdersof the Association a Board of seven Directors forthe ensuing year, and such other business shal lbe transacted at such meeting as may be necessary. Notice of th e time and place of holdingsuch election shall be 'given by a written orprinted notice mailed to each stockholder at leasttwenty days before the election.

    No. 2. Special meetings of th e Association maybe held, and shall be called by a majority of th e Directors, or by the President on a written request offive of th e stockholders at an y time; provided, thatte n days previous to the holding -of any suchspecial meeting of the stockholders, a written orprinted notice of th e same shall be mailed to eachstockholder, giving th e time and place of th eholding of such special meeting; and the object forwhich such meeting is called shall be stated in saidnotice.

    No. 3. The officers of this Association shall be aPresident, Vice-President, Secretary an d T ~ e a u r e r ,who shall be elected annually by the Board of Di-

    By-Laws. 15rectors from their own number at th e first meetingof the Board of Directors after the annual election.All elections shall be by ballot.

    No.4. I t shall be th e duty of the President topreside at al l meetings of the Association and ofth e Board of Directors; to sign al l certificates ofstock issued and al l orders on the Treasurer ; tocall special meetings of th e Association upon writte n request of five stockholders, an d to performsuch other duties as may properly belong to th epresiding officer of th e Association.

    No. 5. In th e absence of th e President, th e Vice-President shall perform th e duties of that office.

    No. 6. I t shall be th e duty of th e ~ e c r e t a r y todraw all orders on the Treasurer and attest thesame; to keep and preserve a record of the proceedings of each meeting of the Association an d ofth e Board of Directors; to collect and receive al lmoneys due the Association and pay th e same overto th e Treasurer, taking his receipt for th e same;an d to keep a true record of al l th e debts andcredits of th e Association, an d tc.. make a full report to th e Board of Directors of al l things pertaining to his office at least twenty-four hours hefore every annual meeting of th e Association, orwhen called upon to do so by a vote of th e Boardof Directors.

    No. 7. I t shall be th e duty of the Treasurer toreceive and collect al l moneys from th e Secretary;to pay al l orders drawn by th e Secretary andsigned by the President; to keep a correct accountof al l receipts an d expenditures; to preserve al l

    No. 8. Th e Board of Directors shall have powerto fill all vacancies wh ich may occur during t hetime in tervening between th e annual elections ofthe Associa t ion.

    No. 9. I t shall be th e duty of th e Board of Directors to audit al l accounts, a.uthorize all ordersdrawn on th e Treasurer, and exercise entiresupervision and control ov er th e business affairs ofthe Association; they may adopt a common sealfor the Association, an d prescribe hovv an d whenit shall be used; they shall settle with the Treasurer before any annual election of Directors,and at other times in their discretion; theymay at any time require a special report from anyofficer of the Association.

    No. 10. The Boar d of Directors shall exerciseen ti re supervision and control over the gTounds ofth e Association, th e platting of the same, th e lay ing ou t of walks, drives an d roadways, ho tels, bathhouses an d other buildings of the Association,docks an d boats; ma y lease th e hotel, or keep andrun the same for th e benefit of the Association;

    By-Laws. 17shall prescribe ru les and regulations for th e government of th e ho tel and th e grounds and buildings, docks and boats of the Association, leased orotherwise.

    No. 11. Any person upon payment in full for anysha res of stock shall receive th erefor a full-paidstock certificate covering a like number of sha res.

    No. 12. All stock certificates must be signed bythe President and countersigned by the Secretary.

    No. 13. No transfer of any sha res of stock shall >(be allowed except upon th e books of th e Associa-tion; and when th e owner of any certificate of stockis indeb ted to th e We-que-ton-sing A ssociation,eit her as principal debtor or otherwise, no transferof any such stock certificate shall be made until thefull liquidation of al l such indebtedness, nor shallany person remain a Director after having disposedof hi s stock.

    No. 14 . The stock books shall be closed, and notransfer of any stock shall ta ke place within thirtydays precedi ng the annual meeting of stockholders,or th e annual election of the officers of the A ssociation.

    No. 15. Any stockholder may vote by his or herattorney, or by proxy, duly authorized in writingfor that purpose, at any meeti ng at which suchstockholder might vote if present in person, suchauthorization being previously fil ed with th e Secretary.

    No. 16. Every stockholder shall be entitled toone vote for each and every share of stock whichhe may own, or for which he may have a proxy.

    this Association any number of shareholders no tless than eight, representing a majority of th estock, shall constitute a quorum for the transae-tion of bu siness.

    No. 18. No person shall be perinitted to becomea stockholder except upon a vote of the Board ofDirectors.

    No. 19. Any person having th e approval of theBoard of Directors, may become a member of theAssociation by paying a membershi p fee of tendollars.

    No. 20. An y stockholder owning four shares ofstock shall be entitled to lease one lo t an d one lo textr a for each four shares in addition thereto, butno person shall be entitled to more than three lotsan d twelve shares of stock. Persons owning cot-ta ges on the East or W est Annex an d owning oneshare of stock, shall be entitled to the privileges ofthe pier and certificates of transportation for them-selves and immediate members of their families.

    No. 21. All obligations or conveyances bindingthe Association must be exeeuted and signed byth e President and countersigned by the Secretary,by order of th e Board of Di rectors.

    No. 22. No account shall be paid until th e sameshall first have been audited by th e Board of Di-rectors.

    No. 23. No stockholdAr shall vote at an y electionof Directors of th e Association who has not paidal l assessments th en due on leases held l;Jy him.

    By-Laws. 19No. 24. The Board of Directors shall reserve the

    No. 25. The Board of Directors shall reserve th eright in all leases to cancel th e same for an y con-duct of an immoral character on th e part of th elessee or any person occupying with him, an d toexpel such individuals from the grounds.

    No . 26. Any lessee of a lo t shall be at liberty atan y time to sell, to a member of the Association,hi s building and other improvements, and hi s lease,subject to th e approval of th e Board of Directors.

    No. 27. No cottage shall be erected on th egrounds of the Assoeiation of a less value thantwo hundred dollars.No. 28. I t shall no t be lawful for an y lesseehe reafter to erect a cottage of a greater width than28 feet, including porches, on a single lot; or toplace an y co ttage, or porch attached thereto, at anyneare r distance than four feet from th e side lo tli ne.

    No. 29. No lodging or boarding house shall beallowed on th e grounds except by a unanimousvote of th e Board of Directo rs.

    No. 00 . No buildings or cottages shall projectupon the streets or parks. Al l privies shall be

    f20 We-que-ton-sing Association.placed on the privy line, viz: center north andsouth line between streets, kept free from odor byusing dry earth or otherwise. No boat housesshall be erected on the beach.

    No. 31. I f any lessee or occupant of a lot shallplace upon it anything which shall be deemed improper or offensive by a majority of the Board ofDirectors, it shall be the duty of the Board tore-move, or cause to be removed, such improper oroffensive thing, and if any such person shall persist in making such use of his lot as shall be deemedoffensive by a majority of the Board, he shall forfeit his lease of the lot.

    No. 32. No trees shall be cut on the grounds ofthe Association except by consent and direction ofthe Board of Directors.

    No. 33. No offensive matter shall be thrown outor exposed in pits or holes upon the grounds of theAssociation, or be allowed to accumulate upon anylot, but shall be removed in such manner as shallbe provided or directed by the Board of Directors.

    No. 34 . No fishing will be permitted adjoining,or playing of games upon, the grounds of the A ssociation on the first day of the week.

    No. 35. The use of fire-arms is prohibited on thegrounds of the Association.

    No. 36. The By-laws of this Association may beamended at any regular meeting of the Board ofDirectors by a majority vote of the Board .
