All defined terms herein have the same meanings as are assigned to such terms within the Official Rules for the Contest. I herebyagree, on behalf of the Band, each of its Members, and myself to all of the following terms and conditions of the Entry Form.

1. I am the only person selected by the Band named in this Entry Form who shall have full legal authority to act on behalf of andlegally bind/obligate the Band and each of its Members with respect to the Contest, and who will be the sole contact person forthe Band and all of its Members in all matters related to the Contest (the “ Band Representative”). I am of an age wherein Imay enter into legally binding agreements and I am not a minor in the jurisdiction in which I reside. In the event of any disputeas to my authority to act on behalf of and legally bind/obligate the Band and each of its Members with respect to the Contest atany time during the Contest Period up through the conclusion of the Grand Prize Performance, the Band shall be subject todisqualification at Sponsor’s sole and absolute discretion.

2. I have carefully read and reviewed the Official Rules of the Contest (including all instructions on performanceconditions/restrictions and judging criteria) and the terms and conditions of the Entry Form, and have printed out a copy of boththe Official Rules and the Entry Form terms and conditions for future reference. I have also distributed the Official Rules andEntry Form terms and conditions to all Band Members, and each such Band Member has indicated to me that I am authorizedto agree to such rules and terms and conditions on behalf of the Band and each of its Members.

3. I agree and represent that all Band Members and the Band itself meet the following eligibility requirements:

a) Band Member eligibility: In order to be eligible to compete in the Contest, win any prize or participate in the Grand PrizePerformance, each Band Member must at all times from the date each Band submits its Entry Form in full compliance withthese Official Rules and becomes a Band entrant in this Contest, up through the conclusion of the Grand PrizePerformance:

i) Be 18 years of age or older;ii) Be listed as a member of a Band in the Entry Form of the Band at the time it enters the Contest;iii) Perform/compete only on behalf of one Band;iv) Be an authentic member of a Band who has regularly performed with the Band prior to the Contest i.e., not a

manager, agent, technical or administrative support person, spouse, friend, etc. who has not regularly performed withthe Band prior to the Contest;

v) Be eligible to participate in the Contest in accordance with, and be in full compliance with, all of the provisions of theOfficial Rules, including any applicable Live Competition Requirements;

vi) Not be an employee, agent, officer or director of, or a member of the immediate family (parents, children, siblings andspouses, regardless of where they reside) or household (whether related or not) of an employee, agent, officer ordirector of any of the Contest Entities. “ Contest Entities” are collectively defined as (a) Hard Rock Cafe International(USA), Inc. (“ Sponsor ”), (b) any restaurant, cafe, hotel and/or casino licensed or franchised by Sponsor or an entityaffiliated with Sponsor, (c) any restaurant, hotel, and/or casino franchisee or licensee of Sponsor or one of Sponsor’saffiliated entities, (d) RPMC (“ Contest Administrator ”), (e) eMinor Incorporated, (f) any judge in this Contest (excepta Local Fan Judge, as defined in the Official Rules), and (g) any entity affiliated with the entities/persons describedabove, including but not limited to affiliated, parent, and subsidiary companies, affiliated advertising and promotionagencies, and vendors or promotional partners associated with this Contest.

vii) Not served as a band member in a band that has performed at the Hard Rock Calling Festival in London, Hard RockRising Festival in Rome or in Barcelona or won a Grand Prize or a Runner-Up Prize as a result of participating in anyof Sponsor’s previous Battle of the Bands contests in 2009 - 2015. Bands awarded local prizes in previous Hard Rockband competitions are permitted to participate in this Contest.

b) Band eligibility: In order to be eligible to compete in the Contest, win any prize or participate in the Grand Prize

Performance, each Band must at all times from the date each Band submits its Entry Form in full compliance with theseOfficial Rules and becomes a Band entrant in this Contest, up through the conclusion of the Grand Prize Performance:

i) Be an account holder of ReverbNation (www.reverbnation.com ). See Section 3(b) in the Official Rules for details onhow your Band can become an account holder;

ii) List all Band Members in this Entry Form of the Band at the time it enters the Contest. Any Band Members not listedat that time are not eligible to participate in the Contest;

iii) Consist only of Members who are eligible to participate in the Contest in full compliance with the terms of the OfficialRules. In the event any Member of a Band is not eligible or is disqualified, then the entire Band may be disqualified;

iv) Consist only of authentic Members who have regularly performed with the Band prior to the Contest i.e., not amanager, agent, technical or administrative support person, spouse, friend, etc. who has not regularly performed withthe Band prior to the Contest. Please note that while there is no limit on the number of Band Members, the travelportion of the Grand Prize only provides travel for up to six (6) eligible Band Members. Band Members who areineligible pursuant to the Official Rules, or who were not listed in the Entry Form, or who are not authentic Memberswho have regularly performed with the Band prior to the Contest (e.g., managers, agents, technical or administrativesupport people, spouses, friends, etc.) are not eligible to receive any portion of the Grand Prize;

v) Be eligible to participate in the Contest in accordance with, and be in full compliance with, all of the provisions of theOfficial Rules, including any applicable Live Competition Requirements; and

vi) Not have performed at the Hard Rock Calling Festival in London, Hard Rock Rising Festival in Rome or in Barcelonaor won a Grand Prize or a Runner-Up Prize as a result of participating in any of Sponsor’s previous Battle of theBands contests in 2009 - 2015. Bands who have won local prizes in previous Hard Rock band competitions arepermitted to participate in this Contest.

Eligibility will be determined by Sponsor in its sole and absolute discretion. The Contest is void in the province of Quebec,Canada, the country of Italy, and where prohibited or restricted by law.

4. The Band wishes to compete at the Participating Location (Local Competition Site) indicated in this Entry Form. Such selectionby the Band is in full compliance with the Official Rules, including but not limited to the provisions of Section 3(b) of the OfficialRules. Neither the Band nor any Band Member will select, compete or attempt to compete at more than one Local CompetitionSite. Any such actions by a Band or a Band Member will result in the disqualification of any Band involved. Once the EntryForm is submitted, then the Band may only compete at the Local Competition Site selected in the Entry Form and no other,even if the Band is not selected to compete at such Local Competition Site. If your Band is not selected to compete at yourLocal Competition Site, neither your Band, nor any Member of your Band, can compete at another Participating Location orLocal Competition Site. Sponsor reserves the right, in its sole and absolute discretion, to assign Bands to compete at a LocalCompetition Site other than the one chosen by the Band. In the event any ambiguities, questions or other issues arise as to theselection of the Local Competition Site for a Band, Sponsor shall resolve such ambiguities, questions or other issues in its soleand absolute discretion.

5. The “Aud ition Song” selected is an Original Song by the Band. An “Original Song” is a song (including any lyrics, music,musical or audio tracks, arrangement and composition) performed by the Band (whether live or in a recording) which is used toparticipate in the Contest where (a) the song (including any lyrics, music, musical or audio tracks, arrangement andcomposition) is written and performed solely by one or more eligible Members of the Band who are listed on the Entry Form(and by no other person or entity) and (b) the Band, or one or more eligible Members of the Band who are listed on the EntryForm, owns and controls all right, title and interest, including copyright, in and to the lyrics, music, arrangement andcomposition of such song. The Audition Song cannot be a Cover Song from another band or artist. The file containing the

Audition Song must be in an MP3 128 kbps format and the Audition Song cannot exceed ten (10) minutes in length. No videosubmissions or other formats will be accepted.

6. I acknowledge and agree that the Entry Form must be completed in full and all Entry Materials (as defined in the Official Rules)must be completed and submitted together prior to the Entry Deadline. Failure to (a) fully complete the Entry Form, (b) meetthe requirements for the Audition Song, or (c) submit the completed Entry Materials prior to the Entry Deadline, will result indisqualification of the Band and all of its Band Members. Only complete Entry Materials will be accepted. If Entry Materials areincomplete or do not comply with the Official Rules in any manner, the Band and each individual Band Member may bedisqualified at Sponsor’s sole and absolute discretion.

7. I acknowledge and agree that there is a limit of one Contest Entry Form per Band and per person/Band Member. If more thanone Entry Form is received from the same Band, or a Band Member appears on more than one Entry Form, then the applicableBand(s) and Band Member(s) may be disqualified in the sole and absolute discretion of Sponsor.

8. I hereby agree, warrant and represent on behalf of the Band, and each of its Band Members, that:

a) In any instance where the Official Rules of the Contest or the Contest Entities require that the Band submit or perform anOriginal Song, then such song (including any lyrics, music, musical or audio tracks, arrangement and composition) (i) hasbeen written and performed solely by one or more Members of the Band who are listed on the Entry Form (and by no otherperson or entity) and (ii) the Band, or one or more Members of the Band who are listed on the Entry Form, own and controlall right, title and interest, including copyright, in and to the lyrics, music, musical and audio tracks, arrangement andcomposition of such song;

b) With respect to any of the lyrics, music, musical or audio tracks, arrangements, compositions, or songs performed by theBand during the Contest that are not Original Songs of the eligible Band or eligible Band Members who are listed on theEntry Form (“ Cover Songs”), the Band has obtained any authorizations required (if any), in advance from all persons orentities having any rights, title and/or interest whatsoever with respect to such Cover Songs in order to perform orotherwise use such Cover Songs during the Contest without violating the rights of any persons or entities;

c) All songs performed by the Band during the Contest, or posted on any Social Media Platform (as defined in the OfficialRules) and attributed to the Band, or otherwise played or used while the Band is participating in the Contest or GrandPrize Performance (including all Original Songs and Cover Songs) are referred to herein collectively as the “ CreativeMaterials”;

d) The use of Creative Materials as contemplated by the Official Rules will not infringe upon the intellectual property rights, ordefame or invade the publicity or privacy rights, of any third party, living or deceased; and

e) If a Band or any Band Member is uncertain as to whether they can agree to these representations and warranties, theyshould confer with their legal counsel or other advisors. Sponsor reserves the right in its sole and absolute discretion torequest proof in writing of any necessary authorizations, consents, licenses, assignments or waivers required herein.

9. I understand and agree on behalf of the Band, and each of its Band Members, that:

a) Creative Materials may not contain “sampling” from other songs, music, sound effects, or any other elements over whichthe Band and its Band Members do not have all necessary rights, title and interest, including copyright.

b) Creative Materials and Band names must be in keeping with Sponsor’s positive image. Without limitation, CreativeMaterials or Band Names that are deemed by Sponsor, in its sole and absolute discretion, to be or to contain offensiveprofanity, explicit sexuality, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, or libelous

content, or which encourages unlawful behavior, or which is hateful or misogynistic, or which is racially, ethnically orotherwise offensive or objectionable, or which portrays the Sponsor in a negative fashion, may be disqualified.

c) Creative Materials, Entry Materials, and Band names must not include brand names, trademarks, trade names, logos orthe intellectual property of any third parties without the written consent of the third party, if applicable.

d) Creative Materials and Entry Materials must be from an identifiable source. Any attempt to create a false identity, toimpersonate any person or entity, or to make a false or misleading statement, or misrepresent an affiliation with anyperson or entity, may result in disqualification.

e) Sponsor reserves the right at any time, in its sole and absolute discretion, to disqualify a Band that Sponsor believes, in itssole and absolute discretion, is not in compliance with the Official Rules, or which has made a false or misleadingstatement on any Entry Form or otherwise, and reserves the right to pursue all other rights and remedies available at lawin the event of such disqualification.

10. With respect to the use and ownership of all Creative Materials, I understand and agree on behalf of the Band, and each of itsBand Members, that:

a) The rights of the Band and each Band Member, and the Sponsor, shall be established by the terms of the Official Rules(including any Live Competition Requirements) and by the contents of any releases or affidavits entered into as requiredby the Official Rules.

b) Except to the extent prohibited by law, Sponsor and its designees may use, copy, publish, videotape, broadcast, distributeand otherwise publicly display all elements of the Band’s Creative Materials and recordings made of the Band’sperformances during the Contest and the Grand Prize Performance, as well as the Band’s name and each Band Member’sname, address [city and state/province], biographical information, statements, voice, photograph and other likeness, inwhole or in part, in any and all media either now or hereafter known, in perpetuity throughout the universe, solely inconnection with advertising and promoting the Sponsor, the Contest Entities, any live performances, and the Grand PrizePerformance, and conducting this Contest, without notification and without compensation of any kind to the Band, anyBand Member or any third party. Sponsor reserves all rights in perpetuity, including without limitation, the right toreproduce, alter, amend, edit, modify, crop and use the Creative Materials and recordings made of the Band’sperformances during the Contest, any live performances, and the Grand Prize Performance in connection with advertisingand promoting the Sponsor and conducting this Contest, any live performances and the Grand Prize Performance, and theContest Entities.

c) Sponsor does not undertake to consider the Creative Materials in confidence and Sponsor has not made any priorinducements, promises or representations to the Band Member(s) or Band(s) regarding the Creative Materials other thanas set forth in the Official Rules.

Participation by each competing Band in this Contest, and the accompanying submission of each Band’s Creative Materials toSponsor, shall in no way limit or restrict Sponsor's rights with respect to, or the use of, Creative Materials submitted by other Bandsor Band Members, or otherwise independently developed, created or used by Sponsor, both prior to and after the submission ofeach Band’s Creative Materials herein, and Sponsor shall have no obligations to each Band and Band Member with respect to suchother Creative Materials. Accordingly, each competing Band and Band Member acknowledges that Sponsor's use of other materialcontaining elements similar to or identical with those contained in the Band’s Creative Materials shall not entitle the competing Bandor Band Member to any compensation if Sponsor has an independent right to use such other materials.

11. I understand and agree on behalf of the Band, and each of its Band Members:

a) That only the laws of the United States shall be applicable to this Contest and the Band and its Members participation inthis Contest, regardless of the country of origin or residence of the Band and/or each of its Band Members;

b) To be bound by the Official Rules and any other documents required by Sponsor (including, without limitation, the EntryForm and any releases and affidavits required) and by the decisions of Sponsor, the Local Contest Administrator, and any

judges herein, and to waive any right to claim ambiguity in this Contest, the Official Rules (including any applicable LiveCompetition Requirements) or any other documents required by Sponsor (including, without limitation, the Entry Form andany required releases and affidavits);

c) To indemnify, defend and hold harmless the Contest Entities, and their respective officers, directors, employees,shareholders, representatives and agents (collectively, the “ Released Parties”) from any and all liability, claims, losses,damages, demands, causes of action, penalties and expenses (including reasonable attorneys’ fees) arising out of orrelated to any statement, action or failure to act by the Band, any Band Member or any member of the Band not competingin the Contest, or any person affiliated with the Band (collectively, “ Non-Contestant”) during or in connection with theBand’s or Band Member’s participation in the Contest, and/or any breach or alleged breach of these Official Rules or ofany other documents required by Sponsor or related to the Creative Materials or any use thereof; and

d) Not to sue and to irrevocably and unconditionally release, waive and forever discharge the Released Parties from any andall liabilities, claims and demands of any kind or nature whatsoever, in law or equity, whether known or unknown, whichthe Band, any Band Member or any Non-Contestant (or any of their successors-in-interest, heirs and/or agents) ever had,now have, or in the future may have against the Released Parties, including, but not limited to claims arising out of orrelated to personal injury (including death) and/or damage, theft, loss or any other harm resulting in whole or in part,directly or indirectly, from participation in the Contest or any Contest-related activity (including but not limited to the trip andany Grand Prize Performance), the acceptance, possession, misuse, improper awarding, failure to award, or use of aFinalist Prize, Regional Prize, or Grand Prize, and/or the use of any of the rights granted herein (including, withoutlimitation, the use and exploitation of the Creative Materials and any other videos and recordings made of the Band’sperformances during the Contest, including the Grand Prize Performance, and each Band’s name, Band Member’s name,address [city and state/province], biographical information, statements, voice, photograph and/or other likeness).

12. Each Band is solely responsible for payment of any and all applicable income or other taxes or fees due for or on account ofany prize(s) or consideration that such Band receives as a result of this Contest. Each Band Member is solely responsible forpayment of any and all applicable income or other taxes or fees due for or on account of any prize(s) or consideration that suchBand Member receives as a result of this Contest.

13. Neither I, nor the Band, nor any Band member, will do anything, or cause any third party to do anything, which couldmanipulate or in any way influence the outcome of the Contest with the intent to deceive the public, including, but not limited to,tampering with any voting system or process. I agree that I will not participate in any such act or any other deceptive act withrespect to the Contest, nor permit anyone to do so on my or my Band’s behalf. I agree that if anyone tries to induce me or theBand, or any Band Member, to do any such act, I shall immediately notify the Sponsor.

14. Neither I, nor the Band, nor any Band Member, or any person affiliated with a Band shall engage in, or encourage, anysolicitation for votes or favorable or unfavorable scores from Sponsor, Local Fan Judges, Local Judges, Regional Judges, orGrand Prize Judges by offering prizes, gifts, products, services or any other type of incentive (monetary or non-monetary) for

votes or favorable or unfavorable scores, including any offer to trade votes or scores e.g. soliciting votes in online chat roomsor on websites in exchange for reciprocal votes. In addition, no Band, Band Member, Local Fan Judge, or any person affiliatedwith a Band, shall offer any prizes, gifts, products, services or any other type of incentive (monetary or non-monetary) foranyone to attend or not to attend a competition event at a Participating Location. Sponsor may, in its sole discretion, disqualifyany Band or Band Member engaged in or encouraging such activity, or who benefits from such activity.

15. I hereby consent on behalf of the Band, and each of its Band Members:

a) To the collection, use and disclosure of all personal information collected in connection with the Contest by Sponsor andits authorized agents and representatives for the purposes of administering this Contest.

b) To the use in perpetuity of the Band’s, and each Band Member’s, name, address [city and state/province], biographicalinformation, statements, voice, photograph and/or other likeness, on any website or Social Media Platform related to theSponsor, at any live competitions, and the Grand Prize Performance, and otherwise in connection with conducting orpromoting the Contest, any live competitions and the Grand Prize Performance, and the Contest Entities, without furthernotice or compensation.

c) To the transfer of all personal information collected during the course of the Contest to the U.S.A. for the purposes setforth in the Official Rules.

16. The Official Rules (including any applicable Live Competition Requirements) and any other documents required by Sponsorconstitute the entire understanding and agreement between each Band, Band Member and Sponsor. No other agreement,written or oral, express or implied exists between each Band or Band Member and Sponsor with respect to the CreativeMaterials, Official Rules or this Contest. Any modification, waiver or termination of the provisions of the Official Rules or suchother documents must be authorized in writing by Sponsor. In the event of a discrepancy or conflict between the terms of theEntry Form or any applicable Live Competition Requirements and the Official Rules, the Official Rules shall govern. Althoughthe Official Rules, (including any applicable Live Competition Requirements) may be available in multiple languages, theEnglish version of the Official Rules shall prevail in the event of any conflict or difference between the English version and anyversion in another language. Sponsor reserves the right, in its sole and absolute discretion, to change, add to, delete from,modify or amend the Official Rules (including any applicable Live Competition Requirements) at any time. All decisions of theSponsor are final and binding.
