Contract of HSV Barkeep, LLC

This Rental Agreement (the “Agreement”) is made effective for all purposes and in all respects as of _______ 20__, by and between HSV Barkeep LLC (“Owner”) and (“Client”) who shall collectively be known herein as “the Parties.”

1. Policies: Client agrees to adhere to the following policies:

a. Owner provides a server only. Owner will not provide, transport, sell or consume any alcohol. Client is to provide the beer, wine and champagne only. No hard liquor allowed.

b. Client is also required to bring other items such as garnishes, coozis, personalized napkins, etc, if applicable. Owner is not responsible for providing said items. List additional items here_______________

c. Owner will provide A server to arrive at least 1 hour prior to the bar opening. Bar set up including large serving tubs and ice for chilling drinks. Chill drinks and prep items necessary, like garnishes and stock items. Server will provide the necessary tools: Wine key, bottle opener, pourers, clean/pressed attire. Liquor liability policy (Required by venue. Cost of $175 is included) Clean up of bar, repackage of remaining alcohol for removal from bar. 4 hours of event services including: Plastic tumblers, White bar napkins, Ice

d. Owner will provide a server for up to 4 hours of event time. Any longer of an event Client will be responsible for an additional per hour rate of $50 unless otherwise stated here.

e. If Client would like to provide gratuity instead of having a tip jar during the event please denote so here.__________________

f. Client agrees that it is the Owners discretion to refuse service to guests who cannot provide proper identification or appears intoxicated.

g. Client agrees to refrain and assist guests in refraining from providing alcohol to minors.h. Owner will not be responsible for lost, damaged, or misplaced items at event locations.i. If client purchases a keg, they must also bring a CO2 powered dispenser. Not a hand pump for the keg.

Beer will not be served if a hand pump is provided for the keg. j. Owner will not provide or sell alcohol. Client brings his or her own alcohol to serve to his or her guests

over the age of 21. Client may not sell any alcohol. Client is responsible for providing sufficient adult supervision to assure that all laws pertaining to the use and consumption of alcoholic beverages are observed.

k. In the event of disagreement or dispute, HSV Barkeep cannot be sued for any more than the contractual amount.

2. Payments. Client agrees to the following payment schedule:

a. Client agrees to pay $ 550.00 for the services of HSV Barkeep according to the terms and conditions of this Agreement.

b. A non-refundable, non-transferable deposit in the amount of no less than 50% of total balance is to be paid at the signing of this contact to reserve event date.

c. The remainder is due 60 days prior to the event. If the event is cancelled within 60 days of the event date, the total amount is due, and monies paid to-date, will not be refunded after this date.

d. In the event that complete balance due is not paid in full prior to 30 days before the event due to unforeseen circumstances, but Client still wishes to have Owner’s services, a late fee of 20% will be applied to total balance due. If the total amount and late fee is not paid within 1 week of event, Client forfeits all monies paid to date, event services will not be held, and Client remains liable for full balance due for event reservation.

e. No refunds will be given for unused time or if the bar runs out. The server will clean up and close the bar.

3. Hold Harmless and Indemnification. Client agrees to the following:

a. Client agrees to indemnify and to hold Owner harmless from any and all liability for personal injury or property damage.

b. Client assumes all liability associated with any alcohol served during the event including, but not limited to, the safety and sobriety of all persons present at the event and all losses, damages or injuries arising therefrom whether during or following the event. Client agrees to indemnify and to hold Owner harmless from any and all liability for personal injury or property damage caused, partially or wholly, by alcohol. If further insurance is felt to be needed in addition to Owner’s insurance for the event, it is the Client’s responsibility. Client’s Initial _______

WARNING. IF YOU SERVE ALCOHOL TO GUESTS, THEN YOU, AS A HOST, ARE RESPONSIBLE FOR ALL PERSONAL INJURY OR PROPERTY DAMAGE CAUSED, DURING OR AFTER THE EVENT, BY A GUEST WHO CONSUMED ALCOHOL.

c. Client will indemnify Owner for any repairs which become necessary to restore the premises to their condition as of the commencement of this Agreement and to pay the reasonable cost for any repairs for damages caused by Client or Client’s guests.

4. Attorney Fees and Cost. Client agrees to be liable for all cost of collection under this contract including legal fees.

5. Breach of Agreement . Client acknowledges that a breach of this Agreement by Client during the event may result in the immediate removal of Client from Owner’s property without further notice to Client and that Client will surrender of any monies paid. Owner reserves the right to stop working on all events if the Client is not working toward the same goal or begin to interrupt the planning process.

6. Entire Agreement . This Agreement contains the entire Agreement of the parties and there are no other promises or conditions in any other Agreement whether oral or written. This Agreement supersedes any prior written or oral Agreements between the parties.

7. Amendmen t . This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties.

8. Effect of Waiver. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

9. Applicable Law. This Agreement shall be governed by the laws of the State of Alabama.

10. Construction. Unless the context requires otherwise, words denoting the singular may be construed as denoting the plural, and words of the plural may be construed as denoting the singular. Words of one gender may be construed as denoting another gender as is appropriate within such context.

11. Severability. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
