Tessere di mosaico lavorate a sandwich con metodo artigianale e tagliate a mano, composte da vera foglia d’oro certificata inserita tra vetri di diverso spessore. Grazie a questa tecnica si possono utilizzare le tessere con posa recto o verso ottenendo effetti di profondità diversi. Il mosaico viene preparato secondo richiesta specifica o può essere ordinato in tessere singole.

Mosaic tesserae sandwich hand crafted, composed by certified genuine gold leaf between two layers of glass of different thickness and hand cut to size. This method allows installation of mosaic either face up or down giving different depth effect. The mosaic is as-sembled on request following specification or can be supplied loose.

Introduzione:La posa deve essere effettuata da un posatore professionista. Aggiungiamo di seguito alcuni suggerimenti utili.

Prima di iniziareControllare che la quantità di materiale ordinata sia sufficiente per il lavoro.> Sono necessari adesivi, stucco e attrezzi per posa come spatola dentata, spatola gomma-ta, spugne, panni da pulizia, taglia tessere, misuratori di livello e secchi.> Analizzate con attenzione la superficie su cui si andrà a posare, e utilizzate prodotti appro-priati. In caso di superfici immerse in acqua è consigliabile un trattamento di impermeabiliz-zazione effettuato prima della posa.> La superficie di posa deve essere planare, pulita e preferibilmente bianca (per mantenere accuratamente il colore del mosaico).> Posate 3 fogli di mosaico a terra e misurate la lunghezza totale. Marcando le linee sulla superficie di posa, trasferite la misura totale sia orizzontalmente sia verticalmente, creando un quadrato perfetto. Considerate ora l’area di lavoro come numero di quadrati composti da nove fogli ed iniziate la posa.

“Before start” List> Please, always double check the boxes of Venus Italia products and be sure there are the required quantities of material to finish the project.> Adhesives and grouts have to be available, as well as the required fixing tools: notched trowel, rubber trowel, small trowel, grouting spreader, sponge, clean cloth, tile cutter, spirit level, measuring set, buckets and vessels.> Consider very carefully the type of surface to be tiled and use only products appropriate for it. And, in case of areas in permanent contact with water, previous waterproofing treat-ment to the surface is advisable.> The surface selected must be even, smooth, clean, and preferably white (white surface will keep accurate the mosaic color)> Lay properly three sheets on the floor side by side, and measure the entire width. Draw leveled lines on the surface to help correct positioning of the sheets, transfer the measure-ment both vertically and horizontally, making a perfect square. Consider now the working area as a number of squares of nine sheets of mosaics each, and start the installation.

Posa mosaico montato su rete1. Preparare l’adesivo seguendo le istruzioni del produttore e spargetelo sopra l’area dei primi nove fogli con una spatola dentata da 2 mm. Spargete un primo strato con il lato non dentato della spatola e poi un altro strato con il lato dentato. Cercate di creare uno strato uniforme.2. Ora posizionate i fogli tenendo presente che i giunti tra i diversi fogli devono essere come quelli presenti all’interno del foglio tra le singole tessere.3. Dopo aver posizionato i fogli è consigliato fare pressione su di essi con la spatola gomma-ta in modo che la rete faccia presa sul substrato.4. Lasciate asciugare l’adesivo per 24 ore.5. Stuccatura:Rimuovete il materiale residuo dai giunti e pulite la superficie adeguatamente. Preparate lo stucco secondo le istruzioni e applicatelo immediatamente sui giunti usando la spatola gommata, muovendola diagonalmente sul mosaico partendo dal basso verso l’alto prima, e poi nella direzione opposta.6. Pulizia:Prima che lo stucco si secchi completamente, rimuovete quello il eccesso usando una spu-gna umida. Lasciatelo poi asciugare per diverse ore e ripetete l’operazione. Asciugate con un panno fino ad avere una superficie pulita e brillante.

Bagnate la carta con una spugna umida, e ripetete questa operazione fino a quando la carta non è facilmente separabile dal mosaico.6. Iniziate a rimuovere la carta, tirandola diagonalmente dal basso verso l’alto, facendo at-tenzione a non spostare le tessere.7. Prima che l’adesivo si asciughi, effettuate le necessarie correzioni al mosaico.8. Lasciate asciugare per 24 ore.9. Stuccatura:rimuovete il materiale residuo dai giunti e pulite la superficie adeguatamente. Preparate lo stucco secondo le istruzioni e applicatelo immediatamente sui giunti usando la spatola gommata, muovendola diagonalmente sul mosaico partendo dal basso verso l’alto prima, e poi nella direzione opposta.10. Pulizia:Prima che lo stucco si secchi completamente, rimuovete quello il eccesso usando una spu-gna umida. Lasciatelo poi asciugare per diverse ore e ripetete l’operazione. Asciugate con un panno fino ad avere una superficie pulita e brillante.

Installation of 3/4 “x3/4” (20x20 mm) Mosaic back mounted (EX. Mesh) 1. Prepare the adhesive following the mixing instructions and spread over the first nine sheets area with a 2mm notched trowel. Apply a first layer with smooth edge of the trowel and add another layer with the notched edge. Draw the teeth across evenly and create a uniform surface.2. Position now the sheets, applying directly the mesh to the surface. The joints between sheets must be the same as the joints between each single mosaic.3. After the sheets are positioned, they have to be taped with the rubber trowel, allowing the mesh to firmly bond into the adhesive.4. To uniformly adjust the distance between the mosaics, cut through the mesh with a knife along the specific joints, and patiently move the mosaics with the small trowel until slowly every joint is even. This process has to be done before the adhesive starts to set.5. Allow 24 hours for the adhesive to set.6. Grouting:Remove any residual material from the joints, and clean the surface properly.Prepare the grout following the mixing instructions, and apply immediately, filling the joints using the rubber trowel, moving it diagonally across the mosaics from the bottom up first and then in the opposite direction.7. Cleaning:Before the grout hardens, remove the excess grout with a wet sponge. Let it dry for a few hours and repeat the operation, leaving the mosaic clean. Dry with a dry cloth until the surface is shining clear.

Installation of 3/4”x 3/4” (20x20 mm) Mosaic Face-Mounted (EX. Paper)1. Prepare the adhesive following the mixing instructions and spread over the first nine sheets area with a 2mm notched trowel. Apply a first layer with smooth edge of the trowel and add another layer with the notched edge.Draw the teeth across evenly and create a uniform surface.2. Carefully observe the paper because every sheet has to be positioned in the same direc-tion.3. In this case, the mosaics are applied directly to the adhesive, the paper facing the installer. The space between sheets must be the same as the space between each mosaic.4. After placing the sheets, gently tap them with the rubber trowel until they are firmly bond and the surface is properly levelled.5. Soak the back paper with a wet sponge, blotting the paper repeatedly until it begins to easily separate from the mosaic.6. Very gently start peeling the paper, pulling diagonally from the bottom up, trying not to move the mosaics.7. Before the adhesive starts to harden, patiently adjust the distance between mosaics.8. Allow 24 hours for the adhesive to set.9. Grouting:Remove any residual material from the joints, and clean the surface properly.Prepare the grout following the mixing instructions, and apply immediately, filling the joints using the rubber trowel, moving it diagonally across the mosaics from the bottom up first and then in the opposite direction10. 1. PREMESSALe presenti condizioni generali di vendita, salvo eventuali modificazioni o deroghe concor-date per iscritto, disciplinano tutti i contratti di vendita fra Venus Italia srl e l’acquirente. Variazioni delle condizioni generali di vendita, transazioni o abbuoni, anche se effettuati su iniziativa dei nostri Agenti, saranno considerate vincolanti soltanto dietro nostra previa con-ferma scritta e comunque limitate ai contratti a cui si riferiscono.

2. CONFERMA D’ORDINE2.1 Il testo della nostra conferma d’ordine prevarrà sempre sul testo discordante dell’even-tuale offerta o buono d’ordine pervenutoci. 2.2 Qualora nella nostra conferma d’ordine esistano differenze rispetto agli accordi o al buono d’ordine inviato dall’acquirente, l’acquirente dovrà immediatamente informare Venus Italia srl di tali discrepanze. Qualora il compratore non contesti tali differenze entro le 48 ore dalla ricezione della conferma è tenuto ad accettarla così come è redatta.

3. RESA DELLA MERCE 3.1 La merce è venduta franco nostro deposito a Roteglia di Castellarano, salvo accordi diversi scritti. 3.2 La merce, anche se venduta franco il porto di destino o direttamente al domicilio dell’ac-quirente, viaggia a rischio e pericolo di quest’ultimo. Ogni responsabilità di Venus Italia srl cessa con la consegna della merce al vettore, nei confronti del quale l’acquirente dovrà rivolgersi per eventuali reclami riguardanti ammanchi, rotture, danneggiamento, distruzione e furto del materiale. 3.3 Le spedizioni di materiale all’estero, via terra o via mare, vengono effettuate in base alle condizioni scelte di volta in volta, riportate negli Inconterms approvati dalla Camera di Commercio internazionale nel 2000 e modifiche successive.

4. TERMINE DI CONSEGNA 4.1 Quale data di consegna si considera quella della comunicazione al cliente della disponi-bilità alla consegna della merce. 4.2 I termini di consegna devono di norma considerarsi puramente indicativi e non tassativi, salvo accordi diversi scritti. Pertanto, eventuali ritardi non potranno dar luogo a richieste di risarcimento danni o risoluzione, anche parziale, del contratto. 4.3 Ogni evento di forza maggiore sospende la decorrenza del termine di consegna per tutta la sua durata senza che Venus Italia srl possa essere ritenuta responsabile per eventuali danni subiti. 4.4 Si intende per forza maggiore qualsiasi circostanza indipendente dalla volontà del vendi-tore la quale impedisca permanentemente o temporaneamente l’adempimento del contrat-to, come per esempio guerra o minaccia di guerra, sommossa, sciopero, carenza di materie prime, arresto della fornitura di merci da parte di subfornitori, difficoltà nei trasporti, limita-zioni a importazioni o esportazioni, incendio, gelo, calamità naturali e altri impedimenti im-previsti che rendano parzialmente o totalmente impossibili la fornitura o trasporto dei beni.

5. IMBALLAGGIO 5.1 Il mosaico e le piastrelle in ceramica sono imballati in scatole di cartone su pallet (im-ballaggio standard.)5.2 Il costo di tale imballo verrà addebitato secondo accordi commerciali. 5.3 Il prezzo di imballaggi diversi dallo standard verrà quantificato al momento dell’ordine. 5.4 Gli imballaggi forniti da Venus Italia srl non garantiscono l’impermeabilizzazione della merce e dei prodotti in essi contenuti.

6. PAGAMENTO6.1 Il pagamento delle forniture Venus Italia srl dovrà essere eseguito integralmente secondo le modalità riportate sulla conferma d’ordine e/o sulla fattura entro il termine di pagamento indicato. 6.2 Venus Italia ha la facoltà di pretendere a sua discrezione il pagamento anticipato totale o parziale di ordini di materiale personalizzato o fuori standard.

7. MANCATO O RITARDATO PAGAMENTO7.1 Scaduto il termine di pagamento, il compratore inadempiente dovrà considerarsi costi-tuito in mora di diritto. 7.2 Il ritardo nel pagamento, anche parziale, delle fatture emesse da Venus Italia srl darà per-ciò immediatamente luogo a interessi di mora nella misura del tasso ufficiale di riferimento aumentato di 7 punti e all’addebito delle spese legali extragiudiziali sostenute per ottenere il recupero del credito. 7.3 In caso di ritardo da parte del compratore o nel caso in cui Venus Italia srl abbia ragione

di temere che il compratore non adempirà alle sue obbligazioni di pagamento, Venus Italia srl, senza che questo possa essere oggetto di una richiesta di risarcimento, potrà, salvi e impregiudicati ogni suo maggior diritto e azione:

a) Esigere pagamento anticipato o garanzia; b) Annullare l’evasione di eventuali altri ordini in corso con il compratore;c) Sospendere o revocare l’esecuzione di tutti i contratti di fornitura in essere con il com-

pratore;d) Revocare eventuali termini di pagamento di favore, eventualmente con l’estensione ad

altri contratti, rendendo pertanto immediatamente esigibili tutti i crediti pendenti con il compratore.

8. RISERVA DI PROPRIETA’ Nel caso in cui il pagamento pattuito debba avvenire, in tutto o in parte, dopo la consegna del materiale, la merce rimane di proprietà di Venus Italia srl fino al pagamento integrale della relativa fattura.

9. RECLAMI9.1 Eventuali reclami o contestazioni sulla qualità della merce fornita da Venus Italia srl do-vranno essere notificati , a pena di decadenza, per iscritto presso la nostra sede di Sassuolo entro 8 giorni dal ricevimento della merce e prima della posa in opera del materiale. In ogni caso, l’azione per far valere i diritti si prescriverà in un anno dalla consegna della merce. 9.2 La posa in opera del materiale determina la decadenza dell’azione per vizi sia palesi che occulti, importando rinuncia implicita alla garanzia di cui all’art.1490 C.C.9.3 Le differenze di tonalità non possono essere denunciate come vizio del materiale. Lievi variazioni di tonalità o eventuali microporosità sono caratteristiche del prodotto. 9.4 In caso di reclamo il compratore deve mettere la merce contestata a disposizione di tecnici ed esperti inviati da Venus Italia srl. 9.5 In caso di reclami risultati fondati a seguito di verifica di Venus Italia srl, l’obbligo di quest’ultima si limiterà alla sola sostituzione del materiale non conforme, senza diritto per l’acquirente di richiedere la risoluzione del contratto o la riduzione del prezzo e/o il risarci-mento danni ed il rimborso delle spese sostenute a qualunque titolo.

10. RESO DELLA MERCE10.1 Per poter effettuare un reso deve pervenire a Venus Italia srl richiesta scritta dal com-pratore ed il materiale potrà essere reso soltanto previa autorizzazione da parte di Venus Italia srl. 10.2 Qualora Venus Italia srl autorizzi il reso, la merce deve essere restituita nel suo imbal-laggio, completamente integra, su pallet ove del caso, e protetta dall’umidità. La merce resa deve essere accompagnata da documento di trasporto del compratore che riporti in maniera chiara e leggibile la quantità e la descrizione della merce resa. 10.3 Nel caso in cui la merce resa giunga danneggiata presso il deposito di Venus Italia srl, non verrà accettata.

11. RESPONSABILITA’ RELATIVA ALLA POSA DEI MATERIALI11.1 Venus Italia srl non fornisce in alcun modo il servizio di posa del materiale, se non preventivamente concordato. 11.2 Venus Italia srl declina perciò ogni disponibilità per difetti e/o vizi che dovessero esse-re imputati alle operazioni di posa del materiale. Non saranno pertanto accettati reclami o richieste di risarcimento danni derivati da difetti e/o inconvenienti causati durante l’attività di posa e tali da pregiudicare l’uso del materiale fornito, se le sue caratteristiche fisiche, chimiche, meccaniche, dimensionali risultano conformi agli standard per i quali esso è stato ordinato e fornito.

12. LEGGE APPLICABILE E FORO COMPETENTE12.1 La legge applicabile ai contratti tra Venus Italia srl e il compratore, di cui le presenti condizioni generali costituiscono parte integrante, è quella italiana. 12.2 Le eventuali controversie che dovessero sorgere tra le parti saranno di competenza del foro di Modena.

GENERAL TERMS AND CONDITIONS OF SALE CONDITIONS GENERALES DE VENTE

1. PRÉAMBULE Ces termes et conditions de vente, sauf modifications ou dérogations convenues par écrit, gèrent tous les contrats de vente entre l’acheteur et Venus Italia srl. Variations des conditions générales de vente, transactions ou remises, même si elles sont effectuées à l’initiative de nos agents, ne seront valables seulement qu’après notre confirmation écrite et, en tout cas, elles seront limitée aux contrats auxquelles elles se réfèrent.

2. CONFIRMATION DE COMMANDE2.1 En cas de divergence, le texte de notre confirmation de commande prévaudra toujours sur toutes offres ou bons de commandes reçus. 2.2 Au cas où il existerait dans notre confirmation de commande des différences par rapport aux accords ou à la commande envoyé par l’acheteur, l’acheteur doit informer immédia-tement Venus Italia srl de ces divergences. L’acheteur qui n’à pas contesté par écrit ces différences dans les 48 h. sera tenu d’accepter notre confirmation de commande telle qu’elle a été rédigée.

3. CONDITIONS DE LIVRAISON3.1 La marchandise est vendue départ notre magasin à Roteglia di Castellarano, sauf accord contraires par écrit, sauf accord contraires par écrit. 3.2 La marchandise, même si elle a été livrée en port payé, voyage aux risques et périls de l’acheteur. Toute responsabilité de Venus Italia srl cesse au moment où la marchandise est remise au transporteur. C’est à ce dernier que l’acheteur devra adresser toutes éventuelles réclamations concernant perte, cassures, manques ou altérations. 3.3 Les expéditions à l’étranger, soit par mer ou par terre, sont effectuées selon les conditions qui seront établies cas par cas, indiquées dans les Incoterms approuvés par la Chambre de commerce internationale en 2000 et successifs.

4. DÉLAIS DE LIVRAISON4.1 La date de livraison est considérée celle communiquée au client pour l’enlèvement de la marchandise. 4.2 Le délai de livraison n’est donné qu’à titre purement indicatif, sauf accord contraire convenu par écrit. Par conséquent, éventuels retards de livraison ne pourrons donner lieu à des demandes d’indemnisation de dommages ou de résolution, même partielle, du contrat. 4.3 Tout événement de force majeure suspend le délai de livraison pendant toute la durée de l’événement sans que Venus Italia srl ne saurait tenu à l’indemnisation des dommages subis. 4.4 Par force majeure il faut entendre toute circonstance indépendante de la volonté du vendeur qui empêche le vendeur, pour une période temporaire ou permanente, d’exécuter le contrat, par exemple : guerre ou menace de guerre, insurrections, grèves, pénurie de ma-tières premières, suspension des fournitures de la part des sous-traitants, difficultés dans les transports, limitations des importations et/ou des exportations, incendies, gel, catas-trophes naturelles, ou tout contretemps imprévus qui rendent partiellement ou totalement impossible la fourniture ou le transport des marchandises. 5. EMBALLAGE5.1 La mosaïque et les carreaux sont emballés dans des cartons sur palettes (emballage standard). 5.2 L’emballage standard sera débité selon accords commerciaux. 5.3 Le prix des emballages non standard sera quantifié au moment de la commande. 5.4 L’emballage fourni par Venus Italia srl ne garantit d’aucune manière l’imperméa-bilisation de la marchandise.

6. PAIEMENT6.1 Le paiement des fournitures Venus Italia srl devra être effectué intégralement selon les modalités indiqués sur la confirmation de commande et/ou la facture à l’échéance conve-nue. 6.2 Venus Italia srl se réserve la faculté de demander acomptes ou le paiement total par avance pour commandes de matériel personnalisées ou hors catalogue.

7. DEFAUT OU RETARD DE PAIEMENT7.1 Une fois dépassé la date d’échéance convenue pour le paiement, l’acheteur devra se considéré comme en demeure de plein droit. 7.2 Le retard de paiement de factures, même partiel, entrainera le paiement des intérêts moratoires dans la mesure du taux officiel de référence majoré de 7 points et à l’imputa-tion d’éventuels frais légaux extrajudiciaires engagés par Venus Italia afin de recouvrer la créance.

7.3 En cas de retard de paiement de l’acheteur, ou si Venus Italia a lieu de craindre l’inexécu-tion par l’acheteur de son obligation de paiement, Venus Italia srl, sans que l’acheteur puisse demander des indemnisations et sans préjudice de sa faculté d’engager toute action afin de faire valoir ses droits – aura la droit de :

a) exiger paiement par avance ou garantie ;b) suspendre ou annuler l’exécution des commandes en cours ;c) suspendre ou annuler l’exécution des contrats de fourniture en cours; d) révoquer toutes facilités consenties concernant délais de paiement et rendre immédia-

tement exigible toutes les créances avec l’acheteur.

8. RESERVE DE PROPRIETEDans le cas où le paiement convenu, partiel ou total, devra être effectué après la livraison de la marchandise, la propriété du matériel reste de Venus Italia srl jusqu’au complet paiement.

9. RECLAMATIONS 9.1 Les éventuelles contestations ou réclamations concernant la qualité de la marchandise fournie devront parvenir à notre siège de Sassuolo par écrit et, sous peine de forclusion, au plus tard dans les 8 jours dès la réception de la marchandise et avant la pose du matériel. Dans tous cas, les droits du client pour défauts de la marchandise seront prescrites un an après la date de livraison de la marchandise. 9.2 La pose du matériel détermine la déchéance de toute action pour défauts, appa-rents ou cachés, et implique la renonciation implicite à la garantie et donc à l’article 1490 du Code Civil Italien. 9.3 Les différences de tonalités ne peuvent pas être considérées comme défauts du ma-tériel. Légères variations de tonalité ou une éventuelle microporosité sont caractéristiques du matériel. 9.4 En cas de réclamation, l’acheteur doit mettre la marchandise réputée défectueuse à disposition des techniciens et des experts envoyés par Venus Italia srl. 9.5 En cas de réclamation jugée bien-fondé suite aux vérifications effectuées par le tech-niciens de Venus Italia, l’obligation de cette dernière sera uniquement limitée au remplace-ment de la marchandise défectueuse; aucun droit sera reconnu à l’acheteur de prétendre la résolution du contrat, une réduction du prix, et/ou l’indemnisation et remboursement des frais supportés à quelques titre que ce soit.

10. RETOUR DE LA MARCHANDISE10.1 Pour tout retour de marchandise, l’acheteur doit envoyer une demande de retour par écrit aux bureaux de Venus Italia. La marchandise pourra être retournée uniquement après notre autorisation par écrit. 10.2 Si Venus Italia autorise le retour, la marchandise devra être restituée dans son embal-lage d’origine, parfaitement intacte, et si nécessaire palettisée et protégée contre l’humi-dité. Au retour, la marchandise doit être accompagné du document de transport, rédigé par l’acheteur indiquant, de façon claire et lisible, la quantité et la description de la marchandise rendue. 10.3 La marchandise qui parvient en mauvais état au magasin de Venus Italia ne sera pas acceptée.

11. RESPONSABILITE’ RELATIVE À LA POSE DES MATERIAUX11.1 Venus Italia srl ne fournit pas le service de pose des matériaux, si non autrement concordé. 11.2 Venus Italia srl décline pour cela toute responsabilité pour tous défauts et/ou vices relatifs aux opérations de pose. Par conséquent, aucune réclamation ou demande d’indem-nisation pour défauts et/ou inconvénients qui se vérifient pendant la pose et qui peuvent compromettre l’utilisation du matériel fourni sera accepté, si les caractéristiques physiques, chimiques, mécaniques ou les dimensions du produits sont conformes aux spécifications selon lesquelles il a été commandé et livré.

12. LOI APPLICABLE ET TRIBUNAL COMPETENT 12.1 La loi applicable aux contrats conclus entre Venus Italia srl et l’acheteur, dont ces conditions de vente générales sont partie, est la loi Italienne. 12.2 En cas de litige, le tribunal compétent sera celui de Modena.

1. INTRODUCTIONThese general sales conditions apply to all sales between Venus Italia srl and the buyer. Modification of the general terms of sale, special agreements or dispensation, even though made on our Agent’s initiative, shall be deemed binding only after our written confirmation and shall be limited only to the contracts to which they refer.

2. ORDER CONFIRMATION 2.1 The content of our order confirmation will always prevail over any discordant information stated in the quotations or in the original order. 2.2 Whenever the order confirmation presents discrepancies with respect to the original agreement or to the individual original order placed by the buyer, the buyer should im-mediately inform Venus Italia srl about such discrepancies. Failure to inform us, in writing, within 48 hours from the receipt of the confirmation will imply unconditional acceptance of the order.

3. DELIVERY TERMS 3.1 Goods are normally supplied ex works Venus Italia warehouse in Roteglia di Castellarano, save any variation agreed upon in writing.3.2 The goods, even if sent freight paid to the buyer’s port of destination or directly to the buyer’s premises, will travel at the risk and responsibility of the buyer.Venus Italia shall not be held liable any longer once the goods are handed over to the carrier, against whom the buyer must present any complaints it may have about shortage, breaking, damaging, tampering, destruction and theft of the material. 3.3 Shipment of supplies abroad, either by sea or by road, must satisfy the conditions estab-lished as each case arises, set out in Incoterms approved by the International Chamber of Commerce 2000 and subsequent modifications thereof.

4. DELIVERY TIME 4.1 The delivery date shall be taken to be that on which the customer is notified that goods are ready for delivery. 4.2 Dates for delivery must normally be considered as purely indicative and not peremp-tory, unless otherwise agreed in writing. Delays do not therefore entitle the parties to make demands for damages or termination of the contract, even partially.4.3 All events of Force Majeure suspend the course of the delivery time for the whole dura-tion of the Force Majeure event without Venus Italia srl being liable for damages. 4.4 Force Majeure is taken to cover any circumstances beyond the seller’s control which permanently or temporarily prevent the seller from the execution of the contract, such as war or threat of war, uprising, strike, interruption in supply of goods by subcontractors, transportation difficulties, import or export restrictions, fire, frost, natural disasters and other unforeseen restrictions or events that affect the business and make the supply or transpor-tation of goods either partially or totally impossible.

5. PACKAGING 5.1 Mosaic and ceramic tiles are packed in boxes loaded on pallets (standard packaging). 5.2 Standard packaging will be charged according to sales agreement. 5.3 The price of packaging other than the standard version shall be quantified when the order is placed. 5.4 Venus Italia srl packaging is not guaranteed to provide the merchandise with wa-terproof protection.

6. PAYMENT6.1 Venus Italia srl supplies must be paid for in full adopting the methods described in the order confirmation and/or invoice at the due date indicated. 6.2 Venus Italia is entitled to demand total or partial payment in advance when a customized order is placed.

7. DEFAULT OR DELAYED PAYMENT7.1 Once the payment has fallen due, the buyer shall be considered automatically in default. 7.2 Delayed payment, even partial, of invoices issued by Venus Italia shall therefore imme-diately give rise to interest on arrears at the official reference rate increased by 7 points and shall entitle Venus Italia srl to charge any out-of-court legal expenses it has incurred in order to recover the outstanding amount. 7.3 In the event of a delay on the part of the buyer or in the event that the Venus Italia srl has reason to fear that the buyer will breach its payment obligations, Venus Italia srl may, without entitling the buyer to demand damages and without prejudice to any other initiative and/or legal action:

a) demand payment in advance or guarantee;b) refuse to process orders currently underway with the buyer;c) suspend or revoke the execution of all supply contracts currently underway with the

buyer;d) revoke any favourable payment terms agreed upon, extending this to other contract;

thereby being entitled to demand immediately all sums currently owed by the buyer

8. TITLE RETENTION In the event the payment, by contractual agreement, is to be remitted, in whole or in part, after the delivery of the goods, the products delivered must remain property of Venus Italia srl until complete payment of the total amount due is made.

9. COMPLAINTS9.1 Any complaints on the quality of the products supplied by Venus Italia srl must be noti-fied, on pain of forfeiture, in writing to our registered office in Sassuolo within 8 days from the receipt of the goods and before installation of the material. In any event, the right to take action shall become statute-barred one year after the delivery of the goods.9.2 The installation of the material will void the rights of any action by the buyer for any complaint or claim, for both visible and concealed faults, and will imply implicit accept-ance of the goods supplied according to art. 1490 of the Italian Civil Code. 9.3 Colour and/or hues variation should not and will not be considered as a flaw in the material. Micro fractures on mosaics and/or shade variations are a natural characteristic of the product.9.4 If a complaint is made, the buyer must ensure that the contested goods are made avail-able to technicians and experts sent by the Venus Italia srl. 9.5 If a complaint is proved to be founded following checks carried out by Venus Italia srl, the company shall only be liable for replacing the non-conforming goods, without entitling the buyer to demand the recession of the contract or the reduction of the sale price and/or damages and the reimbursement of costs incurred of any kind.

10. RETURN OF GOODS10.1 In order to return goods, Venus Italia srl must receive a written request from the buyer. The goods supplied may not be returned unless prior written authorisation has been given by Venus Italia srl.10.2 If Venus Italia srl accepts the request, goods must be returned in their original packag-ing, completely intact, loaded on pallet, if necessary, and protected from damp. Returned goods shall enclose the delivery note issued by the buyer indicating the quantity and de-scription of the goods returned.10.3 Returned goods which reach Venus Italia warehouse in a damaged state, they will not be accepted.

11. LIABILITY CONCERNING THE LAYING OF MATERIALS11.1 Venus Italia srl does not in any way supply the service of laying the mosaic along with the supply of the material, not unless otherwise agreed.11.2 Venus Italia srl declines therefore all responsibility for defects and/or flaws that may be attributed to laying operations. The company does not accept complaints or demands for compensation of damages stemming from defects and/or difficulties caused during laying operations if the physical, chemical, mechanical and dimensional characteristics of the said material conform to the standards established when it was ordered and supplied.

12. APPLICABLE LAW – JURISDICTION AND COMPETENT AUTHORITIES12.1 The contract of which these general conditions are an integrated part is governed by current Italian laws.12.2 Any controversy that should arise between the parties shall be heard before Modena Court.

ALLGEMEINE VERKAUFSBEDINGUNGEN

1. EINFÜHRUNGDie vorliegende Verkaufsbedingungen regeln, abgesehen von eventuellen schriftlich verein-barten Abänderungen oder Abweichungen, alle Verkaufsverträge zwischen Venus Italia srl und dem Käufer. Abänderungen der allgemeinen Verkaufsbedingungen, Transaktionen oder Preisnachlässe, auch wenn sie auf Initiative unsere Vertreter veranlasst wurden, sind für uns verbindlich erst nach unserer schriftlichen Bestätigung und auf jeden Fall beschränkt auf die Verträge, auf die sie sich beziehen.

2. AUFTRAGSBESTÄTIGUNG2.1 Der Text unserer Auftragsbestätigung besitzt vorrangige Gültigkeit vor dem abweichen-den Text des eventuellen Angebots oder der Bestellung. 2.2 Falls in unserer Auftragsbestätigung Unterschiede zu den Vereinbarungen oder der Be-stellung bestehen, muss der Käufer Venus Italia darüber unverzüglich und schriftlich infor-mieren. Wenn der Käufer diese Abweichungen nicht innerhalb von 48 Stunden ab Erhalt der Bestätigung schriftlich beanstanden hat, ist er dazu verpflichtet, die Auftragsbestätigung wie sie ausgestellt wurde, zu akzeptieren.

3. LIEFERUNG 3.1 Die Ware wird ab unserem Lager in Roteglia verkauft, außer im Fall anderer schriftlicher Vereinbarungen. 3.2 Die Ware, auch wenn sie “frei Ankunftsort” oder frei Haus des Käufers verkauft wird, reist auf Risiko und Gefahr des Käufers. Jene Verantwortung von Venus Italia endet mit der Warenübergabe an den Frachtführer, an den der Käufer eventuelle Reklamationen bezüglich Mangel, Zerbrechen, Beschädigung, Zerstörung, oder Diebstahl zu richten hat. 3.3 Versand auf dem See- oder Landweg betreffend ins Ausland gehende Lieferungen wer-den gemäß den von Fall zu Fall gewählten Bedingungen ausgeführt, die in den von der Internationalen Handelskammer genehmigten INCOTERMS 2000 und den nachfolgenden Ergänzungen angegeben sind.

4. LIEFERTERMIN 4.1 Als Lieferdatum wird jener Tag angesehen, an dem dem Kunde die Versandbereitschaft der Waren mitgeteilt wird. 4.2 Der Liefertermin muss normalerweise als ungefähr und nicht verbindlich angesehen werden, außer im Fall anderer schriftlicher Vereinbarungen. Aus diesem Grund können eventuelle Lieferverzüge keinesfalls Anlass für Schadenersatzforderungen oder Vetragsauf-lösung sein, auch nicht teilweise. 4.3 Jedes Ereignis höher Gewalt setzt die Lieferfrist für seine gesamte Länge aus, ohne dass Venus Italia für daraus entstehenden Schaden zur Verantwortung gezogen werden kann. 4.4 Unter höher Gewalt versteht man jenen vom Verkäufer unabhängigen Umstand, der die Vertragserfüllung permanent oder vorübergehend unmöglich gestaltet, wie beispielshalber Krieg oder Kriegsbedrohung, Aufstände, Streik, Rohstoffengpässe, Lieferausfälle seitens Un-terlieferanten, Transportschwierigkeiten, Import- oder Exportbeschränkungen, Brand, Frost, Naturkatastrophen sowie andere unvorsehbare Behinderungen, die die Fertigung oder den Transport der Waren teilweise oder vollkommen unmöglich machen.

5. VERPACKUNG5.1 Das Mosaik sowie die Fliesen werden in Kartons auf Paletten verpackt (Standardver-packung.)5.2 Der Verpackungspreis wird nach Vereinbarungen berechnet. 5.3 Der Preis der vom Standard abweichenden Verpackungen wird im Augenblick der Be-stellung quantifiziert. 5.4 Die Verpackungen von Venus Italia gewährleisten nicht die Abdichtung der in ihnen enthaltenen Waren und Produkte.

6. ZAHLUNGSBEDINGUNG6.1 Die Zahlung der Lieferungen von Venus Italia srl muss mit den in der Auftragsbestäti-gung und/oder Rechnung angegebenen Modalitäten und innerhalb der angegebenen Fristen erfolgen. 6.2 Venus Italia ist jeweils nach eigenen Ermessen berechtigt, bei Bestellung personalisierter oder Nicht-Standard Produkte die Vorauszahlung des Gesamtbetrages zu verlangen.

7. NICHTBEZAHLUNG ODER ZAHLUNGSVERZUG7.1 Nach Ablaufen der Zahlungsfrist ist der nicht erfüllende Käufer zu Recht als in Verzug gesetzt zu betrachten. 7.2 Bei auch nur teilweisem Zahlungsverzug der von Venus Italia ausgestellten Rechnun-gen kommen somit augenblicklich Verzugszinsen in Höhe von 7 Prozentpunkte über dem

Basiszinssatz zum Tragen und es werden dem Käufer die für die Eintreibung der Forderung getragenen außergerichtlichen Kosten in Rechnung gestellt. 7.3 Bei Zahlungsverzug seitens des Käufers oder wenn Venus Italia srl Anlass zur Annahme hat, dass der Käufer seinen Zahlungsverpflichtungen nicht nachkommen wird, kann Venus Italia srl, ohne dass dem Käufer hieraus Anspruch auf Schadenersatz erwächst und ohne Beeinträchtigung all seiner höheren Rechte, Folgendes unternehmen:

a) Vorauszahlung oder Garantie verlangen; b) die Auslieferung eventueller anderer Bestellungen annullieren;c) die Ausführung aller bestehenden Lieferverträge aussetzen oder widerrufen;d) eventuell vereinbarte privilegierte Zahlungsbedingungen, die sich unter Umständen

auch auf andere Verträge erstrecken, widerrufen und alle mit dem Käufer bestehenden Forderungen sofort einfordern.

8. EIGENTUMSVORBEHALT In Fällen, in denen die Zahlung laut vertraglichen Vereinbarung ganz oder teilweise nach der Lieferung erfolgt, verbleibt die gelieferte Ware bis zur vollständigen Begleichung des Rechnungsbetrages Eigentum von Venus Italia srl.

9. REKLAMATIONEN9.1 Eventuelle Reklamationen oder Beanstandungen bei mangelhafter Ware müssen, bei sonstigem Verfall des Garantieanspruchs, schriftlich innerhalb 8 Tage ab Erhalt der Ware bei unserem Verwaltungssitz in Sassuolo angemeldet werden. Das Material muss vor Verlegung überprüft werden, und nachträgliche Reklamationen können nicht berücksichtigt werden. Auf jeden Fall verjährt der Anspruch auf die Geltendmachung der Rechte ein Jahr nach Warenübergabe.9.2 Die Verlegung des Materials hat den Verfall der Klage wegen Mängeln sowohl offenkundiger als auch aus verborgener Art zur Folge und bringt den selbstverständ-lichen Verzicht auf die Garantie gemäß Art. 1490 des Italienischen Bürgerlichen Ge-setzbuches mit sich. 9.3 Farbabweichungen gelten nicht als Mängel. Leicht Farbabweichungen oder eine even-tuelle Mikroporosität sind für das Produkt typisch. 9.4 Bei Reklamationen hat der Käufer die beanstandete Ware den vom Venus Italia entsand-ten Technikern und Fachkräfte zur Verfügung zu stellen. 9.5 Infolge der von den Technikern von Venus Italia getätigten Prüfung als gerechtfertigt angesehen Reklamationen, ist Venus Italia srl nur dazu verpflichtet, die nicht konforme Ware zu ersetzen. Keinesfalls hat der Käufer hinaus ein Recht auf Vertragsauflösung, Preisminde-rung und/oder Schadenersatz oder Rückvergütung der von ihm in diesem Zusammenhang irgendwie erwachsenen Kosten.

10. WARENRÜCKGABE10.1 Für eine Warerückgabe muss Venus Italia srl vom Käufer eine schriftliche Anfrage er-halten. Wenn nicht ausdrücklich schriftlich von Venus Italia akzeptiert, ist keine Rückgabe der gelieferte Ware zulässig. 10.2 Akzeptiert Venus Italia srl die Warerückgabe, ist die Ware in ihrer Originalverpackung, intakt und, sofern erforderlich, auf Palette und vor Feuchtigkeit geschützt, zurückzugeben. Die Ware muss vom Frachtschein des Käufers begleitet sein, der klar und leserlich die Men-ge und Beschreibung der zurückgegebenen Ware enthalten muss.10.3 Sollte die Ware beschädigt im Lager von Venus Italia srl eintreffen, wird sie nicht an-genommen.

11. MATERIALVERLEGUNG BETREFFENDE HAFTUNG11.1 In der Lieferung des Materials ist in keiner Weise auch die Verlegung inbegriffen, außer schriftlich im Voraus anders vereinbart. 11.2 Venus Italia srl haftet daher keinesfalls für Mängel und/oder Defekte, die auf die Verle-gung zurückzuführen sind. Aus diesem Grund werden keine Reklamationen oder Schaden-ersatzforderungen akzeptiert, welche auf Mängel und/oder Pannen während der Verlegung zurückzuführen sind und in irgendeiner Weise das gelieferte Material beeinträchtigen, sofern dessen physikalische, chemische, mechanische und maßbezogene Merkmale den der Be-stellung und der Lieferung zugrunde liegende Bedingungen entsprechen.

12. ANWENDBARES RECHT E ZUSTAENDIGER GERICHTSSTAND12.1 Samt den vorliegenden allgemeine Verkaufsbedingungen ist das Italienische Recht auf alle Verträge zwischen Venus Italia und dem Käufer anzuwenden. 12.2 Für alle eventuelle Streitigkeiten ist das Gericht von Modena zuständig.
