Site, South Hope, Maine Dear THORE OHLSSON: The purpose of this letter is four-fold: I) to notify you of potential liability which your company may incur or may have incurred with respect to the above-referenced Site; II) to formally demand your company to reimburse EPA for the past costs, including interest thereon, that have been incurred in response to the environmental problems at the Site; III)to request your company to respond to the questions posed in Enclosure A of this letter; and IV) to outline EPA's intended schedule and framework for enforcement activities in this case. I - Notice of Potential Liability The United States Environmental Protection Agency (EPA) has documented the release and threatened release of hazardous substances, pollutants and contaminants at the above-referenced Site. EPA has spent and is consideringspsnding additional public funds on actions to investigate and control such releases or threatened releases at the Site. Unless EPA determines that a responsible party will properly perform such actions, EPA will itself perform these actions pursuant to Section 104 of the Comprehensive Environmental Response, Compensation,and Liabilty Act of 1980, 42 U.S.C.     I - Notice of Potential L i a b i l i t y

    The United States Environmental Protection Agency (EPA) has

    documented the release and threatened release of hazardous

    substances, poll u t a n t s and contaminants at the above-referenced

    S ite. EPA has spent and i s consideringspsnding a d d i t i o n a l public

    funds on actions t o investigate and control such releases or

    threatened releases at the Site. Unless EPA determines t h a t a

    responsible party w i l l properly perform such actions, EPA w i l l

    i t s e l f perform these actions pursuant t o Section 104 of the

    Comprehensive Environmental Response, Compensation,and L i a b i l t y Act

    of 1980, 42 U.S.C. Sec. 9601 et seg. (CERCLA),as amended by the

    Superfund Amendments and Reauthorization Act of 1986, Pub. L. No.

    99-499 (1986) (SARA).

    Under Sections 106(a) and 107(a) of CERCLA, 42 U.S.C. Sec.

    9606(a)and 9607(a), Section 7003 of the Resource Conservation and

    Recovery Act, 42 U.S.C. Sec. 6973 (RCRA), and other laws,

    responsible parties may be obligated to implement r e l i e f actions

    deemed necessary by EPA to protect the public health, welfare or

    the environment and may be liable for a l l costs incurred by the

    government in responding to any release or threatened release at

    the Site. Such costs may include, but are not limited to,

    expenditures for investigation, planning, response, and enforcement

    a c t i v i t i e s . By this letter, EPA notifies you of your potential

    l i a b i l i t y with regard to this matter.

    Responsible parties under CERCLA include current and former

    owners and operators of the Site as well as persons who arranged

    for disposal or treatment of hazardous substances found at the Site

    (generators), or persons who accepted hazardous substances for

    transport to the Site (transporters). Based on information

    available to EPA, including Union Chemical Company f i l e s (see

    sample - Enclosure D), the Agency believes that you may be a

    responsible party.

    Specifically, EPA believes that your company by contract, agreement

    or otherwise; arranged for the disposal, treatment or

    transportation of hazardous substances found at the Site; or

    accepted for transport hazardous substances found at the Site. You

    are hereby notified that the following studies and/or a c t i v i t i e s

    w i l l be conducted at the Site:

    1. Remedial Investigations (RI) to identify the local

    characteristics of the Site and to define the nature and extent of

    s o i l , a i r , surface water and groundwater contamination at the Site;

    2. F e a s i b i l i t y Studies (FS) to evaluate the f e a s i b i l i t y of

    various remedial actions to remove or contain hazardous

    substances, pollutants, and contaminants at the Site;

    3. Design and implementation of the remedial action selected

    and approved by EPA for the Site;

    4. Provision of any monitoring, operation, and maintenance

    necessary at the Site after the construction phase of remedial

    action i s completed.

    In addition to those enumerated above, EPA may, pursuant to i t s

    authorities under CERCLA and other laws, decide that other clean-up

    a c t i v i t i e s are necessary to protect public health, welfare, or the

    environment.

    I I - Demand for Payment of Costs Incurred to Date

    In accordance with CERCLA and other authorities, EPA has

    already undertaken certain actions and incurred certain costs in

    response to conditions at the Site. These response actions

    included the removal of over 2,000 drums and over 100,000 gallons

    of hazardous materials and sludges. The cost of these response

    actions was approximately $1,3 68,676. The Agency anticipates

    expending additional funds for response a c t i v i t i e s at the Site

    under the authority of CERCLA and other laws, including those

    response actions described above. In accordance with Section

    107(a)(4)(D) of CERCLA, as amended by SARA, demand i s hereby made

    for payment of the above amount plus any and a l l interest

    authorized to be recovered under that Section or any other

    provisions of the law. Demand i s also hereby made under these

    authorities for payment of interest on a l l future costs that EPA

    may accrue in regard to the Site.

    I I I . Request for Information

    For purposes of determining the need for response, choosing or

    taking response actions and otherwise enforcing the provisions of

    CERCLA, EPA i s assembling information. EPA's investigation into

    the source, extent and nature of release or threatened release of

    hazardous substances, pollutants or contaminants at the Union

    Chemical Co., Inc., Site requires inquiry into the generation,

    storage, treatment and disposal of such substances from 1969 to the

    present. EPA i s also investigating the a b i l i t y of persons

    connected with the Site to pay for or perform cleanup of the Site.

    You are hereby requested to respond to the Information Request set

    forth in Enclosure A, pursuant to the authority of Section 104 of

    CERCLA as amended by SARA, and Section 3 007 of RCRA. You are

    required to respond to the information request within th i r t y (30)

    days of receipt of this letter.

    Compliance with the Information Request set forth in Enclosure A i s

    mandatory. Failure to respond fully and truthfully to each and

    every Information Request within thirty (30) days of receipt of

    this letter, or to adequately j u s t i f y such failure to respond, can

    result in enforcement action by EPA pursuant to Section 104 of

    CERCLA, as amended, and/or Section 3008 of RCRA. Each of these

    statutes permit EPA to seek the imposition of penalties of up to

    twenty-five thousand dollars ($25,000) for each day of continued

    non-compliance. Please be further advised that provision of false,

    f i c t i t i o u s , or fraudulent statements or representations may subject

    you to criminal penalties under 18 U.S.C. Sec. 1001.

    IV. Enforcement Activities Schedule

    EPA would li k e to encourage future good faith negotiations

    between you and the Agency and among you and other parties

    potentially responsible for the conditions at the Site. To ass i s t

    responsible parties, EPA i s providing the following information:

    1. A l i s t of names and addresses of potentially responsible

    parties to whom this notification i s being provided. This l i s t

    represents EPA's preliminary findings on the identities of

    potentially responsible parties. Inclusion on or exclusion from

    the l i s t does not constitute a fi n a l determination by the Agency

    concerning the l i a b i l i t y of any party for the hazard or

    contamination at the Site (Enclosure B).

    2. A preliminary ranking by volume of waste received at the

    f a c i l i t y from each potentially responsible party (Enclosure C).

    The ranking i s subject to change as new information becomes

    available.

    your company (Enclosure D). These documents are being provided

    solely to aid you in making an accurate and complete search of

    company f i l e s in responding to the enclosed information request.

    Please be advised that EPA has determined that the above documents

    are investigatory records compiled for law enforcement purposes.

    The public release of these records may interfere with enforcement

    proceedings and the disclosure of investigatory techniques and

    procedures. As such, the records are exempt from mandatory

    disclosure under the investigatory records exemption of the Freedom

    of Information Act, 5 U.S.C. Sec. 552(b)(7). Nevertheless, a

    limited disclosure of these records i s being made in order to

    further the settlement negotiations and to encourage communication

    among the parties. A l l of the enclosed documents are being

    provided as a discretionary release of information to the

    potentially responsible parties, and they should not be disclosed

    further or made publicly available in any context unless you are

    given prior approval by EPA.

    The major components and schedule for EPA's planned enforcement

    a c t i v i t i e s following your receipt of this l e t t e r are as follows:

    May 5, 1987, Potentially Responsible Party meeting. You w i l l

    receive an additional lett e r with details about three (3) weeks

    prior to this meeting.

    May 11, 1987, Invocation of SARA Sec. 122 Special Notice

    Procedures. EPA w i l l be providing a special notice l e t t e r and w i l l

    be observing the negotiation time frames and moratorium established

    in Sec. 122 of SARA.

    May 11 to July 11, 1987: Good Faith offer period.

    July 11 to August 11, 1987: Extension of Negotiations i f good

    faith offer provided.

    July 11 or August 11, 1987: Termination of Negotiations.

    September 1, 1987: Commencement of Litigation.

    EPA w i l l seek two major items in the negotiations. I t w i l l be

    seeking recovery of past costs, primarily those incurred during the

    drum removal actions of the Site in 1984. The Agency w i l l also be

    looking for a commitment by PRP's to conduct the RI/FS and to

    provide oversight costs.

    The factual and legal discussions in this letter are intended

    solely to provide notice and information, and such discussions are

    not to be construed as a final agency position on any matter set

    forth herein. Due to the seriousness of the environmental and

    legal problems posed by conditions at the Site, EPA urges that

    immediate attention and a prompt response be given to this letter.

    ENCLOSURE A

    Instructions

    1. A separate response must be made to each of the Requests set

    forth in this Information Request.

    2. Precede each response with the number of the Request to which

    i t corresponds.

    3. In answering each Request, identify a l l documents and persons

    that contributed information relating to your response.

    4. I f information not known or hot available to you as of the date

    of submission of a response to this Information Request should

    later become known or available to you, you must supplement your

    response to EPA. Moreover, should you find, at any time after the

    submission of the response, that any portion of the submitted

    information i s false or misrepresents the truth, you must notify

    EPA thereof as soon as possible.

    5. For each document produced in response to t h i s Information

    Request indicate on the document, or in some other reasonable

    manner, the number of the Request to which i t relates.

    6. The information requested herein must be provided

    notwithstanding i t s possible characterization as confidential

    information or trade secret. You may, i f you desire, assert a

    business confidentiality claim covering part or a l l of the

    information requested in the manner described by CERCLA, as amended

    by SARA, Sec. 104(e)(7)(C)(E) and (F) by attaching to such

    information at the time i t i s submitted, a cover sheet, stamped or

    typed legend, or other suitable form of notice employing language

    such as "trade secret," or "proprietary" or "company confidential."

    Information covered by such aclaim w i l l be disclosed by EPA only to

    the extent, and only by means of the procedures set in CERCLA

    Sec. 104. I f no such claim accompanies the information when i t i s

    received by EPA, i t may be made available to the public by EPA

    without further notice to you. You should read the above cited

    statutory provisions carefully before asserting a business

    confidentiality claim, since certain categories of information are

    not properly the subject of such a claim.

    7. Where specific information has not been memorialized in any

    document, but i s nonetheless responsive to a Request, you must

    respond to the Request with a written response.

    8. I f information responsive to this Information Request i s not in

    your possession, custody or control, then identify the persons from

    whom such information may be obtained.

    Definitions

    The following definitions shall apply to the following words as

    they appear in this Enclosure A:

    l / " The terms "you" or "Respondent" shall mean the addressee of

    this Request, the addressee's officers, managers, employees,

    contractors, trustees, successors, assigns and agents.

    2. The term ''person" as used herein includes, in the plural as

    well as the singular, any natural person, firm, unincorporated

    association, partnership, corporation, trust or entity.

    3. The terms "the Site" or "the f a c i l i t y " s h a l l mean and include

    the property on or about the Union Chemical Co., Inc., Site owned

    by Mr. Raymond Esposito, that i s in South Hope, Maine.

    4. The term "hazardous substance" shall have the same definition

    as that contained in Section 101(14) of CERCLA, and includes any

    mixtures of such hazardous substances with any other substances,

    including petroleum products. For purposes of th i s information

    request i t sh a l l also include materials within the definition of

    hazardous waste as defined by Sec. 1004(5) of RCRA.

    5. The term "pollutant or contaminant," sh a l l have the same

    definition as that contained in Section 101(33) of CERCLA,and

    includes any mixtures of such pollutants and contaminants with any

    other substances, including petroleum products.

    6. The term "identify" means, with respect to a natural person,to

    set forth the person's name, present or l a s t known business address

    and business telephone number, present or l a s t known home address

    and home telephone number, and present or l a s t known job t i t l e ,

    position or business.

    7. The term "identify" means, with respect to the corporation,

    partnership, business trust or other association or business entity

    (including a sole proprietorship) to set forth i t s f u l l name,

    address, legal form (e.g. corporation, partnership, etc . ) ,

    organization, i f any, and a brief description of i t s business.

    8. The term "identify" means, with respect to a document, to

    provide i t s customary business description, i t s date, i t s number i f

    any (invoice or purchase order number), the identity of the author,

    address or, addressee and/or recipient, and the substance or the

    subject matter.

    9. The term "release" includes any s p i l l i n g , leaking, pumping,

    pouring, emitting, emptying, discharging, injecting, escaping,

    leaching, dumping, or disposing into the environment, including the

    abandonment or discarding of barrels, containers, and other closed

    receptacles containing any hazardous substance or pollutant or

    contaminant.

    10. The terms "document" and "documents" sha l l include writings of

    any kind, formal or informal, whether or not wholly or pa r t i a l l y in

    handwriting (including by way of i l l u s t r a t i o n and not by way of

    limitation), any invoice, receipt, endorsement, check, bank draft,

    cancelled check, deposit s l i p , withdrawal s l i p , order,

    correspondence, record book, minutes, memorandum of telephone and

    other conversations including meetings, agreements and the li k e ,

    diary, calendar, desk pad, scrapbook, notebook, bulletin, circular,

    form, pamphlet, statement, journal, postcard, l e t t e r , telegram,

    telex, report, notice, message, analysis, comparison, graph, chart,

    inter-office or intra-office communications, photostat or other

    copy of any documents, microfilm or other film record, any

    photograph, sound recording on any type of device, any punch card,

    disc or disc pack; any tape of other type of memory generally

    associated with computers and data processing (together with the

    programming instructions and other written material necessary to

    use such punch card, disc, or disc pack, tape or other type of

    memory and together with printouts of such punch card, disc, or

    disc pack, tape or other type of memory;) including (a) every copy

    of each document which i s not an exact duplicate of a document

    which i s produced, (b) every copy which has any writing, figure or

    notation, annotation or the lik e on i t , (c) drafts, (d) attachments

    to or enclosures with any document and (e) every document referred

    to in any other document.

    11. The terms "and" and "or" shall be construed either d i s

    junctively or conjunctively as necessary to bring within the scope

    of this Information Request any information which might otherwise

    be construed to be outside their scope.

    12. The terms "transaction" or "arrangement" means every separate

    agreement, act, deal, instance or occurrence.

    13. The term "asset" shall include the following: real estate,

    buildings or other improvements to real estate, equipment,

    vehicles, furniture, inventory, supplies, customer l i s t s , accounts

    receivable, interests in insurance policies, interests in

    partnerships, corporations and unincorporated companies,

    securities, patents, stocks, bonds, and other tangible as well as

    intangible property.

    General Information

    a. Identify the person(s) answering these requests on behalf

    of your company.

    b. Identify a l l persons consulted in preparing answers to

    these requests.

    c. Identify a l l documents consulted, examined, or referred

    to in preparing answers to these requests and provide

    copies of a l l such documents.

    d. State whether a diligent record search has been completed

    and whether there has been a diligent interviewing

    process with present and former employees of your company

    who may have knowledge of the operations, hazardous

    substances use, storage, treatment, disposal or other

    handling practices from 1969 and to the present.

    e. Describe what steps were undertaken in the record search

    and interviewing process.

    f. I f you have reason to believe that there may be persons

    able to provide a more detailed or complete response to

    any request contained herein or who may be able to

    provide additional responsive documents, identify such

    persons and the additional information or documents that

    they may have.

    Financial/Corporate Information

    a. Please state the correct legal name of your company,

    agency or business. Provide the name and address of the

    current president and chairman of the board of directors

    of your company. Additionally, please state any other

    names by which your company has been known.

    b. I f the company i s or was a subsidiary of another

    corporation, identify such other corporation and state

    the dates during which the parent/subsidiary relationship

    existed and the name and address of that corporation

    president and chairman of the board and other officers.

    c. Identify the state of incorporation, agent for service,

    and the EPA identification number of a l l companies

    identified in response to question 2 a and b above.

    b r i e f l y describe i t s operation.

    e. State every location at which your company has operated

    and the dates of operation at each location.

    f. Identify a l l l i a b i l i t y insurance policies held by

    Respondent from 1969 to the present. In identifying such

    p olicies, state the name and address of each insurer and

    of the insured, the amount of coverage under each policy,

    the commencement and expiration dates for each policy,

    whether or not the policy contains a "pollution

    exclusion" clause, and whether the policy covers or

    excludes sudden, non-sudden or both types of accident.

    g. Identify a l l of Respondent's current assets and

    l i a b i l i t i e s and current net worth.

    3. Generator/Transporter Information

    a. Has your company arranged for disposal or treatment, or

    transportation for disposal or treatment, of hazardous

    substances to the Union Chemical Company Site?

    such disposal, treatment, or transportation to the Site;

    c. the persons with whom you or such other persons made such

    arrangements, including, but not limited to the enclosed

    e. for each transaction, the nature of the hazardous sub

    stances including the chemical content, characteristics,

    physical state (e.g., solid, liquid), and the process for

    which the substance was used or the process which

    generated the substance;

    f. the quantity of the hazardous substance involved (weight

    or volume) in each transaction and the total quantity for

    a l l transactions;

    g. a l l tests or analyses and analytical results concerning

    each hazardous substance, each shipment or waste type;

    h. the amount paid in connection with each transaction, the method of payment, and the identity of the person from whom payment was received;

    i . the type and number of containers in which the hazardous substances were contained when they were accepted for transport, and subsequently until they were deposited at the Site and a l l markings on such containers;

    4. a. Have you or any other person working with you or on your behalf ever accepted hazardous substances for transportation to the Site from any person? I f the answer to this question i s anything but an unequivocal no, identify:

    b. The persons from whom you or such other persons accepted hazardous substances for transport to the Site;

    c. Every date on which hazardous substances were so accepted or transported;

    d. For each transaction, the nature of the hazardous substances accepted or transported, including the chemical content, characteristics, physical state (e.g., solid, liquid), and the process for which the material was used or the process which generated the material;

    e. For each hazardous substance, describe any warnings given to you with respect to i t s handling;

    f. The owner of the hazardous substances so accepted or transported;

    g. The quantity of the hazardous substances involved (weight or volume) in each transaction and the total quantity for a l l transactions;

    h. All test or analyses and analytical results concerning each hazardous substance;

    i . The price charged for transport and/or disposal per drum, barrel, container, load (or whatever unit used) of waste materials brought to the Site.

    any and a l l documents, including but not limited to, billing

    records, shipping orders, invoices and manifests, evidencing any

    arrangement by you for the treatment, transportation or disposal of

    hazardous substances identified above.
