The Government of the Philippines (GoP) has received a Loan from the World BanktowardsthecostofPhilippineRuralDevelopmentProgramanditintendstoapplypartof theproceedsof this Loan topaymentsunder the contract for the Improvement ofCalantas–Planas–SanJoseFarmtoMarketRoad/PRDP-IB-RO03-PAM-001-000-000-2014-AF.

1. TheProvincialGovernmentofPampanga, implementingpartneroftheDepartmentofAgriculture,nowinvitesbidsfortheImprovementofCalantas–Planas–SanJoseFarmtoMarket Road. Completion of theWorks is required by256 calendar days. Biddersshouldhavecompleted,withinthe last five (5)years,acontractsimilar totheProject.ThedescriptionofaneligiblebidderiscontainedintheBiddingDocuments,particularly,inSectionII.InstructionstoBidders.

A. General

1. ScopeofBid

1.1. TheProcuring Entitynamed in theBDS, invitesbids for the constructionofWorks,asdescribedinSectionVI.Specifications.

1.2. The name, identification, and number of lots specific to this bidding areprovidedintheBDS.ThecontractingstrategyandbasisofevaluationoflotsisdescribedinITBClause27.

1.3. The successful Bidder will be expected to complete the Works by theintendedcompletiondatespecifiedinSCCClause1.17.

2. SourceofFunds

TheProcuringEntityhasabudgetorreceivedfundsfromtheFundingSourcenamedintheBDS,andintheamountindicatedintheBDS. It intendstoapplypartofthefunds received for the Project, as defined in the BDS, to cover eligible paymentsundertheContractfortheWorks.

3. Corrupt,Fraudulent,Collusive,Coercive,andObstructivePractices

3.1. UnlessotherwisespecifiedintheBDS,theProcuringEntity,aswellasbiddersand contractors, shall observe the highest standard of ethics during theprocurementandexecutionofthecontract.Inpursuanceofthispolicy,theFundingSource:

(a) defines, forpurposesof thisprovision, the terms set forthbelowasfollows:

(i) "corrupt practice"means behavior on the part of officials inthe public or private sectors by which they improperly andunlawfully enrich themselves, others, or induce others to doso, by misusing the position in which they are placed, andincludestheoffering,giving,receiving,orsolicitingofanythingof value to influence the action of any such official in theprocurement process or in contract execution; entering, onbehalfoftheProcuringEntity,intoanycontractortransactionmanifestlyandgrosslydisadvantageoustothesame,whetheror not the public officer profited or will profit thereby, andsimilaractsasprovidedinRepublicAct3019;

(ii) "fraudulent practice" means a misrepresentation of facts inordertoinfluenceaprocurementprocessortheexecutionofacontracttothedetrimentoftheProcuringEntity,andincludescollusive practices among Bidders (prior to or after Bidsubmission)designed toestablishbidpricesatartificial,non-

competitive levels and todeprive theProcuring Entity of thebenefitsoffreeandopencompetition;

(iii) “collusive practices” means a scheme or arrangementbetweentwoormoreBidders,withorwithouttheknowledgeof the Procuring Entity, designed to establish bid prices atartificial,non-competitivelevels;and

(iv) “coercive practices”means harming or threatening to harm,directly or indirectly, persons, or their property to influencetheir participation in a procurement process, or affect theexecutionofacontract;

(v) “obstructivepractice”is

(aa) deliberatelydestroying,falsifying,alteringorconcealingofevidencematerialtoanadministrativeproceedingsorinvestigationormakingfalsestatementstoinvestigatorsinordertomateriallyimpedeanadministrativeproceedingsorinvestigationoftheProcuringEntityoranyforeigngovernment/foreignorinternationalfinancinginstitutionintoallegationsofacorrupt,fraudulent,coerciveorcollusivepractice;and/orthreatening,harassingorintimidatinganypartytopreventitfromdisclosingitsknowledgeofmattersrelevanttotheadministrativeproceedingsorinvestigationorfrompursuingsuchproceedingsorinvestigation;or

(bb) actsintendedtomateriallyimpedetheexerciseoftheinspectionandauditrightsoftheProcuringEntityoranyforeigngovernment/foreignorinternationalfinancinginstitutionherein.

(b) will reject a proposal for award if it determines that the Bidderrecommended for award has engaged in corrupt or fraudulentpracticesincompetingfortheContract;and

(c) willdeclareafirmineligible,eitherindefinitelyorforastatedperiodoftime,tobeawardedContractfundedbytheFundingSourceifitatany time determines that the firm has engaged in corrupt orfraudulent practices in competing or, or in executing, a ContractfundedbytheFundingSource.

3.2. Further, the Procuring Entity will seek to impose the maximum civil,administrative,and/orcriminalpenaltiesavailableundertheapplicablelawson individuals and organizations deemed to be involved in any of thepracticesmentionedinITBClause3.1(a).

3.3. Furthermore, theFundingSourceandtheProcuringEntity reserve therightto inspectandauditrecordsandaccountsofacontractor inthebiddingforandperformanceofacontractthemselvesorthroughindependentauditorsasreflectedintheGCCClause34.

4. ConflictofInterest

4.1. All Bidders found to have conflicting interests shall be disqualified toparticipateintheprocurementathand,withoutprejudicetotheimpositionofappropriateadministrative,civil,andcriminalsanctions.ABiddermaybeconsidered to have conflicting interests with another Bidder in any of theevents described in paragraphs (a) through (c) and a general conflict ofinterest in any of the circumstances set out in paragraphs (d) through (g)below:

(a) A Bidder has controlling shareholders in common with anotherBidder;

(b) ABidderreceivesorhasreceivedanydirector indirectsubsidyfromanyotherBidder;

(c) ABidderhasthesamelegalrepresentativeasthatofanotherBidderforpurposesofthisBid;

(d) ABidderhasarelationship,directlyorthroughthirdparties,thatputstheminapositiontohaveaccesstoinformationaboutorinfluenceonthebidofanotherBidderor influencethedecisionsoftheProcuringEntityregardingthisbiddingprocess;

(e) ABiddersubmitsmorethanonebidinthisbiddingprocess.However,this does not limit the participation of subcontractors inmore thanonebid;

(f) ABidderwhoparticipated as a consultant in thepreparationof thedesign or technical specifications of the goods and related servicesthatarethesubjectofthebid;or

(g) ABidderwholends,ortemporarilyseconds,itspersonneltofirmsororganizations which are engaged in consulting services for thepreparation related to procurement for or implementation of theproject, if the personnel would be involved in any capacity on thesameproject.

4.2. InaccordancewithSection47oftheIRRofRA9184,allBiddingDocumentsshallbeaccompaniedbyaswornaffidavitoftheBidderthatitisnotrelatedtotheHeadoftheProcuringEntity(HoPE),membersoftheBidsandAwardsCommittee (BAC), members of the Technical Working Group (TWG),membersoftheBACSecretariat,theheadoftheProjectManagementOffice(PMO)ortheend-userunit,andtheprojectconsultants,byconsanguinityor

affinityuptothethirdcivildegree.OnthepartoftheBidder,thisClauseshallapplytothefollowingpersons:

(a) If the Bidder is an individual or a sole proprietorship, to the Bidderhimself;

(b) IftheBidderisapartnership,toallitsofficersandmembers;

(c) If the Bidder is a corporation, to all its officers, directors, andcontrollingstockholders;

(d) If the Bidder is a cooperative, to all its officers, directors, andcontrollingshareholdersormembers;and

(e) IftheBidderisajointventure(JV),theprovisionsofitems(a),(b),(c)or (d) of this Clause shall correspondingly apply to each of themembersofthesaidJV,asmaybeappropriate.

Relationship of the nature described above or failure to comply with thisClausewillresultintheautomaticdisqualificationofaBidder.

5. EligibleBidders

5.1. UnlessotherwiseindicatedintheBDS,thefollowingpersonsshallbeeligibletoparticipateinthisBidding:

(a) DulylicensedFilipinocitizens/soleproprietorships;

(b) Partnershipsdulyorganizedunderthe lawsofthePhilippinesandofwhich at least seventy five percent (75%) of the interest belongs tocitizensofthePhilippines;

(c) CorporationsdulyorganizedunderthelawsofthePhilippines,andofwhich at least seventy five percent (75%) of the outstanding capitalstockbelongstocitizensofthePhilippines;

(d) CooperativesdulyorganizedunderthelawsofthePhilippines.

(e) Persons/entitiesformingthemselvesintoaJV,i.e.,agroupoftwo(2)or more persons/entities that intend to be jointly and severallyresponsible or liable for a particular contract: Provided, however,that, in accordance with Letter of Instructions No. 630, Filipinoownershiporinterestofthejointventureconcernedshallbeatleastseventy five percent (75%): Provided, further, that joint ventures inwhichFilipinoownershipor interest is lessthanseventyfivepercent(75%) may be eligible where the structures to be built require theapplication of techniques and/or technologies which are notadequately possessed by a person/entity meeting the seventy fivepercent (75%)Filipinoownershiprequirement:Provided, finally, that

inthelattercase,Filipinoownershiporinterestshallnotbelessthantwenty five percent (25%). For this purpose, Filipino ownership orinterestshallbebasedonthecontributionsofeachofthemembersofthejointventureasspecifiedintheirJVA.

5.2. TheProcuringEntitymayalsoinviteforeignbidderswhenprovidedforunderanyTreatyorInternationalorExecutiveAgreementasspecifiedintheBDS.

5.3. Government owned or controlled corporations (GOCCs) may be eligible toparticipateonly if theycanestablish that they (a)are legallyand financiallyautonomous, (b) operate under commercial law, and (c) are not attachedagenciesoftheProcuringEntity.

5.4. (a)TheBiddermusthaveanexperienceofhavingcompletedaSingleLargestCompleted Contract (SLCC) that is similar to this Project, equivalent to atleast fiftypercent (50%)of theABCadjusted, ifnecessary,by theBidder tocurrentpricesusing thePhilippineStatisticsAuthority (PSA)consumerpriceindex. However, contractorsunderSmallAandSmallB categorieswithoutsimilarexperienceonthecontracttobebidmaybeallowedtobidifthecostof such contract is not more than the Allowable Range of Contract Cost(ARCC) of their registration based on the guidelines as prescribed by thePCAB.

(b) For Foreign-funded Procurement, the Procuring Entity and the foreigngovernment/foreign or international financing institution may agree onanothertrackrecordrequirement,asspecifiedintheBDS.

Forthispurpose,contractssimilartotheProjectshallbethosedescribedintheBDS.

5.5. The Bidder must submit a computation of its Net Financial ContractingCapacity(NFCC),whichmustbeatleastequaltotheABCtobebid,calculatedasfollows:

NFCC=[(Currentassetsminuscurrentliabilities)(15)]minusthevalueofalloutstandingoruncompletedportionsoftheprojectsunderongoingcontracts,includingawardedcontractsyettobestartedcoincidingwiththecontractforthisProject.

Thevaluesofthedomesticbidder’scurrentassetsandcurrentliabilitiesshallbebasedonthelatestAuditedFinancialStatements(AFS)submittedtotheBIR.Forpurposesofcomputingtheforeignbidders’NFCC,thevalueofthecurrentassetsandcurrentliabilitiesshallbebasedontheirauditedfinancialstatementspreparedinaccordancewithinternationalfinancialreportingstandards.

6. Bidder’sResponsibilities

6.1. The Bidder or its duly authorized representative shall submit a swornstatement in the formprescribed inSection IX.BidingFormsas required inITBClause12.1(b)(iii).

6.2. TheBidderisresponsibleforthefollowing:

(a) Having taken steps to carefully examine all of the BiddingDocuments;

(b) Havingacknowledgedallconditions, localorotherwise,affectingtheimplementationofthecontract;

(c) Havingmadeanestimateofthefacilitiesavailableandneededforthecontracttobebid,ifany;

(d) Having complied with its responsibility to inquire or secureSupplemental/BidBulletin/sasprovidedunderITBClause10.4.

(e) Ensuringthatitisnot“blacklisted”orbarredfrombiddingbytheGoPoranyofitsagencies,offices,corporations,orLGUs,includingforeigngovernment/foreign or international financing institution whoseblacklistingruleshavebeenrecognizedbytheGPPB;

(f) Ensuringthateachofthedocumentssubmittedinsatisfactionofthebidding requirements is anauthentic copyof theoriginal, complete,andallstatementsandinformationprovided therein are trueandcorrect;

(g) AuthorizingtheHoPEoritsdulyauthorizedrepresentative/stoverifyallthedocumentssubmitted;

(h) Ensuring that the signatory is the duly authorized representative oftheBidder,andgrantedfullpowerandauthoritytodo,executeandperformanyandallactsnecessarytoparticipate,submitthebid,andto sign and execute the ensuing contract, accompanied by the dulynotarizedSpecialPowerofAttorney,Board/PartnershipResolution,orSecretary’sCertificate,whicheverisapplicable;

(i) ComplyingwiththedisclosureprovisionunderSection47ofRA9184anditsIRRinrelationtootherprovisionsofRA3019;

(j) Complying with existing labor laws and standards, in the case ofprocurementofservices.Moreover,bidderundertakesto:

(i) Ensure the entitlement of workers to wages, hours of work,safety and health and other prevailing conditions ofwork asestablished by national laws, rules and regulations; or

collective bargaining agreement; or arbitration award, if andwhenapplicable.

IncasethereisafindingbytheProcuringEntityortheDOLEofunderpayment or non-payment of workers’ wage andwage-relatedbenefits,bidderagrees that theperformancesecurityorportionofthecontractamountshallbewithheldinfavorofthecomplainingworkerspursuanttoappropriateprovisionsofRepublicActNo.9184withoutprejudice to the institutionofappropriate actions under the Labor Code, as amended, andothersociallegislations.

(ii) Complywithoccupationalsafetyandhealthstandardsandtocorrectdeficiencies,ifany.

In case of imminent danger, injury or death of the worker,bidder undertakes to suspend contract implementationpending clearance toproceed from theDOLERegionalOfficeandtocomplywithWorkStoppageOrder;and

(iii) Inform theworkersof their conditionsofwork, labor clausesunderthecontractspecifyingwages,hoursofworkandotherbenefitsunderprevailingnational laws,rulesandregulations;or collective bargaining agreement; or arbitration award, ifandwhenapplicable, throughposting in two (2) conspicuousplacesintheestablishment’spremises;and

(k) Ensuring that it did not give or pay, directly or indirectly, anycommission,amount,fee,oranyformofconsideration,pecuniaryorotherwise, to any person or official, personnel or representative ofthe;

FailuretoobserveanyoftheaboveresponsibilitiesshallbeattheriskoftheBidderconcerned.

6.3. The Bidder, by the act of submitting its bid, shall be deemed to haveinspected the site, determined the general characteristics of the contractworksandtheconditionsforthisProjectandexamineallinstructions,forms,terms,andprojectrequirementsintheBiddingDocuments.

6.4. ItshallbethesoleresponsibilityoftheprospectivebiddertodetermineandtosatisfyitselfbysuchmeansasitconsidersnecessaryordesirableastoallmatterspertainingtothisProject, including: (a) the locationandthenatureof the contract, project, orwork; (b) climatic conditions; (c) transportationfacilities;(c)natureandconditionoftheterrain,geologicalconditionsatthesite communication facilities, requirements, location and availability ofconstructionaggregatesandothermaterials,labor,water,electricpowerandaccess roads; and (d) other factors that may affect the cost, duration andexecutionorimplementationofthecontract,project,orwork.

6.5. TheProcuringEntityshallnotassumeanyresponsibilityregardingerroneousinterpretationsorconclusionsbytheprospectiveoreligiblebidderoutofthedata furnishedby theprocuringentity. However, theProcuringEntity shallensure that all information in the Bidding Documents, includingsupplemental/bidbulletinsissuedarecorrectandconsistent.

6.6. Before submitting their bids, the Bidders are deemed to have becomefamiliarwithallexistinglaws,decrees,ordinances,actsandregulationsofthePhilippineswhichmayaffectthecontractinanyway.

6.7. The Bidder shall bear all costs associated with the preparation andsubmissionofhisbid,andtheProcuringEntitywillinnocaseberesponsibleorliableforthosecosts,regardlessoftheconductoroutcomeofthebiddingprocess.

6.8. TheBidder shouldnote that theProcuringEntitywill acceptbidsonly fromthose that have paid the applicable fee for the Bidding Documents at theofficeindicatedintheInvitationtoBid.

7. OriginofGoodsandServices

There isno restrictionon theoriginofGoods,orContractingofWorksorServicesother than those prohibited by a decision of the United Nations Security CounciltakenunderChapterVIIoftheCharteroftheUnitedNations.

8. Subcontracts

8.1. Unlessotherwisespecified in theBDS, theBiddermaysubcontractportionsof theWorks toanextentasmaybeapprovedby theProcuringEntityandstated in theBDS.However, subcontractingof anyportion shall not relievetheBidderfromanyliabilityorobligationthatmayarisefromthecontractforthisProject.

8.2. SubcontractorsmustsubmitthedocumentaryrequirementsunderITBClause12andcomplywith theeligibility criteria specified in theBDS. In theeventthatanysubcontractor is foundby theProcuringEntity tobe ineligible, thesubcontractingofsuchportionoftheWorksshallbedisallowed.

8.3. TheBiddermay identifythesubcontractortowhomaportionoftheWorkswillbesubcontractedatanystageofthebiddingprocessorduringcontractimplementation. If the Bidder opts to disclose the name of thesubcontractor during bid submission, the Bidder shall include the requireddocumentsaspartofthetechnicalcomponentofitsbid.

B. ContentsofBiddingDocuments

9. Pre-BidConference

9.1. (a)IfsospecifiedintheBDS,apre-bidconferenceshallbeheldatthevenueand on the date indicated therein, to clarify and address the Bidders’questionsonthetechnicalandfinancialcomponentsofthisProject.

(b)Thepre-bidconferenceshallbeheldatleasttwelve(12)calendardaysbeforethedeadlineforthesubmissionofandreceiptofbids,butnotearlierthanseven(7)calendardaysfromthepostingoftheInvitationtoBid/BiddingDocumentsinthePhilGEPSwebsite.IftheProcuringEntitydeterminesthat,byreasonofthemethod,nature,orcomplexityofthecontracttobebid,orwheninternationalparticipationwillbemoreadvantageoustotheGoP,alongerperiodforthepreparationofbidsisnecessary,thepre-bidconferenceshallbeheldatleastthirty(30)calendardaysbeforethedeadlineforthesubmissionandreceiptofbids,asspecifiedintheBDS.

9.2. Biddersareencouragedtoattendthepre-bidconferenceto ensurethat they fully understand the Procuring Entity’s requirements. Non-attendanceoftheBidderwillinnowayprejudiceitsbid;however,theBidderis expected to know the changes and/or amendments to the BiddingDocuments as recorded in the minutes of the pre-bid conference and theSupplemental/Bid Bulletin. Theminutes of the pre-bid conference shall berecordedandpreparednotlaterthanfive(5)calendardaysafterthepre-bidconference.Theminutesshallbemadeavailabletoprospectivebiddersnotlaterthanfive(5)daysuponwrittenrequest.

9.3. DecisionsoftheBACamendinganyprovisionofthebiddingdocumentsshallbe issued inwriting through a Supplemental/Bid Bulletin at least seven (7)calendardaysbeforethedeadlineforthesubmissionandreceiptofbids.

10. ClarificationandAmendmentofBiddingDocuments

10.1. Prospectivebiddersmayrequestforclarification(s)onand/orinterpretationofanypartoftheBiddingDocuments.SucharequestmustbeinwritingandsubmittedtotheProcuringEntityattheaddressindicatedintheBDSatleastten(10)calendardaysbeforethedeadlinesetforthesubmissionandreceiptofBids.

10.2. The BAC shall respond to the said request by issuing a Supplemental/BidBulletin, to bemade available to all those who have properly secured theBiddingDocuments,at leastseven(7)calendardaysbeforethedeadlineforthesubmissionandreceiptofBids.

10.3. Supplemental/Bid Bulletinsmay also be issued upon the Procuring Entity’sinitiativeforpurposesofclarifyingormodifyinganyprovisionoftheBiddingDocumentsnotlaterthanseven(7)calendardaysbeforethedeadlineforthe

submissionandreceiptofBids. AnymodificationtotheBiddingDocumentsshallbeidentifiedasanamendment.

10.4. AnySupplemental/BidBulletinissuedbytheBACshallalsobepostedinthePhilGEPSandthewebsiteoftheProcuringEntityconcerned,ifavailable,andatanyconspicuousplaceinthepremisesoftheProcuringEntityconcerned.Itshall be the responsibility of all Bidders who have properly secured theBidding Documents to inquire and secure Supplemental/Bid Bulletins thatmaybeissuedbytheBAC.However,BidderswhohavesubmittedbidsbeforetheissuanceoftheSupplemental/BidBulletinmustbeinformedandallowedtomodifyorwithdrawtheirbidsinaccordancewithITBClause23.

C. PreparationofBids

11. LanguageofBids

Theeligibilityrequirementsorstatements,thebids,andallotherdocumentstobesubmitted to the BAC must be in English. If the eligibility requirements orstatements, thebids,andallotherdocumentssubmittedtotheBACare in foreignlanguage other than English, it must be accompanied by a translation of thedocuments in English. The documents shall be translated by the relevant foreigngovernment agency, the foreign government agency authorized to translatedocuments, or a registered translator in the foreignbidder’s country; and shall beauthenticated by the appropriate Philippine foreign service establishment/post orthe equivalent office having jurisdiction over the foreign bidder’s affairs in thePhilippines.TheEnglishtranslationshallgovern,forpurposesofinterpretationofthebid.

12. DocumentsComprisingtheBid:EligibilityandTechnicalComponents

12.1. Unless otherwise indicated in theBDS, the first envelope shall contain thefollowingeligibilityandtechnicaldocuments:

(a) EligibilityDocuments–

Class“A”Documents

(i) PhilGEPS Certificate of Registration and Membership inaccordance with Section 8.5.2 of the IRR, except for foreignbidders participating in the procurement by a PhilippineForeign Service Office or Post, which shall submit theireligibilitydocumentsunderSection23.1ofthe IRR,provided,that the winning bidder shall register with the PhilGEPS inaccordancewithSection37.1.4oftheIRR;

(ii) Statementofallitsongoinggovernmentandprivatecontracts,including contracts awarded but not yet started, if any,

whethersimilarornotsimilarinnatureandcomplexitytothecontracttobebid;and

Statement of the Bidder’s SLCC similar to the contract to bebid,inaccordancewithITBClause5.4.

The two statements required shall indicate for each contractthefollowing:

(ii.1) nameofthecontract;

(ii.2) dateofthecontract;

(ii.3) contractduration;

(ii.4) owner’snameandaddress;

(ii.5) natureofwork;

(ii.6) contractor’s role (whether sole contractor,subcontractor, or partner in a JV) and percentage ofparticipation;

(ii.7) totalcontractvalueataward;

(ii.8) dateofcompletionorestimatedcompletiontime;

(ii.9) totalcontractvalueatcompletion,ifapplicable;

(ii.10) percentagesofplannedandactualaccomplishments,ifapplicable;and

(ii.11) valueofoutstandingworks,ifapplicable.

ThestatementoftheBidder’sSLCCshallbesupportedbytheNotice of Award and/or Notice to Proceed, Project Owner’sCertificateofFinalAcceptanceissuedbytheOwnerotherthanthe Contractor or the Constructors Performance EvaluationSystem(CPES)FinalRating,whichmustbeatleastsatisfactory.In case of contracts with the private sector, an equivalentdocumentshallbesubmitted;

(iii) Unless otherwise provided in the BDS, a valid special PCABLicenseincaseofjointventures,andregistrationforthetypeandcostofthecontractforthisProject;and

(iv) NFCCcomputationinaccordancewithITBClause5.5.

Class“B”Documents

(v) If applicable, Joint Venture Agreement (JVA) in accordancewithRA4566.

(b) TechnicalDocuments–

(i) Bid security in accordance with ITB Clause 18. If the Bidderoptstosubmitthebidsecurityintheformof:

(i.1) a bank draft/guarantee or an irrevocable letter ofcreditissuedbyaforeignbank,itshallbeaccompaniedby a confirmation from a Universal or CommercialBank;or

(i.2) a surety bond accompanied by a certification comingfrom the Insurance Commission that the surety orinsurance company is authorized to issue suchinstruments.

(ii) ProjectRequirements,whichshallincludethefollowing:

(ii.1) Organizationalchartforthecontracttobebid;

(ii.2) List of contractor’s personnel (e.g., Project Manager,ProjectEngineers,MaterialsEngineers, andForemen),to be assigned to the contract to be bid, with theircomplete qualification and experience data. Thesepersonnelmustmeet the requiredminimum years ofexperiencesetintheBDS;and

(ii.3) List of contractor’smajor equipment units, which areowned, leased, and/or under purchase agreements,supported by proof of ownership, certification ofavailability of equipment from the equipmentlessor/vendor for the duration of the project, as thecase may be, which must meet the minimumrequirementsforthecontractsetintheBDS;and

(iii) SwornstatementinaccordancewithSection25.3oftheIRRofRA9184andusing the formprescribed inSection IX.BiddingForms.

13. DocumentsComprisingtheBid:FinancialComponent

13.1. UnlessotherwisestatedintheBDS,thefinancialcomponentofthebidshallcontainthefollowing:

(a) FinancialBidForm,whichincludesbidpricesandthebillofquantities,inaccordancewithITBClauses15.1and15.3;and

(b) AnyotherdocumentrelatedtothefinancialcomponentofthebidasstatedintheBDS.

13.2. (a) UnlessotherwisestatedintheBDS,allBidsthatexceedtheABCshallnotbeaccepted.

(b) UnlessotherwiseindicatedintheBDS,forforeign-fundedprocurement,aceilingmaybeappliedtobidpricesprovidedthefollowingconditionsaremet:

(i)BiddingDocumentsareobtainablefreeofchargeonafreelyaccessiblewebsite.IfpaymentofBiddingDocumentsisrequiredbytheprocuringentity,paymentcouldbemadeuponthesubmissionofbids.

(ii)TheprocuringentityhasproceduresinplacetoensurethattheABCisbasedonrecentestimatesmadebytheengineerortheresponsibleunitoftheprocuringentityandthattheestimatesarebasedonadequatedetailedengineering(inthecaseofinfrastructureprojects)andreflectthequality,supervisionandriskandinflationaryfactors,aswellasprevailingmarketprices,associatedwiththetypesofworksorgoodstobeprocured.

(iii)Theprocuringentityhastrainedcostestimatorsonestimatingpricesandanalyzingbidvariances.Inthecaseofinfrastructureprojects,theprocuringentitymustalsohavetrainedquantitysurveyors.

(iv)TheprocuringentityhasestablishedasystemtomonitorandreportbidpricesrelativetoABCandengineer’s/procuringentity’sestimate.

(v)Theprocuringentityhasestablishedamonitoringandevaluationsystemforcontractimplementationtoprovideafeedbackonactualtotalcostsofgoodsandworks.

14. AlternativeBids

14.1. AlternativeBidsshallberejected.Forthispurpose,alternativebidisanoffermadebyaBidderinadditionorasasubstitutetoitsoriginalbidwhichmaybe includedaspartof itsoriginalbidor submittedseparately therewith forpurposes of bidding. A bid with options is considered an alternative bidregardlessofwhethersaidbidproposal iscontained inasingleenvelopeorsubmittedintwo(2)ormoreseparatebidenvelopes.

14.2. BiddersshallsubmitoffersthatcomplywiththerequirementsoftheBiddingDocuments,includingthebasictechnicaldesignasindicatedinthedrawingsand specifications. Unless there is a value engineering clause in the BDS,alternativebidsshallnotbeaccepted.

14.3. EachBiddershallsubmitonlyoneBid,eitherindividuallyorasapartnerinaJV.ABidderwhosubmitsorparticipatesinmorethanonebid(otherthanas

a subcontractor if a subcontractor is permitted to participate inmore thanone bid) will cause all the proposals with the Bidder’s participation to bedisqualified. This shall bewithout prejudice to any applicable criminal, civiland administrative penalties that may be imposed upon the persons andentitiesconcerned.

15. BidPrices

15.1. The contract shall be for thewholeWorks, as described in ITB Clause 1.1,basedonthepricedBillofQuantitiessubmittedbytheBidder.

15.2. TheBiddershallfillinratesandpricesforallitemsoftheWorksdescribedinthe Bill of Quantities. Bids not addressing or providing all of the requireditems in the Bidding Documents including, where applicable, Bill ofQuantities, shall be considered non-responsive and, thus, automaticallydisqualified.Inthisregard,wherearequireditemisprovided,butnopriceisindicated, the sameshallbe consideredasnon-responsive,but specifyingazero(0)oradash(-)forthesaiditemwouldmeanthatitisbeingofferedforfree to theGovernment, except those requiredby lawor regulations tobeprovidedfor.

15.3. All duties, taxes, and other levies payable by the Contractor under theContract,orforanyothercause,priortothedeadlineforsubmissionofbids,shall be included in the rates, prices, and total bid price submitted by theBidder.

15.4. Allbidpricesforthegivenscopeofworkinthecontractasawardedshallbeconsidered as fixed prices, and therefore not subject to price escalationduring contract implementation, except under extraordinary circumstancesas specified inGCC Clause48. Upon the recommendation of the ProcuringEntity, price escalation may be allowed in extraordinary circumstances asmaybedeterminedbytheNationalEconomicandDevelopmentAuthorityinaccordancewiththeCivilCodeofthePhilippines,anduponapprovalbytheGPPB. Furthermore, in cases where the cost of the awarded contract isaffectedbyanyapplicablenewlaws,ordinances,regulations,orotheractsofthe GoP, promulgated after the date of bid opening, a contract priceadjustmentshallbemadeorappropriatereliefshallbeappliedonanoloss-nogainbasis.

16. BidCurrencies

16.1. AllbidpricesshallbequotedinPhilippinePesosunlessotherwiseprovidedinthe BDS. However, for purposes of bid evaluation, bids denominated inforeign currencies shall be converted to Philippine currency based on theexchangerateprevailingonthedayoftheBidOpening.

16.2. If so allowed in accordance with ITB Clause 16.1, the Procuring Entity forpurposes of bid evaluation and comparing the bid prices will convert theamounts in various currencies in which the bid price is expressed to

PhilippinePesosattheexchangerateaspublishedintheBangkoSentralngPilipinas(BSP)referenceratebulletinonthedayofthebidopening.

16.3. UnlessotherwisespecifiedintheBDS,paymentofthecontractpriceshallbemadeinPhilippinePesos.

17. BidValidity

17.1. Bids shall remain valid for the period specified in the BDSwhich shall notexceedonehundredtwenty(120)calendardaysfromthedateoftheopeningofbids.

17.2. In exceptional circumstances, prior to the expiration of the bid validityperiod, the Procuring Entity may request Bidders to extend the period ofvalidityoftheirbids.Therequestandtheresponsesshallbemadeinwriting.The bid security described in ITB Clause 18 should also be extendedcorresponding to the extension of the bid validity period at the least. ABiddermayrefusetherequestwithoutforfeitingitsbidsecurity,buthisbidshall no longer be considered for further evaluation and award. A Biddergrantingtherequestshallnotberequiredorpermittedtomodifyitsbid.

18. BidSecurity

18.1. TheBiddershallsubmitaBidSecuringDeclarationoranyformofBidSecurityinanamountstatedintheBDS,whichshallbenotlessthanthepercentageoftheABCinaccordancewiththefollowingschedule:

Fivepercent(5%)

The Bid Securing Declaration mentioned above is an undertaking whichstates, among others, that the Bidder shall enter into contract with theprocuring entity and furnish the performance security required under ITBClause 32.2, within ten (10) calendar days from receipt of the Notice ofAward, and commits to pay the corresponding amount as fine, and be

suspended for a period of time from being qualified to participate in anygovernment procurement activity in the event it violates any of theconditionsstatedthereinasprovidedintheguidelinesissuedbytheGPPB.

18.2. ThebidsecurityshouldbevalidfortheperiodspecifiedintheBDS.Anybidnot accompanied by an acceptable bid security shall be rejected by theProcuringEntityasnon-responsive.

18.3. NobidsecuritiesshallbereturnedtoBiddersafter theopeningofbidsandbefore contract signing, except to those that failed or declared as post-disqualified, upon submission of a written waiver of their right to file arequest for reconsideration and/or protest, or lapse of the reglementaryperiodwithouthavingfiledarequestforreconsiderationorprotest.Withoutprejudice on its forfeiture, Bid Securities shall be returned only after theBidder with the Lowest Calculated Responsive Bid (LCRB) has signed thecontract and furnished the Performance Security, but in no case later thantheexpirationoftheBidSecurityvalidityperiodindicatedinITBClause18.2.

18.4. Uponsigningandexecutionof thecontract,pursuant to ITBClause31,andthe posting of the performance security, pursuant to ITB Clause 32, thesuccessfulBidder’sBidSecuritywillbedischarged,but innocase laterthantheBidSecurityvalidityperiodasindicatedinITBClause18.2.

18.5. Thebidsecuritymaybeforfeited:

(a) ifaBidder:

(i) withdrawsitsbidduringtheperiodofbidvalidityspecifiedinITBClause17;

(ii) doesnotacceptthecorrectionoferrorspursuanttoITBClause27.3(b);

(iii) has a finding against the veracity of the requireddocumentssubmittedinaccordancewithITBClause28.2;

(iv) submission of eligibility requirements containing falseinformationorfalsifieddocuments;

(v) submission of bids that contain false information or falsifieddocuments, or the concealment of such information in thebids inorder to influencetheoutcomeofeligibilityscreeningoranyotherstageofthepublicbidding;

(vi) allowingtheuseofone’sname,orusingthenameofanotherforpurposesofpublicbidding;

(vii) withdrawal of a bid, or refusal to accept an award, or enterinto contractwith theGovernmentwithout justifiable cause,

after theBidder hadbeen adjudged as having submitted theLCRB;

(viii) refusal or failure to post the required performance securitywithintheprescribedtime;

(ix) refusal to clarify or validate in writing its bid during post-qualificationwithin a period of seven (7) calendar days fromreceiptoftherequestforclarification;

(x) anydocumentedattemptbyaBiddertounduly influencetheoutcomeofthebiddinginhisfavor;

(xi) failureofthepotentialjointventurepartnerstoenterintothejointventureafterthebidisdeclaredsuccessful;or

(xii) all other acts that tend to defeat the purpose of thecompetitive bidding, such as habitually withdrawing frombidding,submittinglateBidsorpatentlyinsufficientbid,foratleastthree(3)timeswithinayear,exceptforvalidreasons.

(b) ifthesuccessfulBidder:

(i) failstosignthecontractinaccordancewithITBClause31;

(ii) fails to furnish performance security in accordance with ITBClause32.

19. FormatandSigningofBids

19.1 Bidders shall submit theirbids through theirdulyauthorized representative

using the appropriate forms provided in Section IX. Bidding Forms on orbeforethedeadlinespecifiedintheITBClause21intwo(2)separatesealedbid envelopes, andwhich shall be submitted simultaneously. The first shallcontain the technical component of the bid, including the eligibilityrequirements under ITB Clause 12.1, and the second shall contain thefinancialcomponentofthebid.Thisshallalsobeobservedforeachlotinthecaseoflotprocurement.

19.2 Forms as mentioned in ITB Clause 19.1 must be completed without anyalterations to their format, and no substitute form shall be accepted. Allblankspacesshallbefilledinwiththeinformationrequested.

19.3 The Bidder shall prepare and submit an original of the first and secondenvelopesasdescribedinITBClauses12and13.Inaddition,theBiddershallsubmit copies of the first and second envelopes. In the event of anydiscrepancybetweentheoriginalandthecopies,theoriginalshallprevail.

19.4 EachandeverypageoftheBidForm, includingtheBillofQuantities,underSectionIXhereof,shallbesignedbythedulyauthorizedrepresentative/softheBidder.Failuretodososhallbeagroundfortherejectionofthebid.

19.5 Any interlineations, erasures, or overwriting shall be valid only if they aresignedorinitialedbythedulyauthorizedrepresentative/softheBidder.

20. SealingandMarkingofBids

20.1. Bidders shall enclose their original eligibility and technical documentsdescribed in ITB Clause 12, in one sealed envelope marked “ORIGINAL -TECHNICAL COMPONENT,” and the original of their financial component inanother sealed envelope marked “ORIGINAL - FINANCIAL COMPONENT,”sealingthemallinanouterenvelopemarked“ORIGINALBID.”

20.2. Each copy of the first and second envelopes shall be similarly sealed dulymarking the innerenvelopesas “COPYNO.___ -TECHNICALCOMPONENT”and “COPYNO. ___ – FINANCIALCOMPONENT” and theouter envelope as“COPYNO.___,” respectively. Theseenvelopes containing theoriginal andthecopiesshallthenbeenclosedinonesingleenvelope.

20.3. TheoriginalandthenumberofcopiesofthebidasindicatedintheBDSshallbe typed or written in ink and shall be signed by the Bidder or its dulyauthorizedrepresentative/s.

20.4. Allenvelopesshall:

(a) containthenameofthecontracttobebidincapitalletters;

(b) bearthenameandaddressoftheBidderincapitalletters;

(c) be addressed to the Procuring Entity’s BAC in accordance with ITBClause20.1;

(d) bearthespecificidentificationofthisbiddingprocessindicatedintheITBClause1.2;and

(e) bearawarning“DONOTOPENBEFORE…”thedateandtimefortheopeningofbids,inaccordancewithITBClause21.

20.5. Bid envelopes that are not properly sealed andmarked, as required in thebidding documents, shall not be rejected, but the Bidder or its dulyauthorized representative shall acknowledge such condition of the bid assubmitted.TheBACortheProcuringEntityshallassumenoresponsibilityforthemisplacementofthecontentsoftheimproperlysealedormarkedbid,orforitsprematureopening.

D. SubmissionandOpeningofBids

21. DeadlineforSubmissionofBids

BidsmustbereceivedbytheProcuringEntity’sBACattheaddressandonorbeforethedateandtimeindicatedintheBDS.

22. LateBids

AnybidsubmittedafterthedeadlineforsubmissionandreceiptofbidsprescribedbytheProcuringEntity,pursuanttoITBClause21,shallbedeclared“Late”andshallnotbeacceptedbytheProcuringEntity.TheBACshallrecordintheminutesofBidSubmissionandOpening,theBidder’sname,itsrepresentativeandthetimethelatebidwassubmitted.

23. ModificationandWithdrawalofBids

23.1. TheBiddermaymodifyitsbidafterithasbeensubmitted;providedthatthemodification is received by the Procuring Entity prior to the deadlineprescribedforsubmissionandreceiptofbids.TheBiddershallnotbeallowedtoretrieveitsoriginalbid,butshallbeallowedtosubmitanotherbidequallysealed and properly identified in accordance with Clause 20, linked to itsoriginal bid marked as “TECHNICAL MODIFICATION” or “FINANCIALMODIFICATION” and stamped “received” by the BAC. Bid modificationsreceived after the applicable deadline shall not be considered and shall bereturnedtotheBidderunopened.

23.2. ABiddermay, throughaLetterofWithdrawal,withdraw itsbidafter ithasbeensubmitted, forvalidand justifiablereason;providedthat theLetterofWithdrawal is received by the Procuring Entity prior to the deadlineprescribedforsubmissionandreceiptofbids.TheLetterofWithdrawalmustbeexecutedbytheauthorizedrepresentativeoftheBidderidentifiedintheOmnibusSwornStatement,acopyofwhichshouldbeattachedtotheletter.

23.3. BidsrequestedtobewithdrawninaccordancewithITBClause23.1shallbereturnedunopened to theBidders.ABidder,whohasacquired thebiddingdocumentsmay also express its intention not to participate in the biddingthrougha letterwhichshouldreachandbestampedbytheBACbeforethedeadlineforsubmissionandreceiptofbids.ABidderthatwithdraws itsbidshall not be permitted to submit another bid, directly or indirectly, for thesamecontract.

23.4. Nobidmaybemodifiedafterthedeadlineforsubmissionofbids.Nobidmaybewithdrawnintheintervalbetweenthedeadlineforsubmissionofbidsandthe expiration of the period of bid validity specified by the Bidder on theFinancialBidForm.Withdrawalofabidduringthisintervalshallresultintheforfeitureof theBidder’sbid security,pursuant to ITBClause18.5,and the

impositionofadministrative,civil,andcriminalsanctionsasprescribedbyRA9184anditsIRR.

24. OpeningandPreliminaryExaminationofBids

24.1. TheBACshallopentheBidsinpublic,immediatelyafterthedeadlineforthesubmissionandreceiptofbids inpublic,asspecifiedintheBDS. IncasetheBidscannotbeopenedasscheduledduetojustifiablereasons,theBACshalltakecustodyoftheBidssubmittedandrescheduletheopeningofBidsonthenextworkingdayorat thesoonestpossible timethroughthe issuanceofaNotice of Postponement to be posted in the PhilGEPS website and thewebsiteoftheProcuringEntityconcerned.

24.2. Unless otherwise specified in the BDS, the BAC shall open the first bidenvelopes and determine each Bidder’s compliance with the documentsprescribedinITBClause12,usinganon-discretionary“pass/fail”criterion.IfaBidder submits the required document, it shall be rated “passed” for thatparticular requirement. In this regard, bids that fail to include anyrequirementorareincompleteorpatentlyinsufficientshallbeconsideredas“failed”.Otherwise,theBACshallratethesaidfirstbidenvelopeas“passed”.

24.3. Unless otherwise specified in the BDS, immediately after determiningcompliance with the requirements in the first envelope, the BAC shallforthwith open the second bid envelope of each remaining eligible Bidderwhose firstbidenvelopewas rated“passed.”The secondenvelopeofeachcomplyingBiddershallbeopenedwithinthesameday.Incaseoneormoreof the requirements in the second envelope of a particular bid is missing,incomplete or patently insufficient, and/or if the submitted total bid priceexceedstheABCunlessotherwiseprovidedinITBClause13.2,theBACshallratethebidconcernedas“failed.”Onlybidsthataredeterminedtocontainall the bid requirements for both components shall be rated “passed” andshallimmediatelybeconsideredforevaluationandcomparison.

24.4. LettersofWithdrawalshallbereadoutandrecordedduringbidopening,andtheenvelopecontainingthecorrespondingwithdrawnbidshallbereturnedtotheBidderunopened.

24.5. AllmembersoftheBACwhoarepresentduringbidopeningshallinitialeverypageoftheoriginalcopiesofallbidsreceivedandopened.

24.6. In the case of an eligible foreign bidder as described in ITB Clause 5, thefollowing Class “A” Documents may be substituted with the appropriateequivalent documents, if any, issued by the country of the foreign bidderconcerned,whichshalllikewisebeuploadedandmaintainedinthePhilGEPSinaccordancewithSection8.5.2oftheIRR.:

a) Registration certificate from the Securities and Exchange Commission(SEC),DepartmentofTradeandIndustry(DTI)forsoleproprietorship,orCDAforcooperatives;

b) Mayor’s/Business permit issued by the local government where theprincipalplaceofbusinessoftheBidderislocated;and

c) Audited Financial Statements showing, among others, the prospectiveBidder’stotalandcurrentassetsandliabilitiesstamped“received”bytheBureau of Internal Revenue or its duly accredited and authorizedinstitutions, for theprecedingcalendaryearwhichshouldnotbeearlierthantwoyearsfromthedateofbidsubmission.

24.7. Each partner of a joint venture agreement shall likewise submit thedocument required in ITB Clause 12.1(a)(i). Submission of documentsrequiredunderITBClauses12.1(a)(ii)to12.1(a)(iv)byanyofthejointventurepartnersconstitutescompliance.

24.8. TheProcuringEntityshallpreparetheminutesoftheproceedingsofthebidopening that shall include, as aminimum: (a) names of Bidders, their bidprice (per lot, if applicable, and/or including discount, if any), bid security,findings of preliminary examination, and whether there is a withdrawal ormodification; and (b) attendance sheet. The BAC members shall sign theabstractofbidsasread.

24.8. TheBiddersortheirdulyauthorizedrepresentativesmayattendtheopeningofbids.TheBACshallensuretheintegrity,security,andconfidentialityofallsubmitted bids. The Abstract of Bids as read and the minutes of the BidOpening shall be made available to the public upon written request andpaymentofaspecifiedfeetorecovercostofmaterials.

24.9 Toensure transparencyandaccurate representationof thebid submission,the BAC Secretariat shall notify in writing all Bidders whose bids it hasreceived through its PhilGEPS-registered physical address or official e-mailaddress.Thenoticeshallbe issuedwithinseven (7)calendardays fromthedateofthebidopening.

E. EvaluationandComparisonofBids

25. ProcesstobeConfidential

25.1. Members of the BAC, including its staff and personnel, as well as itsSecretariat and TWG, are prohibited frommaking or accepting any kind ofcommunicationwith anyBidder regarding theevaluationof their bids untiltheissuanceoftheNoticeofAward,unlessotherwiseallowedinthecaseofITBClause26.

25.2. Any effort by a Bidder to influence the Procuring Entity in the ProcuringEntity’s decision in respect of bid evaluation, bid comparison or contractawardwillresultintherejectionoftheBidder’sbid.

26. ClarificationofBids

To assist in the evaluation, comparison and post-qualification of the bids, theProcuring Entity may ask in writing any Bidder for a clarification of its bid. Allresponsestorequestsforclarificationshallbeinwriting.Anyclarificationsubmittedby a Bidder in respect to its bid and that is not in response to a request by theProcuringEntityshallnotbeconsidered

27. DetailedEvaluationandComparisonofBids

27.1. TheProcuringEntitywillundertake thedetailedevaluationandcomparisonofBidswhichhavepassedtheopeningandpreliminaryexaminationofBids,pursuanttoITBClause24,inordertodeterminetheLowestCalculatedBid.

27.2. TheLowestCalculatedBidshallbedeterminedintwosteps:

(a) The detailed evaluation of the financial component of the bids, toestablishthecorrectcalculatedpricesofthebids;and

(b) Therankingofthetotalbidpricesassocalculatedfromthelowesttohighest.ThebidwiththelowestpriceshallbeidentifiedastheLowestCalculatedBid.

27.3. TheProcuringEntity'sBACshallimmediatelyconductadetailedevaluationofallbidsrated“passed,”usingnon-discretionary“pass/fail”criterion.TheBACshallconsiderthefollowingintheevaluationofbids:

(a) Completenessofthebid.UnlesstheBDSallowspartialbids,bidsnotaddressing or providing all of the required items in the Schedule ofRequirements including,whereapplicable,bill ofquantities, shall beconsidered non-responsive and, thus, automatically disqualified. Inthis regard, where a required item is provided, but no price isindicated, the same shall be considered as non-responsive, butspecifyingazero(0)oradash(-)forthesaiditemwouldmeanthatitisbeingofferedforfreetotheProcuringEntity,exceptthoserequiredbylaworregulationstobeprovidedfor;and

(b) Arithmetical corrections. Consider computational errors andomissionstoenablepropercomparisonofalleligiblebids.Itmayalsoconsider bid modifications. Any adjustment shall be calculated inmonetarytermstodeterminethecalculatedprices.

27.4. Basedonthedetailedevaluationofbids,thosethatcomplywiththeabove-mentionedrequirementsshallberankedintheascendingorderoftheirtotalcalculated bid prices, as evaluated and corrected for computational errors,discounts and other modifications, to identify the Lowest Calculated Bid.Total calculated bid prices, as evaluated and corrected for computational

errors,discountsandothermodifications,whichexceedtheABCshallnotbeconsidered,unlessotherwiseindicatedintheBDS.

27.5. The Procuring Entity’s evaluation of bids shall be based on the bid pricequotedintheBidForm,whichincludestheBillofQuantities.

27.6. Bidsshallbeevaluatedonanequal footing toensure faircompetition. Forthispurpose,allBiddersshallberequiredtoincludeintheirbidsthecostofalltaxes,suchas,butnotlimitedto,valueaddedtax(VAT),incometax,localtaxes, and other fiscal levies and dutieswhich shall be itemized in the bidformandreflectedinthedetailedestimates.Suchbids,includingsaidtaxes,shallbethebasisforbidevaluationandcomparison.

27.7. IfsoindicatedpursuanttoITBClause1.2.Bidsarebeinginvitedforindividuallotsorforanycombinationthereof,providedthatallBidsandcombinationsof Bids shall be received by the same deadline and opened and evaluatedsimultaneouslysoastodeterminethebidorcombinationofbidsofferingthelowest calculated cost to the Procuring Entity. Bid prices quoted shallcorrespondtoallof the requirementsspecified foreach lot.BidSecurityasrequired by ITB Clause 18 shall be submitted for each contract (lot)separately.ThebasisforevaluationoflotsisspecifiedinBDSClause27.3.

28. PostQualification

28.1. The BAC shall determine to its satisfaction whether the Bidder that isevaluatedashavingsubmittedtheLowestCalculatedBidcomplieswithandisresponsivetoalltherequirementsandconditionsspecifiedinITBClauses5,12,and13.

28.2. Withinanon-extendibleperiodoffive(5)calendardaysfromreceiptbytheBidder of the notice from the BAC that it submitted the Lowest CalculatedBid, theBidder shall submit its latest incomeandbusiness tax returns filedand paid through the BIR Electronic Filing and Payment System (eFPS) andother appropriate licenses and permits required by law and stated in theBDS.

Failuretosubmitanyofthepost-qualificationrequirementsontime,orafindingagainsttheveracitythereof,shalldisqualifytheBidderforaward.Providedintheeventthatafindingagainsttheveracityofanyofthedocumentssubmittedismade,itshallcausetheforfeitureofthebidsecurityinaccordancewithSection69oftheIRRofRA9184.

28.3. ThedeterminationshallbebaseduponanexaminationofthedocumentaryevidenceoftheBidder’squalificationssubmittedpursuanttoITBClauses12and13,aswellasotherinformationastheProcuringEntitydeemsnecessaryand appropriate, using a non-discretionary “pass/fail” criterion,which shallbecompletedwithinaperiodoftwelve(12)calendardays.

28.4. IftheBACdeterminesthattheBidderwiththeLowestCalculatedBidpassesallthecriteriaforpost-qualification,itshalldeclarethesaidbidastheLCRB,andrecommendtotheHoPEtheawardofcontracttothesaidBidderat itssubmittedpriceoritscalculatedbidprice,whicheverislower,subjecttoITBClause30.3.

28.5. AnegativedeterminationshallresultinrejectionoftheBidder’sbid,inwhichevent theProcuringEntity shallproceed to thenext LowestCalculatedBid,with a fresh period to make a similar determination of that Bidder’scapabilitiestoperformsatisfactorily.IfthesecondBidder,however,failsthepostqualification, theprocedureforpostqualificationshallberepeatedfortheBidderwith thenextLowestCalculatedBid,andsoonuntil theLCRB isdeterminedforrecommendationofcontractaward.

28.6. Within a period not exceeding fifteen (15) calendar days from thedeterminationbytheBACoftheLCRBandtherecommendationtoawardthecontract, the HoPE or his duly authorized representative shall approve ordisapprovethesaidrecommendation.

28.7. In theeventofdisapproval,which shall bebasedon valid, reasonable, andjustifiablegroundsasprovided forunderSection41of the IRRofRA9184,theHoPEshallnotifytheBACandtheBidderinwritingofsuchdecisionandthe grounds for it. When applicable, the BAC shall conduct a post-qualificationoftheBidderwiththenextLowestCalculatedBid.ArequestforreconsiderationmaybefiledbytheBidderwiththeHoPEinaccordancewithSection37.1.3oftheIRRofRA9184.

29. ReservationClause

29.1. Notwithstandingtheeligibilityorpost-qualificationofaBidder,theProcuringEntityconcernedreservestherighttoreviewitsqualificationsatanystageofthe procurement process if it has reasonable grounds to believe that amisrepresentationhasbeenmadebythesaidBidder,orthattherehasbeenachangeintheBidder’scapabilitytoundertaketheprojectfromthetimeitsubmitted its eligibility requirements. Should such review uncover anymisrepresentation made in the eligibility and bidding requirements,statementsordocuments,oranychangesinthesituationoftheBidderwhichwill affect its capability to undertake the project so that it fails the preseteligibility or bid evaluation criteria, the Procuring Entity shall consider thesaidBidderasineligibleandshalldisqualify itfromsubmittingabidorfromobtaininganawardorcontract.

29.2. Based on the following grounds, the Procuring Entity reserves the right torejectanyandallBids,declareaFailureofBiddingatany timeprior to thecontractaward,ornottoawardthecontract,withouttherebyincurringanyliability, andmake no assurance that a contract shall be entered into as aresultofthebidding:

(a) If there is prima facie evidence of collusion between appropriatepublicofficersoremployeesof theProcuringEntity,orbetweentheBACandanyof theBidders,or if thecollusion isbetweenoramongthe Bidders themselves, or between a Bidder and a third party,including any actwhich restricts, suppresses or nullifies or tends torestrict,suppressornullifycompetition;

(b) If theProcuringEntity’sBAC is foundtohavefailed in followingtheprescribedbiddingprocedures;or

(c) For any justifiable and reasonable ground where the award of thecontractwillnotredoundtothebenefitoftheGOPasfollows:

(i) If the physical and economic conditions have significantlychanged so as to render the project no longer economically,financiallyortechnicallyfeasibleasdeterminedbytheHoPE;

(ii) If the project is no longer necessary as determined by theHoPE;and

(iii) If the source of funds for the project has been withheld orreducedthroughnofaultoftheProcuringEntity.

29.3. In addition, the Procuring Entity may likewise declare a failure of biddingwhen:

(a) Nobidsarereceived;

(b) AllprospectiveBiddersaredeclaredineligible;

(c) All bids fail to comply with all the bid requirements, fail post-qualification;or

(d) TheBidderwiththeLCRBrefuses,withoutjustifiablecause,toacceptthe award of contract, and no award is made in accordance withSection40oftheIRRofRA9184.

F. AwardofContract

30. ContractAward

30.1. SubjecttoITBClause28,theHoPEoritsdulyauthorizedrepresentativeshallawardthecontracttotheBidderwhosebidhasbeendeterminedtobetheLCRB.

30.2. Priortotheexpirationoftheperiodofbidvalidity,theProcuringEntityshallnotifythesuccessfulBidderinwritingthatitsbidhasbeenaccepted,throughaNoticeofAwarddulyreceivedbytheBidderoritsrepresentativepersonallyorbyregisteredmailorelectronically,receiptofwhichmustbeconfirmedin

writing within two (2) days by the Bidder with the LCRB and submittedpersonallyorsentbyregisteredmailorelectronicallytotheProcuringEntity.

30.3. NotwithstandingtheissuanceoftheNoticeofAward,awardofcontractshallbesubjecttothefollowingconditions:

(a) Submissionofthefollowingdocumentswithinten(10)calendardaysfromreceiptoftheNoticeofAward:

(i) In the case of procurement by a Philippine Foreign ServiceOffice or Post, the PhilGEPS Registration Number of thewinningforeignBidder;or

(ii) ValidPCABlicenseandregistrationforthetypeandcostofthecontract to be bid for foreign bidders when the Treaty orInternational or Executive Agreement expressly allowssubmission of the PCAB license and registration for the typeand cost of the contract to be bid as a pre-condition to theAward;

(b) PostingoftheperformancesecurityinaccordancewithITBClause32;

(c) SigningofthecontractasprovidedinITBClause31;and

(d) Approvalbyhigherauthority, ifrequired,asprovidedinSection37.3oftheIRRofRA9184.

31. SigningoftheContract

31.1. AtthesametimeastheProcuringEntitynotifiesthesuccessfulBidderthatitsbidhasbeenaccepted,theProcuringEntityshallsendtheContractFormtothe Bidder, which Contract has been provided in the Bidding Documents,incorporatingthereinallagreementsbetweentheparties.

31.2. Within ten (10) calendar days from receipt of the Notice of Award, thesuccessfulBiddershallposttherequiredperformancesecurity,signanddatethecontractandreturnittotheProcuringEntity.

31.3. The Procuring Entity shall enter into contract with the successful Bidderwithin the same ten (10) calendar day period provided that all thedocumentaryrequirementsarecompliedwith.

31.4. Thefollowingdocumentsshallformpartofthecontract:

(a) ContractAgreement;

(b) BiddingDocuments;

(c) WinningBidder’sbid,includingtheTechnicalandFinancialProposals,and all other documents/statements submitted (e.g., Bidder’s

responsetorequestforclarificationsonthebid),includingcorrectionstothebid,ifany,resultingfromtheProcuringEntity’sbidevaluation;

(d) PerformanceSecurity;

(e) NoticeofAwardofContract;and

(f) Other contract documents that may be required by existing lawsand/orspecifiedintheBDS.

32. PerformanceSecurity

32.1. To guarantee the faithful performance by the winning Bidder of itsobligationsunderthecontract, itshallpostaperformancesecuritywithinamaximumperiodoften(10)calendardaysfromthereceiptoftheNoticeofAwardfromtheProcuringEntityandinnocaselaterthanthesigningofthecontract.

32.2. The Performance Security shall be denominated in Philippine Pesos andposted in favor of the Procuring Entity in an amount not less than thepercentage of the total contract price in accordance with the followingschedule:

32.3. Failure of the successful Bidder to comply with the above-mentionedrequirement shall constitute sufficient ground for the annulment of theawardandforfeitureofthebidsecurity,inwhicheventtheProcuringEntityshallhaveafreshperiodtoinitiateandcompletethepostqualificationofthe

secondLowestCalculatedBid.TheprocedureshallberepeateduntilLCRBisidentifiedandselectedforrecommendationofcontractaward.HoweverifnoBidderpassedpost-qualification, theBAC shalldeclare thebiddinga failureandconductare-biddingwithre-advertisement,ifnecessary.

33. NoticetoProceed

Within seven (7) calendar days from the date of approval of the Contract by theappropriate government approving authority, the Procuring Entity shall issue theNoticetoProceed(NTP)togetherwithacopyorcopiesoftheapprovedcontracttothe successful Bidder. All notices called for by the terms of the contract shall beeffectiveonlyatthetimeofreceiptthereofbythesuccessfulBidder.

34. ProtestMechanism

Decision of the procuring entity at any stage of the procurement process may bequestionedinaccordancewithSections55oftheIRRofRA9184.

3.1 TheWorldBank’sAnticorruptionPolicyrequiresBorrowers(includingbeneficiariesofBank-financedactivity),aswellasBidders,Suppliers,Contractorsandtheiragents(whetherdeclaredornot),sub-contractors,sub-consultants,serviceprovidersorsuppliersandanypersonnelthereof,observethehigheststandardofethicsduringtheprocurementandexecutionofBank-financedcontracts.Anyactiontoinfluencetheprocurementprocessorcontractexecutionforundueadvantageisimproper.Inpursuanceofthispolicy,theBank:(a)defines,forthepurposesofthisprovision,thetermssetforthbelowasfollows:

toimpairorharm,directlyorindirectly,anypartyorthepropertyofthepartytoinfluenceimproperlytheactionsofaparty.Theterm"party"referstoaparticipantintheprocurementprocessorcontractexecution;(iv)"collusivepractice"meansanarrangementbetweentwoormorepartiesdesignedtoachieveanimproperpurpose,includinginfluencingimproperlytheactionsofanotherparty.Theterm"parties"referstoparticipantsintheprocurementprocess(includingpublicofficials)attemptingeitherthemselves,orthroughanotherpersonorentitynotparticipatingintheprocurementorselectionprocess,tosimulatecompetitionorestablishbidpricesatartificial,noncompetitivelevels,orareprivytoeachother'sbidpricesorotherconditions;(v)"obstructivepractice"is(aa)deliberatelydestroying,falsifying,altering,orconcealingofevidencematerialtotheinvestigationormakingfalsestatementstoinvestigatorsinordertomateriallyimpedeaBankinvestigationintoallegationsofacorrupt,fraudulent,coerciveorcollusivepractice;and/orthreatening,harassingorintimidatinganypartytopreventitfromdisclosingitsknowledgeofmattersrelevanttotheinvestigationorfrompursuingtheinvestigation,or(bb)actsintendedtomateriallyimpedetheexerciseoftheBank'sinspectionandauditrightsprovidedforunderparagraph(e)below.

(b)willrejectaproposalforawardifitdeterminesthattheBidderrecommendedforaward,oranyofitspersonnel,oritsagents,oritssub-consultants,sub-contractors,serviceproviders,suppliersand/ortheiremployees,has,directlyorindirectly,engagedincorrupt,fraudulent,collusive,coercive,orobstructivepracticesorotherintegrityviolationsincompetingfortheContractinquestion(c)willdeclaremis-procurementandcanceltheportionofthefinancingallocatedtoacontractifitdeterminesatanytimethatrepresentativesoftheBorrowerorofarecipientofanypartoftheproceedsofthefinancingengagedincorrupt,fraudulent,collusive,coercive,orobstructivepracticesduringtheprocurementortheimplementationofthecontractinquestion,withouttheBorrowerhavingtakentimelyandappropriateactionsatisfactorytoBathtoaddresssuchpracticeswhentheyoccur,includingbyfailingtoinformtheBankinatimelymanneratthetimetheyknewofthepractices;(d)willsanctionafirmoranindividual,atanytime,inaccordancewiththeprevailingBath'ssanctionsprocedures,includingbypubliclydeclaringsuchfirmorindividualineligible,eitherindefinitelyorforastatedperiodoftime:(i)tobeawardedaBank-financedcontract;and(ii)tobeanominatedsub-contractor,consultant,manufacturerorsupplier,orserviceprovider(differentnamesareuseddependingontheparticularbiddingdocument)isonewhichhaseitherbeen(i)includedbythebidderinitsprequalificationapplicationorbidbecauseitbringsspecificandcriticalexperienceandknow-howthatallowthebiddertomeetthequalification

1. Definitions

ForpurposesofthisClause,boldfacetypeisusedtoidentifydefinedterms.

1.1. TheArbiter is thepersonappointed jointlyby theProcuringEntity and theContractor to resolve disputes in the first instance, as provided for inGCCClause21.

1.2. Bill ofQuantities referstoa listof thespecific itemsof theWorkandtheircorrespondingunitprices,lumpsums,and/orprovisionalsums.

1.3. TheCompletionDate isthedateofcompletionoftheWorksascertifiedbytheProcuringEntity’sRepresentative,inaccordancewithGCCClause49.

1.4. TheContractisthecontractbetweentheProcuringEntityandtheContractortoexecute,complete,andmaintaintheWorks.

1.5 TheContractEffectivityDateisthedateofsigningoftheContract.However,thecontractorshallcommenceexecutionoftheWorksontheStartDateasdefinedinGCCClause1.28.

1.6 TheContractPrice isthepricestatedintheNoticeofAwardandthereaftertobepaidbytheProcuringEntitytotheContractorfortheexecutionoftheWorksinaccordancewiththisContract

1.7 Contract Time Extension is the allowable period for the Contractor tocomplete theWorks in addition to the original Completion Date stated inthisContract.

1.8 TheContractor is the juridicalentitywhoseproposalhasbeenacceptedbythe Procuring Entity and to whom the Contract to execute theWork wasawarded.

1.9 The Contractor’s Bid is the signed offer or proposal submitted by theContractortotheProcuringEntityinresponsetotheBiddingDocuments.

1.10 Daysarecalendardays;monthsarecalendarmonths.

1.11 DayworksarevariedworkinputssubjecttopaymentonatimebasisfortheContractor’s employees and Equipment, in addition to payments forassociatedMaterialsandPlant.

1.12 A Defect is any part of the Works not completed in accordance with theContract.

1.13 TheDefectsLiabilityCertificateisthecertificateissuedbyProcuringEntity’sRepresentativeuponcorrectionofdefectsbytheContractor.

1.14 The Defects Liability Period is the one year period between contractcompletion and final acceptance within which the Contractor assumes the

responsibilitytoundertaketherepairofanydamagetotheWorksathisownexpense.

1.15 Drawings are graphical presentations of the Works. They include allsupplementary details, shop drawings, calculations, and other informationprovidedorapprovedfortheexecutionofthisContract.

1.16 Equipment refers to all facilities, supplies, appliances, materials or thingsrequired for the execution and completion of the Work provided by theContractorandwhichshallnotformorarenotintendedtoformpartofthePermanentWorks.

1.17 TheIntendedCompletionDatereferstothedatespecifiedintheSCCwhenthe Contractor is expected to have completed the Works. The IntendedCompletion Date may be revised only by the Procuring Entity’sRepresentativebyissuinganextensionoftimeoranaccelerationorder.

1.18 Materialsareallsupplies,includingconsumables,usedbytheContractorforincorporationintheWorks.

1.19 TheNotice to Proceed is awrittennotice issuedby theProcuringEntityortheProcuringEntity’sRepresentativetotheContractorrequiringthelattertobegin the commencement of the work not later than a specified ordeterminabledate.

1.20 PermanentWorksareallpermanentstructuresandallotherprojectfeaturesand facilities required tobeconstructedandcompleted inaccordancewiththisContractwhichshallbedeliveredtotheProcuringEntityandwhichshallremainattheSiteaftertheremovalofallTemporaryWorks.

1.21 Plant refers to themachinery, apparatus, and the like intended to formanintegralpartofthePermanentWorks.

1.22 TheProcuringEntityisthepartywhoemploystheContractortocarryouttheWorksstatedintheSCC.

1.23 TheProcuring Entity’s Representative refers to the Head of the ProcuringEntityorhisdulyauthorizedrepresentative, identified intheSCC,whoshallberesponsibleforsupervisingtheexecutionoftheWorksandadministeringthisContract.

1.24 TheSite istheplaceprovidedbytheProcuringEntitywheretheWorksshallbeexecutedandanyotherplaceorplaceswhichmaybedesignated in theSCC,ornotifiedtotheContractorbytheProcuringEntity’sRepresentativeasformingpartoftheSite.

1.25 Site Investigation Reports are those that were included in the BiddingDocumentsandarefactualandinterpretativereportsaboutthesurfaceandsubsurfaceconditionsattheSite.

1.26 Slippageisadelayinworkexecutionoccurringwhenactualaccomplishmentfallsbelowthetargetasmeasuredbythedifferencebetweenthescheduledand actual accomplishment of the Work by the Contractor as establishedfrom the work schedule. This is actually described as a percentage of thewholeWorks.

1.27 SpecificationsmeansthedescriptionofWorkstobedoneandthequalitiesofmaterials to be used, the equipment to be installed and the mode ofconstruction.

1.28 TheStart Date, as specified in the SCC, is the datewhen the Contractor isobliged to commence execution of the Works. It does not necessarilycoincidewithanyoftheSitePossessionDates.

1.29 ASubcontractor isanypersonororganizationtowhomapartoftheWorkshas been subcontracted by the Contractor, as allowed by the ProcuringEntity,butnotanyassigneeofsuchperson.

1.30 TemporaryWorks areworksdesigned, constructed, installed,and removedby the Contractor that are needed for construction or installation of thePermanentWorks.

1.31 Work(s)refertothePermanentWorksandTemporaryWorkstobeexecutedbytheContractorinaccordancewiththisContract,including(i)thefurnishingof all labor, materials, equipment and others incidental, necessary orconvenient to the complete executionof theWorks; (ii) thepassingof anytestsbeforeacceptancebytheProcuringEntity’sRepresentative;(iii)andthecarryingoutof all duties andobligationsof theContractor imposedby thisContractasdescribedintheSCC.

2. Interpretation

2.1. In interpreting theConditions of Contract, singular alsomeans plural,malealsomeansfemaleorneuter,andtheotherwayaround.Headingshavenosignificance. Wordshave their normalmeaningunder the languageof thisContract unless specifically defined. The Procuring Entity’s RepresentativewillprovideinstructionsclarifyingqueriesabouttheConditionsofContract.

2.2. IfsectionalcompletionisspecifiedintheSCC,referencesintheConditionsofContract to theWorks, the Completion Date, and the Intended CompletionDate apply to any Section of the Works (other than references to theCompletionDateandIntendedCompletionDateforthewholeoftheWorks).

2.3. The documents forming this Contract shall be interpreted in the followingorderofpriority:

a) ContractAgreement;

b) BidDataSheet;

c) InstructionstoBidders;

d) AddendatotheBiddingDocuments;

e) SpecialConditionsofContract;

f) GeneralConditionsofContract;

g) Specifications;

h) BillofQuantities;and

3. GoverningLanguageandLaw

3.1. ThisContracthasbeenexecutedintheEnglish language,whichshallbethebinding and controlling language for allmatters relating to themeaning orinterpretation of this Contract. All correspondence and other documentspertaining to this Contract which are exchanged by the parties shall bewritteninEnglish.

3.2. ThisContractshallbeinterpretedinaccordancewiththelawsoftheRepublicofthePhilippines.

4. Communications

Communications between parties that are referred to in the Conditions shall beeffectiveonlywheninwriting.Anoticeshallbeeffectiveonlywhenitisreceivedbytheconcernedparty.

5. PossessionofSite

5.1. On the date specified in the SCC, the Procuring Entity shall grant theContractorpossessionofsomuchoftheSiteasmayberequiredtoenableittoproceedwiththeexecutionoftheWorks.IftheContractorsuffersdelayorincurscostfromfailureonthepartoftheProcuringEntitytogivepossessionin accordance with the terms of this clause, the Procuring Entity’sRepresentative shall give the Contractor a Contract Time Extension andcertifysuchsumasfairtocoverthecostincurred,whichsumshallbepaidbyProcuringEntity.

5.2. Ifpossessionofaportion isnotgivenby thedate stated in the SCCClause5.1, the Procuring Entity will be deemed to have delayed the start of therelevant activities. The resulting adjustments in contract time to addresssuchdelayshallbeinaccordancewithGCCClause47.

5.3. TheContractorshallbearallcostsandchargesforspecialortemporaryright-of-way requiredby it in connectionwith access to the Site. TheContractor

shall also provide at his own cost any additional facilities outside the SiterequiredbyitforpurposesoftheWorks.

5.4. The Contractor shall allow the Procuring Entity’s Representative and anypersonauthorizedbytheProcuringEntity’sRepresentativeaccesstotheSiteandtoanyplacewhereworkinconnectionwiththisContractisbeingcarriedoutorisintendedtobecarriedout.

6. TheContractor’sObligations

6.1. TheContractorshallcarryouttheWorksproperlyandinaccordancewiththisContract.TheContractorshallprovideallsupervision,labor,Materials,PlantandContractor'sEquipment,whichmayberequired.AllMaterialsandPlantonSiteshallbedeemedtobethepropertyoftheProcuringEntity.

6.2. TheContractorshallcommenceexecutionoftheWorksontheStartDateandshallcarryouttheWorksinaccordancewiththeProgramofWorksubmittedby the Contractor, as updated with the approval of the Procuring Entity’sRepresentative,andcompletethembytheIntendedCompletionDate.

6.3. TheContractorshallberesponsibleforthesafetyofallactivitiesontheSite.

6.4. The Contractor shall carry out all instructions of the Procuring Entity’sRepresentative that comply with the applicable laws where the Site islocated.

6.5. TheContractorshallemploythekeypersonnelnamedintheScheduleofKeyPersonnel, as referred to in the SCC, to carry out the supervision of theWorks. TheProcuringEntitywill approveanyproposed replacementof keypersonnel only if their relevant qualifications and abilities are equal to orbetterthanthoseofthepersonnellistedintheSchedule.

6.6. If the Procuring Entity’s Representative asks the Contractor to remove amember of the Contractor’s staff or work force, for justifiable cause, theContractorshallensurethatthepersonleavestheSitewithinseven(7)daysandhasnofurtherconnectionwiththeWorkinthisContract.

6.7. DuringContractimplementation,theContractorandhissubcontractorsshallabideatalltimesbyall laborlaws,includingchildlaborrelatedenactments,andotherrelevantrules.

6.8. TheContractorshallsubmittotheProcuringEntityforconsentthenameandparticularsofthepersonauthorizedtoreceive instructionsonbehalfoftheContractor.

6.9. The Contractor shall cooperate and share the Site with other contractors,publicauthorities,utilities,andtheProcuringEntitybetweenthedatesgiven

in the schedule of other contractors particularly when they shall requireaccesstotheSite.TheContractorshallalsoprovidefacilitiesandservicesforthemduring this period. The Procuring Entitymaymodify the schedule ofother contractors, and shall notify the Contractor of any suchmodificationthereto.

6.10. Should anything of historical or other interest or of significant value beunexpectedlydiscoveredontheSite,itshallbethepropertyoftheProcuringEntity. The Contractor shall notify the Procuring Entity’s Representative ofsuch discoveries and carry out the Procuring Entity’s Representative’sinstructionsindealingwiththem.

7. PerformanceSecurity

7.1. Withinten(10)calendardaysfromreceiptoftheNoticeofAwardfromtheProcuringEntitybutinnocaselaterthanthesigningofthecontractbybothparties, theContractor shall furnish theperformance security in anyof theformsprescribedinITBClause32.2.

7.2. The performance security posted in favor of the Procuring Entity shall beforfeitedintheeventitisestablishedthattheContractorisindefaultinanyofitsobligationsundertheContract.

7.3. Theperformance security shall remainvaliduntil issuanceby theProcuringEntityoftheCertificateofFinalAcceptance.

7.4. The performance security may be released by the Procuring Entity andreturned to the Contractor after the issuance of the Certificate of FinalAcceptancesubjecttothefollowingconditions:

(a) There are no pending claims against the Contractor or the suretycompanyfiledbytheProcuringEntity;

(b) The Contractor has no pending claims for labor and materials filedagainstit;and

(c) OthertermsspecifiedintheSCC.

7.5. The Contractor shall post an additional performance security following theamount and form specified in ITB Clause 32.2 to cover any cumulativeincrease of more than ten percent (10%) over the original value of thecontract as a result of amendments to order or change orders, extraworkorders and supplemental agreements, as the casemaybe. TheContractorshallcausetheextensionofthevalidityoftheperformancesecuritytocoverapprovedcontracttimeextensions.

7.6. IncaseofareductioninthecontractvalueorforpartiallycompletedWorksunderthecontractwhichareusableandacceptedbytheProcuringEntitytheuseofwhich, inthe judgmentofthe implementingagencyortheProcuringEntity, will not affect the structural integrity of the entire project, theProcuring Entity shall allow a proportional reduction in the originalperformance security, provided that any such reduction is more than tenpercent (10%) and that the aggregate of such reductions is notmore thanfiftypercent(50%)oftheoriginalperformancesecurity.

7.7. Unlessotherwise indicated in the SCC, theContractor, by entering into theContractwith theProcuringEntity,acknowledges the rightof theProcuringEntityto instituteactionpursuanttoAct3688againstanysubcontractorbethey an individual, firm, partnership, corporation, or association supplyingtheContractorwith labor,materialsand/orequipmentfortheperformanceofthisContract.

8. Subcontracting

8.1. Unless otherwise indicated in the SCC, the Contractor cannot subcontractWorksmorethanthepercentagespecifiedinBDSClause8.1.

8.2. SubcontractingofanyportionoftheWorksdoesnotrelievetheContractorofany liability or obligation under this Contract. The Contractor will beresponsible for the acts, defaults, and negligence of any subcontractor, itsagents, servantsorworkmenas fullyas if thesewere theContractor’sownacts,defaults,ornegligence,orthoseofitsagents,servantsorworkmen.

8.3. If subcontracting is allowed. The contractor may identify its subcontractorduring contract implementation stage. Subcontractors disclosed andidentifiedduringthebiddingmaybechangedduringthe implementationofthis Contract. In either case, subcontractorsmust submit the documentaryrequirements under ITB Clause 12 and comply with the eligibility criteriaspecified in the BDS. In the event that any subcontractor is found by anyProcuring Entity to be eligible, the subcontracting of such portion of theWorksshallbedisallowed.

9. LiquidatedDamages

9.1. TheContractorshallpayliquidateddamagestotheProcuringEntityforeachday that the Completion Date is later than the Intended Completion Date.Theapplicableliquidateddamagesisatleastone-tenth(1/10)ofapercentofthecostoftheunperformedportionforeverydayofdelay.Thetotalamountof liquidateddamagesshallnotexceedtenpercent (10%)of theamountofthe contract. The Procuring Entity may deduct liquidated damages frompaymentsdue to theContractor. Paymentof liquidateddamages shall notaffect theContractor’s liabilities.Oncethecumulativeamountof liquidateddamages reaches ten percent (10%) of the amount of this Contract, the

ProcuringEntitymayrescindorterminatethisContract,withoutprejudicetoothercoursesofactionandremediesavailableunderthecircumstances.

9.2. If the IntendedCompletionDate isextendedafter liquidateddamageshavebeenpaid,theEngineeroftheProcuringEntityshallcorrectanyoverpaymentof liquidated damages by the Contractor by adjusting the next paymentcertificate.

10. SiteInvestigationReports

The Contractor, in preparing the Bid, shall rely on any Site Investigation ReportsreferredtointheSCCsupplementedbyanyinformationobtainedbytheContractor.

11. TheProcuringEntity,LicensesandPermits

TheProcuringEntityshall, ifrequestedbytheContractor,assisthiminapplyingforpermits,licensesorapprovals,whicharerequiredfortheWorks.

12. Contractor’sRiskandWarrantySecurity

12.1. TheContractor shall assume full responsibility for theWorks fromthe timeproject construction commenced up to final acceptance by the ProcuringEntity and shall be held responsible for any damage or destruction of theWorks except those occasioned by force majeure. The Contractor shall befully responsible for thesafety,protection, security,andconvenienceofhispersonnel, third parties, and the public at large, as well as the Works,Equipment,installation,andtheliketobeaffectedbyhisconstructionwork.

12.2. Thedefectsliabilityperiodforinfrastructureprojectsshallbeoneyearfromcontract completionup to finalacceptanceby theProcuringEntity. Duringthis period, the Contractor shall undertake the repair works, at his ownexpense,ofanydamagetotheWorksonaccountoftheuseofmaterialsofinferiorqualitywithinninety(90)daysfromthetimetheHoPEhasissuedanorder toundertake repair. In caseof failureor refusal to complywith thismandate,theProcuringEntityshallundertakesuchrepairworksandshallbeentitledtofullreimbursementofexpensesincurredthereinupondemand.

12.3. UnlessotherwiseindicatedintheSCC,incasetheContractorfailstocomplywith the preceding paragraph, the Procuring Entity shall forfeit itsperformancesecurity,subjectitsproperty(ies)toattachmentorgarnishmentproceedings, and perpetually disqualify it from participating in any publicbidding. All payables of the GoP in his favor shall be offset to recover thecosts.

12.4. After final acceptanceof theWorksby theProcuringEntity, theContractorshall be held responsible for “Structural Defects,” i.e., majorfaults/flaws/deficiencies in one or more key structural elements of the

projectwhichmayleadtostructuralfailure of the completed elements orstructure, or “Structural Failures,” i.e., where one or more key structuralelementsinaninfrastructurefacilityfailsorcollapses,therebyrenderingthefacility or part thereof incapable of withstanding the design loads, and/orendangeringthesafetyoftheusersorthegeneralpublic:

(a) Contractor – Where Structural Defects/Failures arise due to faultsattributable to improper construction, use of inferiorquality/substandardmaterials,andanyviolationofthecontractplansandspecifications,thecontractorshallbeheldliable;

(b) Consultants – Where Structural Defects/Failures arise due to faultyand/or inadequate design and specifications aswell as constructionsupervision, then the consultant who prepared the design orundertookconstructionsupervisionfortheprojectshallbeheldliable;

(c) Procuring Entity’s Representatives/Project Manager/ConstructionManagers and Supervisors – The project owner’s representative(s),project manager, construction manager, and supervisor(s) shall beheld liable in caseswhere theStructuralDefects/Failuresaredue tohis/their willful intervention in altering the designs and otherspecifications; negligence or omission in not approving or acting onproposed changes to noted defects or deficiencies in the designand/or specifications; and the use of substandard constructionmaterialsintheproject;

(d) Third Parties - Third Parties shall be held liable in cases whereStructural Defects/Failures are caused bywork undertaken by themsuch as leaking pipes, diggings or excavations, underground cablesandelectricalwires,undergroundtunnel,miningshaftandthelike,inwhichcasetheapplicablewarrantytosuchstructureshouldbeleviedtothirdpartiesfortheirconstructionorrestorationworks.

(e) Users - In cases where Structural Defects/Failures are due toabuse/misusebytheenduseroftheconstructedfacilityand/ornon–compliancebyauserwiththetechnicaldesignlimitsand/orintendedpurposeofthesame,thentheuserconcernedshallbeheldliable.

12.5. ThewarrantyagainstStructuralDefects/Failures,exceptthoseoccasionedonforcemajeure,shallcovertheperiodspecifiedintheSCCreckonedfromthedateofissuanceoftheCertificateofFinalAcceptancebytheProcuringEntity.

12.6. TheContractorshallberequiredtoputupawarrantysecurityintheformofcash, bank guarantee, letter of credit, GSIS or surety bond callable ondemand,inaccordancewiththefollowingschedule:

12.7. The warranty security shall be stated in Philippine Pesos and shall remaineffective for one year from the date of issuance of the Certificate of FinalAcceptancebytheProcuringEntity,andreturnedonlyafterthelapseofsaidoneyearperiod.

12.8. Incaseofstructuraldefects/failureoccurringduringtheapplicablewarrantyperiodprovidedinGCCClause12.5,theProcuringEntityshallundertakethenecessary restoration or reconstruction works and shall be entitled to fullreimbursement by the parties found to be liable for expenses incurredtherein upon demand, without prejudice to the filing of appropriateadministrative,civil,and/orcriminalchargesagainsttheresponsiblepersonsas well as the forfeiture of the warranty security posted in favor of theProcuringEntity.

13. LiabilityoftheContractor

Subjecttoadditionalprovisions,ifany,setforthintheSCC,theContractor’sliabilityunder this Contract shall be as provided by the laws of the Republic of thePhilippines.

14. ProcuringEntity’sRisk

14.1. FromtheStartDateuntiltheCertificateofFinalAcceptancehasbeenissued,thefollowingarerisksoftheProcuringEntity:

(a) The risk of personal injury, death, or loss of or damage to property(excluding the Works, Plant, Materials, and Equipment), which aredueto:

(i) any type of use or occupation of the Site authorized by theProcuringEntityaftertheofficialacceptanceoftheworks;or

(ii) negligence,breachofstatutoryduty,orinterferencewithanylegalrightbytheProcuringEntityorbyanypersonemployedbyorcontractedtohimexcepttheContractor.

(b) TheriskofdamagetotheWorks,Plant,Materials,andEquipmenttothe extent that it is due to a fault of the Procuring Entity or in theProcuringEntity’sdesign,orduetowarorradioactivecontaminationdirectlyaffectingthecountrywheretheWorksaretobeexecuted.

15. Insurance

15.1. The Contractor shall, under his name and at his own expense, obtain andmaintain,forthedurationofthisContract,thefollowinginsurancecoverage:

(a) Contractor’sAllRiskInsurance;

(b) Transportation to the project Site of Equipment, Machinery, andSuppliesownedbytheContractor;

(c) PersonalinjuryordeathofContractor’semployees;and

(d) ComprehensiveinsuranceforthirdpartyliabilitytoContractor’sdirectorindirectactoromissioncausingdamagetothirdpersons.

15.2. The Contractor shall provide evidence to the Procuring Entity’sRepresentative that the insurances requiredunder this Contract havebeeneffectedandshall,withinareasonabletime,providecopiesoftheinsurancepolicies to the Procuring Entity’s Representative. Such evidence and suchpolicies shall be provided to the Procuring Entity’s through the ProcuringEntity’sRepresentative.

15.3. TheContractorshallnotify the insurersofchanges in thenature,extent,orprogram for the execution of the Works and ensure the adequacy of theinsurancesatalltimesinaccordancewiththetermsofthisContractandshallproduce to the Procuring Entity’s Representative the insurance policies inforceincludingthereceiptsforpaymentofthecurrentpremiums.

TheaboveinsurancepoliciesshallbeobtainedfromanyreputableinsurancecompanyapprovedbytheProcuringEntity’sRepresentative.

15.4. IftheContractorfailstoobtainandkeepinforcetheinsurancesreferredtohereinoranyotherinsurancewhichhemayberequiredtoobtainunderthe

termsofthisContract,theProcuringEntitymayobtainandkeepinforceanysuch insurances and pay such premiums as may be necessary for thepurpose.Fromtimetotime,theProcuringEntitymaydeducttheamountitshallpayforsaidpremiumsincludingtwentyfivepercent(25%)thereinfromany monies due, or which may become due, to the Contractor, withoutprejudicetotheProcuringEntityexercisingitsrighttoimposeothersanctionsagainsttheContractorpursuanttotheprovisionsofthisContract.

15.5. In the event the Contractor fails to observe the above safeguards, theProcuringEntitymay,attheContractor’sexpense,takewhatevermeasureisdeemednecessary for itsprotectionand thatof theContractor’spersonneland third parties, and/or order the interruption of dangerous Works. Inaddition,theProcuringEntitymayrefusetomakethepaymentsunderGCCClause40untiltheContractorcomplieswiththisClause.

15.6. The Contractor shall immediately replace the insurance policy obtained asrequired in this Contract, without need of the Procuring Entity’s demand,with a new policy issued by a new insurance company acceptable to theProcuringEntityforanyofthefollowinggrounds:

(a) Theissueroftheinsurancepolicytobereplacedhas:

(i) becomebankrupt;

(ii) been placed under receivership or under a managementcommittee;

(iii) beensuedforsuspensionofpayment;or

(iv) beensuspendedby the InsuranceCommissionand its licenseto engage in business or its authority to issue insurancepoliciescancelled;or

(v) Where reasonable groundsexist that the insurermaynotbeable, fully and promptly, to fulfill its obligation under theinsurancepolicy.

16. TerminationforDefaultofContractor

16.1. TheProcuringEntityshallterminatethisContractfordefaultwhenanyofthefollowingconditionsattenditsimplementation:

(i) DuetotheContractor’sfaultandwhiletheprojectison-going,ithasincurred negative slippage of fifteen percent (15%) or more inaccordancewith Presidential Decree 1870, regardless ofwhether ornot previous warnings and notices have been issued for theContractortoimprovehisperformance;

(ii) Due to its own fault and after this Contract time has expired, theContractor incurs delay in the completion of the Work after thisContracthasexpired;or

(iii) TheContractor:

(i) abandonsthecontractWorks,refusesorfailstocomplywithavalid instruction of the Procuring Entity or fails to proceedexpeditiously and without delay despite a written notice bytheProcuringEntity;

(ii) does not actually have on the project Site the minimumessential equipment listedon thebidnecessary toprosecutetheWorksinaccordancewiththeapprovedProgramofWorkand equipment deployment schedule as required for theproject;

(iii) doesnotexecutetheWorks inaccordancewiththisContractorpersistentlyorflagrantlyneglectstocarryoutitsobligationsunderthisContract;

(iv) neglectsor refuses to removematerialsor toperformanewWorkthathasbeenrejectedasdefectiveorunsuitable;or

(v) sub-lets any part of this Contract without approval by theProcuringEntity.

16.2. Allmaterials on the Site, Plant,Works, including Equipmentpurchasedandfunded under the Contract shall be deemed to be the property of theProcuring Entity if this Contract is rescinded because of the Contractor’sdefault.

17. TerminationforDefaultofProcuringEntity

TheContractormay terminate thisContractwith theProcuringEntity if theworksarecompletelystoppedforacontinuousperiodofat leastsixty (60)calendardaysthroughnofaultofitsown,duetoanyofthefollowingreasons:

(a) FailureoftheProcuringEntitytodeliver,withinareasonabletime,supplies,materials, right-of-way, or other items it is obligated to furnish under thetermsofthisContract;or

(b) The prosecution of theWork is disrupted by the adverse peace and ordersituation, as certified by the Armed Forces of the Philippines ProvincialCommanderandapprovedbytheSecretaryofNationalDefense.

18. TerminationforOtherCauses

18.1. TheProcuringEntitymayterminatethisContract,inwholeorinpart,atanytime for its convenience. The HoPE may terminate this Contract for theconvenience of the Procuring Entity if he has determined the existence ofconditions that make Project Implementation economically, financially ortechnically impractical and/or unnecessary, such as, but not limited to,fortuitousevent(s)orchangesinlawandNationalGovernmentpolicies.

18.2. The Procuring Entity or the Contractor may terminate this Contract if theotherpartycausesafundamentalbreachofthisContract.

18.3. FundamentalbreachesofContractshall include,butshallnotbe limitedto,thefollowing:

(a) The Contractor stops work for twenty eight (28) days when nostoppageofwork isshownonthecurrentProgramofWorkandthestoppage has not been authorized by the Procuring Entity’sRepresentative;

(b) The Procuring Entity’s Representative instructs the Contractor todelaytheprogressoftheWorks,andtheinstructionisnotwithdrawnwithintwentyeight(28)days;

(c) TheProcuringEntityshallterminatethisContractiftheContractorisdeclaredbankruptorinsolventasdeterminedwithfinalitybyacourtofcompetent jurisdiction. In thisevent, terminationwillbewithoutcompensationtotheContractor,providedthatsuchterminationwillnot prejudice or affect any right of action or remedy which hasaccrued orwill accrue thereafter to the Procuring Entity and/or theContractor. In the case of the Contractor's insolvency, anyContractor's Equipment which the Procuring Entity instructs in thenoticeistobeuseduntilthecompletionoftheWorks;

(d) A payment certified by the Procuring Entity’s Representative is notpaidbytheProcuringEntitytotheContractorwithineightyfour(84)days from the date of the Procuring Entity’s Representative’scertificate;

(e) The Procuring Entity’s Representative gives Notice that failure tocorrect a particular Defect is a fundamental breach of Contract andthe Contractor fails to correct itwithin a reasonable period of timedeterminedbytheProcuringEntity’sRepresentative;

(f) TheContractordoesnotmaintainaSecurity,whichisrequired;

(g) The Contractor has delayed the completion of the Works by thenumber of days for which the maximum amount of liquidateddamagescanbepaid,asdefinedintheGCCClause9;and

(h) In case it isdeterminedprima facieby theProcuringEntity that theContractorhasengaged,beforeorduringthe implementationofthecontract, in unlawful deeds and behaviors relative to contractacquisition and implementation, such as, but not limited to, thefollowing:

(i) corrupt, fraudulent, collusive, coercive, and obstructivepractices as defined in ITB Clause 3.1(a), unless otherwisespecifiedintheSCC;

(ii) drawinguporusingforgeddocuments;

(iii) usingadulteratedmaterials,meansormethods,orengaginginproductioncontrarytorulesofscienceorthetrade;and

(iv) anyotheractanalogoustotheforegoing.

18.4. The Funding Source or the Procuring Entity, as appropriate, will seek toimposethemaximumcivil,administrativeand/orcriminalpenaltiesavailableunder the applicable law on individuals and organizations deemed to beinvolvedwithcorrupt,fraudulent,orcoercivepractices.

18.5. When persons from either party to this Contract gives notice of afundamental breach to the Procuring Entity’s Representative in order toterminatetheexistingcontractforacauseotherthanthoselistedunderGCCClause18.3, theProcuring Entity’sRepresentative shall decidewhether thebreachisfundamentalornot.

18.6. If this Contract is terminated, the Contractor shall stop work immediately,make the Site safe and secure, and leave the Site as soon as reasonablypossible.

19. ProceduresforTerminationofContracts

19.1. The followingprovisions shall govern theprocedures for the terminationofthisContract:

(a) Upon receipt of a written report of acts or causes which mayconstitute ground(s) for termination as aforementioned, or upon itsowninitiative,theProcuringEntityshall,withinaperiodofseven(7)calendar days, verify the existence of such ground(s) and cause theexecutionofaVerifiedReport,withallrelevantevidenceattached;

(b) Upon recommendation by the Procuring Entity, the HoPE shallterminate this Contract only by a written notice to the ContractorconveyingtheterminationofthisContract.Thenoticeshallstate:

(i) thatthisContractisbeingterminatedforanyoftheground(s)afore-mentioned,andastatementof theacts thatconstitutetheground(s)constitutingthesame;

(ii) theextentoftermination,whetherinwholeorinpart;

(iii) aninstructiontotheContractortoshowcauseastowhythisContractshouldnotbeterminated;and

(iv) specialinstructionsoftheProcuringEntity,ifany.

The Notice to Terminate shall be accompanied by a copy of theVerifiedReport;

(c) Withinaperiodofseven(7)calendardaysfromreceiptoftheNoticeof Termination, the Contractor shall submit to the HoPE a verifiedpositionpaperstatingwhythecontractshouldnotbeterminated.IftheContractorfailstoshowcauseafterthelapseoftheseven(7)dayperiod,eitherbyinactionorbydefault,theHoPEshallissueanorderterminatingthecontract;

(d) The Procuring Entity may, at anytime before receipt of theContractor’s verified position paper described in item (c) abovewithdraw the Notice to Terminate if it is determined that certainitemsorworkssubjectofthenoticehadbeencompleted,delivered,orperformedbeforetheContractor’sreceiptofthenotice;

(e) Withinanon-extendibleperiodoften(10)calendardaysfromreceiptoftheverifiedpositionpaper,theHoPEshalldecidewhetherornottoterminate this Contract. It shall serve a written notice to theContractorof itsdecisionand,unlessotherwiseprovided in thesaidnotice, this Contract is deemed terminated from receipt of theContractor of the notice of decision. The termination shall only bebasedontheground(s)statedintheNoticetoTerminate;and

(f) The HoPE may create a Contract Termination Review Committee(CTRC) to assist him in the discharge of this function. All decisionsrecommended by the CTRC shall be subject to the approval of theHoPE.

19.2. PursuanttoSection69(f)ofRA9184andwithoutprejudicetotheimpositionofadditionaladministrativesanctionsastheinternalrulesoftheagencymayprovideand/or furthercriminalprosecutionasprovidedbyapplicable laws,theprocuringentityshallimposeoncontractorsaftertheterminationofthecontract the penalty of suspension for one (1) year for the first offense,suspensionfortwo(2)yearsforthesecondoffensefromparticipatinginthepublic bidding process, for violations committed during the contractimplementationstage,whichincludebutnotlimitedtothefollowing:

(a) Failure of the contractor, due solely to his fault or negligence, tomobilizeandstartworkorperformancewithinthespecifiedperiodintheNoticetoProceed(“NTP”);

(b) Failure by the contractor to fully and faithfully comply with itscontractual obligations without valid cause, or failure by thecontractor to comply with any written lawful instruction of theprocuring entity or its representative(s) pursuant to theimplementation of the contract. For the procurement ofinfrastructure projects or consultancy contracts, lawful instructionsincludebutarenotlimitedtothefollowing:

(i) Employment of competent technical personnel, competentengineersand/orworksupervisors;

(ii) Provisionofwarning signsandbarricades inaccordancewithapprovedplansandspecificationsandcontractprovisions;

(iii) Stockpilinginproperplacesofallmaterialsandremovalfromthe project site of waste and excess materials, includingbroken pavement and excavated debris in accordance withapprovedplansandspecificationsandcontractprovisions;

(iv) Deploymentof committedequipment, facilities, support staffandmanpower;and

(v) Renewal of the effectivity dates of the performance securityafter its expiration during the course of contractimplementation.

(c) Assignmentandsubcontractingofthecontractoranypartthereoforsubstitution of key personnel named in the proposal without priorwrittenapprovalbytheprocuringentity.

(d) Poorperformanceby thecontractororunsatisfactoryqualityand/orprogress ofwork arising fromhis fault or negligence as reflected inthe Constructor's Performance Evaluation System (“CPES”) ratingsheet. In the absence of the CPES rating sheet, the existingperformance monitoring system of the procuring entity shall beapplied. Any of the following acts by the Contractor shall beconstruedaspoorperformance:

(i) Negativeslippageof15%andabovewithinthecriticalpathofthe project due entirely to the fault or negligence of thecontractor;and

(ii) Qualityofmaterialsandworkmanshipnotcomplyingwiththeapproved specifications arising from the contractor's fault ornegligence.

(e) Willfulordeliberateabandonmentornon-performanceoftheprojector contractby thecontractor resulting to substantialbreach thereofwithoutlawfuland/orjustcause.

Inadditiontothepenaltyofsuspension,theperformancesecuritypostedbythecontractorshallalsobeforfeited.

20. ForceMajeure,ReleaseFromPerformance

20.1. For purposes of this Contract the terms “force majeure” and “fortuitousevent”may be used interchangeably. In this regard, a fortuitous event orforcemajeure shall be interpreted tomean an eventwhich the Contractorcouldnothaveforeseen,orwhichthoughforeseen,was inevitable. It shallnot include ordinary unfavorable weather conditions; and any other causetheeffectsofwhichcouldhavebeenavoidedwiththeexerciseofreasonablediligencebytheContractor.

20.2. IfthisContract isdiscontinuedbyanoutbreakofwarorbyanyotherevententirelyoutsidethecontrolofeithertheProcuringEntityortheContractor,theProcuringEntity’sRepresentativeshallcertifythatthisContracthasbeendiscontinued. The Contractor shall make the Site safe and stop work asquickly as possible after receiving this certificate and shall be paid for allworkscarriedoutbeforereceivingitandforanyWorkcarriedoutafterwardstowhichacommitmentwasmade.

20.3. Iftheeventcontinuesforaperiodofeightyfour(84)days,eitherpartymaythengivenoticeoftermination,whichshalltakeeffecttwentyeight(28)daysafterthegivingofthenotice.

20.4. Aftertermination,theContractorshallbeentitledtopaymentoftheunpaidbalanceof thevalueof theWorksexecutedandof thematerialsandPlantreasonablydeliveredtotheSite,adjustedbythefollowing:

(a) anysumtowhichtheContractorisentitledunderGCCClause28;

(b) thecostofhissuspensionanddemobilization;

(c) anysumtowhichtheProcuringEntityisentitled.

20.5. Thenetbalancedueshallbepaidorrepaidwithinareasonabletimeperiodfromthetimeofthenoticeoftermination.

21. ResolutionofDisputes

21.1. Ifanydisputeordifferenceofanykindwhatsoever shallarisebetween theparties in connection with the implementation of the contract covered bytheActandthis IRR,thepartiesshallmakeeveryefforttoresolveamicablysuchdisputeordifferencebymutualconsultation.

21.2. If the Contractor believes that a decision taken by the Procuring Entity’sRepresentative was either outside the authority given to the ProcuringEntity’s Representative by this Contract or that the decision was wronglytaken,thedecisionshallbereferredtotheArbiterindicatedintheSCCwithinfourteen (14) days of the notification of the Procuring Entity’sRepresentative’sdecision.

21.3. AnyandalldisputesarisingfromtheimplementationofthisContractcoveredby the R.A. 9184 and its IRR shall be submitted to arbitration in thePhilippines according to the provisions of Republic Act No. 876, otherwiseknownasthe“ArbitrationLaw”andRepublicAct9285,otherwiseknownasthe “Alternative Dispute Resolution Act of 2004”:Provided, however, That,disputes that are within the competence of the Construction IndustryArbitrationCommissiontoresolveshallbereferredthereto. Theprocessofarbitration shall be incorporatedasaprovision in thisContract thatwill beexecutedpursuanttotheprovisionsoftheActanditsIRR:Provided,further,That, by mutual agreement, the parties may agree in writing to resort tootheralternativemodesofdisputeresolution.

22. SuspensionofLoan,Credit,Grant,orAppropriation

In the event that the Funding Source suspends the Loan, Credit, Grant, orAppropriation to the Procuring Entity, from which part of the payments to theContractorarebeingmade:

(a) TheProcuringEntityisobligatedtonotifytheContractorofsuchsuspensionwithinseven(7)daysofhavingreceivedthesuspensionnotice.

(b) IftheContractorhasnotreceivedsumsdueitforworkalreadydonewithinforty five (45) days from the time the Contractor’s claim for payment hasbeencertifiedby theProcuringEntity’sRepresentative, theContractormayimmediatelyissueasuspensionofworknoticeinaccordancewithGCCClause45.2.

23. ProcuringEntity’sRepresentative’sDecisions

23.1. Except where otherwise specifically stated, the Procuring Entity’sRepresentativewilldecidecontractualmattersbetweentheProcuringEntityandtheContractorintherolerepresentingtheProcuringEntity.

23.2. The Procuring Entity’s Representative may delegate any of his duties andresponsibilities to other people, except to the Arbiter, after notifying theContractor,andmaycancelanydelegationafternotifyingtheContractor.

24. Approval of Drawings and Temporary Works by the Procuring Entity’sRepresentative

24.1. AllDrawingspreparedbytheContractorfortheexecutionoftheTemporaryWorks,aresubjecttopriorapprovalbytheProcuringEntity’sRepresentativebeforeitsuse.

24.2. TheContractorshallberesponsiblefordesignofTemporaryWorks.

24.3. The Procuring Entity’s Representative’s approval shall not alter theContractor’sresponsibilityfordesignoftheTemporaryWorks.

24.4. The Contractor shall obtain approval of third parties to the design of theTemporaryWorks,whenrequiredbytheProcuringEntity.

25. AccelerationandDelaysOrderedbytheProcuringEntity’sRepresentative

25.1. WhentheProcuringEntitywantstheContractortofinishbeforetheIntendedCompletion Date, the Procuring Entity’s Representative will obtain pricedproposals for achieving the necessary acceleration from the Contractor. IftheProcuringEntityacceptstheseproposals,theIntendedCompletionDatewillbeadjustedaccordinglyandconfirmedbyboththeProcuringEntityandtheContractor.

25.2. IftheContractor’sFinancialProposalsforanaccelerationareacceptedbytheProcuringEntity,theyareincorporatedintheContractPriceandtreatedasaVariation.

26. ExtensionoftheIntendedCompletionDate

26.1. TheProcuringEntity’sRepresentativeshallextendthe IntendedCompletionDate if a Variation is issued which makes it impossible for the IntendedCompletionDate to be achieved by the Contractorwithout taking steps toaccelerate the remainingwork,whichwould cause the Contractor to incuradditional costs. No payment shall be made for any event which maywarranttheextensionoftheIntendedCompletionDate.

26.2. TheProcuringEntity’sRepresentativeshalldecidewhetherandbyhowmuchtoextendtheIntendedCompletionDatewithintwentyone(21)daysoftheContractoraskingtheProcuringEntity’sRepresentativeforadecisiontheretoafterfullysubmittingallsupportinginformation.IftheContractorhasfailedtogiveearlywarningofadelayorhasfailedtocooperate indealingwithadelay, thedelaybythis failureshallnotbeconsidered inassessingthenewIntendedCompletionDate.

27. RighttoVary

27.1. The Procuring Entity’s Representative with the prior approval of theProcuring Entity may instruct Variations, up to a maximum cumulativeamountoftenpercent(10%)oftheoriginalcontractcost.

27.2. Variationsshallbevaluedasfollows:

(a) Atalumpsumpriceagreedbetweentheparties;

(b) whereappropriate,atratesinthisContract;

(c) intheabsenceofappropriaterates,theratesinthisContractshallbeusedasthebasisforvaluation;orfailingwhich

(d) at appropriate new rates, equal to or lower than current industryrates and to be agreed upon by both parties and approved by theHoPE.

28. Contractor'sRighttoClaim

IftheContractorincurscostasaresultofanyoftheeventsunderGCCClause13,theContractorshallbeentitledtotheamountofsuchcost. Ifasaresultofanyofthesaid events, it is necessary to change the Works, this shall be dealt with as aVariation.

29. Dayworks

29.1. SubjecttoGCCClause43onVariationOrder,andifapplicableasindicatedinthe SCC, theDayworks rates in theContractor’s bid shall beused for smalladditionalamountsofworkonlywhentheProcuringEntity’sRepresentativehasgivenwritteninstructionsinadvanceforadditionalworktobepaidforinthatway.

29.2. Allworktobepaid forasDayworksshallberecordedbytheContractoronforms approved by the Procuring Entity’s Representative. Each completedform shall be verified and signed by the Procuring Entity’s Representativewithintwodaysoftheworkbeingdone.

29.3. The Contractor shall be paid for Dayworks subject to obtaining signedDayworksforms.

30. EarlyWarning

30.1. The Contractor shall warn the Procuring Entity’s Representative at theearliestopportunityofspecificlikelyfutureeventsorcircumstancesthatmayadverselyaffectthequalityofthework,increasetheContractPrice,ordelaythe execution of the Works. The Procuring Entity’s Representative may

requiretheContractor toprovideanestimateof theexpectedeffectof thefuture event or circumstance on the Contract Price and Completion Date.The estimate shall be provided by the Contractor as soon as reasonablypossible.

30.2. TheContractorshallcooperatewiththeProcuringEntity’sRepresentativeinmaking and considering proposals for how the effect of such an event orcircumstancecanbeavoidedorreducedbyanyoneinvolvedintheworkandin carrying out any resulting instruction of the Procuring Entity’sRepresentative.

31. ProgramofWork

31.1. Within the time stated in the SCC, the Contractor shall submit to theProcuring Entity’s Representative for approval a Program ofWork showingthegeneralmethods,arrangements,order,andtimingforalltheactivitiesintheWorks.

31.2. Anupdateof theProgramofWorkshall showtheactualprogressachievedoneachactivityandtheeffectoftheprogressachievedonthetimingoftheremainingwork,includinganychangestothesequenceoftheactivities.

31.3. The Contractor shall submit to the Procuring Entity’s Representative forapprovalanupdatedProgramofWorkatintervalsnolongerthantheperiodstatedintheSCC.IftheContractordoesnotsubmitanupdatedProgramofWorkwithinthisperiod,theProcuringEntity’sRepresentativemaywithholdtheamountstatedintheSCCfromthenextpaymentcertificateandcontinuetowithholdthisamountuntilthenextpaymentafterthedateonwhichtheoverdueProgramofWorkhasbeensubmitted.

31.4. The Procuring Entity’s Representative’s approval of the Program of Workshall not alter the Contractor’s obligations. The Contractormay revise theProgramofWorkandsubmitittotheProcuringEntity’sRepresentativeagainat any time. A revised Program of Work shall show the effect of anyapprovedVariations.

31.5. When the Program of Work is updated, the Contractor shall provide theProcuring Entity’s Representativewith an updated cash flow forecast. Thecash flow forecast shall include different currencies, as defined in theContract,convertedasnecessaryusingtheContractexchangerates.

31.6. AllVariationsshallbeincludedinupdatedProgramofWorkproducedbytheContractor.

32. ManagementConferences

32.1. Either the Procuring Entity’s Representative or the Contractormay requirethe other to attend a Management Conference. The Management

Conferenceshallreviewtheplansforremainingworkanddealwithmattersraisedinaccordancewiththeearlywarningprocedure.

32.2. The Procuring Entity’s Representative shall record the business ofManagement Conferences and provide copies of the record to thoseattendingtheConferenceandto theProcuringEntity. TheresponsibilityofthepartiesforactionstobetakenshallbedecidedbytheProcuringEntity’sRepresentative either at the Management Conference or after theManagement Conference and stated in writing to all who attended theConference.

33. BillofQuantities

33.1. The Bill of Quantities shall contain items of work for the construction,installation, testing, and commissioning of work to be done by theContractor.

33.2. TheBillofQuantitiesisusedtocalculatetheContractPrice.TheContractorispaidforthequantityoftheworkdoneattherateintheBillofQuantitiesforeachitem.

33.3. IfthefinalquantityofanyworkdonediffersfromthequantityintheBillofQuantities for theparticular itemand isnotmore than twenty fivepercent(25%)of theoriginalquantity,provided theaggregatechanges forall itemsdonotexceedtenpercent(10%)oftheContractprice,theProcuringEntity’sRepresentative shall make the necessary adjustments to allow for thechangessubjecttoapplicablelaws,rules,andregulations.

33.4. If requested by the Procuring Entity’s Representative, the Contractor shallprovidetheProcuringEntity’sRepresentativewithadetailedcostbreakdownofanyrateintheBillofQuantities.

34. Instructions,InspectionsandAudits

34.1. The Procuring Entity’s personnel shall at all reasonable times duringconstructionoftheWorkbeentitledtoexamine, inspect,measureandtestthe materials and workmanship, and to check the progress of theconstruction.

34.2. IftheProcuringEntity’sRepresentativeinstructstheContractortocarryoutatestnotspecifiedintheSpecificationtocheckwhetheranyworkhasadefectandthetestshowsthatitdoes,theContractorshallpayforthetestandanysamples.Ifthereisnodefect,thetestshallbeaCompensationEvent.

34.3. TheContractorshallpermittheFundingSourcenamedintheSCCtoinspectthe Contractor’s accounts and records relating to the performance of theContractorandtohavethemauditedbyauditorsappointedbytheFundingSource,ifsorequiredbytheFundingSource.

35. IdentifyingDefects

TheProcuring Entity’s Representative shall check theContractor’swork andnotifythe Contractor of any defects that are found. Such checking shall not affect theContractor’sresponsibilities.TheProcuringEntity’sRepresentativemayinstructtheContractor tosearchuncoverdefectsandtestanyworkthat theProcuringEntity’sRepresentativeconsidersbelowstandardsanddefective.

36. CostofRepairs

LossordamagetotheWorksorMaterialstobeincorporatedintheWorksbetweentheStartDateandtheendoftheDefectsLiabilityPeriodsshallberemediedbytheContractorattheContractor’scostifthelossordamagearisesfromtheContractor’sactsoromissions.

37. CorrectionofDefects

37.1. TheProcuring Entity’s Representative shall give notice to theContractor ofanydefectsbefore theendof theDefects LiabilityPeriod,which isOne (1)yearfromprojectcompletionuptofinalacceptancebytheProcuringEntity’sRepresentative.

37.2. Everytimenoticeofadefectisgiven,theContractorshallcorrectthenotifieddefect within the length of time specified in the Procuring Entity’sRepresentative’snotice.

37.3. TheContractorshallcorrectthedefectswhichhenoticeshimselfbeforetheendoftheDefectsLiabilityPeriod.

37.4. TheProcuringEntityshallcertifythatalldefectshavebeencorrected. IftheProcuringEntityconsidersthatcorrectionofadefectisnotessential,hecanrequesttheContractortosubmitaquotationforthecorrespondingreductionin the Contract Price. If the Procuring Entity accepts the quotation, thecorrespondingchangeintheSCCisaVariation.

38. UncorrectedDefects

38.1. The Procuring Entity shall give the Contractor at least fourteen (14) daysnotice of his intention to use a third party to correct a Defect. If theContractor does not correct the Defect himself within the period, theProcuringEntitymayhavetheDefectcorrectedbythethirdparty.ThecostofthecorrectionwillbedeductedfromtheContractPrice.

38.2. The use of a third party to correct defects that are uncorrected by theContractor will in no way relieve the Contractor of its liabilities andwarrantiesundertheContract.

39. AdvancePayment

39.1. The Procuring Entity shall, upon awritten request of the contractorwhichshallbesubmittedasacontractdocument,makeanadvancepaymenttothecontractor in an amount not exceeding fifteen percent (15%) of the totalcontract price, to bemade in lump sum or, at themost two, installmentsaccordingtoaschedulespecifiedintheSCC.

39.2. The advance payment shall be made only upon the submission to andacceptancebytheProcuringEntityofanirrevocablestandbyletterofcreditof equivalent value from a commercial bank, a bank guarantee or a suretybond callableupondemand, issuedby a suretyor insurance companydulylicensedbytheInsuranceCommissionandconfirmedbytheProcuringEntity.

39.3. TheadvancepaymentshallberepaidbytheContractorbyanamountequaltothepercentageofthetotalcontractpriceusedfortheadvancepayment.

39.4. The contractor may reduce his standby letter of credit or guaranteeinstrument by the amounts refunded by the Monthly Certificates in theadvancepayment.

39.5. TheProcuringEntitywillprovideanAdvancePaymentontheContractPriceasstipulatedintheConditionsofContract,subjecttothemaximumamountstatedinSCCClause1).

40. ProgressPayments

40.1. TheContractormay submit a request for payment forWork accomplished.Such request for payment shall be verified and certified by the ProcuringEntity’s Representative/Project Engineer. Except as otherwise stipulated intheSCC,materialsandequipmentdeliveredon the sitebutnot completelyputinplaceshallnotbeincludedforpayment.

40.2. The Procuring Entity shall deduct the following from the certified grossamountstobepaidtothecontractorasprogresspayment:

(a) Cumulativevalueoftheworkpreviouslycertifiedandpaidfor.

(b) Portionoftheadvancepaymenttoberecoupedforthemonth.

(c) Retentionmoneyinaccordancewiththeconditionofcontract.

(d) Amounttocoverthirdpartyliabilities.

(e) Amounttocoveruncorrecteddiscovereddefectsintheworks.

40.3. Paymentsshallbeadjustedbydeductingtherefromtheamountsforadvancepayments and retention. TheProcuringEntity shall pay theContractor theamounts certified by the Procuring Entity’s Representative within twentyeight (28) days from the date each certificatewas issued. No payment of

interest for delayed payments and adjustments shall be made by theProcuringEntity.

40.4. The first progress payment may be paid by the Procuring Entity to theContractorprovidedthatatleasttwentypercent(20%)oftheworkhasbeenaccomplishedascertifiedbytheProcuringEntity’sRepresentative.

40.5. ItemsoftheWorksforwhichapriceof“0”(zero)hasbeenenteredwillnotbe paid forby theProcuringEntityand shall bedeemedcoveredbyotherratesandpricesintheContract.

41. PaymentCertificates

41.1. TheContractorshallsubmittotheProcuringEntity’sRepresentativemonthlystatementsoftheestimatedvalueoftheworkexecutedlessthecumulativeamountcertifiedpreviously.

41.2. The Procuring Entity’s Representative shall check the Contractor’smonthlystatementandcertifytheamounttobepaidtotheContractor.

41.3. ThevalueofWorkexecutedshall:

(a) bedeterminedbytheProcuringEntity’sRepresentative;

(b) comprise the value of the quantities of the items in the Bill ofQuantitiescompleted;and

(c) includethevaluationsofapprovedvariations.

41.4. The Procuring Entity’s Representative may exclude any item certified in apreviouscertificateorreducetheproportionofanyitempreviouslycertifiedinanycertificateinthelightoflaterinformation.

42. Retention

42.1. TheProcuringEntityshallretainfromeachpaymentduetotheContractoranamountequaltoapercentagethereofusingtherateasspecifiedinGCCSub-Clause42.2.

42.2. Progresspaymentsaresubjecttoretentionoftenpercent(10%),referredtoasthe“retentionmoney.”SuchretentionshallbebasedonthetotalamountduetotheContractorpriortoanydeductionandshallberetainedfromeveryprogress payment until fifty percent (50%) of the value of Works, asdetermined by the Procuring Entity, are completed. If, after fifty percent(50%) completion, the Work is satisfactorily done and on schedule, noadditional retention shall be made; otherwise, the ten percent (10%)retentionshallagainbeimposedusingtheratespecifiedtherefor.

42.3. Thetotal“retentionmoney”shallbedueforreleaseuponfinalacceptanceoftheWorks. The Contractormay, however, request the substitution of the

retentionmoneyforeachprogressbillingwithirrevocablestandbylettersofcreditfromacommercialbank,bankguaranteesorsuretybondscallableondemand,ofamountsequivalenttotheretentionmoneysubstitutedforandacceptable to theProcuringEntity,providedthat theproject isonscheduleandissatisfactorilyundertaken.Otherwise,theten(10%)percentretentionshall bemade. Said irrevocable standby letters of credit, bank guaranteesand/orsuretybonds,tobepostedinfavoroftheGovernmentshallbevalidfor a duration to be determined by the concerned implementingoffice/agencyorProcuringEntityandwillanswer for thepurpose forwhichthe ten (10%) percent retention is intended, i.e., to cover uncorrecteddiscovereddefectsandthirdpartyliabilities.

42.4. OncompletionofthewholeWorks,theContractormaysubstituteretentionmoney with an “on demand” Bank guarantee in a form acceptable to theProcuringEntity.

43. VariationOrders

43.1. Variation Orders may be issued by the Procuring Entity to cover anyincrease/decreaseinquantities,includingtheintroductionofnewworkitemsthatarenotincludedintheoriginalcontractorreclassificationofworkitemsthatareeitherduetochangeofplans,designoralignmenttosuitactualfieldconditionsresulting indisparitybetweenthepreconstructionplansusedforpurposes of bidding and the “as staked plans” or construction drawingspreparedafterajointsurveybytheContractorandtheProcuringEntityafterawardofthecontract,providedthatthecumulativeamountoftheVariationOrder does not exceed ten percent (10%) of the original project cost. Theaddition/deletionofWorksshouldbewithinthegeneralscopeoftheprojectas bid and awarded. The scope of works shall not be reduced so as toaccommodateapositiveVariationOrder.AVariationOrdermayeitherbeintheformofaChangeOrderorExtraWorkOrder.

43.2. A Change Order may be issued by the Procuring Entity to cover anyincrease/decreaseinquantitiesoforiginalWorkitemsinthecontract.

43.3. An Extra Work Order may be issued by the Procuring Entity to cover theintroduction of new work necessary for the completion, improvement orprotectionof theprojectwhichwerenot included as itemsofWork in theoriginal contract, such as, where there are subsurface or latent physicalconditions at the site differing materially from those indicated in thecontract,orwheretherearedulyunknownphysicalconditionsatthesiteofanunusualnaturedifferingmateriallyfromthoseordinarilyencounteredandgenerallyrecognizedasinherentintheWorkorcharacterprovidedforinthecontract.

43.4. AnycumulativeVariationOrderbeyondtenpercent(10%)shallbesubjectofanother contract tobebidout if theworksare separable from theoriginalcontract.Inexceptionalcaseswhereitisurgentlynecessarytocompletethe

originalscopeofwork,theHoPEmayauthorizeapositiveVariationOrdergobeyond ten percent (10%) but notmore than twenty percent (20%) of theoriginal contract price, subject to the guidelines to be determined by theGPPB:Provided,however,Thatappropriatesanctionsshallbeimposedonthedesigner, consultant or official responsible for the original detailedengineeringdesignwhich failed toconsider theVariationOrderbeyondtenpercent(10%).

43.5. In claiming for any Variation Order, the Contractor shall, within seven (7)calendar days after such work has been commenced or after thecircumstances leading to such condition(s) leading to the extra cost, andwithin twenty-eight (28) calendar days deliver a written communicationgiving full anddetailedparticularsofanyextra cost inorder that itmaybeinvestigatedatthattime.Failuretoprovideeitherofsuchnoticesinthetimestipulated shall constitute a waiver by the contractor for any claim. ThepreparationandsubmissionofVariationOrdersareasfollows:

(a) IftheProcuringEntity’srepresentative/ProjectEngineerbelievesthata Change Order or Extra Work Order should be issued, he shallpreparetheproposedOrderaccompaniedwiththenoticessubmittedby the Contractor, the plans therefore, his computations as to thequantities of the additional works involved per item indicating thespecific stations where such works are needed, the date of hisinspectionsandinvestigationsthereon,andthelogbookthereof,andadetailedestimateof theunit costof such itemsofwork, togetherwith his justifications for the need of such Change Order or ExtraWorkOrder,andshallsubmitthesametotheHoPEforapproval.

(b) TheHoPEorhisduly authorized representative,upon receiptof theproposed Change Order or Extra Work Order shall immediatelyinstruct the appropriate technical staff or office of the ProcuringEntity toconductanon-the-spot investigation toverify theneed forthe Work to be prosecuted and to review the proposed plan, andpricesoftheworkinvolved.

(c) The technical stafforappropriateofficeof theProcuringEntity shallsubmitareportoftheirfindingsandrecommendations,togetherwiththesupportingdocuments,totheHeadofProcuringEntityorhisdulyauthorizedrepresentativeforconsideration.

(d) The HoPE or his duly authorized representative, acting upon therecommendation of the technical staff or appropriate office, shallapprove theChangeOrderorExtraWorkOrderafterbeingsatisfiedthatthesameisjustified,necessary,andinorder.

(e) The timeframe for the processing of Variation Orders from thepreparation up to the approval by the Procuring Entity concernedshallnotexceedthirty(30)calendardays.

44. ContractCompletion

Once the project reaches an accomplishment of ninety five (95%) of the totalcontract amount, the Procuring Entity may create an inspectorate team to makepreliminary inspectionandsubmitapunch-list totheContractor inpreparationforthe final turnover of the project. Said punch-list will contain, among others, theremaining Works, Work deficiencies for necessary corrections, and the specificduration/time to fully complete the project considering the approved remainingcontracttime.This,however,shallnotprecludetheclaimoftheProcuringEntityforliquidateddamages.

45. SuspensionofWork

45.1. TheProcuringEntityshallhavetheauthoritytosuspendtheworkwhollyorpartlybywrittenorderforsuchperiodasmaybedeemednecessary,duetoforce majeure or any fortuitous events or for failure on the part of theContractortocorrectbadconditionswhichareunsafeforworkersorforthegeneralpublic, to carryout validorders givenby theProcuringEntityor toperformanyprovisionsofthecontract,orduetoadjustmentofplanstosuitfieldconditionsasfoundnecessaryduringconstruction.TheContractorshallimmediatelycomplywithsuchordertosuspendtheworkwhollyorpartly.

45.2. TheContractor or its duly authorized representative shall have the right tosuspend work operation on any or all projects/activities along the criticalpath of activities after fifteen (15) calendar days from date of receipt ofwritten notice from the Contractor to the district engineer/regionaldirector/consultant or equivalent official, as the case may be, due to thefollowing:

(a) Thereexistright-of-wayproblemswhichprohibittheContractorfromperforming work in accordance with the approved constructionschedule.

(b) Requisiteconstructionplanswhichmustbeowner-furnishedarenotissuedtothecontractorprecludinganyworkcalledforbysuchplans.

(c) Peace and order conditions make it extremely dangerous, if notpossible,towork.However,thisconditionmustbecertifiedinwritingby the Philippine National Police (PNP) station which hasresponsibility over the affected area and confirmed by theDepartment of Interior and Local Government (DILG) RegionalDirector.

(d) There is failure on the part of the Procuring Entity to delivergovernment-furnishedmaterials and equipment as stipulated in thecontract.

(e) DelayinthepaymentofContractor’sclaimforprogressbillingbeyondforty-five(45)calendardaysfromthetimetheContractor’sclaimhas

beencertified toby theprocuringentity’sauthorized representativethatthedocumentsarecompleteunlesstherearejustifiablereasonsthereofwhichshallbecommunicatedinwritingtotheContractor.

45.3. Incaseoftotalsuspension,orsuspensionofactivitiesalongthecriticalpath,whichisnotduetoanyfaultoftheContractor,theelapsedtimebetweentheeffectivityoftheordersuspendingoperationandtheordertoresumeworkshallbeallowedtheContractorbyadjustingthecontracttimeaccordingly.

46. PaymentonTermination

46.1. IftheContractisterminatedbecauseofafundamentalbreachofContractbytheContractor,theProcuringEntity’sRepresentativeshall issueacertificateforthevalueoftheworkdoneandMaterialsorderedlessadvancepaymentsreceiveduptothedateoftheissueofthecertificateandlessthepercentageto apply to the value of thework not completed, as indicated in the SCC.Additional LiquidatedDamages shall not apply. If the total amount due tothe Procuring Entity exceeds any payment due to the Contractor, thedifferenceshallbeadebtpayabletotheProcuringEntity.

46.2. If the Contract is terminated for the Procuring Entity’s convenience orbecause of a fundamental breach of Contract by the Procuring Entity, theProcuringEntity’sRepresentativeshallissueacertificateforthevalueoftheworkdone,Materialsordered,thereasonablecostofremovalofEquipment,repatriationoftheContractor’spersonnelemployedsolelyontheWorks,andtheContractor’scostsofprotectingandsecuringtheWorks,andlessadvancepaymentsreceiveduptothedateofthecertificate.

46.3. The net balance due shall be paid or repaid within twenty eight (28) daysfromthenoticeoftermination.

46.4. If theContractorhas terminated theContractunderGCC Clauses17or18,the Procuring Entity shall promptly return the Performance Security to theContractor.

47. ExtensionofContractTime

47.1. Should the amount of additional work of any kind or other specialcircumstances of any kind whatsoever occur such as to fairly entitle thecontractor to an extension of contract time, the Procuring Entity shalldeterminetheamountofsuchextension;providedthattheProcuringEntityisnotboundtotake intoaccountanyclaimforanextensionoftimeunlessthe Contractor has, prior to the expiration of the contract time andwithinthirty (30)calendardaysaftersuchworkhasbeencommencedorafter thecircumstances leading to suchclaimhavearisen,delivered to theProcuringEntity notices in order that it could have investigated them at that time.FailuretoprovidesuchnoticeshallconstituteawaiverbytheContractorofanyclaim.Uponreceiptof fullanddetailedparticulars, theProcuringEntityshallexaminethefactsandextentofthedelayandshallextendthecontract

time completing the contractworkwhen, in theProcuring Entity’s opinion,thefindingsoffactsjustifyanextension.

47.2. No extension of contract time shall be granted the Contractor due to (a)ordinary unfavorable weather conditions and (b) inexcusable failure ornegligence of Contractor to provide the required equipment, supplies ormaterials.

47.3. ExtensionofcontracttimemaybegrantedonlywhentheaffectedactivitiesfallwithinthecriticalpathofthePERT/CPMnetwork.

47.4. No extension of contract time shall be granted when the reason given tosupport the request for extension was already considered in thedetermination of the original contract time during the conduct of detailedengineering and in the preparation of the contract documents as agreeduponbythepartiesbeforecontractperfection.

47.5. Extension of contract time shall be granted for rainy/unworkable daysconsideredunfavorablefortheprosecutionoftheworksatthesite,basedonthe actual conditions obtained at the site, in excess of the number ofrainy/unworkabledayspre-determinedbytheProcuringEntityinrelationtotheoriginalcontracttimeduringtheconductofdetailedengineeringandinthe preparation of the contract documents as agreed upon by the partiesbefore contract perfection, and/or for equivalent period of delay due tomajor calamities such as exceptionally destructive typhoons, floods andearthquakes,andepidemics,andforcausessuchasnon-deliveryontimeofmaterials,working drawings, orwritten information to be furnished by theProcuringEntity,non-acquisitionofpermittoenterprivatepropertiesornon-execution of deed of sale or donation within the right-of-way resulting incomplete paralyzation of construction activities, and other meritoriouscausesasdeterminedbytheProcuringEntity’sRepresentativeandapprovedby theHoPE. Shortage of constructionmaterials, general labor strikes, andpeace andorder problems that disrupt constructionoperations throughnofaultoftheContractormaybeconsideredasadditionalgroundsforextensionofcontracttimeprovidedtheyarepublicly feltandcertifiedbyappropriategovernmentagenciessuchasDTI,DOLE,DILG,andDND,amongothers.Thewritten consent of bondsmen must be attached to any request of theContractor for extension of contract time and submitted to the ProcuringEntityforconsiderationandthevalidityofthePerformanceSecurityshallbecorrespondinglyextended.

48. PriceAdjustment

ExceptforextraordinarycircumstancesasdeterminedbyNEDAandapprovedbytheGPPB,nopriceescalationshallbeallowed.Nevertheless,incaseswherethecostofthe awarded contract is affected by any applicable new laws, ordinances,regulations,orotheractsoftheGoP,promulgatedafterthedateofbidopening,a

contractpriceadjustmentshallbemadeorappropriatereliefshallbeappliedonanoloss-nogainbasis.

49. Completion

The Contractor shall request the Procuring Entity’s Representative to issue acertificateofCompletionoftheWorks,andtheProcuringEntity’sRepresentativewilldosoupondecidingthattheworkiscompleted.

50. TakingOver

The Procuring Entity shall take over the Site and theWorkswithin seven (7) daysfrom the date the Procuring Entity’s Representative issues a certificate ofCompletion.

51. OperatingandMaintenanceManuals

51.1. If “as built” Drawings and/or operating and maintenance manuals arerequired,theContractorshallsupplythembythedatesstatedintheSCC.

If theContractordoesnotsupplytheDrawingsand/ormanualsbythedatesstated intheSCC, or they do not receive the Procuring Entity’s Representative’s approval, theProcuringEntity’sRepresentative shallwithhold theamount stated in theSCC frompaymentsduetotheContractor.

The FDTs shall becloselywitnessed by the contractor, and PPMIU and Regional ProjectCoordinationOffice(RPCO)orProjectSupportOffice(PSO).Options2,3and4maybeavailedofby thecontractingparties in theconduct of FDTs if DPWH facilities will not be available on a timelybasis.

1. Theoptions tobeadoptedby thecontractingpartiesmustbecommunicatedproperlytotheDPWHregionalofficewheretheLGU is covered. The response of theDPWHwould trigger theapplication of the three options. The concurrence of theProjectwill be based on the evidence of impending or actualdelaysintheconductofFDTsthroughOption1;

TheengagementofaccreditedMaterialsEngineersforOptions2and3willfollowthelimitsofauthorityforME1andME2bytheBureauofResearchandStandards(BRS)oftheDepartmentof PublicWorks and Highways.The nomination of which willcomefromtheLGUandtobeconcurredbytheRegionalProjectCoordination Office.However, the test apparatuses to beutilizedby theaccreditedMaterialsEngineermayeithercomefromtheLGUor thecontractor.Thetestapparatusesshallbere-calibrated and tested in the presence of the RPCO or PSOengineerspriortoactualuse;

TheselectionofcollegesanduniversitiestoconducttheFDTmustbesupportedwithproofthatindeedthelaboratorytechnicianshaveconductedthesametestwithinthelastthreeyears.RecordsofFDTreportstakenfromsimilarprojectsfiledbythelaboratoryadministratorwillsufficeasproofofcapacitytoengagethesaidcollegeoruniversity.

VII. AWARDOFCONTRACT

The BAC shall recommend to theHead of the Procuring Entity the award ofcontract to the Bidders with the Lowest Calculated Responsive Quotation(LCRB)ortheSingleCalculatedResponsiveQuotation(SCRQ).

VIII. PERFORMANCESECURITY

1) ThePerformanceSecurityshallbeinanamountequaltoapercentageofthetotalContractpriceinaccordancewiththefollowingschedule:a. Cashorcertified (cashier’s/manager’s) check issuedbyaUniversalor

CommercialBankintheamountoftenpercent(10%)oftheContractprice;and

b. Bank draft/guarantee or irrevocable letter of credit issued by a

UniversalofCommercialBank in theamountof tenpercent (10%)oftheContractprice.

c. Surety bond callable upon demand issued by a surety or insurance

companydulycertifiedbytheInsuranceCommissionasauthorizedtoissue such security in the amount of thirty percent (30%) of theContractPrice.

2) ThePerformanceSecuritypostedinfavoroftheProcuringEntityshallbe

forfeited intheevent it isestablishedthattheContractor is indefault inanyofitsobligationsundertheContract.

3) The Performance Security shall remain valid twenty-eight (28) calendar

b. The Contractor has no pending claims for labor and materials filedagainstit.

IX. CONTRACTSIGNING

The Procuring Entity shall enter into Contract with the successful BiddersuponpostingoftherequiredPerformanceSecurity.ThefollowingdocumentsshallformpartoftheContract:

a) ContractAgreement;b) Quotation Form including thedetailed cost computationof items ofworkasperBillofQuantities;c) TermsandConditions;d) BillofQuantities(BOQ);e) Plans&Specifications;f) Addendaand/orSupplemental,ifany;g) Eligibility,TechnicalandFinancialDocuments;h) LetterofAcceptance/NoticeofAward(NOA);andi) PerformanceSecurity

X. NOTICETOPROCEED(NTP)

TheProcuringEntityshallissuetheNoticetoProceed(NTP)tothesuccessfulBiddersuponapprovalof theContractby theHeadof theProcuringEntity.TheContract’seffectivitydateshallcommencewithinten(10)calendardaysafterthereceiptoftheNoticetoProceedbytheContractor.

XI.PROGRAMOFWORK

The Contractor shall submit to the Procuring Entity’s Representative forapproval a Program ofWork showing the generalmethods, arrangements,orderandtimingforallactivitiesintheWorksandupdateswhichshallshowthe actual progress achieved on each activity including any changes to thesequenceoftheactivities.

XII.CONTRACTOR’SOBLIGATION

1) TheContractorshallcarryouttheworksproperlyandinaccordancewith

the Contract. The Contractor shall provide all supervision, labor,materials,plantandequipmentrequiredfortheproject.AllmaterialsonsiteshallbedeemedtothepropertyoftheProcuringEntity.

2) The Contractor shall commence execution of the works immediately

upon the receipt ofNotice to Proceed and shall carry out theworks inaccordancewiththeContract.TheContractorshallcompletetheprojectperapprovedContracttimeof___________(___)days.NoContracttimeextension shall be allowed for unjustifiable reasons or at Contractor’sfault that causes delay. Any delay will be penalized applying the provisions of RA 9184 and to be supported by a written report of theProcuring Entity’s Representative and Letter Request of the Contractor

andreasonsforthepurposeofworkextensioncertifiedbytheconcernedComponent/UnitHeadandapprovedbytheHeadoftheProcuringEntity.

3) The Contractor shall assign an Engineer/Foreman to carry out the

supervisionoftheworksandshallprovidelistoflaborers/workerstotheProcuring Entity’s Representative for proper identification andmonitoring. The Contractor shall notify the Procuring Entity’sRepresentativeofanyreplacementofkeypersonnelandworkers.

4) TheContractorshallberesponsible forthesafetyofallactivitiesonthe

Site.5) The Contractor shall carry out all instructions of the Procuring Entity’s

Representative that comply with the applicable laws where the Site islocated.

XIII.LIQUIDATEDDAMAGES

TheContractorshallpayliquidateddamagestotheProcuringEntityattherateperdayofdelay.Theapplicableliquidateddamagesisatleastonetenth(1/10)ofonepercentofthecostoftheunperformedportionforeverydayofdelay.Oncethecumulativeamountofliquidateddamagesreachestenpercent(10%)oftheamountofthiscontracttheProcuringEntityshallrescindthisContract,withoutprejudicetotheothercoursesofactionandremediesopentoit.

XIV.ADVANCEPAYMENT

1) The Procuring Entity shall, upon awritten request of the contractorwhichshallbesubmittedasacontractdocument,makeanadvancepaymenttothecontractor in an amount not exceeding fifteen percent (15%) of the totalcontractpriceandtoberecoupedeveryprogressbilling.

2) The advance payment shall be made only upon the submission to andacceptancebytheProcuringEntityofanirrevocablestandbyletterofcreditofequivalentvaluefromacommercialbankorabankguaranteeissuedbyaUniversalorCommercialBank.

3) TheadvancepaymentshallberepaidbytheContractorbyanamountequaltothepercentageofthetotalcontractpriceusedfortheadvancepayment.

4) The contractor may reduce his standby letter of credit or guaranteeinstrument by the amounts refunded by the Monthly Certificates in theadvancepayment.

XV.PROGRESSPAYMENTS

1) The Contractormay submit a request for payment forwork accomplished.Such request for payment shall be verified and certified by the Procuring

Entity’s Representative.Materials and equipment delivered on the site butnotcompletelyandproperlyinstalledshallnotbeincludedforpayment.

2) The first progress payment may be paid by the Procuring Entity to the

Contractorprovidedthatatleasttwentypercent(20%)oftheworkhasbeenaccomplishedascertifiedbytheProcuringEntity’sRepresentative.

XV.CONTRACTOR’SRISKANDWARRANTYSECURITY

1) TheContractor shallassume full responsibility for theWorks fromthe timeproject construction commenced up to final acceptance by the ProcuringEntity and shall be held responsible for any damage or destruction of theWorks except those occasioned by force majeure. The Contractor shall befully responsible for thesafety,protection, security,andconvenienceofhispersonnel, third parties, and the public at large, as well as the Works,Equipment,installation,andtheliketobeaffectedbyhisconstructionwork.

2) Thedefectsliabilityperiodforinfrastructureprojectsshallbeoneyearfrom

contract completionup to finalacceptanceby theProcuringEntity. Duringthis period, the Contractor shall undertake the repair works, at his ownexpense,ofanydamagetotheWorksonaccountoftheuseofmaterialsofinferiorqualitywithinninety(90)daysfromthetimetheHoPEhasissuedanorder toundertake repair. In caseof failureor refusal to complywith thismandate,theProcuringEntityshallundertakesuchrepairworksandshallbeentitledtofullreimbursementofexpensesincurredthereinupondemand.

3) In case the Contractor fails to comply with the preceding paragraph, the

ProcuringEntityshallforfeititsperformancesecurity,subjectitsproperty(ies)toattachmentorgarnishmentproceedings,andperpetuallydisqualifyitfromparticipating inanypublicbidding.AllpayablesoftheGoP inhis favorshallbeoffsettorecoverthecosts.

4) TheWarranty Security shall be stated in Philippine Pesos and shall remain

effective for one year from the date of issuance of the Certificate of FinalAcceptancebytheProcuringEntity,andreturnedonlyafterthelapseofsaidoneyearperiod.

5) The Contractor shall, under his name and at his own expense, obtain and

maintain,forthedurationofthisContract,thefollowinginsurancecoverage:

a. Contractor’sAllRiskInsurance;

b. Transportation to the project Site of Equipment, Machinery, andSuppliesownedbytheContractor;

c. PersonalinjuryordeathofContractor’semployees;and

d. Comprehensive insuranceforthirdparty liability toContractor’sdirectorindirectactoromissioncausingdamagetothirdpersons.

XV.RETENTIONMONEY

1) Progresspaymentsaresubjecttoretentionoftenpercent(10%),referredtoas the “retention money.” Such retention shall be based on the totalamountduetotheContractorpriortoanydeductionandshallberetainedfromeveryprogresspaymentuntilthewholevalueofWorks,asdeterminedbytheProcuringEntity’sRepresentative,arecompleted.

2) If,after fiftypercent(50%)completion,theWork issatisfactorilydoneand

on schedule, no additional retention shall be made; otherwise, the tenpercent (10%) retention shall again be imposed using the rate specifiedtherefore.

3) Thetotal“retentionmoney”shallbedueforreleaseuponfinalacceptance

oftheWorks.TheContractormay,however,requestthesubstitutionoftheretentionmoneyforeachprogressbillingwithirrevocablestandbylettersofcreditfromacommercialbank,bankguaranteesorsurelybondscallableondemand,ofamountsequivalenttotheretentionmoneysubstitutedforandacceptabletotheProcuringEntity,providedthattheprojectisonscheduleandissatisfactorilyundertaken.Otherwise,thetenpercent(10%)retentionshallbemade.

Said irrevocable standby letters of credit, bank guarantees and/or surety

bonds, to be posted in favor of the Procuring Entity shall be valid for aperiod of forty-five (45) days from the completion of the project andwillanswerforthepurposeofwhichthetenpercent(10%)retentionisintendedi.e..tocoveruncorrecteddiscovereddefectsandthirdpartyliabilities.

XVI.SPECIALPROVISIONS

LIABILITYOFTHECONTRACTORThe Contractor shall submit list of employees/workers with information ofaddress, age and designation. They should be provided withCompany/Contractor’sIdentificationCard(ID).1) TheContractoror its duly authorized representative shall enforceandbe

responsible for the following policy for its personnel/workers within sitepremises;

a. Nodrinkingofliquorb. Nogambling.c. Nocarryingoffirearms/deadlyweapons/explosives.d. Noloitering/littering

e. Curfewhoursfrom9:00pmto4:00am.(inthecaseofovertimeworks)f. WearingofIDs

2) The Contractor shall be held liable and responsible for the misdemeanor/

misbehaviorof itsworkers.Similarly, theContractorshallalsobe liableandresponsible to losses/damages incurred on the properties caused by itsworkers, afterproper investigationby theProcuringEntityand/or the localPNP.

3) The Contractor shall replace all materials found not in accordance to the

Plans & Specifications within five (5) calendar days. The Procuring Entity’sRepresentative must record in the logbook delivery of materials not inaccordancewithspecifications.

4) The Contractor must sign a written agreement conforming that it may

tap/useelectricityandwateroftheofficebasedontheestablishedaverageconsumption of the provincial office/office concerned. As such, theContractorshallshoulderallexpensesincurredintheimplementationoftheproject such as water and electricity bills in excess of average monthlyconsumptionof theprovincial office/office concerned tobedeterminedbythe Procuring Entity’s Representative and the payment of the establishedexcess monthly average consumption shall be paid separately by theContractor.

5) The Contractor shall allow the inspection of its delivery truck/vehicles

includinglaborers’baggagepriortoentry/exit.

OBLIGATIONSOFTHEPROCURINGENTITY

1) The Procuring Entity shall assign a Representative who shall inspect allmaterialdeliveriesastothesetspecificationsandintendedfortheProjectinthe presence of the Contractor or his authorized representative. TheProcuringEntity’sRepresentativemayinviteaCOArepresentativeduringtheconductofinspection.

2) TheProcuringEntity’sRepresentativeshallissueaNoticeofRejectiontotheContractor on materials rejected and Notice of Acceptance on materialsdelivered as replacement. The Notice of Inspection shall indicate thefollowing.

3) TheProcuringEntity’sRepresentativeshalldeterminetheequipment/utilitiesthatwillconsumeelectricityandwater.

4) TheContractorshallbepaidonthebasisofpercentageofworkcompletedupon request and submissionof thework accomplishment report resultingfromtheevaluationandassessmentoftheProcuringEntity’sRepresentativeduly certifiedby theProcuringEntity’s representative andapprovedby theHeadoftheProcuringEntity.

XVII. FINALPAYMENTFinal payment of the Contract price shall bemadeupon submission of thefollowingcompletesupportingdocuments:a. Affidavitstatingfullpaymentofallobligationsduefor labor,equipment

rentals,taxes;b. Certificate of Completion to be prepared and signed by the Procuring

entity’sRepresentativedulycertifiedbytheProcuringEntity’sconcernedComponent/UnitHeadandapprovedbytheHeadoftheProcuringEntity;

XVIII. DURATIONANDEFFECTIVITYOFTHECONTRACT
