What We Do

We advised the underwriters on multiple offerings by Southeast Asia tech leader Sea Limited, from their 2018 NYSE IPO to secondary equity offerings and convertible bond issues, raising more than $3 billion in proceeds.

We advised the underwriters on KE Holdings’ $2.12 billion SEC-registered IPO of ADSs and NYSE listing. This is the largest U.S. IPO by a Chinese issuer since April 2018, and the second-largest U.S. IPO (excluding SPACs) to date in 2020.

We advised Tencent and Tencent Music on the planned acquisition by a Tencent-led consortium of a 10% equity stake in Universal Music Group from its parent company, Vivendi S.A., at an enterprise value of €30 billion.

We advised the underwriters on SoftBank’s $23.5 billion IPO and listing on the Tokyo Stock Exchange. This is the largest-ever IPO in Japan and the second-largest global IPO of all time.

We are representing Asia Cement Corporation in connection with the opposition to legal proceedings commenced by China Shanshui Cement Group for alleged unlawful conspiracy. This is the biggest commercial dispute in China/Asia.

We advised the underwriters on the $3.1 billion secondary listing and IPO of NetEase, Inc. on the Hong Kong Stock Exchange.

We advised Li & Fung Limited on its US$926 million proposed privatization by way of a scheme of arrangement.

We advised Takeda Pharmaceutical on its $5.3 billion sale of Xiidra to Novartis AG.

We are representing the former China CFO of global life sciences company in connection with inquiries from the U.S. SEC and Department of Justice.

We advised Tencent Music, the largest online music entertainment platform in China, on its debut notes offering. In 2019, Davis Polk represented Tencent Music for its $1.1 billion NYSE IPO and concurrent private placement.

This landmark deal was the first U.S. spinoff listing by Tencent Holdings and one of the largest IPOs by a Chinese issuer in recent years. My Hong Kong colleagues and I worked very closely with Davis Polk’s intellectual property and tax teams in New York and London. This was one of the most complex IPOs I’ve worked on in my seven years of experience, and we had to solve a myriad of legal and commercial problems. That made it stressful but exciting – the kind of deal that every young lawyer would wish to work on.

It was very fun working on this deal. I took part in the negotiations on the structure of the deal and terms of the transaction documents, and got to understand our client’s business in the process. Working with our IP lawyers in New York and our client’s tax advisors also gave me great exposure to the different issues which are important to our client’s commercial decisions. All parties involved in this deal showed great teamwork and there was a real sense of achievement after completion of this deal. Nothing beats celebrating with a happy and appreciative client!
